HomeMy WebLinkAboutReso 231-06 Purchase 6401 Dublin Blvd RESOLUTION NO. 231 - 06 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN ********* APPROVING SETTLEMENT AGREEMENT WITH ANGELO GASP ARE, PROPERTY OWNER, AND CONOCOPHILLIPS COMPANY AND KAYO OIL, LESSEES, FOR THE PURCHASE OF A PORTION OF PROPERTY IN FEE LOCATED AT 6401 DUBLIN BOULEVARD WHEREAS, it is necessary for the City of Dublin to widen and improve the intersection of Dublin Boulevard and Dougherty Road as part of Capital Improvement Program Project No. 96852, Dougherty Road Improvements - Houston Place to 1-580; and WHEREAS, in order to accomplish this goal, it is necessary for the City to acquire a portion of property in fee located at 6401 Dublin Boulevard; and WHEREAS, along with the Grant Deed for the subject portion of 6401 Dublin Boulevard, the City must procure a Temporary Construction Easement in order to facilitate construction of the Project; NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin approves the Settlement Agreement with the property owner, Angelo Gaspare, Trustee of the "A&O Gaspare Trust" Dated February 10, 1993, and lessees ConocoPhillips Company and Kayo Oil Company. BE IT FURTHER RESOLVED that the Mayor is authorized to execute the agreement, attached hereto as Exhibit "A". PASSED, APPROVED AND ADOPTED this 19th day of December, 2006, by the following vote: AYES: Councilmembers Hildenbrand, Oravetz, Sbranti and Scholz, and Mayor Lockhart NOES: None ABSENT: None ABSTAIN: None ATTEST: ~ ~ , City Clerk Reso No. 231-06, Adopted 12/19/06, Item 4.8 Page 1 of 1 SETTLEMENT AGREEMENT This Settlement Agreement and General Release of All Claims (the "Agreement") is made as of the 19th day of December, 2006, by and between plaintiff City of Dublin (the "City"), a public body, corporate and politic, and defendants Angelo Gaspare, Trustee of the "A&O Gaspare Trust" Dated February 10, 1993 (hereinafter "Gaspare") and ConocoPhillips Comp any and Kayo Oil Company (hereinafter jointly "Conoco Defendants"), with reference to the following facts and purposes: RECITALS WHEREAS, the City is vested with the power of eminent domain to acquire real property by virtue of Article I, Section 19 of the Constitution of the State of California, Section 37350.5 of the Government Code of the State of California, and Sections 1240.010 and 1240.110 of the Code of Civil Procedure of the State of California. WHEREAS, on July 15, 2005, the City commenced the action entitled City of Dublin v. Angelo Gaspare, Trustee of the {~&O Gaspare Trust" Dated February 10, 1993, et al., Alameda County Superior Court, Action No. VG 05-222845 (the "Action"), to acquire a portion of the real property and real property interests located at 6401 Dublin Boulevard, Dublin, California, identified as APN 941-0205-010-03 (the "Subject Property") as set forth in the Complaint on file in this Action and attached hereto as Exhibits A, A-1 and B, and B-1; WHEREAS, as of the commencement of the Action, the Subject Property consisted of one parcel with a gas station, convenience store and car wash on it; WHEREAS, Angelo Gaspare, Trustee of the "A&O Gaspare Trust" Dated February 10, 1993, is the fee owner of the Subject Property as set forth in the Litigation Guarantee Title Report of Chicago Title Insurance Company dated January 4,2005; WHEREAS, ConcoPhillips Company and Kayo Oil Company have a lease interest in the Subject Property; WHEREAS, Defendants Gaspare, ConocoPhillips Company and Kayo Oil Company, and each of them, have agreed to accept the consideration, terms, and conditions as set forth in this Agreement, as compensation for their claims and interests in the Subject Property and the claims they could have in this Action; Settlement Agreement City of Dublin v. Gaspare 1 WHEREAS, the City, and the above named Defendants, and each of them, wish to settle any and all claims against each other that were or could have been raised in this litigation; The parties hereby agree as follows: AGREEMENT 1. As payment in settlement of the claims from or otherwise relating to the Action, as described herein, the City hereby agrees to pay a total of FOURTY-NINE THOUSAND NINE HUNDRED FIFTY-EIGHT DOLLARS ($49,958), to Defendants ConocoPhillips Company and Kayo Oil Company as just compensation for their real property interests at issue in this Action (the "Conoco Settlement Amount"). 2. As payment in settlement of the claims from or otherwise relating to the Action, as described herein, the City hereby agrees to pay a total of ONE HUNDRED AND SIX THOUSAND TWO HUNDRED AND NINETEEN DOLLARS ($106,219), to Defendant Gaspare as just compensation for its real property interests at issue in this Action (the "Gaspare Settlement Amount"). 3. Defendants Gaspare, ConocoPhillips Company and Kayo Oil Company, and each of them, agree that payment of the Settlement Amount constitutes just compensation and full satisfaction for each and every claim, cause of action or liability, known or unknown, now or in the future, against the City, its agents, employees, or authorizing authorities or public entities, which is asserted or might have been asserted by Defendants, and each of them, in the Action, including but not limited to, specific apportionment of the Conoco Settlement Amount, severance, loss of goodwill, relocation assistance and benefits, compensation for improvements, personal property inventory, furniture, fixtures, machinery, equipment, inverse condemnation, pre-condemnation damages, interest and any damages of any nature and for any causes. Payment of just compensation to the Conoco Defendants in the amount of $49,958 shall be made payable to Kayo Oil Company and forwarded to ConocoPhillips and Kayo Oil Company c/o Dawn Ceizler, Glynn & Finley, LLP, One Walnut Creek Center, 100 Pringle Avenue, Suite 500 Walnut Creek, California 94596, for disbursement to Conoco Defendants. 5. Payment of just compensation to Gaspare in the amount of $106,219 shall be made payable to Angelo Gaspare, Trustee of the "A&O Gaspare Trust" Dated February 10, 1993, and forwarded to Mr. Gaspare c/o Tom Nagle, Erickson, Beasley, Hewitt & Wilson, 482 Ninth Street, Suite 200, Oakland, California, 94607. 6. The Agreement shall be placed on the Agenda of the earliest regularly scheduled Closed Session of the City Council that it can be put on with adequate notice for discussion and approval, but no more than thirty (30) days after execution of the Agreement by all Defendants. 7. This Agreement does not apportion the amounts of the Conoco Defendants settlement ($49,958) or the Gaspare settlement ($106,219) between any of the defendants. All funds being distributed to each party represent the settlement amount between the plaintiff and that defendant(s). Nothing in this Agreement shall make the City liable to any individual defendant for the apportionment of any amount of compensation paid to any defendant. 8. This Agreement does not include nor address the respective rights of the individual Conoco Defendants in and to the amount of $49,958 paid to said defendants. Any and all claims or rights regarding the apportionment of this amount of compensation shall be determined separately and without the involvement of the City. 9. As further settlement of this Action, the parties agree that the Conoco Defendants, and each of them, are responsible for the installation of a new planter in the existing signage island, including concrete curbs, landscaping and irrigation; relocating signage; payment of the cost of the closure of monitoring wells; and payment of their professional fees, the Settlement Agreement City of Dublin v. Gaspare 3 costs of all of which are included, without limitation, in the Settlement Amount. As more fully described below, the Conoco Defendants' obligation to install new concrete curbs shall be limited to new concrete curbs and landscaping around the existing sign island. 10. As further consideration for the settlement of this Action, the City agrees to widen two driveways: (a) Dougherty Road (south driveway) - increasing the width from the existing 34 feet at the street to 48 feet at the street (40' at the back of the sidewalk); and (b) Easterly Dublin Blvd driveway - increasing the width from the existing 24 feet at the street to 40 feet at the street (34' at the back of the sidewalk). In light of the widening of the existing driveways by and at the cost of the City, the parties agree that there will be no need to relocate the fuel filler caps. 11 . . As further consideration for the settlement of this Action, the City agrees to signing and striping the carwash exit to a right turn only and the northerly Dougherty driveway to entrance only; the City will install signs to supplement the arrows. 12. Attached as Exhibit "C," hereto and incorporated herein by this reference, is a "sketch" which generally shows the revisions for the proposed future improvements as set forth in this Agreement, including without limitation: lay-out of the reconfigured driveways; relocated lights, bollards; painted arrows; relocated backflow devices; new sign location; relocated parking stall. 13. As further consideration for the settlement of this Action, the City agrees to adjust the carwash manhole to grade; the carwash driveway will not be exiting straight out onto Dougherty Road, accordingly, only one manhole will require adjustment to grade. The parties further agree that should the adjustment take longer than seven (7) calendar days, the City agrees to pay liquidated damages in the amount of $525 per day as lost revenue for each day in excess of seven days. 14. As further consideration for the settlement of this Action, the City agrees to install two bollards, as shown on the sketch attached hereto, one on either Settlement Agreement City of Dublin v. Gaspare 4 side of the existing tank vents near the carwash exit (NOTE: The vents are actually closer to the south curb than shown on Exhibit C - the 76 base map). 15. As further consideration for the settlement of this Action, the City agrees to relocate a total of three yard lights as follows: (a) Two lights (one near the car wash and one at the northerly corner of the identification sign planter), shall be moved and the circuitry installed by and at the cost to the City, with no underground splicing of electrical conductors/wires, and the name of the subcontractor performing the work provided to the Conoco Defendants a reasonable time prior to construction; and, (b) A third light at the westerly Dublin Blvd driveway will be removed by the City's underground utility contractor as the light is in the center of the trench. It is believed that the adjoining development will be placing a light on the westerly side of the driveway which will serve to replace the 76 Station light being removed. 16. As further consideration for the settlement of this Action, the City agrees to pay the cost of relocating the back flow devices currently located in a landscaped area behind the public right of way along Dublin Boulevard. Dublin San Ramon Services District has verified that the back flow devices may be placed in tandem. Conoco Defendants have agreed that the drive isle parallel and nearest Dublin Blvd. can be narrowed by the City at the City's cost by six (6) inches. The City will allow a long term encroachment, in the form attached hereto as Exhibit "0," into the back of the sidewalk for the remainder of the required space for the backflow devices. 17. As further consideration for the settlement of this Action, the City agrees to pay $9,308 (already included in the Conoco Settlement Amount set forth above) as subcontractor costs and consultant oversight fees for three replacement well drilling and complete installation to replace abandoned monitoring wells MW-2, MW-4, MW-6, and MW-7. As further consideration for the settlement of this Action, the City agrees to give Mr. Bill Borgh, agent for the Conoco Defendants, a minimum of one week notice of the commencement of construction work on the site. 19. As further consideration for the settlement of this Action, defendant ConocoPhillips Company agrees that it will not rely upon the condemnation as a basis for early termination of the lease associated with the property at issue in the Action. 20. Should any term, clause, provision or attachment of this Agreement be found to be invalid, the validity of the remaining terms, clauses and provisions shall not be affected. 21. This Agreement is subject to ratification by the City Council of the City of Dublin and has no effect until it is approved by said body. 22. Upon receipt of the amount of $25,677 (the difference between the amount the Conoco Defendants will receive from the funds on deposit with the State ($24,281) and the amount of the settlement ($49,958)), the parties will execute a Stipulation for Entry of Judgment, in the form attached hereto as Exhibit "E," approved by counsel for all parties, which conforms to this settlement agreement. The permittee shall begin work as authorized under this permit within 90 days from the start of issuance, unless a different date is stated in the permit. If the work is not begun within 90 days of the time stated in the permit, the permit shall become void. The permit shall be valid for a term of one year from the date of issuance, or as otherwise stated on the permit unless discontinued by the use or removal of the encroachment for which the permit was issued. (City of Dublin Municipal Code Chapter 7.04) 2. This permit is issued only for that portion of work in the City of Dublin right-of-way. 3. The permittee shall notifY Underground Service Alert (U.S.A.) at 800/227-2600 prior to excavation. All underground contractors must have U.S.A. inquiry identification number. 4. Permittee is hereby cautioned that unless otherwise noted herein, traffic signal detector loops, wiring, etc., and irrigation facilities shall not be disturbed. Request marking from City of Dublin Public Works Department at 833-6630. 5. All excavations shall conform to the requirements of the State of California Division of Industrial Safety. 6. Permittee shall furnish all safeguards for pedestrians and post warning signs in advance of work area for vehicular traffic and shall clear the roadway of any obstructions or debris at the end of each work day. All safety devices shall conform to the latest edition of the State of California "Manual of Warning Signs, Lights, and Devices for Use in Performance of Work Upon Highway. " 7. No public road under the jurisdiction of the City of Dublin shall be closed to travel by the general public without special permission of the City Engineer in writing. No lane closures will be allowed between 6:00 a.m. and 9:00 a.m. or between 3:30 p.m. and 6:30 p.m. At other times, at least one lane of traffic shall be kept open to the general public. 8. The pavement shall be sawed 6" outside the edges of the trench excavation in order to leave a smooth contour of the pavement surface. Cutting with air tools or other devices leaving jagged edges shall not be pennitted. 9. No more than 300 linear feet of continuous excavation shall be opened at one time. A. Excavate only that length of trench which can be backfilled the same day. B. Except for bedding or shading requirements by utilities, Class IT Aggregate Base is the only acceptable backfill material. 11. Sidewalk construction areas shall be left in a safe condition. Material excavated from within the City road right-of-way under this pennit shall be removed from within the right-of-way and disposed of in a legal manner. The right-of-way shall be left clean and orderly to the satisfaction of the City Engineer or his representative. The pennittee shall give particular attention to maintaining the project in a dust-free condition while performing the various items of work and during non-working periods, including weekends. All work shall be done in accordance with the provisions of the Clean Water Act, which protects the storm drain system. No dirt, rock, debris, concrete, or other materials or fluids will be allowed to enter the storm drain system during the course of work on this permit. Final asphalt concrete surfacing shall be placed within 5 days of completion of each 300 lineal feet of excavation. If the edges of the trench have ravelled prior to fmal surfacing, the edges shall be resawn. Line-and grade shall be left to the satisfaction of the City Engineer. The permittee will notifY the proper utilities or persons that the location of an existing utility pole, fire hydrant, tree, or other encroachment at the site or within the traveled way is such that relocation is necessary for proper execution of the work and/or safety of the general public. Said relocation shall be made at no expense to the City of Dublin. In the event such encroachment is not removed, the permittee will be pennitted to construct a blockout with dowelled bars in a location and in a manner satisfactory to the inspector. Upon completion of relocation of such encroachment, permittee shall complete construction of curb, gutter, and/or sidewalk within 30 days. . 19.
