FINANCIAL STATEMENT:
This contract will provide for the performance of preliminary
engineering and environmental services on a time-and-materials
basis to a maximum of $143,722.28 ($119,722 if certain
Environmental Studies are not required). Monies are allocated in the
State Transportation Improvement Program (STIP) in the amount of
$199,000 for Preliminary Engineering / Environmental Services and.
Design Services categories.
The total budget for the project is approximately $2.6 million, which
includes environmental work, engineering design, right-of-way and
construction, but does not include utility undergrounding.
This project is a combined Federal/State Funded project managed
by Caltrans and administered by the Alameda County Congestion
Management Agency. In order to proceed with the final design,
environmental certification must be obtained. This contract provides
those services necessary for environmental certification. Once
environmental certification is obtained, the final design and
construction documents will be prepared by the same consultant
under a separate contract, to be brought to the Council at a later date.

DESCRIPTION: This project is Phase II of the widening of Dublin Boulevard
between San Ramon Road and Dougherty Road. This phase will widen Dublin Boulevard to six through-
lanes between Village Parkway and Sierra Court/Civic Plaza, reconstruct the existing bridge, and provide
for public utilities to be placed underground.
Staff requested engineering proposals from five firms with experience on similar Caltrans-funded
projects. Three proposals were received. After interviewing those consultants, Staff determined that
based on their knowledge of the project and their understanding of the scope of services, MK Centennial
is the best engineering firm to provide preliminary engineering and environmental services.
In order to meet Caltrans requirements for State-Funded projects, the consultant selected for this work
must undergo an independent audit, called a pre-award audit, before any engineering and environmental
services can be performed. A separate item on this agenda provides for auditing services to be provided
by the City's auditing firm, Vavrinek Trine Day & Co. As a result of this requirement, the agreements
with MK Centennial will be signed by the City's Director of Public Works upon successful completion of
the pre-award audit.
Staff recommends that the City Council adopt the resolution approving the agreement and direct the City
Engineer / Director of Public Works to execute the agreement when all Caltrans requirements, including
the pre-award audit, are met by MK Centennial.

DUBLIN BOULEVARD FROM VILLAGE PARKWAY TO SIERRA COURT / CIVIC PLAZA
WHEREAS, the need for future roadway improvements along Dublin Boulevard were identified
by the Alameda County Congestion Management Agency; and
WHEREAS, it has been determined that Dublin Boulevard must be widened to six through-lanes
between Village Parkway and Sierra Court / Civic Plaza; and
WHEREAS, the City desires to utilize the services of MK Centennial provide preliminary
engineering and environmental services; and
WHEREAS, the cost of these design services will be paid through the State Transportation
Improvement Program (STIP).
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin hereby
approves the agreement with MK Centennial for consulting services.
BE IT FURTHER RESOLVED that the Director of Public Works is authorized to execute the
agreement, when all Caltrans requirements are met by the consultant.

CONSULTING ENGINEERING SERVICES AGREEMENT
THIS AGREEMENT is made at Dublin, California, as of November 16, 1999, by and
between the CITY OF DUBLIN, a municipal corporation ("City"), and MK Centennial ("Consultant"),
who agree as follows:
1. SERVICES. Subject to the terms and conditions set forth in this Agreement,
Consultant shall provide to City the services described in Exhibit A. Consultant shall provide said
services at the time, place, and in the manner specified in Exhibit A.
2. PAYMENT. City shall pay Consultant for services rendered pursuant to this
Agreement at the time and in the manner set forth in Exhibit B. The payments specified in Exhibit B shall
be the only payments to be made to Consultant for services rendered pursuant to this Agreement.
Consultant shall submit all billings for said services to City in the manner specified in Exhibit B; or, if no
manner be specified in Exhibit B, then according to the usual and customary procedures and practices
which Consultant uses for billing clients similar to City.
3. FACILITIES AND EQUIPMENT. Except as set forth in Exhibit C, Consultant shall, at
its sole cost and expense, furnish all facilities and equipment which may be required for furnishing
services pursuant to this Agreement. City shall furnish to Consultant only the facilities and equipment
listed in Exhibit C according to the terms and conditions set forth in Exhibit C.
4. GENERAL PROVISIONS. The general provisions set forth in Exhibit D are part of
this Agreement. In the event of any inconsistency between said general provisions and any other terms or
conditions of this Agreement, the other term or condition shall control insofar as it is inconsistent with the
general provisions.
5. EXHIBITS. All exhibits referred to herein are attached hereto and are by this reference
incorporated herein.
6. SUBCONTRACTING. The Consultant shall perform the work contemplated with
resources available within its own organization and no portion of the work pertinent to this contract shall
be subcontracted without written authorization by the City, except that which is expressly identified in
the Consultant's proposal.
7. CHANGES. City may from time to time require changes in the scope of the services by
Consultant to be performed under this Agreement. Such changes, including any change in the amount of
Consultant's compensation which are mutually agreed upon by City and Consultant, shall be effective as
amendments to this Agreement only when in writing.
8. RESPONSIBLE CHARGE. Consultant shall assign a project manager(s) to the project
for the duration of the project. There shall be no change in the Project Manager or members of the project

team without prior written approval by the City. The Project Manager for Consultant shall be Etty
Mercurio.
9. CONTRACT ADMINISTRATION. This Agreement shall be administered by LEE S.
THOMPSON ("Administrator"). All correspondence shall be directed to or through the Administrator or

GENERAL
Location
The project is located in Dublin, California. The City of Dublin is proposing to widen
Dublin Boulevard between Village Parkway and Sierra Lane from a four-lane facility to a
six-lane facility. The existing street has been improved to a six-lane facility from Village
Parkway westerly to San Ramon Road. Current City's Capital Improvement Project will
provide for Dublin Boulevard to be six lanes from Dougherty Road to Tassajara Road by
the end of next year's Construction Season. The proposed project will extend the six-lane
facility to just east of the Sierra Court intersection. The widening of Dublin Boulevard is to
both sides of the street to obtain additional roadway width. This will require both demolition
and reconstruction of existing improvements on both sides of the street including widening
of an existing bridge and repair of the creek slopes below the bridge. During the
reconstruction, existing overhead utilities will be placed underground.
Description
The CONSULTANT will prepare an Environmental Document and preliminary engineering
plans. The design of the project elements described herein, will be in accordance with the
CITY, and Caltrans Standards in effect at the time this agreement is executed. The
documents will be produced in metric units.
The contract work will consist of the following basic features:
Conduct an environmental field review
· Prepare environmental technical studies
· Prepare an Environmental Document (Negative Declaration / FONSI)
· Attend project status meetings and City Council meetings
· Conduct field reviews, research and data collection
· Prepare topographic mapping and conduct supplemental surveys
· Prepare preliminary engineering plans in support of the environmental document
Length of Services
The project will be initiated with a notice to proceed from the CITY. The environmental
and preliminary engineering work would then proceed without delay for 8 months. A four-
week review period is scheduled for each review of the draft and final environmental
document packages.
The CITY may wish to amend the scope of services to be provided by CONSULTANT.
When this occurs the CITY and the CONSULTANT will agree on a revised scope and any
adjustments to the project schedule and/or compensation due the CONSULTANT.
Project Scheduling
The project schedule wil.1 include all project activities and milestones. The schedule will
identify all milestones, tasks and sub tasks, review periods, and coordination activities
associated with engineering and design. Attachment A, "Design Schedule," shows the time
phased tasks to be performed for the required work.
Project Progress Meetings and Monthly Progress Reporting
Monthly progress reports will be submitted to the CITY with each invoice for payment for

engineering services. The report will indicate the tasks that were completed during the
preceding period, work planned for the next period, identification of design issues or
problems being encountered, and a comparison ofplanned and actual progress. The updated
schedule will accompany this report. Monthly reports will be submitted throughout the
project duration assumed above. Reports will not be submitted for any period where no
work was performed.
The CONSULTANT Project Manager will meet with the appointed CITY representatives
on a monthly basis to discuss the status of the project design work. These meetings will
focus on resolution of any design issues requiring the CITY involvement, the design
progress, potential problems, and to address any particular detail of the work previously
identified for resolution.
Design Monitoring and Subconsultant Management
The CONSULTANT Project Manager and each subconsultant principal will monitor the
work underway to assure it complies with the criteria and standards established for the
work, and to ensure that the design work is being accomplished in the most efficient manner
possible,
The CONSULTANT will establish effective and efficient project procedures to direct and
monitor the subconsultants' work. Regular scheduled reviews of the subconsultant design
will be performed to ensure compliance with the quality standards established, coordination
among team members, and that design operations are being conducted in a timely and
efficient manner.

Coordination with the CITY and Other Parties
Design team members will attend the scheduled meetings. The coordination will be
conducted during design review submittals, monthly meetings, and at such other times as
specific issues need resolution. It will be necessary for the CONSULTANT to meet with
representatives of the local agencies and The CITY for the purpose of discussing design

The agency contacts anticipated are with Alameda County FC & WCD, Zone 7 and the
CITY.
Data Collection and Field Reviews
The CONSULTANT will meet with the CITY and the local agencies to collect available
information pertinent to the project. A review of available information and an on-site
investigation will be conducted to further define site conditions and determine the need for
additional investigation and data. The design team members and representatives of the
CITY along with any interested parties will field review the work site two times.
Site Mapping and Supplemental Field Surveys
The CONSULTANT will prepare topographic base mapping at 1:500 with 0.5-meter
continuous intervals based on 1983 NAD (horizontal control) and 1929 NGVD (vertical
control). Mapping standards will be checked by the CONSULTANT and will conform to

the CITY's survey/mapping standards, as required for this project. The CONSULTANT will
conduct field surveys. Work will include conform areas, pavement spot elevations, storm
drainage inlets/outlets, selected utilities and potholed utilities. Potholing is not included in
this scope of services.
Preliminary Right-of-Way Plans
The CONSULTANT will prepare preliminary right-of-way plans based on parcel maps
available from the CITY and from Alameda County Public Works Agency. Preliminary
right-of-way information will be for use in the environmental document.
Environmental Document
The project will require environmental review under both the California Environmental
Quality Act (CEQA), as well as, the National Environmental Policy Act (NEPA). NEPA
review is required because federal funds will be used to construct the project. When federal
funds from the Federal Highway Administration (FHWA) are used for project construction,
Caltrans acts as the reviewing agency of all environmental documents on behalf of the
FHWA to ensure that the documents and process comply with N-EPA. As a result, the
environmental review process outlined below assumes coordination with Caltrans
environmental staff throughout the project.
Environmental Program Management
The CONSULTANT will oversee and coordinate all aspects of the environmental process
as described below:
Technical Studies
Oversee the preparation of all technical studies
Coordinate with technical subconsultants as required
Coordinate with The CITY during all phases of the environmental process
Agency Coordination
Conduct early consultation to explain the project and identify any agency concerns.
Conduct consultation with agencies to facilitate processing of environmental
permits if required.
Coordination with Engineering Effort
Provide input to preliminary engineering based on the technical reports
Analyze design alternatives proposed in terms of environmental constraints and
potential impacts.
Agencies to be consulted will be the CITY, Alameda County FC & WCD, Zone 7, U.S.
Army Corps of Engineers, U.S. Fish and Wildlife Service, and/or California Deparbnent of
Fish & Game.
Confirm Environmental Review Process
The CONSULTANT will conduct a field review meeting with City Staff and Caltrans
Project Development and Environmental stuff to review the proposed improvements to
Dublin Boulevard, environmental technical studies that will need to be completed, and the
appropriate environmental document(s) for the project.
Based on our initial review of the proposed improvements, land uses, environmental issues,
and CEQA/NEPA regulations, it appears that the project would not qualify for a Categorical
Exemption/Exclusion. In general, Categorical Exemptions/Exclusions do not apply to

projects that add capacity to an existing roadway. In addition, the project may affect
biological resources and fill wetland or waters of the U.S. under the jurisdiction of the U.S.
Army Corps of Engineers. However, the purpose of this task is to confirm our initial
findings with Caltrans Environmental staff before beginning any technical work.
Based on our initial review we believe that preparation of an Initial Study/Environmental
Assessment, and approval of a Negative Declaration under CEQA and a Finding of No
Significant Effect (FONSI) under NEPA, are appropriate for this project.
Technical Studies
The need for and scope of environmental technical studies will be confn-med with City Staff
and Caltrans Environmental Staff. Based on our initial review of the project area it appears
that a number of technical studies will be necessary to determine if the Dublin Boulevard
Widening Project would result in significant impacts on the environment. Based on our
initial review of the project area, technical studies appear to be required to address the
following areas:
Cultural Resources
Hazardous Materials
Noise
Biology
Before beginning the technical studies, the scope of each will be reviewed with City Staff
and Caltrans environmental planning staff and a technical specialist to obtain their
concurrence with the study approach and methodology. All technical studies will begin
with review of all existing relevant data available from the City. Additional data collection,
fieldwork, and analysis will be undertaken as required to prepare complete technical reports
for the project. The technical studies conducted for this task will be used to prepare the
environmental document.
Cultural Resources
Records/Literature Search
A record search will be conducted at the Northwest Information Center at Sonoma State
UniverSity to determine if there are any known cultural resources within the project area.
APE Definition
The Area of Potential Effect (APE) for the project must be defined and presented on a
scaled map of the area, with individual structures shown within the area. The APE map
must then be approved and signed by Caltrans and FHWA prior to conducting the work.
A draft map will be prepared of the area, which will be plotted by the project engineers on
an appropriate scaled map(s). Time for consultation with City Staff and Calms is included
as part of the preparation of the APE map.
Native American Consultation
The Native American Heritage Commission (NAHC) in Sacramento will be contacted and
provided with a map and description of the proposed project. NAHC will be asked to check
their Sacred Lands database for evidence of any traditional use or cultural properties known
to be located in or near the proposed project area. A listing of local Native American tribal
entities or individuals will also be requested and these entities and individuals contacted if

appropriate.
Field Evaluation
If not recently examined, a field survey of the APE will be conducted to evaluate potential
project impacts on cultural resources. The areas will be surveyed by qualified archeological
and architectural field personnel, using a maximum survey transect interval not exceeding
25 meters. The surveys will be conducted under the supervision of an archeological
Principal Investigator meeting federal qualification's criteria under 36 CFR 61 [Caltrans
EnvironmentalHandbook, Appendix B-1, Exhibit 4], at a minimum survey transect interval
not exceeding 25 meters. Any newly discovered historic (more than 45 years of age) or
prehistoric cultural resource sites will be recorded on appropriate Department of Parks and
Recreation Primary Record forms (DPR 523). Previously recorded sites will be examined
and an updated Site Record will be prepared if the original record is deemed to be out-of-
date. It is assumed, for purposes of this proposal, that no prehistoric resources are located
within the project area and a negative Archaeological Survey Report can be prepared.
Report Preparation
An Historic Properties Survey Report (HPSR), Archeological Survey Report (ASR), and
Historic Architecture Survey Report (HASR) will be prepared in accordance with the
requirements of the CalTrans Environmental Handbook, in terms of document content and
format. It is assumed for purposes of this cost estimate that the document will consist of a
negatiVe ASR.
Re_port Submittal
Upon acceptance of the report(s), one or more copies (depending upon whether or not
original Primary or Building-Structure-Object Records are appended) will be sent to the
California Historical Resources Information System's Northwest Information Center at
Sonoma State University.
Hazardous Materials
A Hazardous Material Technical Report may be prepared for the project as directed by the
City/Caltrans. The technical report will evaluate the potential for presence of any hazardous
materials in the project corridor that could affect development of the project.
The work scope for the technical report would include a regulatory agency record search to
identify reported releases of hazardous materials at and near the project corridor, and a site
reconnaissance and review of historic aerial photographs and topographic maps to identify
past and present land uses associated with hazardous materials. The technical report will
provide recommendations for further action, if warranted, and will evaluate soil
management options for various scenarios, depending on whether excavated soils will or
will not be contaminated. An Initial Site Assessment (ISA) checklist will be prepared in
accordance with Appendix DD of the Caltrans Project Development Procedures Manual,
"Preparation Guidelines for Initial Site Assessment (ISA) Checklist for Hazardous Waste,"
and will be included as an appendix to the technical report.
Noise
Land uses along Dublin Boulevard are primarily commercial and office. However, there
are some land uses that may be more sensitive to changes in noise levels such as the Civic

Center and the outdoor gardens at the Dublin San Ramon Service District (DSRSD)
headquarters building. As a result, it may be necessary to determine if an increase in noise
from additional traffic on Dublin Boulevard would adversely affect these areas.
A Noise Impact Assessment may be prepared for the project. The noise assessment will
include the performance of two continuous 24-hour measurements and up to four short-term
15-minute noise measurements to quantify existing noise levels at noise sensitive
(residential) receivers. Future noise levels at adjacent noise sensitive receivers will be
predicted. For this task, methods will be used that are compatible with those used by
Caltrans. The predicted future noise levels will be compared with the existing ambient noise
levels to determine if the project is likely to cause a significant increase in noise. The
predicted noise levels will also be compared to applicable criteria contained in the City's
General Plan and Noise Ordinance. If noise levels are predicted to exceed any of these
standards, feasible noise control measures may be recommended.
Biological
Natural Environment Study and Biological Assessment
The project area primarily consists of land developed with commercial uses and associated
mature landscaping. However, Dublin Boulevard crosses Alamo Creek which contains
potential biological res6urces and wetlands/waters of the U.S. that are regulated by the U.S.
Army Corps of Engineers. As a result, biological studies will focus on the habitat value of
existing landscaping and the resources present in Alamo Creek that may be affected by the
project. These studies will also be used to obtain any necessary permits from the California
Department of Fish and Game, U.S. Army Corps of Engineers, Alameda County Flood
Control & Water Conservation District and Zone 7.
The biological studies will include a Natural Environment Study prepared in accordance
with Caltrans and Federal Highway Administration (FHWA) requirements as set forth in
the Caltrans Environmental Handbook, Volume 1. This work will include the review of
California Natural Diversity DataBase reports for the project area and a site visit by a
qualified biologist to determine what biological resources might be affected by the project.

A wetland delineation will be prepared for Alamo Creek to determine the areas within the
creek that is under the U.S. Army Corps or Engineers' jurisdiction. The wetland delineation
will be reviewed by City Staff and Caltrans and verified by the Corps. The impacts of the
project on wetland/waters of the U.S. will be calculated and a mitigation plan developed.
The Natural Environment Study, wetland delineation and mitigation plan will form the basis
for permit applications to both the California Department of Fish and Game for a 1601
Streambed Alteration Agreement and to the Corps or a Section 404 permit to fill
wetlands/waters of the U.S.
Traffic Data and Safety Analysis
The CONSULTANT will prepare the transportation element for the environmental

document. The impact analysis will be completed with and without the Dublin Boulevard
Widening project under both construction year and cumulative year conditions for each
transportation mode including automobiles, bicycle, and pedestrian travel. The
CONSULTANT will collect 24-hour traffic count data on Dublin Boulevard at one location
within the project limits. The CONSULTANT will collect morning and evening peak
period traffic counts at the Dublin Boulevard/Sierra Court and Dublin Boulevard/Clark
Avenue intersections. The CONSULTANT will also obtain available accident data from
Alameda County and the City within the project limits. The CONSULTANT will
summarize the setting information including peak hour capacity analyses of the study
section of Dublin Boulevard and the Sierra Court and Clark Avenue intersections.
Available morning and evening peak hour traffic forecasts will be obtained for the study
'segment of Dublin Boulevard and the Sierra Court and Clark Avenue intersections under
each scenario. Peak hour operations analyses will be conducted for each facility to establish
a baseline oftraffc operations for the corridor. Impacts to bicycle and pedestrian travel will
be qualitatively evaluated based on a review of the project's consistency with established
policies and standards of adopted documents (i.e., General Plans, Specific Plans, design
standards, etc.). Mitigation measures will be identified for significant adverse impacts. The
CONSULTANT will prepare the administrative draft transportation section of the
environmental document. The CONSULTANT has budgeted a total of 8 hours to respond
to comments on the administrative draft and draft sections. The CONSULTANT anticipates
attendance at up to one meeting during this effort.

Administrative Draft Initial Study/Environmental Assessment
This task will involve preparation of an administrative draft Initial Study/Environmental
Assessment (IS/EA) for review by the City and Caltrans. The administrative draft IS/EA
will be based on the Caltrans "Environmental Significance Checklist". Information from
the following sources will be used to complete the administrative draft IS/EA:
· The technical studies prepared for the projects
· Engineering plans and designs provided by the Project Engineer
· City of Dublin General Plan
· Site Visits
If the IS/EA indicates that there will be no significant environmental impacts associated
with the project, an administrative draft Negative Declaration will also be prepared and
provided to the City and Caltrans for review and comment along with the IS/EA. The
administrative draft Negative Declaration will include:

The location of the project
The proposed finding that the project will not have a significant effect on the

A summary of the mitigation measures included in the project to avoid potentially
significant effects

Caltrans. The CONSULTANT will revised the Negative Declaration and IS/EA in response
to these comments and attempt to resolve any outstanding issues and resubmit the draft
Negative Declaration and IS/EA to Caltrans for FHWA pre-draft review. The
CONSULTANT will revise the draft Negative Declaration and IS/EA per FHWA comments
and attempt to resolve any remaining issues and submit the Draft Negative Declaration and
IS/EA to the City, Caltrans and FHWA for sign-off. Once Caltrans and FHWA have si~ed
the cover sheet, then the document can be distributed for public review.

Draft Initial Study/Negative Declaration
This task includes making any final revisions to the Draft Negative Declaration and IS/EA
and providing the City with copies of the document for public distribution. It is assumed that
the City wiIl be responsible for distribution of the Draft Negative Declaration and IS/EA.
The City will also be responsible for preparing all notices of the Draft Negative Declaration.
The City may wish to hold a public hearing on the Draft Negative Declaration and IS/EA,
however one is not required. If the City does hold a public hearing, the CONSULTANT
staffwill attend the meeting and make a presentation if requested by the City.

Response to Comments/Final Negative Declaration and FONSI
This task involves preparing responses to substantive comments received on the Draft
Negative Declaration and IS/EA from the public and agencies during the public review
period. At this time, any additional analysis or changes to Negative Declaration and IS/EA
will also be made as needed to respond to comments from the public and agencies. An
administrative Final Negative Declaration will be prepared and provided to the City and
Caltrans for review. The CONSULTANT will revise the Final Negative Declaration and
IS/EA as necessary to respond to City and Caltrans comments. The Final Negative
Declaration and IS/EA will then be provided to the City for approval of the Negative
Declaration. Once the Negative Declaration has been approved by the City, the Negative
Declaration along with the Final IS/EA will be sent to Caltrans. Caltrans will transmit the
approved Negative Declaration and Final IS/EA to FHWA with a request for approval of
a Finding of No Significant Impact (FONSI). FHWA will then issue a FONSI completing
the environmental review process for the project. As part of this task the CONSULTANT
will also prepare a Mitigation Monitoring and Reporting Pro,am as required under CEQA.
This pro,am will allow the City to monitor and document the implementation and success
of mitigation measures during construction of the project.

Design Reviews
At milestone points, the CONSULTANT will submit materials to the CITY and
participating local agencies for review and comment. Review periods will be four weeks
for all milestones. Each reviewing agency will submit a single set &coordinated review
comments to the CONSULTANT. The CONSULTANT will compile review comments
from the reviewing agencies and schedule a meeting with the CITY and the other reviewing
agencies to discuss any conflicting comments and to reach a consensus on resolution of any
conflicts. Minutes of the resolution meeting will be distributed within five working days
of the meeting. The CONSULTANT will incorporate agreed upon resolutions into the
reviewed documents. Should future reviews generate comments which require changes to
previously agreed upon elements of the documents and such changes result in additional

PAYMENT SCHEDULE
City shall pay Consultant an amount not to exceed the total sum of ONE
HUNDRED FORTY THREE THOUSAND SEVEN HUNDRED TWENTY-TWO DOLLARS
AND TWENTY-EIGHT CENTS ($143,722.28) for services to be performed pursuant to this
Agreement. Consultant shall submit invoices at the end of project based on the cost for services
performed in accordance with the cost estimate included in the MK Centennial proposal dated
November 10, 1999.
The total sum stated above shall be the total which City shall pay for the services
to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum
for any expense or cost whatsoever incurred by Consultant in rendering services pursuant to this
Agreement
City shall make no payment for any extra, further or additional service pursuant to
this Agreement unless such extra service and the price therefor is agreed to in writing executed
by the City Manager or other designated official of City authorized to obligate City thereto prior
to the time such extra service is rendered and in no event shall such change order exceed twenty-
five percent (25%) of the initial contract price.
The services to be provided under this Agreement may be terminated without
cause at any point in time in the sole and exclusive discretion of City. If the Agreement is
terminated by City, Consultant shall be entitled to receive just and equitable compensation for
any satisfactory work completed on such documents and other materials to the effective date of
such termination. In that event, all finished and unfinished documents and other materials shall,
at the option of the City, become City's sole and exclusive property. Consultant hereby expressly
waives any and all claims for damages or compensation arising under this Agreement.
Consultant shall maintain adequate logs and timesheets in order to verify costs incurred to date.
The Consultant is not authorized to perform any services or incur any costs
whatsoever under the terms of this Agreement until receipt of a fully executed Purchase Order
from the Finance Department of the City of Dublin.

City shall furnish physical facilities such as desks, filing cabinets, and conference
space, as may be reasonably necessary for Contractor's use while consulting with City employees
and reviewing records and the information in possession of City. The location, quantity, and
time of fiauishlng said physical facilities shall be in the sole discretion of City. In no event shall
City be obligated to furnish any facility which may involve incurring any direct expense,
including, but not limiting the generality of this exclusion, long-distance telephone or other
communication charges, vehicles, and reproduction facilities.

EXHIBIT D
GENERAL PROVISIONS
INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, Consultant
shall be an independent contractor and shall not be an employee of City. City shall have the right
to control Consultant only insofar as the results of Consultant's engineering services rendered
pursuant to this Agreement; however, City shall not have the right to control the means by which
Consultant accomplishes services rendered pursuant to this Agreement.
LICENSES; PERMITS: ETC. Consultant represents and warrants to City that he has all
licenses, permits, qualifications and approvals of whatsoever nature which are legally required
for Consultant to practice his profession. Consultant represents and warrants to City that
Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this
Agreement any licenses, permits, and ~approvals which are legally required for Consultant to
practice his profession.

TIME.. Consultant shall devote such time to the performance of services pursuant io this
Agreement as may be reasonably necessary for satisfactory performance of Consultant's
obligations pursuant to this Agreement.
INSURANCE REQUIREMENTS. Consultant shall procure and maintain for the duration of the
contract insurance against claims for injuries to persons or damages to property which may arise
from or in connection with the performance of the work hereunder by the Consultant, his agents,
representatives, employees or subcontractors. The cost of such insurance shall be included in the
Consultant's bid.
A. Minimum Scope of Insurance. Coverage shall be at least as broad as:
(1)
Insurance Services Office form number GL 0002 (Ed. 1/73) covering
comprehensive General Liability and Insurance Services Office form number GL
0404 covering Broad Form Comprehensive General Liability; or Insurance
Services Office Commercial General Liability coverage ("occurrence" form CG
0001).
(2)
Insurance Services Office form number CA 0001 (Ed. 1/78) covering Automobile
Liability, code 1 "any auto" and endorsement CA 0025.
(3)
Worker's Compensation insurance as required by the Labor Code of the State of
California and Employers Liability Insurance.
B. Minimum Limits of Insurance. Consultant shall maintain limits no less than:

General Liability: $1,000,000 combined single limit per occurrence for bodily
injury, personal injury and property damage. If commercial General Liability
Insurance or other form with a general aggregate limit is used, either the general
aggregate limit shall apply separately to this project/location or the general
aggregate limit shall be twice the required occurrence limit.
(2)
· Automobile Liability: $1,000,000 combined single limit per accident for bodily
injury and property damage.
(3)
Workers Compensation and Employers Liability: Workers Compensation limits
as required by the Labor Code of the State of Califomia and Employers Liability
limits of $1,000,000 per accident.
Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must
be declared to and approved by the City. At the option of the City, either the insurer shall
reduce or eliminate such deductibles or self-insured retentions as respects the City, its
officers, officials and employees; or the Consultant shall procure a bond guaranteeing
payment of losses and related investigations, claim administration and defense expenses.
Other Insurance Provisions. The policies are to contain, or be endorsed to contain, the
following provisions:
(1) General Liability and Automobile Liability Coverages.
The City, its officers, officials, employees and volunteers are to be covered
as insureds as respects: liability arising out of activities performed by or
on behalf of the Consultant; products and completed operations of the
Consultant, premises owned, occupied or used by the Consultant, or
automobiles owned, leased, hired or borrowed by the Consultant. The
coverage shall contain no special limitations on the scope of the protection
afforded to the City, its officers, officials, employees or volunteers.
(b)
The Consultant's insurance coverage shall be primary insurance as respects
the City, its officers, officials, employees and volunteers. Any insurance
or self-insurance maintained by the City, its officers, officials, employees
or volunteers shall be excess of the Consultant's insurance and shall not
contribute with it.
(c)
Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the City, its officers, officials, employees or
volunteers.

(d)
The Consultant's insurance shall apply separately to each insured against
whom claim is made or suit is brought, except with respect to the limits of
the insurer's liability.
(2) Worker's Compensation and Employers Liability Coverage.
The insurer shall agree to waive all rights of subrogation against the City, its
officers, officials, employees and volunteers for losses arising from work
performed by the Consultant for the City.
(3) Professional Liability.
Consultant shall carry professional liability insurance in an amount deemed by the
City to adequately protect the City against liability caused by negligent acts,
errors or omissions on the part of the Consultant in the course of performance of
the services specified in this Agreement.
(4) All Coverages.
Each insurance policy required by this clause shall be endorsed to state that
coverage shall not be suspended, voided, cancelled by either party, reduced in
coverage or in limits except after thirty (30) days prior written notice by certified
mall, remm receipt requested, has been given to the City.
Acceptabilits' of Insurers. Insurance is to be placed with insurers with a Bests' rating of
no less than A:VIII.
Fo
Verification of Coy,race. Consultant shall furnish City with certificates of insurance and
with original endorsements ,fleeting coverage required by this clause. The certificates
and endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf. The certificates and endorsements are to be
received and approved by the City before work commences. The City reserves the right
to require complete, certified copies of all required insurance policies, at any time.

The Risk Manager of City may approve a variation of those insurance requirements upon
a determination that the coverages, scope, limits and forms of such insurance are either
not commercially available or that the City's interests are otherwise fully protected.
CONSULTANT NO AGENT. Except as City may specify in writing, Consultant shall have no
authority, express or implied, to acton behalf of City in any capacity whatsoever as an agent.
Consultant shall have no authority, express or implied, pursuant to this Agreement to bind City
to any obligation whatsoever.

ASSIGNMENT PROHIBITED. No party to this Agreement may assign any right or obligation
pursuant to this Agreement. Any attempted or purported assignment of any right or obligation
pursuant to this Agreement shall be void and of no effect.

PERSONNEL. Consultant shall assign only competent personnel to perform services pursuant to
this Agreement. In the event that City, in its sole discretion, at any time during the term of this
Agreement, desires the removal of any such persons, Consultant shall, immediately upon
receiving notice from City of such desire of City, cause the removal of such person or persons.
STANDARD OF PERFORMANCE. Consultant shall perform all services required pursuant to
this Agreement in the manner and according to the standards observed by a competent
practitioner of the profession in which Consultant is engaged in the geographical area in which
Consultant practices his profession. All instruments of service of whatsoever nature which
Consultant delivers to City pursuant to this Agreement shall be prepared in a substantial, first
class and workmanlike manner and conform to the standards of quality normally observed by a
person practicing in Consultant's profession.
HOLD I-L~CMLESS AND RESPONSIBILITY OF CONSULTANTS. Consultant shall take all
responsibility for the work, shall bear all losses and damages directly or indirectly resulting to
him, to any subconsultant, to the City, to City officers and employees, or to parties designated by
the City, on account of the negligent performance or character of the work, unforeseen
difficulties, accidents, occurrences or other causes predicated on active or passive negligence of
the Consultant or of his subconsultant. Consultant shall indemifify, defend and hold harmless the
City, its officers, officials, directors, employees and agents from and against any or all loss,
liability, expense, claim, costs (including costs of defense), suits, and damages of every kind,
nature and description directly or indirectly arising from the negligent performance of the work.
This paragraph shall not be construed to exempt the City, its employees and officers from its own
fraud, willful injury or violation of law whether willful or negligent. For purposes of Section
2782 of the Civil Code the parties hereto recognize and agree that this Agreement is not a
construction contract. By execution of this Agreement Consultant acknowledges and agrees that
he has read and understands the provisions hereof and that this paragraph is a material element of
consideration.
Approval of the insurance contracts does not relieve the Consultant or subconsultants from
liability under this paragraph.
10.
GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by
fiscal assistance from another governmental entity, Consultant shall comply with all applicable
rules and regulations to which City is bound by the terms of such fiscal assistance program.
11.
DOCUMENTS. All reports, data, maps, models, charts, designs, plans, studies, surveys,
photographs, memoranda or other written documents or materials prepared by Consultant
pursuant to this Agreement shall become the property of City upon completion of the work to be
performed hereunder or upon termination of the Agreement. No such materials or properties

produced in whole or in part under this Agreement shall be subject to private use, copyrights, or
patent rights by Consultant in the United States or in any other country without the express
written consent of City. City shall have unrestricted authority to publish, disclose (as may be
limited by the provisions of the California Public Records Act), distribute, and otherwise use,
copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other
materials or properties produced under this Agreement.
