DESCRlIP'fION On December 18, 2007, the CIty Council approved a cooperatIve
agreement with Caltrans for the mstallatlOn of two Stormwater treatment umts to be located on Dublm
Boulevard Just east of Dublm Court and on Dougherty Road Just north of 1-580 (Attachment 2)
Under the terms of that agreement, Caltrans would pay up to $149,060 for constructIon, admImstratlve
overhead and mspectlOn, and a 10% contmgency Caltrans would also provIde an upfront payment of
$100,000 to cover the estimated 20-year cost ofmamtammg the UTIlts The annual cost was developed by
CIty Staff based on the past cost of mamtammg eXIstmg City-owned treatment umts The mamtenance

costs for these uruts would be tracked and funded from the reserves provided by the Caltrans grant
Interest earmngs would be allocated to the designated reserves and could also be used to fund the ongomg
mamtenance
Subsequent to recelvmg the CooperatIve Agreement from Caltrans Dlstnct 4 (San FrancIsco Bay Area) for
approval and executIon by the City, Caltrans Headquarters staff m Sacramento asserted that a number of
formattmg changes to the agreement were necessary, WhICh resulted III substantIal revIsions CIty Staff
and the CIty Attorney have reviewed the revIsed agreement and concur that the substance of the agreement
remams unchanged, wIth the exceptIOn of a clause that reqUIres the CIty to obtam an encroachment permIt
for work wlthm Caltrans nght-of-way for one of the stormwater treatment umts Caltrans DIStnCt 4 staff
have prepared and are ready to approve the permit, therefore, this provIsIOn Will not result In any delay or
burden to the CIty
The treatment umts wIll be Installed under a Change Order to the City'S Dubllll Boulevard/Dougherty
Road Intersection Improvements proJect, which IS currently under construction In conJunctIOn with City
Council's approval of the ongtnal agreement on December 18, 2007, a budget change for the work was
also approved
Staff recommends that the CIty Council approve the revIsed Cooperative Agreement with Caltrans and
authonze the Mayor to execute saId Agreement

(CITY) AND STATE OF CALIFORNIA DEPARTMENT OF TRANSPORTATION (CALl'RANS)
FOR DUBLIN BOULEVARD/DOUGHERTY ROAD STORMWATER TREATMENT
WHEREAS, the State of CahfornIa Department of TransportatIOn (Caltrans) and the CIty of
Dubhn (City) entered Illto DIstnct Agreement No 4-2182 (Cooperative Agreement) on December 18,
2007, under whICh the City WIll agreed to mstall and mallltam the treatment umts and Caltrans agreed to
reImburse the City for these costs m an amount not to exceed $249,060, and
WHEREAS, subsequent mternal review by Caltrans has caused the Issuance of a revised verSIOn
of the agreement, and
WHEREAS, said revIsed Cooperative Agreement has been reviewed by City of Dubhn Staff and
the City Attorney,
NOW, l'HERElFORE, BE IT RJESOL VED that the City CouncIl of the City of Dubhn does
hereby approve the revIsed Cooperative Agreement between Caltrans and the City of Dub 1m
BE IT FURTHER RESOLVED that the Mayor IS authonzed to execute the revised Cooperative
Agreement, attached hereto as ExhIbit "A"
BE IT lFURl'HER RESOLVED that the CIty Clerk of the City of Dubllll IS hereby dIrected to
transmit a certIfied copy of thiS Resolution, together with dupltcate executed copIes of the revised
Cooperative Agreement, to Caltrans for approval and processmg

RECITALS
STATE and CITY, pursuant to Streets and HIghways Code sectIOns 114 and/or 130, are
authonzed to enter mto a Cooperative Agreement for Improvements to the State
Highway System (SHS) wIthm City's JunsdIctlon
2 STATE IS constructmg a realIgnment and wIdenmg proJect on State Route 84 (SR-84)
m Alameda County
3 Pursuant to consultatIOn m complIance with DIVIsIon 7 of the CalIfornIa Water Code,
the San FranCISCO Bay RegIOnal Water QualIty Control Board (RWQCB) adopted a
Water Discharge ReqUIrements and Water QualIty CertIficatIon for the PIgeon Pass
Route 84 RealIgnment ProJect on May to, 2006 (Order No R2-2006-0033), herem after
referred to as "ORDER", which by thiS reference IS mcorporated herem
4 STATE deSires that CITY satISfy the off-SIte post constructIOn stormwater management
reqUIrements set forth m Fmdmgs No 14 of the ORDER, heremafter "FINDING No

7 The terms of this Agreement shall supersede any mconslstent terms of any pnor

2 To perform all necessary mamtenance on the completed PROJECT faclhtles for a
penod of no less than 20 years or for the duratIOn of the servIce lIfe of the mstalled
facIhtles, whichever IS longer
3 To submit an mVOlce to STATE, wlthm thtrty (30) days of execution of thiS
Agreement, m the amount of $249,060, WhICh amount represents STATE's one-time
lump sum payment towards the costs to Implement PROJECT and perform the
mamtenance on the mstalled PROJECT facilities for a penod of no less than 20 years or
the duration of the service hfe of the mstalled faCIlIties, whIchever IS longer m tIme
4 WIthm (30) days of receipt of STATE's total lump payment of $249,060, to submit
wntten venficatlon that CITY has deposIted $100,000 of that said total lump sum mto
an mterest beanng account SaId $100,000 shall be used by CITY to perform the
mamtenance actIvIties on the completed PROJECT faclhtIes CITY further agrees to
depOSIt any of STATE's funds that are not utIhzed to construct PROJECT mto that said
mterest beanng account and utIhze those saId funds for mamtenance actIvIties only
5 CITY shall submit any reports, plans, and other documents regardmg PROJECT or
mamtenance thereof, to STATE STATE Will submit Said reports, plans and other

PROJECT that are reqUIred by RWQCB to satIsfy FINDING No 14
6 To abIde by the terms and conditions of the encroachment permit, attached hereto as
ExhIbIt "C" and made a part of thIS Agreement Said encroachment permIt authonzes
CITY's entry on SHS nght of way to construct a portIOn of PROJECT CITY agrees
to reqUIre CITY's consultants and contractor to make wntten apphcatIOn to STATE for
the necessary encroachment permlt(s)

7 To notify STATE m wntmg five (5) days pnor to the constructIOn start date of

amount of $249,060 whIch represents STATE's total lump sum financIal obhgatlon for
PROJECT and the mamtenance thereafter for a penod of 20 years or the duratIOn of the
servIce hfe of the mstalled faCIlIties, whichever IS greater
3 Upon receIpt of all PROJECT reports, plans, and other documents submitted by CITY,
STATE wIll reView, comment, and forward, If applIcable, to RWQCB
4 Upon proper application by CITY's contractor, to Issue, at no cost to CITY and CITY's
contractor, the necessary encroachment permits for reqUIred work wIthm SHS nght of

5 At no cost to CITY, to proVIde mdependent qualIty assurance (IQA) activIties for work

All oblIgatIons of ST ATE under the terms of this Agreement are subJect to the
appropnatlon of resources by the Legislature, State Budget Act authonty, and the
allocatIOn of funds by the Cahforma TransportatIon CommissIOn (CTC)
2 All apphcable laws, rules and pohcles relatmg to the use of Federal or State funds shall
apply notwlthstandmg other provIsIons of this Agreement
3 CITY shall allow representatIves of STATE and RWQCB access to the locatIOn of the
PROJECT located outsIde of SHS nght of way for the purpose of venficatIOn and
momtonng of performance of PROJECT and mamtenance thereof
4 CITY agrees to ensure that after PROJECT IS constructed, the mstalled faclhtIes will be
mamtamed, operated and managed to all apphcable CITY, STATE, and RWQCB
standards
5 Construction by CITY of those portIOns of PROJECT whIch lIe wlthm the SHS nght of
way shall not commence untIl CITY's contract plans mvolvmg such work, the utIhty
relocatIon plans, and the nght of way certification have been reviewed and accepted by
STATE and encroachment permits have been Issued to CITY and CITY's contractor
6 Upon completIOn of PROJECT construction and acceptance thereof, subJect to the
approval of STATE, CITY WIll operate and mamtam all PROJECT facilItIes usmg the
funds IdentIfied m Article 4, SectIOn I CITY shall mamtam the completed PROJECT
facIhtIes until a Mamtenance Agreement IS executed or an eXlstmg Mamtenance
Agreement, If any, IS amended to mcorporate the mamtenance of the new PROJECT
faclhtIes
7 In the event that PROJECT faclhtIes are affected by a future STATE or CITY project,
the agency responSible for said proJect shall replace the affected portIOn of PROJECT
facIhtIes at no cost to the other party The mamtenance actIVIties of the new faclhtles
WIll be completed by CITY WIth the fundmg descnbed m SectIOn I of Article 4 of thIS
Agreement
8 Nothmg wlthm the provIsIOns of thIS Agreement IS mtended to create duties or
obhgatIons to or nghts m third parties not a party to thIS Agreement or to affect the
legal habllIty of eIther party to the Agreement by Imposmg any standard of care With
respect to the development, deSIgn, constructIon, operation, or mamtenance of the SHS
and publIc facIlities dIfferent from the standard of care Imposed by law
9 NeIther CITY nor any officer or employee thereof IS responSIble for any mJury, damage
or hablhty occumng by reason of anythmg done or omitted to be done by STATE
under or m connectIOn WIth any work, authonty or JunsdIctIon conferred upon STATE
and ansmg under thIS Agreement It IS understood and agreed that STATE shall fully
defend, mdemmfy and save harmless CITY and all ItS officers and employees from all
claIms, SUItS or actIons of every name, kmd and descnptIon brought forth under,

theones or assertions of habllIty occumng by reason of anythmg done or omItted to be

12 No alteratIon or vanatlon of the terms of thIS Agreement shall be valId unless made by
a formal amendment executed by the partIes hereto and no oral understanding or
agreement not mcorporated herem shall be bmdmg on any of the parties hereto

urban area as m-lieu mmgatIOn for the State HIghway 84 PIgeon Pass project between LIvermore and
1-680 Staff has revIewed potentJal mItlgatIOn SItes wIthm the CIty of Dublm and has proposed treatment
of the DublIn Boulevard/Dougherty Road mtersectIOn, which IS bemg vlldened and Improved under
CapItal Improvement Program ProJect No 96852 The treatment area IS slIghtly more than 12 acres, and
conSIsts of two artenal streets servmg over 60,000 velucles dally, as well as several heaVIly-used
commercIal parkmg lots Caltrans revIewed thIS proposal and subrmtted It to the RegIonal Board for
reVIew The RegIOnal Board approved the SIte as mItIgatIOn by letter to Caltrans on August 23, 2007
The water qualIty Improvements WIll consist of the mstallatlon of two underground hydrodynamIC
separator stormwater treatment unIts, located on Dublm Boulevard Just east of Dublm Court and on
Dougherty Road Just north of 1-580 These umts use centnfugal force to separate and screen pollutants
(mcludmg trash and other floatable matenal, sedrment and partIculate matter, and 011 and grease) and trap
the pollutants wIthm the unIt There are no mechamcal or movmg parts WithIn the UnIts 011 and grease
removal IS enhanced by addmg a granular or bagged sorbent matenal through the manhole m the roof of
the urut Mamtenance conSIsts of removmg the manhole once or twIce a year and purnpmg out the sump
at the base of the urnt where pollutants are trapped, the removed matenalIs transported to a wastewater
treatment plant for dIsposal Mamtenance can be performed from the surface, and confmed-space entry by
workers IS not needed The CIty currently has four sIrmlar umts m use at other locatIons and has not
expenenced any problems WIth mamtenance
Under the terms of the Cooperatlve Agreement, Caltrans wIll pay for the lI1ltIal cost of mstallatIOn, up to
$149,060 for constructIon, adrmmstratIve overhead and mspectlon, and mcludes a 10% contmgency
Caltrans WIll also prOVIde an upfront payment of $100,000 to cover the estImated 20-year cost of
mamtaImng the unItS The annual cost was developed by Staff based on the past cost of mamtammg
eXIstmg CIty-owned treatment unIts The mamtenance costs for these umts WIll be tracked and funded
from the reserves prOVided by the Caltrans Grant Interest eammgs WIll be allocated to the deSIgnated
reserves and can also be used to fund the ongomg mamtenance
The treatment umts WIll be mstalled under a Change Order to the CIty'S Dublm Boulevard/Dougherty
Road mtersectIOn rmprovement proJect, whIch IS currently under constructIOn A budget change IS needed
to establish the project budget and recogmze the revenue
PartiCipatIOn m Caltrans' m-lIeu program IS voluntary on the part of the CIty However, the CIty IS
currently reqUIred, per Its coverage under the 2003 MunICIpal Stormwater Penmt Issued to the Alameda
County Clean Water Program, to mItIgate water quality Impacts from urban storm runoffto the maxrmum
eAtent practIcal, the Dublm Boulevard/Dougherty Road stormwater treatment project Will demonstrate
good faIth effort by the CIty m achIevmg those goals Further, the RegIOnal Board WIll Issue a new
stormwater pernut m 2008, the new pemt IS expected to mclude more speCIfic measures, such as
numencal lImIts on dIscharge of certam pollutants, ImplementatIOn of trash reductIOn measures, and a
reqUIrement that a mImmurn portIOn of an agency's commercIal areas receIve structural stormwater
treatment The two treatment unIts Will aSSIst the CIty m meetmg these new permIt requrrements

of thIS Agreement or completion, whIchever IS earlIer STATE, or any duly authorlZed
representatlve of the Federal govemment shall have access to all books, records and
documents of CITY relating to the lmplementabon of PROJECT for audIts,
exammabons, excerpts, and transacbons, and copIes thereof shall be furmshed 1f

1 To prOVIde CITY WIth a copy of PERMIT and LEITER and to subsequently notify and
prOVIde caples of all subsequent amendments thereto, or correspondence If any

to review comment and, forward to RWQCB WIthm thIrty (30) days

IT IS MUTUALLY AGREED
1 STATE's contractual oblIgatIons are subject to the annual State Budget Act authOrIty,
the appropnatlon of adequate resources by the legIslature, and the allocauon of
reqUired funds by the Call10mla Transportatlon CommiSSIOn
2 All applIcable laws, rules and polICies relatmg to the use of Federal or State funds
snall apply notwIthstandmg other proVlslons of thiS Agreement
3 CITY shall allow representatlves of STATE and RWQCB access to the locatlon of the
PROJECT for the purpose of venficatlon and momtorIng of performance of PROJECT
a. CTTY agrees to ensure that the PROJECT IS mamtamed operated and managed to all
applIcable CITY and RWQCB standards after completlOn of said PROJECT
5 Neither CITY nor any officer or employee thereof IS responsible for any mJury damage
or lIabilIty occumng by reason of anythmg done or omitted to be done by STATE

FranCISCO Bay ReglOnal Water QualIty Board mtends to apply 12 16 acres of ImpervIOUS area
stormwater rreatment credit towards tne treatment reqUIrements of the PIgeon Pass PrOject
The oroject will Install two (2) CDS Technologies Hydrodynamic Stormwater Separator
Units In the VICInity of the Dublin Boulevard/ Dougnerty Road intersection The first Unit Will
be a Model PMSU20 25 Unit located In the Caltrans Park and Ride Lot on the east Side
of Dougherty Road between Dublin Boulevard and the I 580 westbound offramps The
Unit Will be retrofitted onto an eXisting 48 storm dram pipe drainIng a tributary area of
8 89 acres With a deSign 15-year flow of 10 cfs The unrt Will be deSigned to treat a flow
rate of 1 51 cfs based on a rainfall mtenslty of 0 2"/hour The second unrt Will be a Model
PMSU20-15 Unit located on the south Side of Dublin Boulevard between Dublin Court
