A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN

APPROVING AMENDMENT NO.2 TO THE CONSULTING SERVICES AGREEMENT
WITH THE ZAHN GROUP, INC., FOR THE BUILDING MANAGEMENT STUDY
WHEREAS, the City operates and maintains several civic buildings and intends to construct
additional building facilities in the future; and
WHEREAS, the City Council approved a Capital Improvement Project for Fiscal Year 2006-2007
to perform a Building Management Study to assess the current and future maintenance and repair needs
for City facilities; and
WHEREAS, on October 3, 2006, the City entered into a Consulting Services Agreement with The
Zahn Group, Inc., to perform the Building Management Study; and
WHEREAS, the City extended the term of the Consulting Services Agreement with The Zahn
Group, Inc., to December 31,2007;
WHEREAS, the City wishes to extend the term of the Consulting Services Agreement further
with the Zahn Group, Inc., to enable the completion of the Building Management Study to June 30, 2008.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does
hereby approve Amendment No.2 to the Agreement with The Zahn Group, Inc., for consulting services
related to performance of the Building Management Study.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute the Amendment,
attached hereto as Exhibit "A."
PASSED, APPROVED AND ADOPTED this 19th day of February, 2008.

AMENDMENT NO.2 TO AGREEMENT
BETWEEN CITY OF DUBLIN AND THE ZAHN GROUP, INC.,
FOR CONSULTING SERVICES TO PERFORM THE
BUILDING MANAGEMENT STUDY
WHEREAS, the City of Dublin (hereinafter referred to as "CITY") and The Zahn Group,
Inc. (hereinafter referred to as "CONSULTANT"), entered into an agreement on October 3, 2007, to
provide consulting services to CITY for the Building Management Study (Project); and
WHEREAS, the agreement was amended on October 2, 2007, to extend the term of the
agreement to December 31, 2007; and
WHEREAS, establishing the baseline condition for the buildings, assessing building
condition against that standard and preparation of all of the financial information has taken more time than
was originally anticipated; and
WHEREAS, an amendment to the amended term of the Agreement is in order to complete
the final report for the City of Dublin's Project;
NOW, THEREFORE, the parties hereto agree as follows:
Extension of Term of A1!reement
The term of the Agreement shall be extended from December 31, 2007 to June 30, 2008.
