HomeMy WebLinkAboutReso 03-10 Arroyo Vista DDARESOLUTION NO. 3 -10 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN *********** APPROVING THE FIRST AMENDMENT TO THE DISPOSITION AND DEVELOPMENT AGREEMENT FOR THE ARROYO VISTA REDEVELOPMENT PROJECT WITH THE HOUSING AUTHORITY OF THE CITY OF DUBLIN, THE HOUSING AUTHORITY OF THE COUNTY OF ALAMEDA, EDEN HOUSING INC., AND CITATION HOMES CENTRAL WHEREAS, the Housing Authority of the City of Dublin (the "Authority") owns Arroyo Vista, a public housing development located in the City of Dublin (the "City") at 6700 Dougherty Road (the "Property"); and WHEREAS, the Property is currently developed with 150 public housing units and a children's day care center, all in need of substantial rehabilitation; and WHEREAS, on July 25, 2006, the Authority determined that rehabilitation was economically infeasible and decided to seek redevelopment of the Property; and WHEREAS, the City is a party to that certain Disposition and Development Agreement, dated July 25, 2007, by and among the Authority, the Housing Authority of the County of Alameda ("RAGA"), Eden Housing, Inc., a California nonprofit public benefit corporation ("Eden"), and SCS Development Company, a California corporation, dba Citation Homes Central ("Citation") to facilitate the redevelopment of the Property; and WHEREAS, pursuant to the DDA, Citation and Eden (collectively, the "Developer"} propose to redevelop the Property as amixed-income development of approximately 405 units, consisting of affordable multi-family and senior rental units, affordable and market rate for-sale units, open space, a community center and a childcare facility (the "Project"); and WHEREAS, On May 22, 2009, the U.S. Department of Housing and Urban Development ("HUD") approved the Authority's disposition application for the Property, and imposed certain conditions on the use of net sales proceeds resulting from such disposition and the affordability restrictions to be imposed on the newly developed housing on the Property. On May 29, 2009, HUD amended its approval letter to correct a technical error. The HUD letters dated May 22, 2009 and May 29, 2009 are referred to collectively, hereinafter, as the "HUD Approval Letter".; and WHEREAS, The Parties desire to amend the DDA in order to incorporate the conditions included in the HUD Approval Letter. NOW, THEREFORE, BE IT RESOLVED THAT THE City Council hereby approves the First Amendment to the DDA and authorizes the City Manager to execute and deliver the First Amendment to the DDA attached as Exhibit A. Page 1 of 2 PASSED, APPROVED AND ADOPTED this 19th day of January 2010, by the following vote: AYES: Councilmembers Biddle, Hart, Hildenbrand, Scholz, and Mayor Sbranti NOES: None ABSENT: None ABSTAIN: None ~~J V,~-~-_ ' Mayor ATTEST: ~P City Clerk Reso No. 3-10, Adopted 1-19-10, Item 4.11 Page 2 of 2 ~~ ~~ FIltST AMIIVDMENT TO DISPOSiITOV AND DEVELOPMENT AGREEMENT (Arraryu Vista} This First Amendtneat to Disposition and Devclopntent Agreement (the "Amendment") is catered into as of the _ day' of January, 2010, by and among the Dublin Housing Authority, a public body corporate and politic {the "Authority"}, the City of Dublin., a mouicipal corporation {the "City"), the Housing Authority of the County of Alameda, a public body, corporate and politic {"'RAGA"), Eden Housing, Inc., a California nonprofit public benefit corporation ('~dea'~ and SCS Developrnem Company, dba Citation Homes Central ("Citation"} {Eder1 and CrtatrOD, Collectively, the "Developer", and the Authority, the crty HACA, Eden and Citation, colkcti`rely, the "Parties"), with reference to the fallowing facts: RECITALS A This Amendment amends the Disposition and Development Agreement by and among the Parties dated as of July 25, 2007 {the "DDA"). B. C}n May 22, 2009, the U.S. Department of Housing and Urban Development {'TiU1?") approved the Authority's disposition application for the Property, and imposed certain conditions on the use of net Saks proceeds resulting from such disposition and the affordability restrictions to be ioaposed on the newly developed housing on the Property_ On Mali 29, 2049, HUD amended its approval letter to correct a technical error. AGR'T NOS: T7FIEREFORE, inconsideration of the recitals hereof and fare other good and ~ahrable consid~ratiaa, the receipt and adequacy of which is hereby acknowledged, the Parties hereby agree as folloufs: 1_ Affordability Restrictions_ Section 2.5 of the DDA is am~mded to add the folbDRtirig prrnnsion alter the fast paragraph: At least 32 units rn the Affordable Family Rental Housing shall be used exclusivel}~ as project~ased Section 8 amts and marketed to. reserved for, and occupied solely by eligible residents under the Section 8 program for a period of not less than twenty (20}years. The City Loan will be funded following satisfaction of the conditions agreed upon by the City and Eden as set forth in a Loan Agreement to be executed by the City and Eden. The City's financial contribution to the Dcv~elopmeut is limited to the City Loan and City Relocation Funds, as such latter term is defined in Section 3.3{b). {d} Authority Financing_ Pro~~uled that all co~nditiorJS to conveyance of the Property ha~~e been satisfied, the Authority agrees to provide financial assistance to Eden in an amount up to Eleven Million Dollars {~ 11,004,t700}(the "Authority Financing"} to assist in the de4elopmeat and construction of the Affordable Family Rental Housing and ~ Affordable Senior Rental Hawing, as pro~~ided more specifically in Section 2.8{a) of the DDA, as amended herein. T'he loans andior grants anU be strvchtted in such manner as the parties determine uriU maximix~e the feasibility of tlu transaction, and wfi~ere relevant, its tax credit cligibility_ Eden and the Authority shall execute such loan ancL•'or grant agreements, notes, deeds of trust, Security amts and other documentation as maybe necessary to efSertuate the Authority Financing. Any portion of the Authority Financing in the form of a loan will be eaidenced by a nonrocourse promissory note, requiring pavmeat on a residual receipts basis on such terms as the Authority and Eden shall mutually agree upan_ The Authority Financing, whether in the form of a loan m grant, shall be sec~aed by a deed of trust recorded against the affiected parcels} and subordinated fin Eden's rectal housing camstructien and peinianent loans far affected panxl{s}. The Authority shall be responsible far carrying out the relocation ofresidenis from the Existing Housing in a manner consistent with the HL7I3 Approval Letttr, including, in particular, the following_ { 1 } The Authority andr'or HACA should pzo~-ide a list of participating landlords {refeaal list to residents to be displaced, which should inchule a broad range of housing choices within flit ~ of Dublin as well. as including listings in nomrarially ar - ethnically im~pact~ed census. tractsrneighbahaods~lsewhere in Alameda County_ {2} The Authority and;'or HACA should ensure the referral list contains other properties within the city of Dublin, to enable residents who wish to coantiaue residency in the city to fend suitable housing there_ If the referral list will not contain enough listings in the cite 3 i~~~.~sria3.~ Attachment A -Page 4 7~ .s of Dublin to meet the demand, then the Authority should conduct the necessary affumatit~e marketing to pmmott participation and increast in Dublin listings. {3} The Authority andlor HACA should retitiev~~ and adopt necessary procedures to comply with Section 504 regulations, particularly 24 GFR 8.2~, 8.28 and 8.33, ro proti~ide for special needs of displaced tenants whose households include persons with disabilities, ihchxling but not limited to reasonable acconunodations_ a~ other foams of assistance and counseling to ensure they are able to f nd suitable, accessible housing meeting their fao¢ily's special needs. (4} The Authority and~'or HACA should monitor the success of voucher- holdess, taking reasonable and necessary actions to promote success of displaced tenants issued ~roucluxs., to ensure that they are actually able to find suitable replacement housing using their Section $ ~~ouchers. {~} Ibe Authority and.'ar HACA should specifically brief tenants to be displaced on their rights to fair housing, and infomn~ them that if they should encounter situations which they believe maybe violations of fair housing laws, that they should immediately bring these to the attention of the Authority andr'ar HACA, andlor HUD's Office of Fair Housing and Equal Oppornmity, as appzopriate. 5_ Sunnial.
