EXECUTIVE SUMMARY:
Tract 7982 Final Map subdivides the area bounded by Grafton Street, Gleason Drive, Lockhart
Street and Central Parkway into ten parcels and dedicates easements and streets for public
use. The Owner, SR Structured Lot Options I LLC, a Delaware limited liability company, is not a
developer and intends to have the required subdivision improvements constructed by the
buyer/developers of each Parcel. SR Structured Lot Options I LLC has executed and filed with
the City a Covenant and Deed Restriction applicable to the Parcels created by the Tract 7982
Final Map, which will be recorded against the property, in lieu of bonding for the improvements.

FINANCIAL IMPACT:
The developers of each Parcel will provide security to guarantee construction of the public
improvements and will pay the cost of construction inspection. Once these improvements are
accepted, the City will incur maintenance costs for the public improvements within use
Capoterra Way, Giovanni Way, Lee Thompson Street, and Palermo Way. The Homeowners
Association will be responsible for maintaining the project frontage landscape features within the
public right-of-way.
RECOMMENDATION:
Staff recommends that the City Council Adopt the Resolution Approving Tract 7892 Final Map
and the Resolution Approving the Agreement for Long Term Encroachment for Landscape
Features with Tr. - 7982.

DESCRIPTION:
The Planning Commission adopted Resolution 10-09 on March 9, 2010 approving Vesting
Tentative Maps and Site Development Review for Sorrento East bounded by Grafton Street,
Gleason Drive, Lockhart Street and Central Parkway. Tract 7982 Final Map subdivides the
property into ten parcels and dedicates for public use Capoterra Way, Giovanni Way, Lee
Thompson Street, and Palermo Way, Public Service Easement (PSE), Storm Drain Easement
(SDE) and Public Pedestrian Access Easement (PPAE). Seven of the parcels are for the future
residential development of the Sorrento East project. Two of the parcels are reserved for
private recreational uses and one parcel is reserved for a public park to be deeded to the City
under separate document. The configuration of the parcels is shown on Attachment 1.
The Owner, SR Structured Lot Options I LLC, a Delaware limited liability company, is not a
developer and intends to have the required subdivision improvements constructed by the
buyer/developers of each parcel. In lieu of a Tract Improvement Agreement with a PerFormance
Bond and a Labor and Materials Bond to guarantee construction of the improvements for the
Tract 7982 subdivision, SR Structured Lot Options I LLC, has executed and filed with the City a
Covenant and Deed Restriction applicable to the Parcels created by the Tract 7982 Final Map.
The Covenant and Deed Restriction requires that certain subdivision improvements be
completed prior to the further subdivision of each parcel in accordance with the Conditions of
Approval for the Tentative Map and approved plans for Tract 7982. Thus the buyer/developers
for each parcel will include certain improvements required by the Conditions of Approval for
Tract 7892 with their Tract Improvement Agreement for further subdividing their parcel into
buildable lots.
The Covenant and Deed Restriction is a form of security that is acceptable to the City within the
meaning of subdivision (a)(5) of Gouernment Code section 66499 and permissible under Dublin
Municipal Code section 9.16.080. When the developer of each parcel executes a Tract
Improvement Agreement with PerFormance Bond and a Labor and Materials Bond to guarantee
construction of the improvements for the Tract 7982 subdivision required in the Covenant and
Deed Restriction for that parcel, the City will release the parcel from the encumbrance of the
Covenant and Deed Restriction by recording a document evidencing such release. A similar
form of security utilizing a deed restriction was approved by the City Council for Parcel Map
9827, Fallon Gateway, and was approved by the Planning Commission for Tentative Parcel Map
9313 on the Anderson property.
The Agreement for Long Term Encroachment for Landscape Features with Tract 7982 provides
for the Homeowners Association to maintain project-related landscape features within the public
rights-of-way, including decorative pavements and entrance median landscaping.
Tract 7982 Final Map has been reviewed and found to be in conformance with the Tentative
Map and Conditions of Approval adopted by Planning Commission Resolution No. 10-09 on
March 9, 2010.

NOTICING REQUIREMENTS/PUBLIC OUTREACH:
Public noticing occurred as part of the Tentative Map process. Approval of the Final Map is
affirmation of the Final Map's concurrence with the approved Tentative Map. Copy of Staff
Report to be sent to Pat Costanzo on behalf of SR Structured Lot Options I LLC.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN

APPROVING TRACT 7982 FINAL MAP
WHEREAS, Tract 7982 final map, in the incorporated territory of the City of Dublin, State of
California, has been presented to this City Council for approval, all in accordance with provisions of the
Subdivision Map Act of the State of California and the City of Dublin Municipal Code; and
WHEREAS, the Owner, SR Structured Lot Options I LLC, a Delaware limited liability company,
has executed a Covenant and Deed Restriction applicable to the Parcels created by the Tract 7982 final
map. The said Covenant and Deed Restriction requires that certain subdivision improvements be
completed prior to the further subdivision of each Parcel in accordance with the Conditions of Approval
for the Tentative Map and approved plans for Tract 7982; and
WHEREAS, the Developer has filed with the City of Dublin said Covenant and Deed Restriction,
which will be recorded concurrently with the Tract 7982 final map. The Covenant and Deed Restriction is
a form of security that is acceptable to the City within the meaning of subdivision (a)(5) of Government
Code section 66499 and permissible under Dublin Municipal Code section 9.16.080;
NOW, THEREFORE, BE IT RESOLVED that said Covenant and Deed Restrictiori, attached as
Exhibit "A," are hereby accepted as security far the improvements required by the Conditions of Approval
for the Tentative Map.
BE IT FURTHER RESOLVED that Tract 7982 final map is hereby approved, and that rights to
the areas marked as Capoterra Way, Giovanni Way, Lee Thompson Street, and Palermo Way, Public
Service Easement (PSE), Storm Drain Easement (SDE) and Public Pedestrian Access Easement (PPAE)
offered for dedication to public use in conformity with the terms of dedication be, and they are hereby
accepted, subject to improvement; and that the Clerk of this City Council is hereby directed to transmit
said Map to the County Recorder for filing.

This Covenant and Deed Restriction is made and executed on this day of , 2011, by
SR Structured Lot Options I, a Delaware limited liability company ("Owner").
The undersigned hereby certifies that it is the owner of fee title to the real property delineated as Parcels
2, 3 and 4 of Tract 7651 as filed in Book 303 of Maps at Pages 77-81, Alameda County Records, City of
Dublin ("City"), County of Alameda, State of California. Tract Map 7982, recorded in the Official
Records of Alameda County on , as Document No.

(the "Tract Map") caused the Property to be subdivided into ten parcels, designated as Parcels 1, 2, 3, 4,
5, 6, 7, 8, 9 and 10, as indicated on the Tract Map (each a"Parcel" and collectively the "Parcels"), and
offered certain portions of the Property to the City for public streets and for other purposes, all as
provided in the Tract Map. The covenants and deed restrictions contained herein are necessary to secure
completion of certain improvements required as conditions of the City of Dublin's approval of Tract
Map 7982.
For valuable consideration, in compliance with the conditions of approval for the Tract Map required by
the City of Dublin ("the City"), the Owner hereby covenants, acknowledges and agrees that the Property
is subject to the following conditions to be imposed by the City:
1. Prior to the subdivision of any of the Parcels an agreement shall be executed by the Owner and
the City in which the Owner irrevocably offers to dedicate Parcel 8 to the City for a
Neighborhood Park and in which the parties agree upon the standards and timing for rough
grading the park, constructing frontage improvements and the City acceptance of the dedication.
2. Prior to subdivision of any of the Parcels the Owner shall enter into an"Agreement for Long
Term Encroachments" with the City for maintaining the landscape features within Public Right
of Way including frontage & median landscaping, decorative pavements and special features and
the pedestrian bridge. The Agreement shall include the landscaping in both frontages of Lockhart
Street (except for the school frontage) and the frontage landscaping along Gleason Drive,
Grafton Street and Central Parkway. The Agreement shall identify the ownership of the special
features and maintenance responsibilities. The Homeowners Association will be responsible for
maintaining the surface of all decorative pavements in the public streets including restoration
required as the result of utility repairs.
Prior to the City's acceptance of the subdivision improvements of any of the Parcels a
Homeowners Association shall be formed by recordation of a declaration of Covenants,
Conditions, and Restrictions to govern use and maintenance of the landscape features within the
public right of way contained in the Agreement for Long Term Encroachments and the
Streambed Corridor. The landscaping in the medians in Lockhart Street, Central Parkway and :_.

Gleason Drives are to be maintained by the City of Dublin and not by the Homeowners
Association. Said declaration shall set forth the Association name, bylaws, rules and regulations.
The CC&Rs shall also contain a provision that prohibits the amendment of the provisions of the
CC&Rs requested by City without the City's approval. The CC&Rs shall ensure that there is
adequate provision for the maintenance, in good repair and on a regular basis, the lanclscaping &
irrigation, decorative pavements, medians, fences, walls, drainage, lighting, signs and other
related improvements. The Owner shall submit a copy of the CC&R document to the City for
review and approval relative to this condition prior to the subdivision of any Parcel. Owner shall
ensure that any purchaser of any of the Parcels is obligated to cooperate in the creation of such
association and to make the subject Parcels subject to the CC&Rs.

Sheets L0.1-L3.4 (17 Sheets), approved by the City on December 10, 2008, "Joint Trench
Composite, Tract 7651, Palermo Way", prepared by RGA, Sheets JT-1-JT-3 (3 Sheets),
approved by the City on October 31, 2008, and "Electrolier Site Title, Tract 7651, Palermo
Way", prepared by RGA, Sheets SL-1-SL-2 (2 Sheets), approved by the City on October 31,
2008, with work including Palermo Street asphalt paving and all landscape plantings and
irrigation within the public right of way and landscape easements in the entrance median, along
the south side of Palermo and along the west side of Lockhart Also, the 12-foot wide concrete
pathway along the southern frontage of Gleason Drive between Fallon Road and Lockhart Street
will be required to be constructed.
Subdivision of either Parcel 1, Parcel 2 or Parcel 3 will require constructing street improvements
for Palermo Way between Grafton Street and the existing improvements constructed with Tract
7651. The improvements to include the six-foot wide permanent sidewalk along the park
frontage. The remaining sidewalks along the Palermo Way frontages will be included with the
improvements for the adjacent tracts.
6. Subdivision of Parcel 3 will require constructing street improvements for Lee Thompson Street
between Palermo Way and the northern parcel line of Parcel 7. The improvements to include
the six-foot wide permanent sidewalk along the park frontage on the portion of Lee Thompson
Street being constructed. The remaining sidewalks along the Lee Thompson Street frontages will
be included with the improvements for the adjacent tracts. {
7. Subdivision of Parcel9 will require constructing street improvements far Lee Thompson Street
between Palermo Way and Capoterra Way. The improvements to include the six-foot wide
permanent sidewalk along the park frontage on the portion of Lee Thompson Street being ,

will be included with the improvements for the adjacent tracts.
8. Subdivision of either Parcel 5 or 6 will require constructing street improvements for Lee

landscape improvements on Parcel 10 and 7 for the pedestrian bridge eastern approach.
13. Subdivision of either Parcel3 or 9 will require constructing the walkway on the east side of
Grafton Street between Palermo Way and Capoterra Way along with the street trees in the
planter strip. The remainder of the landscaping will be included with the improvements for the
adjacent tracts.
14. Subdivision of Parcel6 will require constructing the walkway on the east side of Grafton Street
between Capoterra Way and Central Parkway along with the street trees in the planter strip. The
remainder of the landscaping will be included with the improvements for the adjacent tracts.
15. Subdivision of Parcel 4 will require constructing the walkway on the east side of Grafton Street
between Giovanni Way and Central Parkway along with the street trees in the planter strip. The
remainder of the landscaping will be included with the improvements for the adjacent tracts.
16. Subdivision of Parcel2 will require landscaping the Lockhart Street median between Gleason
Drive and Palmero Way.
17. Subdivision of Parcel 5 will require removing the left turn pocket and completing the median
across the former Capoterra Way intersection including the frontage curb & gutter.
18. Subdivision of Parcel 5 will require landscaping the Lockhart Street median between Palermo
Way and Central Parkway.
19. Subdivision of Parcel 2 will require the 12-foot wide concrete pathway along the eastern frontage
of Lockhart Street between Gleason Drive and the Park entrance, and the frontage landscaping
along the southern frontage of Gleason Drive between Fallon Road and Lockhart Street and
along the eastern frontage of Lockhart Street between Gleason Drive and the Park entrance.

20. Subdivision of Parcel5 will require constructing the 12-foot wide concrete pathway and the
frontage landscaping along the eastern frontage of Lockhart Stre.et between the Park entrance and
Central Parkway.
Street improvements, as required under the deed restrictions, shall include grading, pavement, curb and
gutter, storm drain, water, sewer, joint trench, streetlights, and any appurtenant facilities deemed
necessary by the City Engineer all in accordance.with the Improvement Plans for Tract 7982, Sorrento
East prepared by MacKay & Somps and approved by the City Engineer, and the Improvement Plans for
the Recreation Center & Pedestrian Corridor (Parcels 7 and 10 of Tract 7982) prepared by MacKay &
Somps dated January 2011. The Landscaping Improvements, as required under the deed restrictions,
shall include irrigation improvements all in accardance with the Tract 7982, Sorrento East Backbone
Streets Landscape Plans prepared by R3 Studios (dated February 2011, with the Irrigation Sheets to be
added) and the Recreation Center & Pedestrian Corridor (Parcels 7 and 10 of Tract 7982) Landscape
Plans prepared by R3 Studios dated January 2011.
The purpose of this Deed Restriction is to provide notice and disclosure to subsequent purchasers or
transferees of limitations associated with the Property.
This covenant shall run with the land and shall be binding upon ourselves, our tenants and any future
owners and tenants, their successors, heirs or assigns and shall continue in effect unless otherwise
released by the authority of the City in writing, which may be done in whole or in part as to one or more
Parcels. ~
Owner agrees that, notwithstanding anything to the contrary in Government Code section 66458 and in
any City ordinances or policies, the City may withhold approval of final maps and other city approvals if
the improvements specified above have not been completed or secured at the time specified above.
With the subdivision of any of the Parcels the City and the Owner shall enter into a Tract Improvements
Agreement for that Parcel that provides for the completion of the improvements specified for that
particular Parcel along with any other improvements that may required by the tentative map for the
Parcel. Not withstanding the first sentence of this paragraph, upon the effectiveness of the Tract
Improvement Agreement and accompanying security, the City shall release such Parcel from the
encumbrance of this Covenant and Deed Restriction by recording a document evidencing such release.

WHEREAS, a Vesting Tentative Map for Tract 7982 and Site Development Review for.Sorrento
East was approved by Planning Commission Resolution 10-09 on Mareh 9th, 2010, with Conditions of
Approval; and
WHEREAS, said Conditions of Approval required the Owner, SR Structured Lot Options I LLC,
a Delaware limited liability company, to construct project-related landscape features within the public
rights-of-ways; and
WHEREAS, said Conditions of Approval required the Owner to enter into an"Agreement for
Long-Term Encroachment" for the maintenance of the landscape features; and
WHEREAS, the Developer has executed and filed with the City of Dublin an Agreement far Long
Term Encroachment for Landscape Features with Tract 7982 attached hereto as Exhibit "A," which will
be recorded against the property concurrently with the Tract 7982 final map;
NOW, THEREFORE, BE IT RESOLVED that said Agreement is hereby approved.
BE IT FURTHER RESOLVED that the City Manager is hereby authorized by the City Council
to execute the Agreement.
BE IT FURTHER RESOLVED that the Clerk of this City Council is hereby directed to transmit
said Agreement to the County Recorder for filing. ~

THIS AGREEMENT FOR LONG TERM ENCROACHMENT FOR LANDSCAPE FEATURES
WITH TRACT 7982 ("Agreement") is made between the City of Dublin ("City") and SR
Structured Lot Options I LLC, a Delaware limited liability company ("Owner").
1. Pro e : The subject property is delineated as Parcels 2, 3 and 4 of Tract 7651 as
' filed in Book 303 of Maps at Pages 77-81, Alameda County Records, City of
Dublin, County of Alameda, State of California, subsequently further subdivided as
Parcels 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 of Tract Map 7982, recorded in the Official
Records of Alameda County on , as Document No.
2. Owner: SR Structured Lot Options I LLC, a Delaware limited liability company, is
the developer of Tract 7982 (the "Sorrento East Project").
3. Landscape Features: Owner, as part of developing its Sorrento East Project, will
be constructing project related landscape features within the City's rights of ways on
Palermo Way, Lee Thompson Street, Capoterra Way, Grafton Street, Lockhart
Street, Gleason Drive and Central Parkway (collectively, the "Landscape
Features"). The specific location and description of these project related Landscape
Features are shown on Exhibit A attached hereto and incorporated herein by
reference. Construction details far these Landscape Features are shown on the Tract
7982, Sorrento East Backbone Streets, Landscape Plans prepared by R3 Studios and
approved by the City.
4. Encroachment Permit: Owner shall apply to the City for an encroachment permit
for work to be performed pursuant to this Agreement. The City must grant the
encroachment permit for all work to install, operate and maintain the Landscape
Features and all the conditions imposed by the City must be consistent with the
provisions of this Agreement. If there is a conflict between any provisions of this
Agreement and the encroachment permit, the provisions of this Agreement shall
prevail over the conditions of the encroachment permit.
5. Ownershiu: Owner shall own all special Landscape Features, including but not
limited to statues, arches, monuments, etc., as provided in Exhibit A.
6. Operations and Maintenance: Owner shall maintain and repair all the Landscape
Features in a safe manner consistent with the approved plans_to the reasonable

satisfaction of the City at Owner's sole cost and expense, including electric power and
water cost. Owner will maintain the landscape plantings, irrigation, Landscape
Features structures and decorative pavement within the public right of way. The
frontage landscaping will be maintained by the homeowners' association to be formed
by Owner for the Sorrento East Project ("Homeowners' Association"). The sidewalks
surrounding the Sorrento East Project within public right-of-way will be maintained
by the sub-homeowners' association to be formed for the applicable parcel. The
medians in Gleason Drive, Central Parkway and Lockhart Street will be maintained by
the City at City's sole cost. Owner will be responsible at its sole cost to replace or
repair any Landscape Feature, including decorative pavement, damaged or removed
during the maintenance or repair of sewer, water, drainage or utility improvements by
the City, Dublin San Ramon Service District or utility company, unless such damage
or removal is caused by the negligence, gross negligence or willful misconduct of the
City, Dublin San Ramon Service District or utility company. The City will maintain at
its sole cost all asphalt concrete pavement concrete curb and gutter, drainage
improvements, traffic signs and striping, and streetlights.
7. Removal or Relocation: If future improvements proposed by the City conflict with
any of the Landscape Features, the City may reasonably remove or reasonably
relocate the conflicting Landscape Features at its sole cost. If any of the Landscape
Features are relocated, the City and Owner will execute a modification to this
Agreement to reflect the maintenance and operations of the relocated Landscape
Feature at its new location. Provided, however, that the City is under no obligation
to relocate any of the Landscape Features.
8. Insurance: Owner shall obtain and maintain in effect a combined single limit
policy of liability insurance not less than one million dollars covering the Landscape
Features and shall name the City as an additional named insured.
9. Indemnification: Owner shall indemnify, defend and hold the City harmless from
and against any and all loss, claims, liability damage or expense or cost the City may
incur or become liable for or for which a claim is made by a third party, due to or
arising out of Owner's construction, maintenance or operations of the Landscape
Features unless caused by the negligence, gross negligence or willful misconduct of
the City, its agents, contractors or employees.
10. Permanent: The rights and obligations as set forth in this Agreement shall exist in
perpetuity and are appurtenant to the Sorrento East Project.
li. Right to Assign: Owner may assign any or all rights, interests and obligations of
Owner arising under this Agreement to the Homeowners' Association; provided,
however, that no such assignment of Owner's rights interests and obligations under
this Agreement shall occur without prior written notice to the City and approval by
the City Manager, which approval shall not be unreasonably withheld, conditioned
or delayed.
12. Successors and Assi~ns: Each reference to the "City" in this Agreement shall be
deemed to refer to and include the City and all successors and assigns of City. All
references to "Owner" in this Agreement shall be deemed to refer to and include

Owner, the Homeowners' Association, and all successors and assigns of Owner, but
only with respect to those portions of the Sorrento East Project owned by such .
successors and assigns.
13. Notices. Any notices, requests, demands or other communications required or
permitted to be given under this Agreement shall be in writing and shall be deemed
to have been duly given on the date of delivery if delivered personally to the party to
whom notice is to be given (including messenger or recognized delivery or courier
service) or on the second day after mailing, if mailed to the party to whom notice is to
be given, by first-class mail, postage prepaid, and properly addressed as follows:

15. Partial Invaliditv. If any provision of this Agreement is held by a court of
competent jurisdiction to be invalid or unenforceable, the remainder of the
Agreement shall continue in full forc.e and effect and shall in no way be impaired or
invalidated, and the parties agree to substitute for the invalid or unenforceable
provision a valid and enforceable provision that most closely approximates the intent
and economic effect of the invalid or unenforceable provision.
16. Entire Agreement. This Agreement contains the entire agreement and
understanding of the parties with respect to the subject matter hereof and cannot be
amended or modified except by a written agreement, executed by each of the parties
hereto.
17. Counterparts. This Agreement may be executed in one or more counterparts, each
of which shall, for all purposes, be deemed an original and all such counterparts,
taken together, shall constitute one and the same instrument.
