A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING AN AMENDMENT TO AGREEMENT BETWEEN THE CITY OF DUBLIN
AND ECONOMIC & PLANNING SYSTEMS, INC.
WHEREAS, on March 20, 2012, the City Council approved an agreement with
Economic & Planning Systems, Inc. to develop an Economic Development Strategy and
General Plan Economic Development Element for the City of Dublin; and
WHEREAS, the City wishes to extend the Agreement with Economic & Planning
Systems, Inc. until June 30, 2012.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Dublin approves the Amendment to Agreement between the City of Dublin and
Economic & Planning Systems, Inc attached hereto as Exhibit A.
BE IT FURTHER RESOLVED that the City Manager is authorized to execute the
amendment to the agreement, attached hereto as Exhibit A., including any non-
substantive changes thereto.

FIRST AMENDMENT TO CONSULTING SERVICES AGREEMENT BETWEEN
THE CITY OF DUBLIN AND ECONOMIC & PLANNING SYSTEMS, INC.
THIS FIRST AMENDMENT TO CONSULTING SERVICES AGREEMENT BETWEEN
THE CITY OF DUBLIN AND ECONOMIC & PLANNING SYSTEMS, INC. is hereby entered into this
day of November, 2012 by and between the City of Dublin ("City") and Economic & Planning Systems, Inc.
("Consultant).
• RECITALS
A. City and Consultant entered into that certain Consulting Services Agreement between the
City of Dublin and Economic & Planning Systems, Inc., dated March 20, 2012 ("Agreement") whereby
Consultant agreed to provide certain consulting services pertaining to the preparation of an Economic
Development Strategy and General Plan Economic Development Element, and more completely described
in Exhibit A of the Agreement.
B. Pursuant to Section 1.1, the Agreement will expire on December 31, 2012, notwithstanding
that the work agreed to in the Agreement is not expected to be completed by that time.
C. City and Consultant desire to extend the term of the Agreement to allow for completion of
the work described.
NOW, THEREFORE, CITY AND CONSULTANT hereby agree as follows:
1. Section 1.1 of the Agreement is hereby amended to read in full as follows:
1.1 Term of Services. The term of this Agreement shall begin on the date first noted above
and shall end on June 30, 2013, and Consultant shall complete the work described in Exhibit A
prior to that date, unless the term of the Agreement is otherwise terminated or extended, as
provided for in Section 8. The time provided to Consultant to complete the services required by
this Agreement shall not affect the City's right to terminate the Agreement, as provided for in
Section 8.
IN WITNESS WHEREOF, the parties hereto have cause this Amendment to be executed as of the date
and year first above written.
