FINANCIAL STATEMENT:
The combination of these agreements, in addition to the
Development Agreement for the Dublin Ranch, Phase I project,
provides that Jennifer Lin, The Mission Peak Company, Greenbriar
Land Company and ACSPA will pay the cost of the design for
interchange improvements at the 1-580/Tassajara interchange. The
estimated cost breakdown for each Developer is as follows:

Each Developer will receive a credit against payment of the future Eastem Dublin Traffic Implet
Fees (TIF) in an amount equal to funds advanced for this work. TIF Credit will only be given-
after the cash deposits have been received by the City. The use of this credit is to be defined in the
Development Agreement for each project and used according to the established TIF policy at the
time of development.
Agreements have been signed by Jennifer Lin, The Mission Peak Company, Greenbriar Land
Company and Alameda County Surplus Property Authority (ACSPA).
DESCRIPTION: Improvement of the 1-580/Tassajara Road Interchange is a required
mitigation measure for the Dublin Ranch Phase I and Areas A-E Developments, ACSPA Santa Rita
Developments, Tassajara Meadows 2 and Greenbriar Development. The City Council previously
approved the preparation of a Project Report for the Improvement of the I~580/Tassajara Road
Interchange, and this report is currently nearing completion. Agreements for sharing the cost of the
Project Study Report and the Project Report have already been approved. Design of the interchange
improvements is the next step after the Project Report.
The combiffation of the previously approved Development Agreement with MSSH Dublin Development,
LLC for the Dublin Ranch Phase I project and the agreements with the developers of these projects
(Jennifer Lin, ACSPA, The Mission Peak Company and Greenbriar Land Company) provides for payment
of costs related to the design of the needed 1-580/Tassajara Road interchange improvements.
A separate item on this agenda provides for the City's Agreement with CCS Planning and Engineering for
preparation of the design. The City Council .previously approved an agreement with Eric Corcdoba of
Cordoba Consulting for project management and coordination services related to improvement of several
interchanges, including this interchange project.
Staff recommends that the City Council adopt the resolution approving the Agreements.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING AGREEMENT WITH JENNIFER LIN,
ALAMEDA COUNTY SURPLUS PROPERTY AUTHORITY (ACSPA),
THE MISSION PEAK COMPANY AND GREENBRIAR LAND COMPANY
REGARDING DESIGN FOR 1-580frASSAJARA ROAD INTERCHANGE IMPROVEMENTS
WHEREAS, a part of the mitigation for the Dublin Ranch Phase I, Dublin Ranch Areas A-E
development, Alameda County Surplus Property (ACSPA) Santa Rita Development, Tassajara Meadows
2 and Greenbriar Development requires improvement of the 1-580/Tassajara Road Interchange; and
WHEREAS, the City and Jennifer Lin, ACSPA, The Mission Peak Company and Greenbriar Land
Company have agreed to the Design of improvements related to this interchange; and
WHEREAS, a credit against payment of future Category 1 Eastern Dublin Traffic Impact fees will
be provided to offset each of Jennifer Lin's, ACSPA's, The Mission Peak Company's and Greenbriar
Land Company's payments of costs related to the project;
NOW, THEREFORE, BE IT RESOLVED that the Dublin City Council approves the agreements
with Jennifer Lin, ACSPA, The Mission Peak Company and Greenbriar Land Company regarding Design
of the 1-5 80/Tassaj ara Road Interchange Improvements.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute the agreements.

REGARDING DESIGN FOR !-580/TASSAJARA ROAD INTERCHANGE IMPROVEMENTS
THIS AGREEMENT is entered into this day of
municipal corporation ("City") and Jennifer Lin ("Lin").

Lin owns approximately 1,333 acres of land located within the area generally known as
Eastern Dublin. Some of Lin's property is within the City of Dublin and the remainder of
Lin's property is within the City's sphere of influence.
City has adopted a traffic impact fee (Eastern Dublin Traffic Impact Fee) to pay for road
improvements necessary in Eastern Dublin.
City's Eastern Dublin Specific Plan ("Specific Plan~) designates land uses for Lin's
property. Lin will be required to pay an Eastern Dublin Traffic Impact Fee when Lin
develops her property.
A final design that consists the preparation of construction documents, Improvement
Plans, Specifications, and estimates is required by Caltrans in connection with
improvements to the Tassajara Road interchange.
Lin has agreed to advance funds to City for retention of a consultant to prepare
construction documents as provided in this agreement and City has agreed to provide Lin
a credit against payment of future Eastern Dublin Traffic Impact Fees in an amount equal
to the funds advanced.
AGREEMENT
Now, therefore, City and Lin agree as follows:
1. Consultant
City will retain a consultant to prepare construction documents for the Tassajara/Santa
Rita interchange. City intends to enter into an agreement with a consultant within 30 days
of this agreement.
2. Payment
Lin will pay an initial deposit of $222,000 to City contemporaneous with execution of this
agreement to be used by City to cover City's costs of the construction document
preparation as set forth in paragraph I above. Any funds remaining shall be returned to
Lin following completion of the construction documents. Lin shall deposit additional funds
when requested by the City's Public Works Director but not to exceed an additional
$'! ~7,011, for a total contribution of $669,011.
3. Credit Aoainst TIF
City shall provide a credit to Lin in the amount of Lin's payment for the construction
docuements. The amount of the credit shall not be increased for inflation nor shall
interest accrue on the amount of the credit. The credit may be used in the manner and
subject to the provisions of City's administrative guidelines including any amendments to
such resolution for use of TIF credits.
4. No Oblic~ation to Approve Proiect
This agreement shall not be construed as providing Lin with any assurance that any
application for a land use entitlement will be granted by City for Lin's property.

AND CITY OF DUBLIN
REGARDING DESIGN FOR 1-580/TASSAJARA ROAD INTERCHANGE IMPROVEMENTS
THIS AGREEMENT is entered into this __ day of ,1999, between the City of Dublin, a
municipal corporation ("City") and The Mission Peak Company ("MPC").
RECITALS

MPC owns approximately 19+ acres of land located within the area ge'nerally known as
Eastern Dublin. MPC's property is within the City of Dublin.
City has adopted a traffic impact fee (Eastern Dublin Traffic Impact Fee) to pay for road
improvements necessary in Eastern Dublin.
City's Eastern Dublin Specific Plan ("Specific Plan~) designates land uses for MPC's
property. MPC will be required to pay an Eastern Dublin Traffic impact Fee' when MPC
develops its property.
A final design that consists of the preparation of construction documents, Improvement
Plans, specifications, and estimates is required by Caltrans in connection with
improvements to the Tassajara Road interchange.
MPC has agreed to advance funds to City for retention of a consultant to prepare a
design as provided in this agreement and City has agreed to provide MPC a credit
against payment of future Eastern Dublin Traffic Impact Fees in an amount equal to the
funds advanced.
AGREEMENT
Now, therefore, City and MPC agree as follows:
1. Consultant
City will retain a consultant to prepare con~,truction documents for the Tassajara Rdad
interchange. City intends to enter into an agreement with a consultant within 30 days of
this agreement.
2. Payment
MPC will pay an initial deposit of $2,100 to City contemporaneous with execution of this
agreement to be used by City to cover City's costs of the construction document
preparation as set forth in paragraph 1 above. Any funds remaining shall be returned to
MPC following completion of the construction documents. MPC shall deposit additional
funds when requested by the City's Public Works Director but not to exceed an additional
$4,228, for a total contribution of $6,328.
3. Credit Against TIF
City shall provide a credit to MPC in the amount of MPC's payment for the construction
documents. The amount of the credit shall not be increased for inflation nor shall interest
accrue on the amount of the credit. The credit may be used in the manner and subject to
the provisions of City's administrative guidelines including any amendments to such
resolution for use of TIF credits.
4. No ObliGation to Approve Proiect
This agreement shall not be construed as providing MPC with any assurance that any
application for a land use entitlement will be granted by City for MPC's property.

REGARDING DESIGN FOR 1-580/TASSAJARA ROAD INTERCHANGE IMPROVEMENT
THIS AGREEMENT is entered into this . day of ,1999, between the City of Dublin,
a municipal corporation ("City") and Greenbriar Land Company ("Greenbriar").
RECITALS
Greenbriar is under contract to purchase approximately 53 acres of land located within
the area generally known as Eastern Dublin. Some of Greenbriar's property is within the
City of Dublin and the remainder of Greenbriar's property is within the City's sphere of
influence.
City has adopted a traffic impact fee (Eastern Dublin Traffic Impact Fee) to pay for road
improvements necessary in Eastern Dublin.

Greenbriar will pay an initial deposit of $3,900 to City contemporaneous with execution of
this agreement to be used by City to cover City's costs of the construction document
preparation as set forth in paragraph I above. Any funds remaining shall be returned to
Greenbriar following completion of the construction documents. Greenbriar shall deposit
additional funds when requested by the City's Public Works Director but not to exceed an
additional $7,853, for a total contribution of $11,753.
3. Credit AGainst TIF
City shall provide a credit to Greenbriar in the amount of Greenbriar's payment for the
construction documents. The amount of the credit shall not be increased for inflation nor
shall interest accrue on the amount of the credit. The credit may be used in the manner
and subject to the provisions of City's administrative guidelines including any
amendments to such resolution for use of TIF credits.
4. No Obliqation to Approve Proiect
This agreement shall not be construed as providing Greenbriar with any assurance that
any application for a land use entitlement will be granted by City for Greenbriar's property.

Dear Board Members:
SUBJECT: 1-580 / Tassajara Road Interchange Design Funding
RECOMMENDATION: It is recommended that the BOard, acting as the Alameda
County Surplus Property Authority authorize the President to execute an Agreement
between Alameda County Surplus Property Authority and the City of Dublin regarding
Design for 1-580 / Tassajara Road / Santa Rita Road Interchange.
DISCUSSION / SLIMMARY: As a condition of approval for several of its Emerald
Park projects in the City of Dublin, the Surplus Property Authority is required to pay
its fair share of the costs to design and build the the 1-580 / Tassajara interchange.
On May 25th, 1999, the Board approved an Agreement whereby the Authority agreed
to provide the City with $81,000 as its share to plan the freeway improvements. That
planning work is substantially completed, and Caltrans has approved the Project
Report. The City is now requesting that the Authority fund its fair share of the next
phase design and conslruction documentation work. The Authority will pay $216,977
as its share of the necessary design work. The Authority will earn Traffic Impact Fee
Credits for having made this paym_ent.
FINANCIAL IMPACT: Funds to provide for this cost are available in the Surplus
Property Authority FY 99.00 Budget. This cost eventually will be reimbursed, to the
Authority, by traffic fees paid by development in Eastern Dublin.

additional funds when requested by the City's Public Works Director but not to exceed an
additional $'144,977, for a total contribution of $2'16,977.
