Foss, City Manager �?14 " SUBJECT: Second Amendment to Agreement with Tri- Valley Janitoria Service and Supply Prepared by Nicole Gonzales, Senior Administrative Analyst EXECUTIVE SUMMARY: The amendment to the agreement with Tri - Valley Janitorial Service and Supply would extend the agreement for specific janitorial services until June 30, 2015. FINANCIAL IMPACT: The current annual cost for janitorial services provided by Tri - Valley Janitorial Service and Supply is $134,921.00. This rate will remain in effect for the term of the amended agreement. Sufficient funds are available in the Fiscal Year 2014/15 Operating Budget. RECOMMENDATION: Staff recommends that the City Council adopt a Resolution Approving Second Amendment to Janitorial Services Agreement between the City of Dublin and Tri- Valley Janitorial Service and Supply. �tu'bmitiebl By Public Works Director DESCRIPTION: \ Reviewed By Assistant City Manager The current Agreement with Tri - Valley Janitorial Service and Supply for janitorial services at all City facilities, including a designated area in the Dublin Library, was approved by the City Council on September 6, 2011. On April 16, 2013, the City Council approved an amendment to the agreement revising the scope of services and compensation schedule in response to the removal of the building inspectors' trailers located in eastern Dublin. Tri - Valley Janitorial Service and Supply has performed satisfactory janitorial services during its contract term. They are responsive and work well with City staff to address any concerns that may be presented. Staff expects that they will continue to provide quality janitorial service after an extension of the agreement. Page 1 of 2 ITEM NO. 4.5 If approved by the City Council, the proposed Amendment would be effective as of July 1, 2014 and would extend the term of the agreement through June 30, 2015, at the current scope of services and annual cost of $134,921. XX - 14 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN * * * * * * * * * ** APPROVING SECOND AMENDMENT TO JANITORIAL SERVICES AGREEMENT BETWEEN THE CITY OF DUBLIN AND TRI- VALLEY JANITORIAL SERVICE AND SUPPLY WHEREAS, On September 6, 2011, the City Council approved a three -year Agreement with Tri- Valley Janitorial Service and Supply to perform janitorial services; and WHEREAS, On April 16, 2013, the City Council approved an amendment with Tri - Valley Janitorial Service and Supply to eliminate janitorial services provided to the building inspectors' trailers located in eastern Dublin; and WHEREAS, the City wishes to extend the agreement with Tri - Valley Janitorial Service and Supply until June 30, 2015. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby approve the Second Amendment to Janitorial Services Agreement between the City of Dublin and Tri - Valley Janitorial Service and Supply, attached hereto as "Exhibit A to the Resolution ". BE IT FURTHER RESOLVED that the City Manager is authorized to execute the Second Amendment to the Agreement. PASSED, APPROVED AND ADOPTED this 17th day of June, 2014, by the following vote: AYES- NOES- ABSENT- ABSTAIN- ATTEST- City Clerk City Manager SECOND AMENDMENT TO JANITORIAL SERVICES AGREEMENT BETWEEN THE CITY OF DUBLIN AND TRI- VALLEY JANITORIAL SERVICE AND SUPPLY WHEREAS, on September 6, 2011, the City of Dublin (hereinafter referred to as "CITY ") and Tri- Valley Janitorial Service and Supply (hereinafter referred to as "CONTRACTOR "), entered into that certain Janitorial Services Agreement between the City of Dublin and Contractor (hereinafter referred to as the "Agreement "); and WHEREAS, on April 16, 2013, the City Council approved an amendment with Tri- Valley Janitorial Service and Supply to amend the monthly rate schedule due to cessation of use of the building inspectors' trailers located in eastern Dublin and subsequent elimination of janitorial services for the trailers; and WHEREAS, the existing Agreement has a three -year term, expiring on June 30, 2014; and WHEREAS, CITY and CONTRACTOR wish to amend the Agreement to extend the Agreement until June 30, 2015; NOW, THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, CITY and CONTRACTOR hereby agree to amend the Agreement as follows: Section 1. Section 1.1 of the Agreement is hereby amended to read as follows: 1.1 Term of Services. The term of this Agreement shall begin on October 1, 2011 and shall end on June 30, 2015, and Contractor shall complete the services described in Exhibit A, unless the term of the Agreement is otherwise terminated or extended, as provided for in Section 8. Notwithstanding the foregoing this Agreement may be extended on a month -to -month basis upon the written consent of the Contractor and the City Manager, provided that: a) sufficient funds have been appropriated for such purpose, and b) the price charged by the Consultant for the provision of the services described in Exhibit A does not increase. None of the foregoing shall affect the City's right to terminate the Agreement, as provided for in Section 8. Section 2. In the event of a conflict between the Agreement and this Amendment, this Amendment will control. Except to the extent inconsistent with this Amendment, the Parties ratify and confirm all of the terms and conditions of the Agreement.
