Riggs, President of Fremont/ Tri-Cities , Inc . from County dated September 1 , 1983 RECOMMENDATION Adopt resolution approving modification of Emergency Ambulance Services Agreement, authorize Mayor to execute said agreement and notify County of City' s action FINANCIAL STATEMENT: None DESCRIPTION On September 27 , 1982 , the City of Dublin City Council approved an agreement with Alameda County to provide Emergency Ambulance Services . The expiration date of the contract was June 30 , 1985 . The City has recently received a letter from Ben Mathews , County Emergency Medical Services Administrator requesting the City of Dublin to modify its original agreement with the County to provide a contract expiration date of June 30 , 1984 . This revised expiration date is necessitated by the County ' s desire to implement its Paramedic Benefit Assessment District on July 1, 1984 . Since Ambulance Services will be dovetailed with the Paramedic Emergency Ambulance Program, it is necessary that the existing Ambulance Service Agreement with the current provider be modified. Box 2340 Dublin, CA 94566 Dear Mr. Ambrose: Subject: Modification of Emergency Ambulance Agreement The Emergency Ambulance Agreements with Tri-Cities Ambulance, Inc. were renewed by the County on August 3, 1982 for a three-year term ending June 30, 1985. The Ambulance Agreement is Exhibit A to the Emergency Ambulance Service Program Agreement by and between the City of Dublin and the County of Alameda which also terminates June 30, 1985. Subsequently, the Paramedic Advisory Ballot Measure passed in November, 1982, and the County now anticipates that the Paramedic Benefit Assessment District can be implemented July 1 , 1984. It is the County's intent to enter into new agreements for paramedic emergency ambulance service when the special paramedic service district is implemented. It is, therefore, in the interest of the County and the City to modify the current Emergency Ambulance Service Agreement for EMS Zone IX to terminate on June 30, 1984. A modification of agreement is necessary by and between the City of Dublin and the County in order to modify the Emergency Ambulance Agreement. (Paragraph 14 of County-City Agreement. ) A proposed Modification is enclosed for approval of your City Council . Also enclosed for reference is the proposed modification to the Emergency Ambulance Agreement for EMS Zone IX and a copy of my letter to Mr. Riggs, President, Fremont/Tri-Cities Ambulance, Inc. which also includes a protective notice of cancellation which would become effective December 31 , 1983, only if the pro- posed modification of the termination date is not approved by the contractor or the municipalities. -2- I would appreciate your assistance in getting the modification to the City- County Agreement approved by your City Council at the earliest possible date. MOORE County Counsel By MODIFICATION OF AGREEMENT This Modification of Agreement, made and entered into this day of , 1983, by and between the City of Dublin hereinafter re- ferred to as "CITY" and the County of Alameda, a body corporate and politic of the State of California, hereinafter referred to as "COUNTY. " WITNESSETH: Whereas the CITY and the COUNTY entered into an Emergency Ambulance Service Program Agreement commencing the first day of July, 1982, for the pro- vision of Emergency Ambulance Service Program to the CITY; and Whereas CITY and COUNTY desire to modify the term of the Agreement specified in paragraph 15 of said Agreement and paragraph 53 of Exhibit "A" thereof; NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED THAT: 1 . The Emergency Ambulance Service Program Agreement between CITY and COUNTY shall terminate on June 30, 1984, provided, however, that the Agreement shall remain in force after said termination date to the extent necessary to process claims for payment which may become due and payable for services rendered by COUNTY prior to said termination date. 2. CITY hereby consents to the modification of paragraph 53 of Exhibit "A" in order that the Emergency Ambulance Agreement shall terminate on June 30, 1984. 3. Except for this Modification and Consent, all other provisions and exhibits shall remain in full force and effect. COUNTY OF ALAMEDA CITY OF DUBLIN By By airman, Board of upervisors Title: Address: RESOLUTION NO. - 83 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN -------------------------------------- APPROVING THE MODIFICATION OF THE CITY' S EMERGENCY AMBULANCE PROGRAM AGREEMENT WITH ALAMEDA COUNTY WHEREAS, the County of Alameda has entered into a Contract Agreement with Fremont/Tri-Cities Ambulance Service, Inc . , for the provision of emergency ambulance services ; and WHEREAS, said agreement includes the provision of emergency ambulance services to the City of Dublin; and WHEREAS , the Dublin City Council by Resolution No . 56-82 , on September 27 , 1982 adopted an agreement between the City of Dublin and the County of Alameda to provide emergency ambulance services to the City; and WHEREAS, the County has modified its agreement with the ambulance service contractor by revising the expiration date of the contract on June 30 , 1984 , in order to coincide with the implementation date of a Paramedic Benefit Assessment District . NOW, THEREFORE, BE IT RESOLVED, that the Dublin City Council hereby approves the modification to the existing Emergency Ambulance Service Program Agreement with Alameda County as indicated in the attached Modification to the Agreement . MOORE County Counsel Bj MODIFICATION OF AGREEMENT EMERGENCY AMBULANCE EMS ZONE IX This Modification of Agreement, made and entered into this day of 1983, by and between the County of Alameda, a body corporate and politic of the State of California, hereinafter referred to as "COUNTY" and Tri-Cities Ambulance, Inc. dba Regional Medical Systems, hereinafteP referred to as "CONTRACTOR. " WITNESSETH: Whereas the COUNTY and the CONTRACTOR entered into an Agreement commencing the 3rd day of August, 1982, for the provision of Emergency Ambulance Service in EMS Zone IX; and Whereas COUNTY and CONTRACTOR desire to modify the term of the agreement specified in Paragraph 53 of said Agreement; NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED THAT: 1 . LESTER, Agency Director AGENCY HEADQUARTERS 499 Fifth Street Oakland, California 94607 (415) 874-6828 September 1 , 1983 Earl Riggs, President Fremont/Tri -Cities Ambulance, Inc. 37525 Glenmoor Drive Fremont, CA 94536 Dear Mr. Riggs: Subject: Notice of Intention to Terminate Emergency Ambulance Service Agreement in EMS Zones VIII and IX The Emergency Ambulance Service Agreements between the County of Alameda and your companies for EMS Zones VIII and IX were renewed in August, 1982, for a three-year period terminating June 30, 1985. In November, 1982 the Countywide Paramedic Advisory vote passed and the County and the Cities have been pursuing the implementation of a special services district for Paramedic Emergency Medical Services. The Emergency Ambulance Agreements for all other EMS Zones in the County were renewed with a termina- tion date of June 30, 1984 in anticipation that the new service district will be implemented July, 1984. As I have discussed with you, it is the County's intent to modify the agree- ments for EMS Zones VIII and IX to provide a termination date of June 30, 1984, making your agreements consistent with the other EMS Zones in the County. Such modification is provided for under paragraph 52 of the Emergency Ambulance Agreement and requires the written consent of the Cities in the respective EMS Zones which have agreements with the County and to which agreements the Emer- gency Ambulance Agreement is Exhibit A. Since the Cities have been participating in the formation of the paramedic special district, the Agency anticipates no problems in effecting the proposed modification. However, the County 's only alternative would be that of exer- cising County's option to terminate these agreements as provided for under paragraph 54, which defines a contract year as the period from January 1 to December 31 , and specifies that termination shall be effective upon 120 days prior written notice thereof. ' Earl Riggs -2- September 1 , 1983 This letter, therefore, shall constitute the County's Protective Notice of Termination to be effective December 31 , 1983 such notice being a precaution only in the event that for any reason the existing Agreements for EMS Zones VIII and IX are not modified for termination on June 30, 1984.
