DESCRIPTION Public Works Maintenance Services are primarily
provided to the City by MCE Corporation, Alameda County and A-1 Enterprises
under contract.

MCE Contract Evaluation
Beginning July 1 , 1984, the City entered into a three (3 ) year agreement
(see attached) , with MCE Corporation to perform various public works
maintenance functions . Each year the City has modified the agreement to
adjust labor, equipment and unit price rates .

In 1985-86, MCE contract costs exceeded the adopted budget in the following
areas :

These cost overruns were discussed with the Council during the Fiscal Year
and budget adjustments were made . As indicated above, the most significant
cost increase was the Street Landscape Maintenance Activity. This was
attributable to : 1 ) the City taking over the responsibility of the
Stagecoach Road Landscaping which was in extremely poor condition; 2 )
excessive vandalism to Village Parkway landscaping; 3 ) the completion of the
Village Parkway landscaping project earlier than anticipated in the 1985-86
Budget . Maintenance Supervision was increased to provide additional
supervision in the area of Landscape Maintenance.
Work Performed
In order to understand the amount of work performed by MCE, MCE has gone to
great lengths to keep records of work performed. Shown below is a list of
some key workload measures developed by MCE broken out by fiscal year:

Quality of Service Provided
Attached is the Final Service Request Summary for Fiscal Year 1985-86, as
well as a copy of the City ' s Service Request Questionnaire.
As indicated in the summary, the City handled a total of 181 service
requests . Of these requests, 162 were public works related. MCE was
directly responsible for handling 135 of those requests . On the average,
citizens gave. MCE a score of 4 . 2 , or a slightly higher than •a "somewhat
pleased" rating for the response to the service request.
The City Manager ' s Office believes that MCE has provided quality service
which is evidenced by the clean, neat appearance of the City streets .
Contract Compliance
MCE' s performance has consistently improved during the last 3 years . MCE
staff exercise initiative in identifying problem areas in addition to being
responsive to the City Manager.
MCE has improved their regularity of reporting both prior to undertaking and
subsequent to completing the work. Attached is a copy of the most recent
Public Works Maintenance Status Report for the Second Quarter of Fiscal Year
1986-87 , and a monthly report for December 1986 which verifies MCE
compliance to the City' s reporting requirements . MCE has also completed a
comprehensive inventory of the City street and landscape facilities in order
to more accurately project costs and identify service levels . (See attached
copy. ) This will enable the City to identify costs very quickly when
service levels are adjusted.
Cost Effectiveness
To Staff ' s knowledge, MCE Corporation is the only private corporation in the
area which provides a comprehensive range of public works maintenance
services .
In reviewing the cost effectiveness of the contract, it appears that the
only other alternative in providing public works maintenance services at
this time, would be to provide the service with City employees . In
reviewing this alternative, the City ' s existing Corporation Yard facility
would be inadequate for equipment and public works personnel . The cost of
locating and constructing another facility would more than outweigh any
difference between contract and in-house provision of public works services
at this time .
Therefore, at the present time, the City ' s present method of contracting for
service with MCE Corporation appears to be the most cost effective .
Proposed 1987-88 Services
The proposed Schedule of Work for Fiscal Year 1987-88 is shown in Attach-
ment I of the Public Works Maintenance Agreement. This Schedule of Work is
tentative at this time and will be finalized as part of the budget approval
process .
As indicated in Table I above, the estimated contract costs for public works
maintenance services that will be required for Fiscal Year 1987-88 is
$663, 080 . This is $160 , 180 more than the amount budgeted for Fiscal Year
1986-87 . The primary reason for the estimated increase is due to the
following:

As indicated above, there were very few changes in the unit price rates .
The increase in Mechanical Catch Basin Cleaning is due to an increase in the
rate charged by the subcontractor. It ' s important to note that the
anticipated work performed by this contractor for Fiscal Year 1987-88 is
less than $1, 000.

Tree trimming rates have been restructured by the subcontractor which will
actually result in a net reduction in tree trimming per unit costs because
of the size of trees historically trimmed. The tree watering costs have
increased because the subcontractor has been notified by the Police
Department that the water operation must be done with traffic as opposed to
against traffic . This necessitates adding a person to the hand watering
operation. This increased cost will be partially offset by a faster tree
watering operation.
Labor rates for the Dublin Crew have not been increased with the exception
of the Maintenance Superintendent rate which has been increased by $1. 80/hr
including overhead. -
MCE Crew labor rates have increased due to increased worker' s compensation
costs and increases in the prevailing wage rates, which the City requires
the contractor to pay. Even with this increase, the work performed by
individuals in this category represents a minor portion of the contract.
Recommendation
Based on the understanding that the Schedule of Work could be revised as
part of the budget approval process, it is Staff ' s recommendation that the
City Council approve the Fiscal Year 1987-88 Agreement' with MCE Corporation
and authorize the Mayor to execute the contract.

` ANNUAL STREET MAINTENANCE AGREEMENT
,
This Agreement is made and entered into this 29th day of June , 1984 -
by and between THE CITY OF DUBLIN, a municipal corporation ( "City" ) , and MCE
CORPORATION ( "Contractor" ) , a California corporation.
PURPOSE;
The City has elected to perform its street maintenance and related
activities as set forth in Attachment 1 of this document, using private
contractors .
The Contractor has agreed to arrange for and supervise the performance
of the work and the City has agreed to retain the Contractor for such
purposes , in accordance with the terms and provisions of this Agreement .
In consideration of the stipulations hereinafter set forth and the fee
structures put , forth in Attachment 1 hereto, the City and the Contractor
agree as follows ;
1 . Scope of Work : The City hereby retains and engages the Contractor
to arrange for , supervise and manage the performance of the work described
in the Schedule of Work , which is attached hereto (Attachment 1). and as
otherwise specified in this agreement. Also such additional work, herein
referred to as "Additional Work" as is called for in this Agreement .
The Contractor agrees as follows; (a) to undertake on behalf of the
City, the direct responsibility for the performance of the Work in
accordance with this Agreement; (b) to provide directly, or through
subcontractors or as otherwise permitted by this Agreement all labor,
materials and supervision necessary for the proper performance of the Work
in accordance with this Agreement ; ( c) to furnish a Contract Manager to
provide the necessary liaison with the City Staff and the required
coordination of workmen and materials in the performance of the Work ; (d) to
comply with all laws, ordinances , rules, regulations, and requirements of
governmental authorities, Federal, State and Local, pertaining to the
performance of the Work ; ( e ) to perform the Work , to contract for its
performance and to supervise its performance in a good and workmanlike
manner and in the most expeditious cost effective manner consistent with
first-class quality; ( f) to do and perform all activities necessary and
incidental to the orderly performance of the Work .
2 . Date .of Commencement : The contractor shall commence the Work on
July 1, 1984 and shall maintain all permits and licenses within the duration
of this Agrement .
3 . Duration of Contract: This contract shall extend for a period of
three ( 3 ) years from the date of commencement . This Agreement may, however,
be terminated by either party at the end of any contract year upon 90 days
written notice prior to the end of that contract year .
4 . Adjustments to Contract Prices and Work Quantity: No later than
April 1st, the Contractor will submit to the City for the coming contract
year a proposed revised Schedule of Work which will set forth a Work Plan in
terms of types and quantities of work to be performed as well as unit prices
and/or estimated annual expenditure amounts as appropriate. Upon written
approval of both parties , the "Schedule of Work" may be amended on an annual
basis, becoming effective July 1st .
5 . Schedule of Work ; The Schedule of Work (Attachment 1) sets forth
an annual plan describing (a) the type of work to be performed, (b) the
estimated annual quantities for each type of work , ( c) Unit Prices for each
type of work where applicable, ( d) hourly rates for activities performed on
a "Time and Materials" basis .

The Contractor will schedule and perform the work as provided herein.
On a monthly basis, the Contractor shall provide a work schedule for the
following month. This schedule shall detail the work to be performed and
the estimated cost . The schedule shall be approved or modified by the City
Manager or his designee. The City Manager at his discretion may recommend
that projects of a. large scope be approved by the Council for competitive
bid. Contractor shall be entitled to participate in the bid process .
If, in the Contractor ' s judgment, modifications are necessary to the
estimated annual expenditures , the Contractor shall notify the City Manager .
The Contractor, however, may not exceed the planned annual expenditure
amounts without first obtaining the written approval of the City Manager ,
unless an emergency situation exists . An emergency situation is hereby
defined as one which endangers the public safety or public property, and
where it is either impossible or impractical to obtain City Manager approval
before proceeding with the Work . In such cases, the Contractor will proceed
with the work to the extent necessary to relieve said danger and shall
specifically inform the City Manager of all work activities accomplished.
The Contractor will bill the City per work item as set forth in Attachment 1
and in the manner as provided herein.
6 . Additional Work : It is anticipated that the majority of the
Contractor ' s work will be per the Schedule of Work, (Attachment 1) which
will be performed on a routine basis and in accordance with a monthly
schedule provided to the City Manager . However, as a result of unforeseen
circumstances, or unanticipated work requirements, it may be necessary for
the Contractor to perform Additional Work .
Additional Work is defined as work that is of a unique nature, beyond
the scope of the work program and not included in the Schedule of Work . If
the need for Additional Work is identified by the Contractor , such need will
be brought to the attention of the City Manager or his designee inclusive of
estimated quantities and lump sum pricing for the work . No Additional Work
will be undertaken without the approval of the City Manager . The Contractor
will bill the City for Additional Work in the manner as provided herein.
7 . Contract Amount and Prices : The total estimated annual Contract
Amount shall be the sum of the planned annual expenditure amounts listed in
the Schedule of Work . The actual amount paid to the Contractor will be
based on the amount of work performed according to the costs outlined in
Attachment 1 and any subsequent "Additional Work" approved by the City.
Work items per the "Schedule of Work" will be billed on a unit price basis
or otherwise set forth in said schedule. Each type of work has been
assigned, when appropriate, a specific Work Measurement Unit, by which the
work is measured. (For example, the Work Measurement Unit for Paint 12"
Crosswalks/Stop Bars is "Linear Feet" painted. ) Unit Pricing is expressed
in terms of Dollars per Work Measurement Unit, for each item of work .
For Work listed as "Time and Materials" (T & M) , the City will be
billed on the basis of actual costs to the Contractor plus a percentage fee
to cover management costs .
Additional Work will be billed on the basis mutually agreed to by the
Contractor and the City at the time said Work is incorporated into the
annual maintenance program.
8 . Project Supervision: The Contractor shall furnish a Contract
Manager to assume full responsibility for day-to-day maintenance operations,
insuring that resources required to successfully complete the project are
applied in a timely manner . In addition to providing the necessary liaison
with the City, the Contract Manager shall be responsible for : ( 1 )
inspections of the City streets and related facilities to identify and
record specific work needs shall be completed at a frequency to be
determined by the City Manager , ( 2 ) contacting City residents on the City ' s
behalf to discuss and resolve maintenance problems or to respond to any

relatd concerns (3 ) developing monthly work schedules and reports for
-. review by City staff (4 ) scheduling, supervision and control of work
performed by Contractor employees and subcontractors (5 ) preparation and
coordination of emergency call-out procedures to provide for emergency
response and (6 ) additional Contractor related responsibilities including
directing the inspection of storm drain facilities and other tasks as
requested by City.
For the above services, the City will be billed on a time and materials
basis in the manner provided by Article 6 . City shall provide an office for
conducting the duties of the contract manager in accordance with this
agreement, and shall provide necessary furnishings, telephones, and service
request forms .
9 . Work Scheduling Procedures: To the extent possible, it is the
intent of this Agreement that the Work be performed on a scheduled, orderly
basis. The Contractor will prepare monthly work schedules and review them
with the City Manager . These schedules will represent specific work needs
identified as the result of the Contractor ' s recommendations and requests
from the City Manager or his designee. Emphasis will be placed on
identifying needs to insure proper timing of work (for example, ditches
should be scheduled for cleaning before winter rains) . The Contractor will
comply with reasonable requests of the City Manager as to preferred
locations for various types of work .
The Contractor will provide, and the City will use, a service request
form to insure that complete information is obtained on work needs and
requests for service .
10 . Protection of Work and Public: The Contractor shall take all
necessary measures to protect the work and prevent accidents during any and
all phases of work . He shall provide and maintain all necessary barriers,
guards, watchmen, and/or signs during maintenance procedures .

The Contractor will provide at his own expense, all the advance signing
and barricading and also signs, barricades, flashers, and other necessary
facilities for the protection of the public within the limits of the
maintenance area while maintenance activities are proceeding.
11 . Work Reporting Procedures : The Contractor shall submit a weekly
report at the request of the City Manager . Reports will be inclusive of the
following:

Manager by the Contractor on or before the 10th day of the month summarizing
work activities for the previous month. These reports will be inclusive of

12 . Additional Contractor Responsibilities: In addition to scheduling
and performing maintenance work for the City, the Contractor will use his
best efforts to observe problems that are of interest to the City but are
outside the Schedule of Work as defined in this Agreement . Examples of such
problems include, but are not limited to: water-main leaks, faulty utility
trench repairs , etc. If the Contractor observes any of these problems , he
will notify the City Manager or other appropriate City official of the
defect .

13 . Emergency Call-Out Procedures : Emergency Call-Out Procedures will
-be maintained to provide for emergency response on nights, weekends and
holidays . The procedure will be reviewed and updated periodically to ensure
its effectiveness . In the event emergency work dictates that work be
accomplished outside the normal working hours, such as night time, weekends,
and holidays, appropriate overtime rates shall be used as set forth in
Attachment 1.
14 . Record Keeping Procedures ; The Contractor will keep files and
records of work orders, subcontracts, material and contractual service
invoices and certificates of completed work . All such records and files
shall, upon demand, be made available by the Contractor to the City for
inspection.
15 . Billing Procedures : The Contractor will submit monthly bills to
the City for Work completed, in accordance with the provisions described
herein, with the first such billing for the contract year being submitted by
the 10th day of the first month following the month in which the Work was
commenced. The City shall make payment with respect to each bill rendered
within 15 days of receipt thereof.
16 . Insurance : The Contractor and each subcontractor shall, at the
time of execution of the contract, furnish certificates of insurance
satisfactory to the City, said insurance to remain in full force and effect
until acceptance of the work by the City, stating that the Contractor has
procured regular Contractor ' s Public Liability Insurance, providing for a
limit of not less than FIVE HUNDRED THOUSAND DOLLARS ( $500 ,000 ) for all
damages arising out of bodily injuries to or death of one person, and
subject to that limit for each person, a total limit of not less than ONE
MILLION DOLLARS ( $1, 000 , 000 ) for all damages arising out of bodily injuries
to or deaths of two or more persons in any one accident or occurrence, and
Regular Contractor ' s Property Damage Liability Insurance providing for a
limit of not less than TWO HUNDRED FIFTY THOUSAND DOLLARS ( $250 ,000 ) for all
damages arising out of injury to or destruction of property in any one
accident or occurrence, a total (or aggregate) limit of not less than FIVE
HUNDRED THOUSAND DOLLARS ( $500 , 000 ) for all damages arising out of injury to
or destruction of property during the policy period. Also, proof of
automobile liability insurance coverage. All certificates of insurance
which are a part of this Agreement shall be approved by the City Manager and
City Attorney as to form and content .
17 . Workers ' Compensation: The Contractor shall maintain, during the
life of this Agreement, workers ' compensation insurance for all Contractor ' s
employees employed at the site of the work . In any case where work is
sublet, Contractor shall require any subcontractor similarly to provide
workers ' compensation insurance for all subcontractor ' s employees .
18 . Hold-Harmless Agreement ; Contractor shall not be liable for
damages arising out of injury to person or damage to property of a customer
or any third party unless the same was due to Contractor ' s fault or neglect .
The City further agrees to indemnify to the extent authorized by law, and
save free and harmless contractor against negligent acts or omissions caused
by City, its agents or employees, and any costs and expenses incurred by the
respective parties on account of any claim therefore. Contractor agrees to
indemnify and save free and harmless City and its authorized representatives
and employees against negligent act or, omissions caused by Contractor , his
agents or employees, and any cost and expenses incurred by the respective
parties on account of any claim therefore.
19 . Independent Contractor Status ; Contractor is deemed to be an
independent Contractor in the performance of the work undertaken pursuant to
this Agreement . Contractor ' s employees are not to be considered employees
of the City of Dublin for any purpose .

WHEREAS, - the City of 'Dublin (hereinafter referred to as- "CITY" ) ; -

AGREEMENT
ANNUAL PUBLIC WORKS MAINTENANCE
This Agreement is made this , 1987 between THE CITY OF
DUBLIN, a municipal corporation ("City"), . and MCE CORPORATION, a
California corporation, _("Contractor").
The City has elected to perform its public works maintenance and
related activities as set forth in Attachment 1 of this document, using
private contractors.
The Contractor has agreed to arrange for and supervise the performance
of the work and the City has agreed to retain the Contractor for such
purposes, in accordance with the terms and provisions of this Agreement.
The City and the Contractor agree as follows:
1 . Scope of Work: The City retains Contractor to arrange for, , .
supervise and manage the performance of the work described in the Schedule
for Work (Attachment 1) ' and as otherwise specified in this Agreement; and •
for additional work, ("Additional Work") as is called for in this
Agreement. Notwithstanding the foregoing, the City may at any time revise
the schedule of work identified in Attachment 1 for budgeting or other
reasons as deemed necessary by the City and the estimated annual
expenditure for Fiscal Year 1987-88 shall be revised accordingly.
The Contractor specifically agrees to (a) . undertake the direct
responsibility for the performance of the work in accordance with this
Agreement; (b) provide directly, or through subcontractors or as otherwise
permitted by this Agreement all labor, materials and supervision necessary
for the proper performance of the work in accordance with this Agreement;
(c) furnish a Maintenance Superintendent to provide the necessary' liaison
with the City staff and the required coordination of workmen and materials
in the performance of the Work; (d) comply with all laws, ordinances,
rules, regulations, and requirements of governmental authorities,
pertaining to the performance of the work; (e) perform the work, contract
for its performance and supervise its performance in a good and
workmanlike manner and in the most expeditious cost effective manner
consistent with first-class quality; (f) perform all activities necessary
and incidental to the orderly performance of the work.
2. Duration of Contract and Date of Commencement: The term of the
Agreement shall be one (1) year commencing July 1 , 1987, with provision
for an extension of term for two successive one-year terms, subject to
satisfactory performance during the prior year, as determined by and in
the sole discretion of the City. The City has the option to renew the
Agreement, subject to the price modifications that may be agreed upon by ,
City and Contractor.

Notwithstanding the foregoing paragraph, the services of the
Contractor may be terminated by the City by giving ninety (90), days
written notice with or without cause. If the City terminates the
Agreement the Contractor shall be compensated for such services up to the
point of termination. Compensation for work in progress will be prorated
as to the percentage of progress completed at the date of termination. '
Contractor may also terminate its services to the City, but must
first provide th-e City with written notice at least ninety (90) days in
advance of termination.
3. Adjustments to Contract Prices and Work Quantity: No later than
March 1st, the Contractor will submit to the City for the coming contract
year a proposed revised Schedule of Work which will set forth a Work Plan
in terms. of types and quantities of work to be performed as wel,.l as unit
prices and/or estimated annual expenditure amounts as appropriate. Upon
. written approval of both parties, the Contract shall be extended for one
(1) year effective July 1 as provided above..
4. Scheduled Work: All of the work set forth in Attachment 1 is
considered scheduled work, except as provided in Section 1. Contractor
shall perform no work in addition to scheduled work, unless-(a) additional
work is approved in advance by the City. Manager or (b) an emergency
situation exists. An emergency situation is one which endangers the
public safety or public or private property and occurs under circumstances
making it either impossible or impractical to obtain City approval before
proceeding with the work. In such cases, the Contractor, will proceed with .the work to the extent necessary to rel ieve said danger and shall
specifically inform the City Manager of all emergency work accomplished.
All scheduled work shall be provided according to a monthly schedule
prepared by the Maintenance Superintendent and approved by the City
Manager. .
5. Additional Work: City may require Contractor to provide
additional work not. specifically described herein at rates and quantities
negotiated by the City and Contractor. The City Manager at his discretion
may recommend that 'projects of a large scope be approved by the City
Council for competitive bid. Contractor shall be entitled to participate
in the bid process.
No additional work will be undertaken by the Contractor without the
approval of the. City Manager. The Contractor will bill the City for
additional work in the manner as provided herein.
6. Emergency Work: Emergency call-out procedures will be maintained
to provide fpr emergency response on nights, weekends and holidays. The
procedure will be reviewed and updated periodically to ensure its -
effectiveness. In the event emergency work dictates that work be.
accomplished outside the normal working hours, such as night time, week-
ends, and holidays, appropriate overtime rates shall be used as set forth
in Attachment 1.

7. 'Contract Amount and Prices: Except as provided in Section 1,
• 'the total annual estimated budget shall be .the sum of the planned
expenditure amounts listed in Attachment 1. The actual amount paid to the
Contractor shall be based on the amount of work performed according to the
costs outlined in Attachment 1 and any subsequent "Additional Work"
approved by the City. Work items listed in Attachment l shall be billed
on a unit price basis or otherwise as set forth in the schedule. Unit
Pricing is expressed in terms of Dollars per Work Measurement Unit for
each item of work.
For work listed as "Time and Materials". ,(T&M), Contractor shall bill
the City on the basis of actual costs to the. Contractor, plus a percentage
as stated on Attachment 1, Section C, to cover managment costs. .
ContractIor shall bill Additional Work on the basis mutually agreed to
by the Contractor and the City at the time the work is incorporated into
the annual maintenance program.
8. Project -Supervision: The Contractor shall furnish a
Maintenance Superintendent to assume full responsibility for day-to-day
maintenance operations, insuring that resources required :to successfully
complete the; project are applied in a timely manner. In addition to
providing the necessary liaison with the City, the Maintenance
Superintendent is responsible for: (a) performing ongoing 'inspections of
City streets,;] parks and related facilities to identify and record specific
work needs, (b) identifying work programs, (c) scheduling (d) assisting and' -
supervising work crews, (e) responding to citizen calls, (f) assisting in
contract administration, (g) maintaining activity reports, and (h) general-:.
ly administering public works maintenance functions. -
9. Work Scheduling" Procedures: To the extent possible, it is the
intent of this Agreement that the Work be performed on a scheduled,
orderaly basis. The Contractor will prepare monthly work :schedules and
review them with the City Manager. These schedules will represent
specific work needs identified as the result of the Contractor's
recommendations and requests from the City Manager or his designee.
Emphasis will be placed on identify-ing needs to insure proper timing of
work (for example, ditches should be scheduled for cleaning before winter
rains). The Contractor will comply with reasonable requests of the City
Manager as to'lpreferred locations for various types of work.
The Contractor will use, a. service request form to insure that
complete information is obtained on work needs and requests for service. •
10.. Work Reporting Procedures: - The Contractor shall submit a-
Monthly Work Summary Report to the City Manager on or before the 10th day
of the month summarizing work completed in the previous month. These
reports shall include a listing of work activities and work units -
completed, including any additional or emergency work performed; status of
current and completed service requests ; and, comparisons of annual 'work
quantities and expenditures planned versus actual . -

11. Additional Contractor Responsibilities: In addition to scheduling
• and performing maintenance work for the City, the Contractor will use his
best efforts to observe problems that are of interest to the City but are
outside the Schedule of Work as defined in this Agreement. Examples of
such problems include, but are not limited to: water-main leaks, faulty
utility trench repairs, etc. If the Contractor observes any of these
problems, he will notify the City Manager or other appropriate City
official of the defect. '.
12. Protection of Work and Public: The Contractor shall take all
necessary measures to protect the work and prevent accidents during any and
all phases of work. He shall provide and maintain all necessary barriers,
flagmen, and/or signs during maintenance procedures.
The Contractor will provide at his own expense, all the advance
signing and barricading and also signs, barricades, flashers, and other
necessary facilities for the protection of the public within the limits of
the maintenance area while maintenance activities are proceeding.
13. Compensation and Billing: For work performed and services
rendered, Contractor shall submit monthly bills to the City by the 10th day
of the month following the month in which the work was performed. The
Contractor shall be compensated by the City as follows:
A. A monthly payment for time and materials or unit price work
will be provided, with payment to be made within twenty (20)
days of receipt of invoice by City.
B. . For additional work for which no unit prices have been agreed
upon, compensation shall be agreed upon between the City
Manager and Contractor in writing before work is performed.
For emergency work when prior approval is not possible and when
unit prices have not been agreed upon, the City and Contractor
shall agree as soon as possible after the work is performed on
the amount of compensation based on costs for related jobs.
14. Public Works Headquarters: City shall provide an office for
the Maintenance Superintendent. City shall provide' a corporation yard
facility from which routine maintenance may be dispatched. Work days
shall begin at such time of dispatch from a Dublin corporation yard or as
mutually agreed upon by City and Contractor.
15. Insurance and Indemnify:
a. Hold-Harmless Agreement and Indemnification: Contractor
agrees to indemnify and save free and harmless City and its authorized
representatives and employees against negligent act or omissions caused by
Contractor, his agents or employees, and any cost and expenses incurred by
the respective parties on account of any claim therefore.. Contractor shall
not be liable for damages -arising out of injury to person or damage to
property of a customer or any third party unless the same was due to

Contractorr's fault or neglect. The City further agrees to indemnify to
the extent authorized by law, and save free and harmless Contractor
against negligent acts or omissions caused by City, its agents or
employees, and any costs and expenses incurred. by the respective parties
on account of any claim therefore.
b. Insurance. Contractor shall obtain and maintain insurance
and shall require each subcontractor to obtain and maintain insurance as
provided in this paragraph.
(1) Compensation Insurance. Contractor shall maintain during
the life of this Agreement, workers' compensation insurance for all
Contractor's employees employed at the site of the work, and in case any
work is sublet, Contractor shall require any subcontractor similarly to
provide workers' compensation insurance for all subcontractor's employees,
unless such employees are covered -by the protection afforded by
Contractor. In case a class of employees. engaged in work under this .
Agreement is not protected under the workers' compensation_ law, Contractor
shall provide and shall cause each subcontractor to provide adequate
insurance for the protection of employees not otherwise protected.
Contractor indemnifies City for any damage resulting to it from failure of
either Contractor or any subcontractor- to ,take out or maintain such
insurance.
(2) Public Liability and Property Damage Insurance.
Contractor shall take out and maintain during the life of this Agreement
such public liability and property damage insurance as shall insure City,
its elective and appointive officers, agents and employees, Contractor and
any subcontractor performing work covered by. this Agreement from claims
for damages for personal, injury, including 'death, as well as from claims
for property damage which may arise from Contractor' s or any
subcontractor's operations hereunder., whether such operations by
Contractors operations hereunder, whether such operations by Contractor or
a subcontractor or be anyone directly or indirectly employed by either
Contractor or subcontractor. The amounts of insurance shall be . as
follows:
a. Automobile Insurance. Vehicular public liability insurance with
minimum coverages of $500,000.00 for ' property - damage
$1,000,000.00 for injury to one person/any one 'occurrence and .
$1,000,000.00 for injury to more than one person/any one
occurrence.
b. Public Liability Insurance. - In an amount not less than
$1,000,000.00 for injuries, including, but not limited to death,
to any one person and, subject to the same limits for each
person, in an amount not less than $1,000,000 on account of any -
one occurrence. -
c. Property Damage Insurance. In an amount of not less than
$500,000.00 for damage to the property of each person on account
of any one occurrence.

(3) Contractual Liabi 1 ity Insur ance. Contractor shal 1 take out and •
maintain during the life of this Agreement, a policy of Contractual
Liability Insurance in the amount of at least $500,000.00 each occurrence,
$500,000.00 aggregate insuring City, its elective and appointive officers, -
agents and employees, Contractor and any subcontractor performing work
covered by this Agreement against damages sustained by reason of any
action or demand by reason of breach or alleged breach of any contract, or
by reason of any contractual liability or alleged contractual liability on
any contract for the performance of work, covered by this Agreement entered
into by Contractor orr a subcontractor, agent or employee.
(4) Evidence of Insurance. Contractor shall furnish City with
satisfactory evidence of the insurance required and evidence that each
carrier is required to give City at least 3 .days prior notice of the
cancellation or reduction in -coverage of the policy during the effective
period of this Agreement. All Certificates of Insurance which are a part
of this Agreement shall be approved by the City Manager and City Attorney '
as to form and content.
16. . Independent Contractor: Contractor is an independent Contractor
and shall not be considered an employee of the City. It is understood
that in the performance of services under this Agreement,.Contractor is.
operating independent of the control of the City (other than normal
contract monitoring) and possesses ,no authority to act as an agent or
representative of the City. As such, Contractor is not a public official
as defined in the California Fair Political" Practices Act and is not
subject to the city's local conflict of interest code. . .
17. Licenses and Permits:. Contractor represents and warrants to
City that it shall maintain in effect all licenses , permits ,
qualifications and approvals that are legally required , for Contractor to
perform under this Agreement.
18. Assignment: This Agreement may not be assigned or subcontracted
unless City consents in advance in writing. An assignment or
subcontracting in violation of this provision is void.
19. Maintenance of Records Contractor shall maintain all books, •
documents, papers, employee timesheets, accounting records and such other
evidence pertaining to costs incurred and shall make these materials
available at reasonable times during the contract period and for one year
from the date of final payment under this Agreement for inspection by.
City.
20. Equal Employment Opportunity: Contractor is an equal
opportunity employer and agrees to comply with applicable regulations
governing equal employment opportunity.
21.. Attorney Fees: If either party brings an action against the
other party arising out of or in connection with this Agreement entered
into between City and Contractor, the prevailing party is entitled to have.
and recover from the losing party reasonable attorneys fees and costs of
suit.

' 22. Miscellaneous:
A. Contractor shall inform City of private clients within the
corporate boundaries or sphere of influence of the City
during the term of this Agreement. Contractor agrees not
to accept other employment which is or may be in conflict
with its duties under this Agreement or which may adversely
affect the interests of the City.
B. Contractor will endeavor to secure materials from the
lowest cost source reasonably available.
23. Notices: Any notice given under this Agreement shall be served
by depositing it in the mail , postage prepaid, to the addresses set forth

for sign clearance. 78 of the total hours expended were used to clean up public
right-of-ways in the second quarter.

Fifteen percent of labor hours were used to replace stolen heads and other irrigation
parts. Three neighborhood children were caught vandalizing the irrigation system in
• December, and the problem of theft has since subsided significantly. Many irrigation
systems on Stagecoach are still not working properly, and the developer is working
slowly on making these repairs.

second quarter.
13. Weed Abatement
In October, all curb and gutter in Zones 3. and 5 were sprayed with contact
herbicide. 29.7 curb miles were completed. -
14. Bike Path
During the second quarter, 53 labor hours were used to maintain the bike path
on San Ramon Road. Included in this are weekly inspections of entire length and
cleaning as needed. Additionally, a small section of fence was mended to close a
two-foot gap.

15. Street Sweeper
A-1 was called out on 10/24 to clean up the remainder of a concrete spill on
Dublin Blvd. at Sierra Court. City crew had cleaned up the bulk of the spill to
reopen the affected lane. Street sweeper received only one legitimate complaint
during second quarter. Contractor responded immediately to this problem.
16. Specialty Projects
On the weekend of October 12th,. the Boy Scouts from troops in Dublin and
Fremont installed crossbars on the tree stakes on Village Parkway. They did 125
trees, in approximately 10 hours, with a varying number of scouts. A City crew
member provided traffic control, vests, materials, and tools to- the scouts, as well
as supervision of the project.
17. Miscellaneous - .
On October 21, a City crew member provided -traffic, control to the CHP for one
hour. The crew member closed off the westbound entrance to 1-580 at Dougherty,
because of a traffic accident on the freeway. . -

PUBLIC WORKS MAINTENANCE
MONTHLY STATUS REPORT
December, 1986
1. Service Requests
Nine service requests were received in December, with an average of one service
request. per 3.4 calendar days. Average response time was 1.33 days. Six of nine
were completed, and average completion time was 4.3 days. Three are still open.
A. Two requests for potholes and one for asphalt leveling. The two potholes
were filled and will be permanently repaired in early January. Two bumps were ground
with an asphalt planer on Village Parkway to relieve vibration and noise to two
residences on the other side of the soundwall.
B. Two service requests regarding sidewalk and curb and gutter. The first
one did not warrant any immediate work and was given back to Engineering. The second
one is scheduled for early January. '
C. One request regarding an oil spill. The sweeper broke a line and spilled
fluid on Holanda Court. The operator cleaned the spill at the site, and the resident
was not satisfied. The City crew responded and could not clean any more. The
resident was still not satisfied and sent back a negative response card. Maintenance
Superintendent and Foreman went out two weeks later and cleaned the area with a new.
sweeping compound. The resident verbally expressed satisfaction.
D. One request for tree removal. The City will not remove the tree because
(1) it is the resident's tree, and (2) it is not damaging the sidewalk area.. " The
resident was told that if he wanted to, he could remove the tree.

MAJOR ACCOMPLISHMENTS/COST SAVINGS
Since assuming responsibility for Public Works. Services in the City of
Dublin, MCE has documented the results of operations to demonstrate the
effectiveness of contracting services. Contracting operations in Dublin
can be characterized by application of improved management techniques
specifically designed to increase the quality of service, and at the same
time produce operational economics. Specific major accomplishments and
related cost savings are detailed below.
SERVICE REQUEST PROCEDURES
The City has developed and implemented service request forms and procedures
to improve communications of maintenance needs and to assist in the
accountability of work performed. MCE supported this effort and has
actively assisted in the successful administration of the service request
procedures. The list below summarizes service request results:

There are a number of positive trends associated with the service request
summary. First, the overall number of service requests are declining. If
the current years' trend continues, - there will be a 36 percent decrease in
the number of annual service requests received since the 1984 - 85 Fiscal
Year. In addition, the average response time has been more than cut in
half. Although the average Job Evaluation shows a slight decrease (this
years'" score is 4.1 out of a possible 5) the main reason is that half of.
the responses are sweeping related with the lowest average of 3.3. The
remainder of the Job Evaluations scores for other areas are all 5 with the
exception of one rated at 4. With the new street sweeping firm on the job,
there has not been a single sweeping related complaint in the last two
months. MCE would anticipate that the Job Evaluation average will increase
to above 4.3 before the end this year.
MCE is committed to providing Dublin residents with courteous , responsive ,
and cost effective services. The Service Request system allows us an.
opportunity to evaluate our progress -- we will continue to support this
valuable management tool .

MAINTENANCE MANAGEMENT ;
The key to the success of MCE's approach to the contract in Dublin is the
application of current "state-of-the-art" maintenance management principles
in the areas of planning, scheduling. and control of maintenance functions.
Over the term of the contract MCE has developed and implemented improved
management procedures including:
• Daily work requests which detail the specific activities performed
by all maintenance personnel and the. related work 'units
accomplished.
• Summary Reports prepared each month which compare planned versus
actual expenditures for each cost code and provide a listing of
quantities of work accomplished by individual work activity. In
addition, a separate Monthly Status Report is prepared which details
the specific work performed for the proceeding month including the
type of work, date, and the quantities of work accomplished at each .
location. Projected maintenance for the next month is also listed.
o For the next Fiscal Year, MCE has prepared a performance-based Work
Program and Budget which will detail for each maintenance activity
the inventory to be maintained, level of. service proposed,
anticipated productivity, the quantity of work and total cost of
performing . the proposed work. A 'computerized ' inventory by
individual street was performed which lists the features to be
maintained i .e., number of catch basins, trees, pavement striping,
etc. This inventory will be updated annually as the City annexes
additional areas thus allowing for planned increases in services at
uniform levels of service.
The management reports have provided historical accounting of the work
performed under the public works maintenance contract. This provides a '
base from which to evaluate past years performance and to plan for future
years levels of service,
EMERGENCY CALL OUT RESPONSE
The contract includes provisions for emergency response on nights,
weekends and holidays. Procedures have been established by MCE to insure
effective after-hours response including a "listing of ; on-call MCE ,
employees and .specialty subcontractors which have agreed to respond to
emergencies. Response to emergencies has been effective with response
times averaging less than 30 minutes. With the exception of this year,
most problems have been drainage related problems. However, _ a number of
call-outs have occurred because of inadequate safety measures taken by
contractors or developers working in the City and for oil and fuel -spill's '
on City streets. During the first six months of this fiscal year, MCE has
received only 5 emergency call-outs. This is in part due to the lack of
significant rainfall. during the latter part of 1986.

MCE will continue to provide timely and effective response to emergencies
in the City of Dublin. In addition, MCE has taken appropriate steps to
reduce costly emergency call-outs by performing timely maintenance on city
drainage systems and other critical areas.
STORM PREPAREDNESS
-----------
Each ye'ar a planned approach for cleaning drainage structures is undertaken
throughout the City. Each drainage facility is visually inspected and the
location of those requiring cleaning is noted. Cleaning crews then
concentrate only on .those structures requiring cleaning thereby maximizing
the time required to perform this activity.
This planned approach has produced obvious benefits. During the 1985 - 86
Winter Season we experienced above average rain, fall with a 100 year storm - -
in January 1986. During the storms, some inlets plugged and MCE crews
responded immediately to open drains and avert potential flooding problems.
Unlike many of the neighboring communities, Dublin experienced little,
flood damage. We feel this ' i5 in large part due to an effective preventive
maintenance program. A priority listing of- chronic drainage problems has
been prepared and these locations are checked constantly during storm
conditions.
Open ditches in the City are visually inspected annually and those which
are restricted are cleaned mechanically or by hand as required. The
amount of ditch cleaning required will be reduced each year by effective
use of herbicides to control growth of grass and weeds.
Another benefit is that storm related, costs have, been kept under control .
For example even with a relatively harsh Winter, actual expenditures for
Storm Patrol/Cleanup was 25% less than the 1985/86 Budget.
WORK ACTIVITY PERFORMANCE REVIEWS
During the initial contract year, MCE reviewed the proposed annual
resurfacing program. Based on field observations and working in a co-
operative effort with the engineering staff, MCE recommended a revised
program which would increase the life expectancy of the proposed repairs
and at the same time produce significant cost savings. Specifically,
several heavily, travelled streets were scheduled for traditional pavement
failure repairs followed by a slurry seal .. The failure repairs were so
extensive it was determined that use of a paving fabric in the travelled .
portion of the roadway combined with an asphalt overlay was a more cost
effective approach. This change resulted in cost savings of approximately
$46,000 or a 39 percent savings over the original plan. In addition, the
life expectancy of the revised plan will increase from 5-7 years to 15-20
years. Use of paving fabric in lieu of performing extensive failure
repairs on another street which was scheduled for an overlay resulted in
savings at approximately $30,000 or 58 percent of the planned cost.
ATTAGNENT (I )
MCE has initiated a planned program for pre-emergent spraying of both
unimproved roadside areas and landscaped medians. : Applications are made
twice a year in the Spring and Fall and have resulted in significant
reductions in the time required to maintain a weed-free environment.
Because spraying costs little more than approximately $100 per acre the
actual savings over manual removal are substantial , although the actual
cost savings- would be difficult to estimate.
One of the most visible maintenance responsibilities is the medians and
right-of-ways in the City of. Dublin. A major portion of these are new,
having been renovated within the past three years. .MCE has placed special
emphasis on these landscaped areas and has developed a preventive
maintenance program designed to maintain an attractive appearance and
insure protection of the City' s investment. The program includes:
• Routine inspection of irrigation systems
• Development and implementation of a scheduled watering program.,
• Adjustment of tree stakes and ties to allow for proper growth.
• Pre-emergent spraying to control weed growth.
• Inspection and spraying of trees and plants as. required.
The Maintenance Superintendent has consulted with the- City's landscape
architect on several occasions to review procedures for disease prevention .
and watering programs.
Major emphasis was placed on installation and repair of traffic signs
which were identified as deficiencies in the Office of Traffic Safety .-
(OTS) Study. During 1985-86 a total of 491 traffic signs were installed,
replaced or repaired compared to a total of 154 for the first six months ' .
of 1986-87. Routine inspections and the planned replacement program has
resulted in an overall improvement in the condition of signs and other
safety devices throughout the City. In addition, critical repairs are
handled in a more responsive manner, for example, damaged regulatory
traffic signs are repaired or replaced generally the same day that_
deficiencies are identified. ,
