HomeMy WebLinkAbout4.11 Civic Center Inspection Agreement - CITY OF DUBLIN AGENDA STATEMENT CITY COUNCIL MEETING DATE: JANUARY 25, 1988 SUBJECT Award of Agreement for Civic Center Inspection and Testing EXHIBITS ATTACHE Resolution, Proposed Agreement RECOMMENDATION Adopt the Resolution awarding the agreement to Consolidated Engineering Labratories and Authorize the City Manager to contract for additional services , provided they are required and the total cost does not exceed the budgeted amount. . FINANCIAL STATEMENT: Estimated project costs are approximately $30, 000 based on estimates of construction schedules . Actual costs will be billed on a time and material basis . City may also require additional geotechnical services not to exceed $4, 000. DESCRIPTION At the regular City Council meeting on December 21 , 1987 , the City Council authorized Staff to circulate a Request For Proposal for Testing Services on the Dublin Civic Center . The City received a total of seven responses . All proposals were reviewed to compare cost, responsiveness to the Request For Proposal , and background in performing similar work. Based on this review, three firms were selected to participate in a presentation and interview. These were evaluated by a committee comprised of the Building Official , City Engineer , Construction Manager , and the Assistant to the City Manager . Following this review Staff and the Construction Manager conducted additional reference checks with prior clients of the firms . Based on this process , it is Staff ' s recommendation that the Agreement be awarded to Consolidated Engineering Labratories. The firm has provided a very competitive cost proposal and their background contains experience with both our Design Team and the major contractors on the project . They also have experience with other public agencies . The largest component of the inspection services is anticipated to be in the area of structural steel . Consolidated will be reviewing the fabrication of the steel in the Sub—contractor ' s shop and in the field as it is erected . The testing must be conducted to assure that._ applicable codes are met and quality control standards are maintained. The proposal submitted estimates a total of over 800 hours in testing and -inspection. All of the inspection services will be billed on an hourly basis . Therefore , if the actual time on the job differs , the cost will also fluctuate. Also , the number of individual tests to be conducted may vary depending on actual conditions . The services included in the estimate are : — Concrete Mix Review and Compression Tests — Structural Steel Welding and Erection — Fireproofing Sampling and Thickness Verification — Masonry Grout/Mortar Testing and Sampling — Soils Full Time Inspection and Density Tests This will provide a full range of testing and inspection services for the project . The City Council has previously authorized the firm of Peter Kaldveer and COPIES TO: Harris and Associates ITEM NO. i I lA Associates to complete a Geotechnical Report and Foundation Investigation. If the full—time Grading Inspector views conditions which vary substantially from those identified in Mr . Kaldveer ' s report, additional geotechnical services 'may be necessary . Staff estimates that these services would not exceed $4, 000. However , the flexibility must exist for the City to obtain additional reports or clarifications from Mr . Kaldveer ' s firm. These additional costs would not exceed our current budget for special testing services . Staff would recommend that the City Council adopt the Resolution awarding the Agreement to Consolidated Engineering Labratories . It is also recommended that the City Manager be authorized to procure additional services , provided they are required and do not exceed the budgeted amount . • RESOLUTION NO. - 88 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN ************************** AWARDING AGREEMENT FOR TESTING SERVICES DUBLIN CIVIC CENTER PROJECT WHEREAS, the City has sought proposals from professional firms providing materials testing and inspection services; and WHEREAS, all proposals were reviewed in relation to the firm's cost, background and experience and approach; and WHEREAS, Consolidated Engineering Laboratories has responded to the needs of the City for all services requested in the Request for Proposal . NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby reject all of said proposals except that herein mentioned and hereby awards the agreement to Consolidated Engineering Laboratories . BE IT FURTHER RESOLVED that the Mayor is hereby authorized to execute the agreement. PASSED, APPROVED AND ADOPTED this 25th day of January, 1988. DUBLIN CIVIC CENTER ARTICLE 1 Parties 1.1 THIS AGREEMENT is made this day of 1988, between CITY OF DUBLIN, 6500 Dublin Boulevard, Dublin, California 94568, subsequently referred to as "City" and Consolidated Engineering Laboratories, 415 Peterson Street, Oakland, California, 94601, subsequently . referred to as "Consolidated". ARTICLE 2 Project 2.1 By joining in this agreement, City retains Consolidated to provide consulting services in connection with the proposed Dublin Civic Center Project, subsequently referred to as "Project". ARTICLE 3 Scope 3,1 By this Agreement, the scope of Consolidated service on this project is limited to providing testing and inspection services as required by City from the services outlined in the attached proposal dated January 11, 1988. (Attachment "B"). The services shall include but not be limited to: 3.1.1 Provide concrete cylinder pickup, storage and compressive testing, 3.1.2 Provide inspection of structural Steel fabrication and erection, including nondestructive testing as required. 3.1.3 Provide weekly reports of all testing work performed, including copies of field technicians daily reports. 1 • ARTICLE 4 Personnel 4.1 City shall approve any individual assigned by Consolidated, no individual shall be utilized by Consolidated without City' approval, If at any time during this agreement City requests that Consolidated replace its personnel, Consolidated shall do so immediately and without cost to City. ARTICLE 5 Fee 5,1 As consideration for providing the services required- in this Agreement, City shall pay to Consolidated a fee computed on a cost reimbursement basis. The basis of this payment shall be the unit rates for tests and inspections as provided in Attachment A. These unit rates shall apply for 15 months and shall not be increased during this period. ARTICLE 6 Payment 6.1 For work performed under this Agreement, City shall pay Consolidated on a monthly basis the costs incurred in accordance with Attachment A and actual hours worked or service provided by • Consolidated personnel. . 6.2 Progress payments will be made monthly by City within thirty (SO) days from receipt of an itemized invoice from Consolidated. Invoice will contain itemized listing of personnel, hours worked and tests performed. Progress payments shall be for the invoiced amount, with no retention. ARTICLE 7 RELIANCE UPON PROFESSIONAL SKILL OF CONSULTANT 7.1 It is mutually understood and agreed by and between the parties hereto that Consolidated is skilled in the professional calling necessary to perform the work agreed to be done hereunder-and that City relies upon the skill of Consolidated to do and perform the work in the most skillful manner, and Consolidated agrees to thus perform the work. Consolidated will use that degree of care and skill ordinarily exercised, under similar 2 circumstances, by reputabley members of Consultants profession practicing in the same or similar locality. No other warranty, expressed or implied, is made or intended by this agreement, or by furnishing oral or written reports of the findings made. - ARTICLE 8 HQIO Harmless and Insurance. 8.1 Hold Harmless 8.1.1 Consolidated shall indemnify and save harmless City, it's officers, agents, and employees thereof, from all claims, suits or actions of every name, kind and description, resulting from the negligent performance of any work required by this Agreement by Consolidated, its officers, agents, employees and/or servants. 8.2 Insurance 8.2.1 Consolidated shall not commence work under this Agreement until it has obtained all insurance required under this Section and such insurance has been approved by City. Consolidated shall furnish City with certificates of insurance evidencing the required coverage. These certificates shall specify or be endorsed to provide that thirty (30) calendar days' notice must be given, in writing, to City of any pending change in the limits of liability or for any cancellation or modification of the policy. 8.2.1.1 Consolidated agrees to furnish proof of errors and omission insurance coverage during the entire duration of the project. Limit of coverage shall be $1,000,000.00. 8.2.1.2 Worker's Compensation and Employer's Liability Insurance Consolidated shall have in effect during the entire life of this Agreement, Worker's Compensation and Employer's Liability Insurance providing full statutory coverage. In signing this Agreement, Consolidated makes the following certification, required by Section 1861 of the California Labor Code: 3 • 1 "I am aware of the provisions of Section 3700 of the Labor Code which requires every employer to be insured against liability for worker's compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the p;erformanee of the work of this contract". 8.3 iabilit.y Insurance. • Consolidated shall maintain during the life of this Agreement such Bodily Injury Liability and Property Damage Liability Insurance as shall protect it while performing work covered by this Agreement from any and all claims for damages for bodily. injury, including accidental death, as well as any and all claims for property damage which may arise from Consolidated negligent operations under this Agreement, upon an occurrence basis whether such operations be by itself or by any subcontractor or by anyone directly or indirectly employed by either of them, and/or any claims or demands by reason of any breach or alleged breach of any contract, or provisions thereof, or by reason of any • contractual liability or alleged contractual liability on any contract, entered into by Consolidated and/or any of Consolidated's contractors, subcontractors, agents and/or employees, and the amounts of such insurance shall he One Million ($1,000,000.00) Dollars combined single limit bodily injury and property damage for each occurrence. The CITY OF DUBLIN officers, agents, employees and servants thereof shall be named as additional insured on any such policies of insurance which shall contain a provision that the insurance afforded thereby to the CITY, the officers, agents, employees, and servants thereof, shall be primary insurance to the full limits of liability of the policy. ARTICLE 9 Revisions 9.1 If project requirements indicate that The scope of services covered by this Agreement should be revised, an additional Service Agreement or a written addendum of this Agreement shall be entered into to cover the revised scope and fee, - 4 9.2 If a revision to this Agreement is required, the rates for the increased cost shall be determined by the rates established in Consolidated's proposal to City dated January 11, 1988 and incorporated into this Agreement as Attachment B. ARTICLE 10 Miscellaneous Provisions 10.1 Any changes in this Agreement shall be mutually agreed upon by and between Consolidated and City and shall be set forth only in written amendments to this Agreement and properly executed prior to any performance. 10.2 All work to be performed shall be in accordance with all laws, rules and regulations of the United States Government, the State of California and the City of Dublin. 10.3 Pursuant to Attachment B, no work under this Agreement shall be completed by any subcontractor . without the written approval of the City. ARTICLE 11 Termination of Agreement 11.1 This Agreement may be terminated at any time, by either party, for breach of contract. The City may terminate unilaterally with reasonable cause upon thirty (30) days written notice to Consolidated. All work performed pursuant to the Agreement and prior to the date of termination may be claimed for reimbursement, upon audit and verification of the work completed, pursuant to the schedule of rates in Attachment "A". Masonry Prism Pick—Up $50.00 each All flat rates shown above shall include all office charges and overhead necessary to provide City with a written test results report . 2 Hourly Rates (Manpower) The base rate for all field inspection shall be $31 .00 per hour . The rate per hour will not fluctuate for part—time work. Work over 8 hours (Saturdays) add $17.00/hour to base rate . Work on Sundays and/or Holidays add $34. 00/hour to base rate . All hourly rates shall be inclusive of wages , benefits, direct site overhead, home office overhead , supervision, site visits by home office personnel , cost of testing apparatus , profit, and transportation. Minimum Increments . All hourly services will be billed in accordance with the following increments : Sampling , Minimum Charge ' . Bill 2 hours Work from 0-4 hours Bill 4 hours Work from 4-8 hours Bill 8 hours Exclusion of Minimum Increments The minimum increments shown above shall not be billed to City if Consolidated is capable of providing the Inspector with assignments at other locations , which would result in billing more than a total of 8 hours for an individual employee. Consolidated shall certify that all invoices are prepared in accordance with this section. City shall reserve the right to review Consolidated employee time sheets during normal business hours to determine compliance with this agreement. These costs are dictated by the requirements of Operating Engineers, Local #3, of which our inspectors are members: Work over 8 hours, Saturdays Add $17.00/hour Work on Sundays and/or Holidays Add $34.00/hour Work from 0 - 4 hours 4 hour minimum Work from 4 - 8 hours 8 hour minimum Sampling/Show-up 2 hour minimum 4. Fees Fees for our services will be billed on a time and expenses basis, at the unit rates quoted. If subcontractors perform more quickly than projected, you will receive a cost savings for testing. If, however, subcontractors' schedules are extended, you receive a resulting increase in costs for testing. All such cost overruns will be brought tc; your'attention immediately. It is not our intent to misrepresent current schedules information in order to put us in a better position to be selected for this contract. Rather, we strive to reflect a realistic picture of testing and inspection costs. Payments are due within 30 days from the date of the invoice.
