This Amendment provides for increased compensation and benefits for the City Manager effective May 1, 1984, which is the commencement date of the second year of a two-year agreement between the City and the City Manager . • • COPIES TO: ITEM NO. o • AMENDMENT TO AGREEMENT OF JUNE 27, 1983 BETWEEN THE CITY OF DUBLIN AND RICHARD C. AMBROSE WHEREAS, the City of Dublin, in recognition of the high quality of managerial services provided by Richard C. Ambrose as City Manager , desires to amend certain terms of the June 27 , 1983 Agreement for compensation of said City Manager . NOW, THEREFORE, it is agreed as follows : 1 . Paragraph . 2 of said June 27 , 1983 Agreement is amended to read as follows : "Effective May 1, 1984 , the City shall pay to AMBROSE and AMBROSE shall accept from the City for services for the remainder of the employment term, compensation at the rate of $48 ,375 per year , payable in semi-monthly installments . 2 . Paragraph 3 of said June 27 , 1983 Agreement is amended in the following particulars only: "The City will pay the International City Management Association membership dues for AMBROSE. " 3 . Paragraph 5 of said June 27 , 1983 Agreement is amended in the following particulars only: "The City will pay the employee contribution to the PERS Retirment System for AMBROSE in addition to the employer contribution . IN WITNESS WHEREOF, the parties hereto have executed this Agreement in duplicate at Dublin, California, this 26th day of June, 1984 . Ambrose City Manager CITY OF DUBLIN • } • AGREEMENT • THIS AGREEMENT. is made and entered into this 27th day of June , 1983 , by and between the 'CITY OF DUBLIN, a Municipal Corporation, hereinafter referred to as the "CITY" , and RICHARD C. AMBROSE, hereinafter referred to as "AMBROSE" . RECITALS - A. AMBROSE is currently the City Manager of the CITY. B. The CITY acknowledges and recognizes the value of AMBROSE ' s services . C. The CITY desires to continue to employ, retain and make sure for itself the unique abilities and services of AMBROSE as City Manager of Dublin for a period of two (2) years . • D. Both parties desire to embody the terms and conditions of AMBROSE into a written agreement. NOW, THEREFORE, in consideration of the mutual promises , conditions and covenants herein contained, the . parties agree as follows : 1. Employment Capacity and Term CITY hereby employs AMBROSE as City Manager. It is further understood that AMBROSE shall at all times be employed solely in this capacity as City Manager of Dublin. The term of employment shall be for a period of two (2) • years , commencing on May 1, 1983 , and ending on April 30 , 1985 . 2 . Compensation . Effective May 1, 1983 , the CITY shall pay 'to AMBROSE, and AMBROSE shall accept from the CITY, for services during the employment term, compensation at the rate of $45 ,000 . 00 per year, payable in semi-monthly installments . Said $45 , 000 . 00 shall be referred to in this paragraph as "base salary" . Nothing herein shall prevent the CITY from raising AMBROSE ' S base salary in the second year of the employment term in an amount that is satisfactory to both parties hereto. -1- 3 . Expenses The CITY will continue to pay AMBROSE the sum of $300 . 00 per month for his use of his personal automobile for CITY purposes and to pay for membership dues in professional , civic or service organizations . In addition thereto, the CITY shall reimburse AMBROSE for all actual and necessary expenses for travel or for attendance at meetings of professional organizations related to CITY business , including mileage at a rate per mile to be fixed by the • Council . 4 . . Vacation - Illness AMBROSE shall be entitled to an annual leave of " 22 days for vacation or. illness . .AMBROSE will be allowed to carry over to the next year a total of eight unused annual ' leave days from the prior year. Subsequent carry-over of unused leave shall be limited for sick leave use only, with'" the maximum carry-over not to exceed a total of 30 days . 5 . Benefits The CITY will continue to provide AMBROSE with the following benefits : a. ) A PERS retirement program, the employer- employee costs to be shared in the customary manner provided for by PERS . b. ) Customary dental and health insurance benefits for AMBROSE and his family. 6 . Termination In the event that the City Council terminates AMBROSE ' s employment for reasons other than acts involving moral turpitude, the CITY shall pay to AMBROSE, upon _ _ termination, a sum equal to 90 days salary. Similarly, the City Council will require 90 days notice if AMBROSE resigns. 7 . Ambrose City Manager CITY OF DUBLIN • -3- • M E M O R A N D U M • TO: City Council FROM: Councilmember Linda Jeffery & Mayor Peter Snyder SUBJECT: Salary Review - Richard Ambrose, City Manager - DATE: June 25 , 1984 - Mayor Peter Snyder - and I ' met with Richard Ambrose on Friday, June 22 , 1984 to negotiate a salary: increase. - We are .-. recommending that the Council approve a raise in salary of $3 ,375 per year on his base salary of $45,000 + picking up the 7% employee contribution' to PERS, and retaining the car allowance as is currently given ( $300/month) . • •
