RECOMMENDATION: iF 1) Review agreements. 2) Adopt resolution approving Second Amendment to the Agreement between the City and Wallace Roberts &V Todd. 3) Adopt Resolution approving Second Amendment to the Agreement between the City and sponsoring property owners. 4) Authorize City Manager to sign the agreements between: a) the City and Wallace Roberts & Todd; b) the City and sponsoring property owners; all of which should occur after monies have been received from sponsoring property owners paying for the additional work. FINANCIAL STATEMENT: See discussion below T� ITEM NO. _, , COPIES: East Dublin Sponsoring .�,�„ Property Owners File PA 87-031 -1- [a:RB10-30/87-031] DESCRIPTION: BACKGROUND On September 19, 1989, a meeting was held between Staff, WRT and East Dublin sponsoring property owners. The purpose of this meeting was to review and discuss the East Dublin Preliminary Draft General Plan Land Use Alternatives and Policies. During the meeting, the sponsoring property owners indicated several concerns with the content of the preliminary draft land use alternatives and policies. They identified portions of the alternatives and policies which they felt were impractical or unworkable. They wanted to see more refined alternatives, with increased yields in some areas and reduced yields in others. They requested that Staff have WRT revise the documents to produce more workable alternatives, and they identified the types of development policies they wanted considered. At this meeting, the property owners also requested that the various subcontracting consultants be available at all future sponsoring property owner meetings to answer technical questions associated with the work produced. The property owners also requested that technical work sessions be held. At these sessions, Staff, WRT, the various subcontractor consultants and the sponsoring property owners would meet to share and discuss information important to the production of the General Plan Amendment. The addtional work requested by the property owners is not covered in existing agreements. In order to accommodate their requests, new agreement amendments must be entered into. COST FACTORS The existing agreements between the City and WRT do not include provisions for more refined General Plan Land Use Alternatives. Minor modifications were anticipated, but not revisions to the extent of new and different alternatives, as requested by the property owners. The existing agreements also do not include provisions for technical work sessions with sponsoring property owners at which the various subconsultants were to attend. The additional cost to cover these items are as follows: More Refined General Plan Land Use Alternatives $ 7,592. 00 Technical Meetings $ 7,808.00 Sub-consultants at Sponsoring Property Owner Meetings $ 11,100. 00 TOTAL $ 26,500.00 THE AGREEMENT AMENDMENTS Two separate agreement amendments are attached for your review. Please refer to Attachments 1 and 2. Each of those agreements must be entered into prior to having WRT and the sub-consultants perform the additional work. It is recommended that the Council review Attachments 1 and 2 (the agreements) and adopt Exhibits A and B, resolutions approving the agreement amendments. In addition, it is recommended that the Council authorize the City Manager to sign the agreement amendments. These signings are to occur after monies have been received from sponsoring property owners to pay for the additional work. -2- It should be noted that of the fourteen different sponsoring property owners, nine have decided to participate in paying for their proportional share of the cost to do the additional work. Approximately $12, 854 remains unsponsored. Typically, the City' s policy has been to have sponsoring property owners pay for these unsponsored costs. Attachment 3 provides a breakdown of these costs. The additional work applies to the General Plan. Sponsoring property owners paying for additional work are doing so voluntarily. There will not be any reimbursement of these costs since they are applicable to the general plan amendment study. Finally, with respect to the $50,000 of Staff time the Council donated to this study, a review by the Finance Director shows that we are close to or already have exhausted these funds. Unless otherwise instructed, once the $50,000 is expended, the sponsoring property owners will be responsible for paying any additional Staff cost incurred. -3- RESOLUTION NO. - 89 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN A RESOLUTION APPROVING SECOND AMENDMENT TO AGREEMENT (EAST DUBLIN) WHEREAS, the City Manager has presented an Agreement entitled "SECOND AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES FOR PREPARATION OF THE EAST DUBLIN GENERAL PLAN AMENDMENT STUDY, SPECIFIC PLAN STUDY AND ENVIRONMENTAL IMPACT REPORT" ; and WHEREAS, the City Council is familiar with the provisions of said Agreement. NOW, THEREFORE, the City Council does resolve as follows: The City Council approves said Agreement and authorizes the City Manager to execute said Agreement. PASSED, APPROVED AND ADOPTED this 30th day of October, 1989. AYES: NOES: ABSENT: Mayor ATTEST: City Clerk -3- i SECOND AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES FOR PREPARATION OF THE EAST DUBLIN GENERAL PLAN AMENDMENT STUDY, SPECIFIC PLAN STUDY AND ENVIRONMENTAL IMPACT REPORT WHEREAS, the City of Dublin ("The City") and Wallace Roberts & Todd ("The Consultants") are parties to an agreement entitled "Agreement for Consultant Services for Preparation of the East Dublin General Plan Amendment Study, Specific Plan Study and Environmental Impact Report" , dated August 5, 1988, which agreement was amended by the First Amendment to Agreement for Consultant Services for Preparation of the East Dublin General Plan Amendment Study, Specific Plan Study and Environmental Impact Report, (the "Agreement") ; and WHEREAS, additional technical services and preliminary draft General Plan Land Use Alternative revisions are necessary for completion of the work to be performed under the Agreement; and WHEREAS, The City and The Consultant desire to amend the Agreement; NOW, THEREFORE, The City and The Consultant agree to amend the Agreement as follows: A. Exhibits "A" and "A-1" are amended by adding thereto the work set forth on Exhibit "A-2" attached hereto and incorporated herein, to be included within the scope of work. B. Paragraph III is amended by deleting the sum of $571,833 and adding in its place the sum of $598,333. Except as expressly set forth herein, the Agreement shall remain in full force and effect. Ambrose, City Manager Date: Wallace Roberts & Todd By: Title: Date: • 3 SCOPE OF WORK AND COSTS FOR ADDITIONAL TECHNICAL SERVICES AND PRELIMINARY DRAFT GENERAL PLAN LAND USE ALTERNATIVE REVISIONS (EAST DUBLIN) A. Revision to Preliminary Draft General Plan Land Use Alternatives Revisions to the East Dublin preliminary Draft General Plan Land Use Alternatives and Policies (submitted to the City of Dublin on September 8, 1989 by Wallace Roberts and Todd) are necessary. The revised alternatives will be as follows: 1. The No-Project Alternative: The new Alternative 1 will follow the same pattern and goals of the original Alternative 1 (as previously submitted to the City by WRT on 9/8/89) . It will include any possible increase in residential holding capacity consistant with all existing General Plan policies. Holding capacity would likely be in the 8000+ dwelling unit range. 2. The Medium Intensity Alternative: The new Alternative 2 would be based on the patterns and goals established in the previous Alternatives 1 and 2 (as previously submitted to the City by WRT on 9/8/89) . It will adhere to existing General Plan policies except in the area of mass grading. Holding capacity would likely be in the 13,000 to 17,000 dwelling unit range. 3. The Medium-High Intensity Alternative: The new Alternative 3 would combine elements of the previous Alternatives 2 and 3 (as submitted to the City by WRT on 9/8/89) . It will achieve a holding capacity in the range of 17,000 to 19,000 dwelling units. COST - $7,592 B. Technical Services at Sponsoring Property Owners Meetings In order to provide additional technical services to sponsoring property owners, WRT's subconsultant representatives will attend all future sponsoring property owner meetings as deemed necessary by City Staff. This includes Alison Massa of WRT, together with one to three WRT subconsultant staff members, plus, at those meetings concerning the specific plan, attendance by a WRT Assistant Planner. COST - $11,100 C. Technical Coordination Meetings: In order to provide additional technical services to sponsoring property owners, two technical coordination meetings will be held. These meetings will be attended by Alison Massa of WRT, a WRT Assistant Planner, at least four WRT subconsultant staff as well as City Staff. All sponsoring property owners and their subconsultants may attend each session. The second session will address traffic, circulation and traffic model assumptions, and the effect of increased residential capacities on traffic volumes as related to each project alternative. COST - $7,808 TOTAL ADDITIONAL COST - $26,500 • SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF DUBLIN AND THE SPONSORING PROPERTY OWNERS FOR PAYMENT OF A PORTION OF THE COSTS OF THE EAST DUBLIN GENERAL PLAN AMENDMENT STUDY, SPECIFIC PLAN STUDY AND ENVIRONMENTAL IMPACT REPORT WHEREAS, ("the Property Owner") and the City of Dublin ("The City") are parties to an agreement entitled "Agreement between the City of Dublin and the Sponsoring Property Owners for Payment for a Portion of the Costs of the East Dublin General Plan Amendment Study, Specific Plan Study and Environmental Impact Report, " which agreement is dated , and was amended by the First Amendment to Agreement Between the City of Dublin and the Sponsoring Property Owners for Payment of a Portion of the Costs of the East Dublin General Plan Amendment Study, Specific Plan Study and Environmental Impact Report, dated ("Agreement") ; and WHEREAS, additional professional services are required for the purposes of preparing the General Plan Amendment Study and Environmental Impact Report ("EIR") ; and WHEREAS, the total costs of such additional services is $26,500; and WHEREAS, because this Amendment relates only to costs for the General Plan Amendment and EIR, the agreement of all Sponsoring Property Owners is not required to the amendments set forth herein; and WHEREAS, the Property Owners and The City hereby agree to amend the Agreement as follows: A. Section 2 is amended by deleting Section 2 and adding Section 2 to read as follows: 2. Payment to the City. The Property Owner will pay The City the following amounts as its proportional share of the cost of preparing the General Plan Amendment, the Specific Plan, the Environmental Impact Report and related documents as more fully described above: General Plan (The Property Owner's property only) $ Supplemental General Plan (Geotechnical and biological) $ Supplemental General Plan (2) (Additional Technical Services and Task Revisions) $ ATIACHMENT Additional General Plan Costs (The Property Owner's proportional share of the costs ascribed to the parcels owned by non-participating property owners) $ Total $ B. Section 3 is amended by adding thereto the following sentence: "The sum indicated in paragraph 2 as "Supplemental General Plan (2) (Additional Technical Services and Task Revisions)" is Property Owner' s proportionate share of $26,500 and shall be paid by the Property owner to the City within twenty (20) days of execution of this Amendment.
