FINANCIAL STATEMENT: Cost estimated at $960 - $1, 200
Budget transfer from Contingent Reserve would be
required. It is possible that these funds could be
reimbursed to the City at the time that the franchise
is awarded.
DESCRIPTION The City of Dublin has received a request from the
Citizen ' s Cable Television Advisory Committee to participate in the hiring
of a Cable Television Consultant . This Consultant would be used to provide
the following services : 1 ) provide additional technical and legal expertise
in drafting a cable tv ordinance and an agreement that will implement the
Cities concerns; 2 ) identify options realistically available to cable
subscribers a'nd professionally evaluate the offer made by Viacom Cablevision
as part of the Pleasanton and Livermore franchise negotiation process; 3 )
provide up-to-date information regarding changes in the legal structure
under which cable systems must currently operate.
It is estimated that the cost 'of obtaining a Consultant is approximately
$8 ,000-$10 , 000 .
The CCTAC has interviewed four consulting firms and is recommending that the
services of Mr . Carl Pilnick of Telecommunications Management Corporation of
Los Angeles be selected . Attached is an impressive list of references for
this Cable Television Consulting Firm.
It is the position of the Citizen ' s Cable Television Advisory Committee that
it would be beneficial for the cities of San Ramon and Dublin to participate
in the franchise negotiation process that is going to take place in the
cities of Livermore and Pleasanton even though the cable tv franghises for
the cities of San Ramon and Dublin will not expire until 1986 and 1988
respectively.
Since Dublin subscribers only represent 12% of the total subscribers served
by Viacom in this area, Staff concurs with the CCTAV' s recommendation. If
the City of Dublin .does not participate, it would be very difficult in 1988
for the City to obtain any different services than the Cities of Pleasanton
and Livermore received in 1985 since the City has such a small percentage of
the total subscribers . If all four Cities served by Viacom discussed the
services provided . by Viacom as part of the 1985 franchise renewal process
with Pleasanton and 'Livermore, the Cities which are served will have the
ability to more effectively negotiate with Viacom.
As indicated in the attached letter , it is recommended that the cost of a
Cable TV Consultant be distributed to each City on the basis of its
percentage of the total number of subscribers . The letter further indicates
that it is standard practice that the Cable TV operator awarded the
franchise, reimburse the City for any expense incurred in obtaining
specialized services as are proposed .
Staff has met with the City Managers of Livermore and Pleasanton and
discussed the means in which a negotiating committee would be developed. It
is anticipated by the City Managers of those Cities that a steering
committee will be developed consisting of City representatives .

Dear Mayor Snyder and Councilmembers:
For the past several months, members of the Citizens
Cable Television Advisory Committee have been reviewing cable
television ordinances and franchise agreements from other
communities in order to gather information and ideas that
could be used to prepare a recommended model cable television
ordinance and franchise agreement for presentation to the four
City Councils represented on the Citizens Cable Television
Advisory Committee.
The work has not been easy because there is a voluminous
amount of material to review. During the past several months,
the Committee has heard presentations from four different
cable television consultants to learn what help and assistance
each might be qualified to give in helping to develop a model --
ordinance and franchise agreement. Committee members feel
that the use of a consultant would be beneficial in the
following ways:
1 . Provide additional technical/legal expertise in drafting
an ordinance and an agreement that will implement the
Committee' s concerns.
2. Consult, on behalf of the City' s interests, presgnt
r% options realistically available to cable subscribers, and
professionally evaluate the franchisee' s offer.
3. Provide current information regarding continual changes in
the legal structure under which cable systems are currently
operating .
Having interviewed four consulting firms, the Committee
concluded that Mr. Carl Pilnick (Telecommunications Management
«' Corporation, Los Angeles) was the most qualified . At their
meeting on February 2 , 1984 , the Advisory Committee members
voted unanimously to recommend Telecommunications Management
` Corporation be retained to consult in preparing the Request
for Proposal (RFP) , proposed ordinance and franchise
agreement .

The cost for services would range between $8 ,000 -
$10 ,000 , depending upon the amount of assistance provided.
The Committee recommends that costs be divided on a per
subscriber household basis. It is standard practice to
provide as a condition of award of franchise that the cable
operator pay the costs of consulting services needed.
Consequently, each city would be reimbursed for the cost of
its consulting services.
The Citizens Cable Television Advisory Committee requests
that your City take action on this recommendation.

GENERAL EXPERIENCE
Telecommunications Management Corp. (TMC) is an independent
consulting firm with no ties either to cable system operators or
equipment manufacturers. The bulk of TMC's work in cable communi-
cations is for franchising agencies , such as cities and counties ,
and major users of communications services , such as . universities
and school systems.
With specific respect to assisting cities through the cable
television franchising process, TMC' s experience is unparalleled.
TMC is now providing or has provided consultant services to such
major cities as Baltimore, Minneapolis., Phoenix, Miami, Nashville,
New Orleans , Cincinnati, Jacksonville, Little Rock and Portland,
among others, in addition to over one hundred smaller communities .
Details of a few key .assignments are attached.
TMC has been closely involved with all aspects of the cable
television franchising process , including the following:
(a) Liaison with local government staff, municipal
consortia, and public and citizens ' advisory
committees .
(b) Planning studies of new services that could
be provided via cable systems , the costs and
benefits of- such services, and the projected
economic viability of cable television systems
in various markets. --

(c) . .~Drafting recommended cable television .
:ordinances for , the consideration of. local
' governments:

utilizing -procedures.-.that facilitate a _
comparative evaluation of the strengths
and weaknesses of each applicant.
(e) Evaluation of franchise applications, in a

complex factors involved, such as financial
capability, subscriber rates, programming
and services, system technical design, etc.
(f) Participation in staff and Council briefings ,
public hearings , and meetings and negotiations
with franchise applicants , leading toward a
final franchise award and agreement.
(g) If desired, provision of post-franchise
consultant services in such areas as
reviewing system construction and operations ,
rate analysis and planning for governmental
and public use of cable system facilities.
