FINANCIAL STATEMENT Approximately $5, 350 (based on 10% of
the estimated construction cost of
$53, 500), Sufficient funds were
budgeted for acquisition which will not
be necessary and . therefore, are
available for design services .
DESCRIPTION At the ° July 14, 1986 meeting of the
Dublin City Council, the Council approved the Request For
Proposals for the Senior Citizens Center and authorized staff to
advertise for consultants .
One proposal was received by the August 8, 1986' closing date.
The proposal, received from Grossmann, Stoller & Associates, was
reviewed by the Head Building Official, the City Manager and the
Recreation Director and was found ' to be in order. In addition,
staff has checked with the references provided and favorable
comments were received. Therefore, it is staffs recommendation
that the firm of Grossmann, Stoller & Associates be retained to
provide architectural services for the renovation of the Fallon
School Multi-Use Room for the proposed Senior Citizens Center.
Staff has prepared an agreement which outlines the
responsibilities of the City and the consultant (Exhibit B) . The
total cost to the City is approximately $5, 350 which represents
10% of the anticipated construction cost.
It is the recommendation of staff that the City Council take the
following action:
1. Retain the Firm of Grossmann, Stoller & Associates to
Provide Architectural Services for the Renovation of
Fallon School for Senior Citizen Use
2 . Authorize the Mayor to Execute the Agreement

TECHNICAL APPROACH
RESTROOM DESIGN
GROSSMANN STOLLER 8 ASSOCIATES has prepared designs for many restrooms for
both public and private clients. In each of these designs, one of the
primary goals was to achieve barrier free access for the physically dis-
abled. Other goals were use of materials, fixtures, and finishes that are
able to absorb the heavy wear and tear of public restroom use, and still
maintain an aesthetic look with minimal maintenance. - Our extensive ex-
perience, which is more completely described below, has led us to a design
approach that analyzes frequency of use and maintenance, and from this data
determines the appropriate types of finish materials and plumbing fixtures
consistent with the client' s budget.
Specific goals incorporated into all designs for restroom facilities
accessible to the public include: '
- Barrier free access for the physically disabled.
- Standard plumbing fixtures and accessories for ease of replacement .
- Mildew and rot resistant materials:
- Proper floor drainage for ease of cleanup.
- Careful selection of colors and textures to promote a pleasing environ-
ment .

Description Interior improvements for 20,000 SF of office space for
Digital Equipment Corporation. The facility includes a
computer center, conference rooms, snack area, , private
offices, two large open office areas, and a reception area.
The project included design and space planning services for
all fixed partitions, ceilings, and floor finishes, and
preparation of layouts for the open office areas, and design
of the individual workstations. Individual workstations
utilized a modular furniture system: however, each work-
station was customized to accommodate the computer and data
processing equipment needs of the specific user.

These projects included the redesign of offices and workstations to
create a more productive workspace. Special attention was paid to
accommodating electronic equipment used by the staff. Initially data
for programming and defining people and equipment needs was collected
through staff responses to questionnaires and interviews. Alternative
layouts accommodating new workstations were prepared and reviewed with
the staff. Adjacency block diagrams were prepared and a schematic
layout of the space proposed for review. After approval of the
schematic design, Contract Documents were prepared including specifica-
tions for all furniture.
- Project Management of Spaceship Earth and Main Entrance Complex at
EPCOT Center, Walt Disney World, Florida.
His responsibilities included development of design and construction
documents, and interface during construction, including a loo-foot-dia-
meter geodesic sphere, a monorail station, and several other commercial
and retail facilities.
- FrinciDal in charge of Public Restrooms, East Parking Lot , Golden Gate
Bridge, San Francisco, California
His responsibilities include development of design and construction
documents for this new restroom facility at the Golden Gate Bridge.
Project Architect for the remodel and an addition to the Exploratorium,
Palace of Fine Arts, San Francisco.

Project Manager for an Arena Feasibility Study for the Santa Clara
County Fair Association, including conceptual master planning, land use
studies, market feasibility study, traffic impact study, and develop-
ment of operational and performance characteristics:

- Kitchen Remodel , Sohio Petroleum Company' s base camp, Prudhoe Bay,
Alaska. Responsible for the preparation of contract documents and
consultant coordination for the remodel and addition to the existing
food services facilities which serves 600 people. New equipment ,
finishes and utilities were provided.
- Spaceship Earth Pavilion, EPCOT Center, Walt Disney World, Florida.
Responsible for . preparation, of construction documents for several
aspects of this project, including the Earth Station exhibit area, the
upper projection screen area, and exterior detailing .

On projects of this type, we estimate the design cost would be about 10;: of
the construction cost. Based on past experience, the design can be com-
pleted in about four (4) weeks, if client approvals are forthcoming in a
timely manner.

STATEMENT REGARDING SIZE AND WORKLOAD
GRROSSMANN STOLLER & ASSOCIATES is a small architectural firm located in San
Francisco, California. The principal , senior architects, and technical
support staff have worked together for many years. Together, they have
successfully completed many projects of a similar nature and size. Our
current work load would allow us to assign a project architect, whose resume
is included, to the project . The principal in charge will devote as much
time as required to assure that the project is completed in a timely, cost
effective, and high quality manner .

FIRM DESCRIPTION
INTRODUCTION
In a rapidly evolving world, there are no obvious forms for solutions to
facility programs on specific sites. Developed designs grow out of an
analysis of the interrelationships between desired activities, and the
specific setting where the facility will be sited. GROSSMANN STOLLER &
ASSOCIATES believe that this complex situation requires that the designer
work intimately with the client and, where appropriate, the public to seek
design solutions that both meet the client' s program and project budget .
The method evolved, which has been employed very successfully on many large
and small past projects, assumes that several development options are
considered as solutions at each stage of the design. The options are
reviewed with the client and each is tested against the program data to
determine how well it meets the project' s objectives. Together, the client
and designer select a preferred option at each stage for detailed develop-
ment. The principals of the firm have successfully employed this method on
a variety of projects including laboratory and office facilities for
electronic firms, employee housing for natural resource companies, and theme
park facilities. In each project, they have found the most appropriate
solution out of the many presented.
The principals of GROSSMANN STOLLER & ASSOCIATES want the opportunity to
prove that a combination of creative design, sensitivity to the environment,
and an understanding of project economics and schedule will produce a very
successful facility-
PROFESSIONAL SERVICES
Projects have a life cycle and can be : divided into . separate phases. For
each of these phases, GROSSMANN STOLLER & ASSOCIATES provides professional
services as outlined below.
Feasibility Planning Phase.i, Services are intended to outline the size,
location, technical feasibility, governmental approvals required, schedule
and budget for the project . At the end of this phase, the client should be
in a position to decide whether the project meets the objectives.
Design Phase. 9 Services are organized around elaborating the material
produced in a previous phase. The technical definition of the project is
completed, including drawings and specifications. Mutual agreement on final
budgets and schedules is achieved. Permit applications are submitted and
supporting infrastructure requirements reviewed. The client is advised of
any anticipated changes in the program and at regular intervals is asked to
review and approve the progress of the work.

Construction and. Start-up Phase. Services are in support of the client and
contractor. Our role includes monitoring the performance of the contractor
with regard to quality of work and adherence to schedule. In addition, we
review requests for changes from the contractor, and review specific items
as set forth in the contract documents. Progress payment applications by
the contractor are compared with actual construction completion and submit-
ted to the client for payment .
Speci-ali'z'ed Consulting* Services In addition to the above project services,
the firm provides consulting services to other architects, engineers, and
public agencies in areas where special expertise is required. These areas
include:
• Technical specifications preparation.
• Roofing and waterproofing
• Curtainwall design.
• Interiors programming
• Specialized interior design for unusual environments
PROJECT MANAGEMENT
To complete projects in a cost effective manner, within the given time
frame, a modified matrix management approach is utilized. We believe any
project requiring a team of individuals from several disciplines to achieve
completion can be managed using a matrix approach.
The project manager uses a work breakdown structure to control and monitor
the project. This enables both the client and project manager to identify
the key individuals who will be assigned to the project, and to know what
role each will perform. The use of a work breakdown structure also allows
scheduling of the tasks in a sequential manner, and comparison of real
progress with an original schedule. Project scheduling software is used to
develop relationships between tasks, durations, project milestones, and to
evaluate work progress.
Work progress is measured utilizing an earned value approach. Each task
identified in the work breakdown structure is assigned a manhour budget and
time frame. Actual progress, not manhours expended, is measured every week
by the project manager . The actual percentage of completion is compared
with the expected performance, and a variance from the original manhour
budget and schedule calculated. Critical to the success of this method is
the agreement by all parties at the onset that the budgeted manhours and
time frame are reasonable.

GROSSMANN STOLLER & ASSOCIATES assists - clients in achieving the goal of
increasing employee productivity and satisfaction with their workspaces
through planning and designing function and aesthetic interiors. Data
regarding existing conditions and work flow is gathers. Problems with

The ARCHITECT and the CITY agree as set forth below:
I . The ARCHITECT shall provide the following professional
services for the CITY in accordance with the Terms and
Conditions of this Agreement.
A. Project Scope of Work: See Attachment A.
II . The CITY shall compensate the ARCHITECT in accordance with
the Terms and Conditions of this Agreement.
A. For professional services described in Paragraph I,
compensation shall be as follows:
ARCHITECT' S fee as submitted shall not exceed ten
percent of the construction ' cost. The. estimated
construction cost is $53 , 500 . ,
B. Compensation for the ARCHITECT' S reimbursable expenses
and for compensation for professional services not
described in Attachment A shall be on the basis of the
ARCHITECT' S standard hourly rates as outlined in
Attachment B, and expenses, including expense of
transportation and living when traveling, long distance
telephone calls and telegrams, expense of
reproductions, postage and handling of written material
and drawings shall be reimbursed at cost.
III . The ARCHITECT and the CITY agree in accordance with the
Terms and Conditions of this Agreement that:
A. Payments for professional services described in
Paragraph I shall be based on a percentage of
completion of the basic services described in Paragraph
I at the end of each month. Payment will be due no
later than 30 days from the date of the invoices .
Invoices will be mailed on the 1st day of each month.
Ten percent (10% ) retention shall be made on each
progress payment until the entire project is completed.
B. If the Scope of the Project is changed materially,
compensation for professional services shall be subject
to renegotiation.
C. The CITY shall have the right to stop the ARCHITECT ' S _
work at any time by notifying the ARCHITECT in writing
to stop work on the professional services described in
Paragraph I . The CITY shall. be liable for payment for
all invoices previously rendered and for any work
performed by the ARCHITECT during the time that elapses
between the last invoice and the notice to stop work.

D. If the CITY objects to any invoice submitted 'by the
ARCHITECT, he shall so advise the ARCHITECT in writing,

invoice which- has- been accepted by the CITY.
E. If the CITY fails to pay the ARCHITECT as described in
this. Sectioni, :the -ARCHITECT may, after. giving written
notice to the CITY, suspend services under this
Agreement until his outstanding invoices have been paid
in full, with the exception of the retention identified
in "A" above.
IV. ARCHITECT shall be the project administrator. ARCHITECT
hereby agrees to provide the. professional skills necessary
to perform the work contemplated under this Agreement; and
recognizes that the CITY, not being skilled in such matters,
relies upon ARCHITECT to perform -the required work in a
skillful and professional manner. The acceptance by CITY of
all or any portion of the work performed shall not operate
as a release of ARCHITECT from said Agreement.
Furthermore, ARCHITECT agrees that all architectural
services to be provided under the terms of this Agreement
will be accomplished by or under the direct supervision of
ARCHITECT' S licensed to practice in the State of California.
V. THE CITY' S RESPONSIBILITIES
A. Shall provide all available information regarding the
requirements of the project to the ARCHITECT including
topographic and site survey information, and as-built
drawings of existing buildings and shall assist in
obtaining other pertinent information.
B. Shall designate, when necessary, a representative
authorized to act on their behalf with respect to the
project . The CITY shall examine documents submitted by
the ARCHITECT and shall render decisions pertaining
thereto promptly, to avoid unreasonable delay in the
progress of the ARCHITECT' S services.
C. The CITY shall advise the ARCHITECT of the identity of
other consultants participating in the project and the
scope of their services .
VI . TERMINATION OF AGREEMENT
A. This Agreement may be terminated by either party upon
seven days ' written notice should the other part fail
substantially to perform in accordance with its terms
through no fault of the party initiating the
termination.
VII . OWNERSHIP OF DOCUMENTS
A. Drawings, Reports and Specifications prepared by the
ARCHITECT as instruments of service are and shall
become the property of the CITY, whether the Project
for which they are made is executed or not. They are
not to be used on other projects except by agreement in
writing. ARCHITECT shall not assume liability for any
alterations in final approval unless said alteration is
approved in writing.
VIII . INDEMNITY AND INSURANCE
A. ARCHITECT shall be solely responsible and hold CITY
harmless for all matters relating to the payment of
ARCHITECT' S employees, including compliance with Social
Security, Worker ' s Compensation laws, tax withholding,
and all regulations governing such matters .

ARCHITECT shall indemnify and hold CITY harmless from
liability for personal injury, property damage and/or
death_ 1 proximately__ caused _ by the negligent, ...acts or,-.
"omissions or willful misconduct. of ARCHITECT or anyone
acting on ARCHITECT'S behalf in connnection with this
Agreement.
B. INSURANCE - ARCHITECT shall obtain, and keep in furl...
force and effect, at all times during the term 'of
this Agreement, . the following insurance and
bonding:
a. Compensation insurance necessary in
connection with _..the performance of this
Agreement to protect all of ARCHITECT' S
employees under the Workmen' s Compensation
Insurance and Safety. - Act. Such insurance
shall relieve CITY from all responsibility
therefore. _
b. Professional liability insurance, including
errors and omissions coverage, in an amount not
less than $1 million. Evidence of this
insurance, by certificate from the insurer or
insurers, shall be given to CITY. CITY shall
be an additional named insured on the policy or
policies. The policy or policies shall
provide that no cancellation or material
change shall be made in them unless at least
thirty days ' prior notification thereof shall
have been given to CITY.
IX. NON-EMPLOYMENT
A. Neither the ARCHITECT nor of its employees shall by
virtue of this Agreement be an employee of CITY for any
purpose whatsoever, nor shall it or they be entitled to
any of the rights, privileges, or benefits of CITY
employees . ARCHITECT shall be deemed at all times an
independent contractor and shall be wholly
responsible for the manner in which it performs
services required by the terms of this Agreement.
ARCHITECT assumes exclusively the responsibility for
the acts of its employees as they relate to the
services to be provided during the course and scope of
their employment.
X. COMPLIANCE WITH LAWS
A. ARCHITECT shall comply with all applicable laws,
ordinances, and codes of federal, state, and local
governments in performing any of the work embraced by
this Agreement.
XI . SUCCESSORS AND ASSIGNS
A. Neither the CITY nor the ARCHITECT shall assign, sublet
or transfer his interest in this Agreement without the
written consent of the other.
XII . ARBITRATION
A. All claims, disputes and other matters in question
arising out of, or relating to this Agreement, or the
breach thereof, shall be decided by arbitration in
accordance with the Rules of the American Arbitration
Association then obtaining unless the parties mutually
agree otherwise. This agreement to arbitrate skull be
specifically enforceable under the prevailing
arbitration law.

B. Notice of the demand for arbitration shall; be filed- in
writing with the other party to this Agreement and with
the.- American.,Arb.itration Association. The- demand. shall
be 4nade .wi.thin--, a reasonable time after ..the claim,.
dispute 'or other matter in question has. arisen. - In no
event shall the .demand for arbitration be made after
the -. :date when institution of legal . -�or equitable
proceedings based on such claim, dispute or other .
matter in question would be barred by the applicable
statute of limitations.
C. The award rendered by the arbitrators shall be final,
and judgment may be entered upon it in accordance with
applicable law in any . court having jurisdiction
thereof.
XIII . EXTENT OF AGREEMENT
A. This Agreement including Attachments A and B represent
the entire and integrated agreement between the CITY
and the ARCHITECT and supersedes all prior
negotiations, representations or agreements, either
written or oral. This Agreement may be amended only by
written instrument signed by both the CITY and the
ARCHITECT.
XIV. GOVERNING LAW
A. Unless otherwise specified, this Agreement shall be
governed by the laws of the State of California.

ATTACHMENT A
SCOPE OF WORK

Proposed Use:
The site is a part of a surplus school site. The ARCHITECT shall
prepare plans and specifications for the renovation of the
multipurpose room, for use as a Senior Citizens Center.
Scope of Work:
The ARCHITECT shall prepare plans and specifications which will
bring the facility into compliance with applicable State
Handicapped Standards . This will require a complete renovation
to the restroom facilities and limited renovation to the
remainder of the facility. ARCHITECT shall also provide
recommendations on, interior and exterior color schemes,
replacement of doors, windows and draperies, rewiring of
electrical panel to provide separate meter from the remainder of
the property. The final plans and specifications shall be in
sufficient detail to allow qualified bidders to submit a proposal
on the - entire renovation, as finally approved by CITY. Time
schedule for completion of work shall be agreed to by CITY and
ARCHITECT.
Process :
ARCHITECT shall:
l .- Conduct site visits and meetings with CITY staff to
determine extent of renovation required.
2 . Prepare preliminary plans, cost estimates and outline
specifications for review and approval by CITY staff.
Submittals may include alternatives .
3 . Prepare final plans, specifications, cost estimates and
bid documents for CITY approval.
4 . Assist Project Manager at the pre-bid conference with
potential bidders and with analysis of the bids
received.
5 . Assist staff with pre-construction meeting with the
successful bidder.
6 .. Provide construction inspection and administration.
