AGENDA STATEMENT
CITY COUNCIL MEETING DATE: June 21 , 1988
SUBJECT Agreement between City of Dublin, City of San Ramon,
and the Dougherty Regional Fire Authority.
EXHIBITS ATTACHED raft Resolution; Draft Agreement with Attachments .
RECOMMENDATION Adopt Resolution Approving Agreement and Authorize
and Direct Mayor to Execute Said Agreement.
FINANCIAL STATEMENT: The City will be responsible for paying all escrow and
recording fees associated with the transfer of the
Fire Station No . 1 Real Property and associated
Personal Property to the Dougherty Regional Fire
Authority .
DESCRIPTION As provided for in the Joint Power Authority Agreement
between the City of Dublin and the City of San Ramon, the Cities have agreed
to transfer all Real Property and Personal Property assets associated with
the provision of Fire and Emergency Medical Services to the Dougherty
Regional Fire Authority .
Attached to the Staff Report is an Agreement which would transfer the Fire
and Emergency Medical assets received by both Cities from the Dublin San
Ramon Services District to the Dougherty Regional Fire Authority.
It is recommended that the City Council adopt the attached Resolution and
authorizing the Mayor to execute the attached Agreement.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING AN AGREEMENT BETWEEN THE CITY OF DUBLIN,
CITY OF SAN RAMON AND DOUGHERTY REGIONAL FIRE AUTHORITY
WHEREAS , on July 15 , 1987 , the City of Dublin, City of
San Ramon, and the Dublin San Ramon Services District entered into
a Memorandum of Understanding regarding the transfer of service
responsibility among those agencies for fire and park services ;
and
WHEREAS , in order to carry out the intent of that
Memorandum of Understanding and subsequent agreements , it is
necessary for the City of Dublin, City of San Ramon, and Dougherty
Regional Fire Authority to enter into an agreement transferring
title to certain real property and personal property related to
the provision of fire services by the Dougherty Regional Fire
Authority; and
WHEREAS, the City Attorney has drafted an agreement to
accomplish this transfer.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Dublin does hereby approve the agreement between the
City of Dublin, City of San Ramon, and Dougherty Regional Fire
Authority, authorizes and directs the Mayor to execute said
agreement , and directs the City Manager to take those steps
necessary to carry out the provisions of the agreement .

AGREEMENT BETWEEN CITY OF DUBLIN, CITY OF SAN RAMON
AND DOUGHERTY REGIONAL FIRE AUTHORITY
WHEREAS, the City of Dublin, City of San Ramon and the
Dublin San Ramon Services District ("District") are parties to a
Memorandum of Understanding Regarding Transfer of Service
Responsibility among City of Dublin, Dublin San Ramon Services
District and City of San Ramon, dated July 15, 1987 ("MOU") , and
WHEREAS, the MOU provides that the Cities and District
shall enter into such agreements as are necessary to carry out the
MOU; and
WHEREAS, the City of Dublin and the City of San Ramon
have entered into a "Joint Exercise of Powers Agreement/Dougherty
Regional Fire Authority" ("JPA") , whereby the Dougherty Regional
Fire Authority ("Authority") , a separate legal entity, has been
created to provide fire protection and suppression and emergency
medical services in the area formerly covered by District; and
WHEREAS, each City and District have entered into
agreements transferring certain real and personal property from
District to each City; and
WHEREAS, District will cease providing park, recreation
and aquatics services within the territorial limits of each City
on July 1, 1988 ; and
WHEREAS, District will cease providing fire protection
and suppression and emergency medical services within the
territorial limits of each City on July 1, 1988; and
WHEREAS, certain other matters require agreement between
the Cities and Authority to carry out the terms of the MOU and the
JPA;

NOW, THEREFORE, the City of Dublin, the City of San
Ramon and Authority agree as follows:
1. Recitals. The foregoing recitals shall be a part of
this agreement.
2 . City of Dublin Property. City of Dublin owns the
following real and personal property:
a) Fire Station #1 (described in Exhibit A,
incorporated herein) , together with all fixtures
and articles of personal property attached or
appurtenant to or used in connection with such
real property including, but not limited to, the
property listed on Exhibits E and F to the
"Agreement Between the Dublin San Ramon Services
District and the City of Dublin for Conveyance
of Real Property;"
b) The personal property listed on Exhibit A to the
"Agreement Between the Dublin San Ramon Services
District and the City of Dublin For Conveyance
of Personal Property. "
3 . City of San Ramon Property. City of San Ramon owns
the following real and personal property:
a) Fire Station No. 2 and Fire Administration
Building (described in Exhibit B, incorporated
herein) , together with all fixtures, furnishings
and articles of personal property attached or
appurtenant to or used in conjunction with such
real property including, but not limited to, the
property listed on Exhibits F and G to the

Conveyance of Real Property;"
b) The personal property listed on Exhibit A to the
"Agreement Between the Dublin San Ramon Services
District and the City of San Ramon for the
Conveyance of Personal Property" and other
personal property used in fire suppression and
prevention services not otherwise conveyed to
the City of San Ramon pursuant to the MOU.
4 . Transfer of Personal Property. The City of Dublin
and the City of San Ramon hereby respectively convey to Authority
all right, title and interest to the personal property described
in paragraphs 2 and 3 above, respectively. The conveyance of said
property shall be effective on July 1, 1988.
5. Conveyance of Dublin Real Property. Pursuant to
Secti-on 7. 1 of the--JPA, the City of D l-�n shall convey by quit

claim deed a11—its right,title and interest to the real property
described in paragraph 2 (a) hereof to Authority. City of Dublin
shall open an escrow with Transamerica Title Company in
Pleasanton. This Agreement shall constitute joint escrow
instructions unless City or Authority provides the title company
with additional escrow instructions as may be necessary,
consistent with this Agreement. The escrow agent is empowered to
act pursuant to this Agreement.
The City of Dublin shall deposit a quitclaim deed to the
subject property, in the form set forth in Exhibit A and dated
July 1, 1988, into escrow. Authority shall also deposit into

escrow a resolution authorizing acceptance of the subject
property. All escrow fees and recording fees shall be borne by
the City of Dublin. Authority shall pay for the policy of title
insurance, if any is obtained. The escrow agent shall record the
deed on July 1, 1988.
6. Conveyance of San Ramon Real Property. Pursuant to
Section 7. 1 of the JPA, the City of San Ramon shall convey by
quitclaim deed all its right, title and interest to the real
property described in paragraph 3 (a) hereof to Authority. City of
San Ramon shall open an escrow with First American Title Guaranty
Company, 1300 Civic Drive, Walnut Creek, California. This
Agreement shall constitute joint escrow instructions unless City
or Authority provides the title company with additional escrow
instructions as may be necessary, consistent with this Agreement.
The escrow agent is empowered to act pursuant to this Agreement.
The City of San Ramon shall deposit a quitclaim deed to
the subject property, in the form set forth in Exhibit B, and
dated July 1, 1988, into escrow. Authority shall also deposit
into escrow a resolution authorizing acceptance of the subject
property. All escrow fees and recording fees shall be borne by
the City of San Ramon. Authority shall pay for the policy of

7 . Condition of Property. It is agreed and understood
that the subject property, including any buildings on the
property, will be conveyed to Authority "as is", and the City of
Dublin and the City of San Ramon make no representation or

warranty, express or implied, as to the condition of said
property.
IN WITNESS WHEREOF, the parties hereto have authorized
execution of this agreement by their duly authorized officers.
This Agreement is executed in triplicate originals.
