FINANCIAL STATEMENT: Total Cost of Construction Services under Amendment ."A" is $288,300.
The Amended Agreement is $85,020 greater than the costs identified in
the current agreement. Adequate funds are available in the 1988-89
Civic Center Capital Project Budget.
DESCRIPTION The City Council selected a Design Team for the Dublin Civic Center
in September of 1986. At the City Council meeting of September 8, 1986, the City Council
authorized Staff to solicit proposals for Construction Management Services. All proposals
were required to be submitted no later than October 1, 1986.
The City Staff reviewed the proposals and conducted interviews and reference checks of
various firms. A final recommendation was made to the City Council on December 8, 1986 and
an agreement was entered into with Harris & Associates (H & A). The scope of the agreement
was based on initial information provided in the October 1, 1986 proposal. The Schematic
Design of the facility was approved by the City Council on January 26, 1987, after Harris &
Associates had been involved with the project for one month.
The services performed by the firm of Harris & Associates can be distributed into broad
phases referred to as:
Phase 1: Design Review & Bidding
Phase 2: Construction Inspection and Management
The 1986 agreement estimated the cost of Phase 1 to not exceed $57,640. It was estimated
that this phase would be completed in 8 months. As noted in Mr. Parmley's letter, the
actual construction began January 25, 1988. Therefore, Harris & Associates was involved in
the project for a total of 12 months prior to beginning Phase 2. Although the length of
time was extended, the total cost did not exceed the original agreement. In fact, the
total costs were $54,775, which was 5% less than the maximum cost identified in the
original agreement.
The attached letter from Mr. Parmley of Harris & Associates outlines the requested changes
to the current agreement. The request for an increase is based on estimated manpower
requirements for Construction Inspection and Management (Phase 2).
The original agreement approved in 1986 was based upon different assumptions of the size
and complexity of the project. Section 4.2 of the original agreement stated that the rates
utilized for Construction Services shall be renegotiated within 60 days of. the start of
construction. Mr. Jim Parmley discussed with Staff a proposal on January 14, 1988, prior
to construction. It was agreed to reevaluate the project needs after construction had
begun. The City Staff and Consultants now have four months of experience working with the
Contractor and Architect on the construction of the project, which provides a better
understanding of the project needs.

All proposals discussed between Staff and the Consultants have provided adequate staffing
to have full-time inspection on the project. Harris & Associates has agreed to an 8.3%
reduction in the hourly rate for Inspection Services. This will reduce the overall cost
impact to the City caused by the need for additional services. In addition, the cost for
clerical services have been reduced by 85%. Due to the small number of total clerical
hours, this has a smaller effect on the overall contract.
The original agreement proposed to utilize both a Construction Manager (On-Site) and a
Senior Construction Engineer (Harris & Associates Office) for a total of 44 hours per
month. The Engineer would be primarily responsible for coordinating the paperwork and
progress payments. The proposed agreement is based upon a total of 120 hours per month and
providing the majority of the services from the project trailer.
The additional services are necessitated by the change in the scope of the project. The
complexity of the project requires a great deal of coordination. By early June, the
Construction Manager had processed over 160 submittals and issued over 80 clarifications.
These items need to be reviewed by the Architects, special consultants and City Staff.
Based on the initial construction experience, it appears that an overall project budget of
120 hours per month for the Construction Manager is required. Also, the proposed H & A
Construction Manager hourly rate represents an 11.4% decrease from the rate identified in
the current agreement. In addition, Mr. Jim Parmley, Project Manager is involved on key
issues and his services will not be expensed to the City.
It is appropriate . to identify that Harris & Associates has replaced the personnel
designated in the 1986 agreement. H & A was unable to assign the proposed Inspector
because he has left their firm. Mr. Brian Danley, who served as the Construction Manager
during the Pre-Construction phases, has been promoted within the H & A organization and is
working on a long-term assignment. The current Inspector is Mr. Ed Pilling and the
Construction Manager is Ms. Susan Hyler. Staff believes that both individuals have been
working well in assuring that the City's best interests are represented on the project.
The final major financial change occurring on the project is the extended construction time
period. The original agreement approved in 1986 assumed a 14 month construction period.
Based on the approved construction agreement with Dickman-Nourse, Inc. , 15 months of
services are required. This further increases the total costs for Construction Management
Services from the original estimate included in the 1986 agreement.
The total difference from the cost of the current agreement is $85,020. Adjusting the
current agreement to reflect a construction period of 15 months, the difference would be
$70,501. Although this adjusted comparison of a 15 month contract represents a 32 percent
cost increase, the City will be receiving 36 percent more hours of professional services.
(Comparison of hours excludes clerical.) Appropriate staffing will assure the City of a
quality project. In the interest of the project, Harris and Associates have been agreeable
to modifying their standard charges, in order to accomplish the project at the least cost
to the City.
An amendment to the December 8, 1986 agreement has been prepared for consideration by the
City Council. The proposed 1988-89 funding for the Civic Center Project is anticipated to
accomodate this change to the project cost.

Dear Mr . Ambrose:
In response to our several meetings and conversations, I am
presenting the following information for your review and action.
To fully understand the issue of a modification to our
construction phase scope of services, we must first review the
commencement of the selection process and subsequent events .
The original Request for Proposals issued by the City in 1986
established the basic construction program that was anticipated
by the City . This program consisted of a single building of
approximately 25, 000 square feet, containing three elements ; a
police wing, a city office wing and the council chambers . The
proposed cost estimated for this work was listed as being between
$3 , 500,000 and $5 , 000, 000.
The original schedule for the program called for a six (6) month
design period starting in September 1986, followed by a two month
bid and award period. The construction period was to be a twelve
( 12 ) month period commencing in July 1987 and being completed in
August of 1988 .
At the time of submission of our Proposal , Harris & Associates
relied on the above information to submit our cost estimate for
providing the required services . During the negotiation phase,
we were informed that the scope of the program may change and
that the building may grow in size, but we were not provided any
preliminary design sketches or program schematics, which would
have allowed Harris & Associates to comprehend the full impact of
the changes that were in fact being planned by the City.

Harris & Associates ' proposal was based on the following
assumptions ; first , that the design period was to be six months,
second, that the bidding and award period was to be two months
and third, that the construction period would be twelve months
and that construction would start in approximately July of 1987 .
Let us now look at the actual conditions concerning the Civic
Center program. First , the schedule of events, the construction
project actually commenced on January 25, 1988 with a completion
scheduled for April 10, 1989 . This reflects a change in the
design period from six months to over one year. The lengthening
of the design period can be attributed to the fact that the final
plans reflects a project that has doubled in size, and cost .
Harris & Associates ' proposal for design phase services was based
on the assumption that the value review and the biddability /
constructability review would be conducted utilizing one session
each. Due to the incomplete nature of the drawings, we had to
perform our biddability review in several sessions . Our cost
proposal also provided for project administration time, this
effort was again based on a six month design period. This
activity was required to be performed during the entire 12 month
design period, thus doubling our cost for this service .
It is extremely important to understand that the causes for the
lengthening of the design period were beyond the control of
Harris & Associates yet we were required to provide continuing
services . Harris has not received an amendment to our basic
agreement for the added cost of services during the design nor is
it our intention to request an amendment .
The second change of program scope and by far the change that had
the greatest impact to our basic agreement, was the change in the
size , complexity and cost of the Civic Center Facilities . As
stated earlier , the original program scope provided for a single
building of approximately 25 ,000 square feet . The project that
was advertised and is currently being constructed consists of
three buildings; the police building, the office building and the
council chambers , along with these structures we are also
constructing a large clock tower . The total square footage of
these three structures is over 50,000 feet, a doubling of the
project size. With this increase in size came a large increase
in project complexity due to the number of structures and the
styling of the buildings , especially the circular nature of the
structures . -

The cost of the project construction, as represented by the City
in your Request for Proposal , was slated to be within the range
of $3 , 500, 000 to a maximum cost of $5 ,000,000 . The cost of the
current project is $9 , 695 , 000 , this represents an increase,
depending on which original estimate is used, of between 94% and
177%. The cost increase is a direct result of the increase in
the total scope of the work and not a result of an improper
estimate.
The original proposal stipulated that the construction period was
to be 12 months and was to start in July of 1987 . The actual
construction started January 25 , 1988 and is scheduled to be
completed by April 10, 1989, a total of 15 months . Again the
change in the scope of the construction period was dictated by
the overall scope change of the project more than doubling in
size and complexity.
The above information is presented so that a true perspective of
the impacts affecting Harris ' agreement can be gained, thus
allowing an unbiased review of our request for a change of scope
and the resulting amendment . As shown by reviewing the facts
presented, the scope of the Civic Center project has more than
doubled in cost and has greatly increased in complexity.
In preparing the basic agreement between the City and Harris, it
was understood that there needed to be flexibility in the pricing
of the cost for providing construction related services do to the
potential for a change in the scope of the project . The
agreement provides for renegotiation of cost for services within
60 days of start of construction.
As the start of construction neared, I discussed the need to
renegotiate our scope of service and the corresponding change in
cost with your staff . At that time it was determined that we
should wait until after the project had been under construction
for a period of several months , thus allowing you the opportunity
to observe the actual effort being put forth by Harris in
managing the entire construction program.
In January of this year , I presented you a revised manpower
breakdown and cost proposal to be utilized as the basis of an
amendment to our agreement . This proposal identified the
manhours that were listed in our original proposal and a revision

based on my estimate of the work that was required by the
increased scope of the project. The original agreement provided
the following manhours :
RCI - 167 hours/month @ $65/hr
CM - 20 hours/month @ 78/hr
SCE - 24 hours/month @ 63/hr
CLR - 16 hours/month @ 37/hr
The hours listed above are monthly totals that were based on the
original scope of project . The agreement calls for a
construction period of 14 months .
Based on Harris ' expertise in managing public facility
construction projects , we have prepared the following revised
manhours projections :
CM - 120 hours/month @ $70/hr
RCI - 167 hours/month @ 60/hr
CLR - 40 hours/month @ 20/hr
The above listed hours are computed based on Harris & Associates '
historical information for managing projects of the size and
complexity as the Dublin Civic Center. The above cost proposal
reflects a change in the distribution of manhours and a reduction
of the hourly rates charged for each classification.
A $9 , 695 , 000 dollar project with three buildings can not be
managed with the same number of hours as a $5 , 000,000 dollar
single building. Harris & Associates can not be expected to be
able to perform the required serviced to adequately protect the
interest of the City of Dublin on a project that has doubled
without an increase in our manpower.
Harris & Associates was selected to provide management expertise
for the construction of the City of Dublin ' s Civic Center
project , because of our extensive background in providing
services to public agencies . The City' s selection committee
indicated, in your recommendation to the council that Harris &
Associates ' expertise with public agencies identified us as an
appropriate selection , and that Harris offered an appropriate
approach to the City' s needs . We feel that the criteria for
selection is still valid and Harris is working daily towards the
successful completion of the Civic Center project .

AGREEMENT FOR PROJECT MANAGEMENT SERVICES
FOR THE CONSTRUCTION OF
CIVIC CENTER PROJECT
CITY OF DUBLIN
THIS AGREEMENT, made and entered into this day of
1986, by and between the City of Dublin,
California , hereinafter referred to as CITY and HARRIS &
ASSOCIATES, Inc. , Consulting, Engineers , a California
corporation, hereinafter referred to as "HARRIS" .
W I T N E S S E T H:
WHEREAS, CITY desires HARRIS to undertake project
management services in relation to construction of New Civic
Center Project to insure that all facilities are constructed in
full compliance with final construction drawings and
specifications; and
WHEREAS , CITY and HARRIS desire to enter into an agreement
whereby the foregoing may be accomplished .
NOW, THEREFORE, in consideration of the mutual covenants
and agreements hereinafter set forth , the parties hereto agree
as follows :
HARRIS agrees to perform all of the work hereinafter
specified in this agreement , subject to and in accordance with
all of the terms and conditions hereinafter set forth , said
work being more particularly described as follows:

ARTICLE 1
THE CONSTRUCTION TEAM
HARRIS, as Project Manager ,- accepts the relationships of
trust and confidence established between it and the CITY by
this agreement. It covenants with CITY to furnish its skill
and judgment in furthering the interests of the CITY. It agrees
to furnish project administration and to use its effort to
coordinate all, activities so that the project will be
completed a manner consistent with the interest of the CITY.
ARTICLE 2
CONSTRUCTION MANAGER'S SERVICE
HARRIS will perform the following services:
2 .1 Design Services
2.1.1 Provide initial program schedule and monthly updates ,
indicating design and construction phase activities.
2 .1. 2 Perform a value review workshop resulting in a report
to CITY of any potential areas of cost savings .
2.1. 3 Perform reviews of cost estimates prepared by
Architect. Reviews will establish validity of
estimates .
2.1.4 Perform biddability/constructability review. Review
to provide report on areas of conflict or ambiguities
in contract plans and specifications .
2.1.5 Provide project administrative functions and
miscellaneous services as needed.

2. 2 Preconstruction Services
2. 2.1 Provide assistance during the bidding process to
include developing bidders interest in the project
and answering quest.ions concerning the general
contract conditions .
2 .2. 2 Organize , and attend pre-bid conference .
2. 2. 3 Attend bid, review bid documents and advise CITY on
award .
2 .2.4 Organize and attend pre-construction conference .
2 . 3 Construction Services
2. 3.1 Review, refinement and periodic updating of
construction schedules (typically monthly) .

struction delays .

meetings and reporting .

contractor , equipment suppliers , user groups , and

tions of work to be redone .

2.3 . 6 Change Orders--Establish and implement system for
preparation, recommendation , processing , negotiation
and submission of all contract change orders .
(Architect shall design any change in design
concept .)
2 .3.7 Shop Drawing Processing--Coordinate , establish and
implement system of shop drawing processing .
(Architect will be responsible for review of -all shop
drawings and submittals. )
2 .3 . 8 Clarifications--Establish and implement system for
processing of all contract clarifications .
(Architect shall review and respond to clarification
requests . )
2. 3. 9 Progress Payments--Establish and implement system for
preparation and processing of Contractor' s monthly
progress payment requests .
2. 3.10 Cash Flow--Prepare and update monthly project cash
flow projections .
2.3 .11 Field Testing--Schedule and review all field and
laboratory testing of materials utilized within the
project .
2 . 3.12 Prepare and submit written monthly progress reports
to include: progress summary, financial analysis and
update , scheduling difficulties and changes ,
including a verbal presentation to the City Council.
2 . 3.13 Prepare: and submit minutes on all meetings pertaining
to the contract.

2. 3.14 As-Builts - Prepare as-built marked prints for
complete project .
2. 3 .15 Documentation--Maintain complete project file system,
including progress photographs, video films and
aerial photographs as needed to provide record of
construction progress .
2 .4 Coordination of Final Acceptance and Owner Occupancy:
HARRIS will be involved in final approval of all
construction and in occupancy activities , including
the following specific tasks:
2 . 4 .1 Coordination , review and. approval of partial
acceptance for work completed and turned over to CITY
prior to project completion .
2. 4 .2 Coordination and development of final punch list
items .
2 .4 .3 Coordination of construction approval and final
payment .
2 . 4 .4 Coordination of occupancy activities with CITY,
equipment suppliers and Architect.
2. 5 Final Report
HARRIS shall provide CITY with a final project report
to include the following:
2.5 . 1 Financial summary of the construction contracts ,
change orders , architectural services , Project
Management services and direct purchase items .

2.5 .2 Summary of project change orders .
2.5 .3 Construction summary and schedule review.
2.5 . 4 Summary of final acceptance .
2 .5.5 Review and report on the general contractor ,
subcontractors and major equipment suppliers .
ARTICLE 3
CITY'S RIGHTS AND RESPONSIBILITIES
3 .1 CITY shall establish a procedure to provide approval
of project construction budgets, changes in the pro-
ject , render decisions promptly and furnish
information expeditiously .
3 .2 CITY shall review and approve or disapprove all
personnel assigned to this project by HARRIS. No
change in project management personnel will be
performed by HARRIS without the written consent of the
CITY. HARRIS will utilize Mr . Brian Danley as
Construction Manager and Mr . Doug Hartline as
Resident Construction Inspector .
ARTICLE 4
FEES AND PAYMENT
4 .1 As consideration for providing the project management
services as outlined in this agreement, CITY shall
pay on �an hourly basis in accordance with Exhibit A,
estimated schedule of services for all design and
preconstruction activities . Total costs for these
services shall not exceed $57,640. Without the
written' authorization of the CITY.

4.2 As consideration for providing the construction
related services as outlined in this agreement , CITY
shall pay on an hourly basis in accordance with
Exhibit A, estimated schedule of service , said costs
shall not exceed $14, 520 per month . Actual hourly
rates to be utilized for construction services shall
be renegotiated within 60 days of start of
construction . Rates shall not exceed rates listed in
Exhibit A.
4 .3 The current design period is estimated at six months
and the preconstruction phase at two months .
The current construction period is estimated at 14
months . The above cost shall be utilized for the
entire period of actual construction.
4 .4 For work performed under this agreement, CITY shall
pay HARRIS on a monthly basis the full amount
invoiced . CITY shall have the right to audit HARRIS`
bi-monthly time sheets at any time to verify charges
prior to payment.
4 .5 Payments will be made monthly by the CITY within
thirty (30) days from receipt of invoice from
HARRIS . Payments shall be for the invoiced amount,
with no retention.
ARTICLE 5
ASSUMPTIONS
5.1 The manpower staffing level is based on a single
major construction contract utilizing a single
general contractor completing all required
construction . -

5.2 The length of services is based on a fourteen '(14 )
month construction period .
5.3 It i.s understood that the level of staffing may
change , either increase or decrease due to changes in
the contract strategies , the nature of the
contractor , the contractors approach to the project,
and funding limitations . After mutual understanding
of the requirement for change between the CITY and
HARRIS , CITY may request additional staff , services or
duration of performance from HARRIS.
5. 4 If, due to substantial deviation from the assumptions
listed above , the magnitude of the work increases ,
HARRIS shall give notice of such fact to the CITY and
HARRIS and the CITY shall negotiate an amendment to
the contract based upon the cost principles embodied
in . this agreement .
ARTICLE 6
SCHEDULE
6 .1 Time is of the essence in this agreement.
ARTICLE 7
ASSIGNMENT OF CONTRACT
7. 1 HARRIS shall not assign this contract or any portion
of the work without prior written consent of CITY.
The CITY may grant or withhold such consent at its
sole discretion .

ARTICLE 8
INSURANCE AND INDEMNITY
8.1 Insurance and Indemnification. HARRIS shall assume
liability and pay all costs of defense , including
legal fees and court costs , and hold the CITY
harmless from loss, damages, costs or expenses caused
by any negligent or wrongful acts , errors , or
omissions of HARRIS's officers , employees and agents
which may occur in the performance of the terms ,
duties and obligations of this Agreement.
8. 2 HARRIS shall provide a certificate of insurance to
the CITY , to be included as part of this Agreement ,
which will give evidence of general liability
insurance of not less. than $1,000,000 for personal
injury, accidental death and property damage ; and
further provide to the CITY a certificate of
insurance , which gives evidence of automobile
liability insurance coverage of not less than
$1,000,000 for personal injury and accidental death ,
and $50,000 . 00 for property damage per occurrence .
CITY shall be named as an additional insured in any
such liability insurance policy.
8. 3 HARRIS shall maintain for the project duration a
professional liability policy in the amount of
$3 ,000 ,000 .
8. 4 HARRIS shall also provide the CITY with a certificate
of insurance , to be included as part of this
Agreement , which wll give evidence that HARRIS' s
employees are covered by worker' s compensation
insurance .

8. 5 All certificates of insurance which are a part of
this Agreement shall be approved by the City Manager
and City Attorney as to form and content.
ARTICLE 10
SPECIAL CLAUSES
10.1 Termination:
10.1. 1 This agreement may be terminated in whole or in part
in writing by either party in the event of
substantial failure by the other party to fulfill its
obligations under this agreement through no fault of
the terminating party, provided that no termination
may be effected unless the other party is given (1)
not less than ten (10) calendar days ' written notice
(delivered by certified mail, return receipt
requested) of intent to terminate , and (2) . an
opportunity for consultation with the terminating
party prior to termination.
10.1. 2 This agreement may be terminated in whole or in part
in writing by the recipient for its convenience,
provided that HARRIS is given (1) not less than ten
(10) calendar days' written notice (delivered by
certified mail, return receipt requested) of intent
to terminate , and (2) an opportunity for consultation
with CITY prior to termination.
10 .1. 3 Upon receipt of a termination action under paragraphs
10 .1 .1 or 10 .1.1 above, HARRIS shall (1) promptly
discontinue all affected work (unless the notice
directs: otherwise) , and (2) deliver or otherwise make
available to CITY all data , drawings , specifications ,
reports , estimates , summaries and such other

information and materials as may have been
accumulated by the Contractor in performing this
agreement, whether completed or in process .
IN WITNESS WHEREOF, CITY has caused this agreement to
be executed by of CITY
duly authorized to act; and HARRIS has caused this agreement to
be executed , all as of the day and year first-above written .

TO AGREEMENT FOR
CITY OF DUBLIN
CONSTRUCTION MANAGEMENT SERVICES
FOR THE CONSTRUCTION OF
CIVIC CENTER PROJECT
THIS AMENDMENT, made and entered into this
day of June , 1988, by and between the CITY OF DUBLIN
CALIFORNIA, hereafter referred to as "CITY" and HARRIS &
ASSOCIATES, INC., Consulting Engineers, a California Corporation,
hereafter referred to as "HARRIS" or as "CONSTRUCTION MANAGER".

WHEREAS, the CITY desires HARRIS to undertake certain tasks in
addition to the work described in the original Agreement dated December
8, 1986; and
WHEREAS, HARRIS and CITY have provided for such additions in
said AGREEMENT and desire to enter into Additional Services; and
WHEREAS, the scope of the project has doubled from the original
plan thus requiring HARRIS to expend additional manhours and the
project duration has been increased from 14 to 15 months, the HARRIS
fee shalt be increased; and
WHEREAS, HARRIS has completed the tasks identified in the original
Agreement as 2.1 - Design Services and 2.2 Preconstruction Services.
NOW, THER)F:FORE, in consideration of the mutual covenants set
forth both here and in the original AGREEMENT, the parties hereto agree
as follows:
HARRIS agrees to perform all of the work hereinafter specified in
this AMENDMENT, subject to and in accordance with all of the terms and
conditions hereinafter set forth, said work being more particularly
