FINANCIAL STATEMENT: Estimated study cost is $9,345 including surcharge for insurance
coverage.
DESCRIPTION At the regular City Council meeting on April 27, 1987, Staff was
directed to circulate a Request For Proposal for Soil Investigation and Geology/Seismology
Report. The services are required for the development of the Dublin Civic Center Project.
The City received seven responses to the RFP. The approaches to the project varied and the
estimated costs ranged from $8,000 to $11,900. The proposals were reviewed by the
Construction Manager, Structural Engineer, City Engineer, and Assistant to the City
Manager. Three firms were selected to participate in an oral interview. The interview
board consisted of the Structural Engineer, Civil Engineer, and the Assistant to the City
Manager. The purpose of the interview was to obtain additional information on those who
would be assigned to the project and their specific approach to the seismic response
studies.
Based on the interview and materials submitted by the firm, Staff recommends the selection
of Peter Kaldveer and Associates, Inc. Mr. Kaldveer`s firm has performed several seismic
response studies, including work on hospital and public facilities. This firm also
conducted a study on the former Bank of America Warehouse site, which was located on Sierra
Court, north of the Civic Center Site. Peter Kaldveer and Associates also prepared the
Foundation Investigation for the Dublin Library project. Selected lists of projects
completed by this firm are attached for your reference.
The base cost for the scope of work contained in the agreement was $8,900. However, the
Consultant would only provide insurance coverage of $50,000 for Professional Liability
Insurance. Mr. Kaldveer has indicated that a 5 percent surcharge would provide the policy
limits of coverage. The policy has a $1 million limit. It is standard in City agreements
to require independent contractors to provide $ 1 million in insurance coverage.
Therefore, the estimated cost of the study is $9,345 including the insurance surcharge.
Mr. Kaldveer has indicated that this cost is the total cost of performing the work
'identified in the agreement. However, Staff would request City Council authorization to
maintain a contingency in case unanticipated conditions are encountered. If this occurs,
additional tests or samples may be required. Staff would limit these changes to $1,500
without additional approval from the City Council. The Consultant is restricted from
performing additional work without the prior approval of City Staff. The contingency will
allow the Consultant to complete the project in a timely manner if unexpected conditions
arise. The Staff control will help assure that the project is completed in a cost
effective manner.
Staff recommends that the City Council approve the selection of Peter Kaldveer and
Associates and authorize the Mayor to execute the agreement. It is also requested that the
City Manager be authorized to approve any required change in scope, which does not exceed
an additional $1,500.

AGREEMENT FOR GEOTECHNICAL ENGINEERING SERVICES
DUBLIN CIVIC CENTER PROJECT
THIS AGREEMENT, made and entered into this 8th day of June, 1987
at Dublin, County of Alameda , State of California , by and between
City of Dublin through its duly elected or appointed officers ,
hereinafter called "CITY" and Peter Kaldveer & Associates , Inc .
hereinafter called "CONSULTANT" .
WITNESSETH: That the CONSULTANT for and in consideration of the
covenants , conditions , agreements and stipulations of the CITY
herein expressed , does hereby agree to furnish to the CITY
services and materials , as follows :
SECTION I - PROJECT COORDINATION
(A) City
The City Manager will be the representative of CITY for all
purposes under this Agreement . Paul Rankin , Assistant to
the City Manager hereby is designated as the PROJECT MANAGER
for the City Manager and shall supervise the progress and
execution of this Agreement .
(B) Consultant
CONSULTANT shall assign a Principal of the firm to have
overall responsibility for the progress and execution of
this Agreement for CONSULTANT.
SECTION II - SCOPE OF PROJECT
The scope of the project to be executed by CONSULTANT under
this Agreement is as described in Exhibit "A" attached
hereto and made a part hereof .
SECTION III - DUTIES OF CONSULTANT
The CONSULTANT shall perform all tasks within the Scope of Work
stated as Foundation Investigation , Geologic Hazards Study., and
Seismic Response Study as detailed in the Scope of Work.
SECTION IV - COMPLETION DATE
It is understood that time is of the essence of this
Agreement . CONSULTANT shall make every effort to complete the
work described in this Agreement within 35 calendar days of a
notice to proceed being issued by the CITY. It is understood
that the CITY shall exercise due diligence in performing it ' s
tasks to implement the CONSULTANTS timetable .
SECTION V - COSTS
(A) Compensation; Method of. Payment
1 . Total Cost of Services contained in the Scope of Work
shall not exceed $9 , 345. Actual charges will be
calculated using the schedule of charges in Exhibit B.
2 . Bills may be submitted monthly based on the progress
of work completed or , upon completion of the project .
3 . Net payment is 30 (thirty) days .
4. If progress payments are made, the CITY shall retain
10% of the billing , said retention shall be paid to
CONSULTANT with final payment upon successful
completion of the scope of work outlined in the
Agreement .

(B) Additional Services
1 . Any extra services in addition to those indicated in
this Agreement shall be billed at the hourly rates
listed in Exhibit "B" , in addition to the fee indicated
in Section V above . Performance of additional services
shall be subject to prior written approval of the
Project Manager .
SECTION VI - OWNERSHIP OF DOCUMENTS
The CITY shall have full and complete access to CONSULTANTS
calculations , drawings , specifications and other documents
during progress of work. If specifically requested in
writing by the City , all such documents prepared by
CONSULTANT may become the property of the CITY upon
completion of the project or termination of this Agreement .
The CONSULTANT may retain a copy of all material produced by
CONSULTANT pursuant to this Agreement for use in its general
business activities. Should the CITY desire to use the work
completed under this Agreement for purposes other than those
intended under this Agreement , the CITY will notify
CONSULTANT in writing prior to any other reuse of said
documents and will indemnify and hold harmless the
consultant for any such use.
All samples of soil and rock will be destroyed 90 days after
issuance of the final report , unless the CITY requests
otherwise in writing . Upon request , CONSULTANT will deliver
samples to the CITY, or store them for an additional charge .
SECTION VII - DUTIES OF CITY
(a) CITY shall coordinate provision of all information
regarding its requirements for the project . The actual
information will be provided by the appropriate members
of the Design Team.
(b) CITY shall examine documents submitted by CONSULTANT
and shall render decisions pertaining thereto promptly ,
to avoid unreasonable delay in the progress of
CONSULTANT ' s work.
(c) If CITY observes or otherwise becomes aware of any
fault or defect in the project or nonconformance with
the contract documents , CITY shall give prompt written
notice thereof to CONSULTANT.
(d) CITY shall furnish information required by CONSULTANT
as expeditiously as possible .
(e) CITY shall arrange for access to the project site.
SECTION VIII - INTEREST OF CONSULTANT: CONSULTANT INDEPENDENT OF
CITY
In accepting this Agreement, CONSULTANT covenants that it
presently has no interest , and shall no,t acquire any
interest , direct or indirect , financial or otherwise , which
would conflict in any manner or degree with the performance
of the services hereunder . CONSULTANT further covenants
that , in the performance of this Agreement , no subcontractor
or person having such an interest shall be employed.
CONSULTANT certifies that no one who has or will have any
financial interest under this Agreement is an officer or
employee of CITY.

SECTION IX - OUTSIDE CONSULTANTS -
CONSULTANT shall be responsible for employing all outside
Contractors (subconsultants) necessary to aid CONSULTANT in
the performance of the services listed in Section III of
this Agreement ; provided , however , that all such
subconsultants shall receive prior approval of CITY in
writing and shall remain acceptable to CITY during the term
of this Agreement . The subconsultants contained in the
Proposer Data Sheet dated May 12 , 1987 shall be considered
approved without further written request .
SECTION X - INDEMNITY
CONSULTANT agrees to indemnify , hold harmless and defend
CITY, its officers , agents , and employees , from and against
any and all claims, demands or liability of any sort which
may arise out of the negligent acts , errors, omissions or
other breach of duty by the CONSULTANT, employees ,
subconsultants , or agents of CONSULTANT.
CITY agrees to indemnify , hold harmless and defend
CONSULTANT, its officers, agents , and employees , from and
against any and all claims , demands or liability of any sort
which may arise out of the negligent acts , errors , omissions
or other breach of duty by the CITY, its employees ,
subconsultants , or agents .
SECTION XI - INSURANCE
(A) Liability Insurance
CONSULTANT, at their sole cost and expense, shall. obtain and
maintain in full force and effect throughout the entire term
of this Agreement the insurance coverage , insuring not only
CONSULTANT, but also (with the exception of workers '
compensation and employer ' s liability insurance) , CITY, its
officers , agents , and employees , and each of them but only
in regard to this .project . Insurance coverage shall cover
Comprehensive General Liability, Automobile Liability , and
Professional Errors & Omissions Coverage. Each of the
policies shall have a $1 ,000,000 (one million dollar.) limit .
Certificates of such insurance , shall be filed with CITY.
Said certificates shall be subject to the approval of the
City Attorney and shall contain an endorsement stating that
said insurance is primary coverage and wi.'ll not be cancelled
or altered by the insurer without thirty (30) days prior
written notice to CITY of such cancellation or alteration,
and that the City of Dublin is named as an additional
insured ( except in policies of professional liability
insurance) . Current certificates of such insurance shall be
kept on file at all times during the term of Agreement.
(B) Workers ' Compensation
CONSULANT certifies that it is aware of the provisions of
the Labor Code of the State of California which require
every employer to be insured against liability for workers '
compensation or to undertake self—insurance in accordance
with the provisions of that code, and it certifies that it
will comply with such provisions before commencing the
performance of the work of this Agreement .
SECTION XII - AGREEMENT BINDING
The terms , covenants , and conditions of this agreement shall
apply to , and shall bind , the heirs, successors , executors ,
administrators , assigns, and subcontractors of both parties .

SECTION XIII - NONASSIGNABILITY
(A) Personal Services of Consultant
Both parties hereto recognize that this agreement is for the
personal services of CONSULTANT and cannot be transferred ,
assigned , or subcontracted by CONSULTANT without the prior
written consent of CITY.
SECTION XIV - RELIANCE UPON PROFESSIONAL SKILL OF CONSULTANT
It is mutually understood and agreed by and between the
parties hereto that CONSULTANT is skilled in the
professional calling necessary to perform the work agreed to
be done hereunder and that CITY relies upon the skill of
CONSULTANT to do and perform the work in the most skillful
manner , and CONSULTANT agrees to thus perform the work.
Consultant will use that degree of care and skill ordinarily
exercised , under similar circumstances , by reputable members
of Consultants profession practicing in the same or similar
locality . No other warranty , expressed or implied , is made
or intended by this agreement , or by furnishing oral or
written reports of the findings made.
SECTION XV - TERMINATION OF AGREEMENT
This Agreement may be terminated at any time , by either
party , for breach of contract . The CITY may terminate
unilaterally with reasonable cause upon thirty (30) days
written notice to CONSULTANT. All work performed pursuant
to the Agreement and prior to the date of termination may be
claimed for reimbursement , upon audit and verification of
the work completed , pursuant to the schedule of rates in
Exhibit "B" .

EXHIBIT A
SCOPE OF WORK
Based on the above project information and our experience with similar
projects, we recommend the following scope of work for our foundation
investigation, geologic hazards study and seismic response analysis.
A. FOUNDATION INVESTIGATION
1. A field subsurface exploration program under the direction of our
soil engineer who would supervise, log and sample five continuous
flight auger borings drilled to depths of about 25 to 35 feet.
The approximate number and depth of the borings is listed below:

Standard penetration resistance will be determined continuously
for the upper 3-feet of all borings and at approximately 5- to 10
foot deep increments thereafter in all of the borings. Relatively
undisturbed samples would be recovered at various depths to
determine the engineering characteristics of the subsurface
materials.
2. Laboratory testing of the samples recovered from the exploratory
borings. These tests would include:
a. Classification and index. tests such as sieve analysis and
Atterberg Limits determinations.
b. Moisture content and dry density determinations to aid in the
qualitative evaluation of the soil types encountered and their
strength characteristics.
c. Strength tests to provide data for bearing capacity analyses.
d. Consolidation tests to determine the compressibility of any
clayey materials encountered in the exploratory borings, if
required.
e. "R11-value tests to provide data for alternative pavement
designs

3. Soil engineering analysis and evaluation of the field and
laboratory data in order to provide earthwork and foundation
recommendations for the proposed structures, street and parking
lots.
4. Submittal of a foundation investigation report .presenting, as
applicable, but not necessarily limited to the following:
a. Description of physical properties and characteristics of the
subsurface soil conditions at the site.
b. Earthwork recommendations including procedures to be used
for proper placement of fill and backfill.
c. Recommended types of foundations and" applicable bearing
capacities.
d. Estimated probable settlements to be expected.
e. Passive resistance of soil against the foundations.
f. Recommendations for pavement sections.
g. Guide specifications for earthwork and pavements as required.
Our foundation investigation would be provided in accordance with our
attached standard fee schedule of charges and terms. We estimate the cost
of our investigation would be about $4,900; we would not, exceed this
amount without your prior approval.
It should be noted that our =above estimated cost does not include the cost
of earthwork and foundation excavation observations during the
j construction of the project. However, construction observation costs
should be included in the project budget.

B. GEOLOGIC HAZARDS STUDY
Our geologic hazards study would consist of the following:
1. A detailed review of available geologic and seismic data in the
general area of the site.
2. The field subsurface exploration program performed for the
foundation investigation, as discussed previously would be
expanded by extending the proposed 35-foot boring to a depth of
50 feet. Samples of the subsurface materials would. be recovered
i from the boring at selected depths for appropriate laboratory

3. Granular soil samples obtained from the borings would be tested
for gradation for use in our liquefaction evaluation.
4. Using the data developed from our field and laboratory ry work we
would evaluate the potential geologic hazards at the site. This
would include evaluation of any hazards due to fault offset and
any hazards due to shaking including the phenomenon caused by
shaking such as soil liquefaction, sieches, landsliding, lateral
spreading, differential compaction and ground cracking.

5. Submittal of a geologic hazards report
presenting the results of
our comprehensive evaluation of the geologic hazards at the site.
Our geologic hazards study would also be provided in accordance with our
attached standard fee schedule rates and terms. We estimate the cost of
our geologic hazards study would be $1,500 and we would not exceed this
N amount without prior approval from your office.

C. SEISMIC RESPONSE STUDY

We would perform a seismic response study. in conjunction with our
foundation investigation if deemed necessary. Our response study would
include the following:

Laer expanded by extending one of the proposed borings to a depth of
about 250 feet using a rotary wash drill rig. Samples of the
subsurface materials would be recovered from -the boring at
selected depths for appropriate laboratory testing to provide the
necessary data for the seismic response analysis.
2. Using the soil; geological and seismic data developed from our
field and laboratory work, we would perform a seismic response
analysis. We would determine the most appropriate design
earthquakes that are likely to occur in the area of the subject
site. We would analyze ground surface response during the
anticipated design maximum probable and maximum credible
earthquakes to evaluate maximum ground surface acceleration and
the associated response spectra . for structures with spectral
damping of 2, 5 and 10 percent. - We would then establish
representative acceleration and velocity spectra for each of the
postulated maximum probable and maximum credible design
earthquakes.
3. We would submit a comprehensive seismic response report that
presents the results of our studies.

Gentlemen:
In accordance with your request, we are revising our fee for the proposed
Dublin Civic Center. Our company submitted a proposal dated May 11,
1987 to perform geotechnical engineering services for the subject project.
Our proposed scope of work for our seismic response study would be
modified so as not to include the deep boring to a depth of 250 feet.
instead, the required soil, geologic and seismic data would be determined
from our previous deep boring near the site, historical data and the
borings drilled for the foundation investigation and geologic hazards
study.
With this revised scope of work for our seismic response study, our cost
would be $2,500 in lieu of the $5,000 indicated in our proposal.

SCHEDULE OF CHARGES AND TERMS
PERSONNEL CHARGES
Charges for employees are computed by multiplying the total direct salary
cost of our personnel by two and one-half. The total direct salary cost
shall be a sum equal to the direct payroll cost (computed on a typical
annual basis and expressed as an average hourly rate) plus payroll taxes,
insurance incident to employment, holidays, sick leave, vacations, etc.
President shall be charged at a rate of $75 per hour; Vice Presidents shall
be charged at a rate of $75 per hour. Union personnel rates change
annually effective March 1. Non-union personnel rates subject to change
annually effective July 1.
EQUIPMENT CHARGES

MISCELLANEOUS CHARGES
Special and consultant fees, computer programs, permits, insurance, fares,

Special equipment such as seismograph, magnetometer, vibroground
resistivity meter or slope indicator inclinometer will be charged at cost.
Travel expenses, meals and lodging are billed at cost. Miscellaneous
telephone and reproduction costs are billed at a rate of 3 percent of the
total charges.
