Approve and Authorize Mayor to execute Agreement 2. Approve Budget Change Form FINANCIAL STATEMENT: The attached Budget modification to the Adopted 1987-88 Budget will be required. DESCRIPTION The City of Dublin Personnel Ordinance exempts individuals appointed by the City Council, elected officers, volunteers, and contract employees from the competitive service. The terms and conditions of the City Manager's employment are identified in an Agreement adopted June 9, 1986. Members of the City Council have reviewed the City Manager' s performance. Following the review, a revised Agreement was drafted based on the Agreement approved by the City Council in 1986. This Agreement modifies the City Manager ' s compensation and fringe benefits. ---------------------------------------------------------------------------- COPIES TO: ITEM NO. a AGREEMENT THIS AGREEMENT is made and entered into this 21st day of July, 1987, by and between the CITY OF DUBLIN, a Municipal Corporation, hereinafter referred to as the "CITY", and RICHARD C. AMBROSE, hereinafter referred to as "AMBROSE". RECITALS A. AMBROSE is currently the City Manager of the City. B. The CITY acknowledges the value of AMBROSE' s services. C. The CITY desires to continue to employ AMBROSE and retain the unique abilities and services of AMBROSE as City Manager of Dublin. D. Both parties desire to embody the terms and conditions of AMBROSE' s employment into a written agreement. NOW, THEREFORE, in consideration of the mutual promises,. conditions and covenants herein contained, the parties agree as follows: 1. Employment Capacity and Term CITY hereby employs AMBROSE as City Manager for a terms commencing on May 1, 1987. During the term of employment, AMBROSE shall not undertake any employment other than as City Manager for CITY. 2. Compensation Commencing on May 1, 1987, the CITY shall pay to AMBROSE, and AMBROSE shall accept from the CITY, for services rendered during the employment term, a base salary of $64,890.00 per year, payable in accordance with the CITY's adopted payroll periods. CITY may, from time to time, raise AMBROSE' s base salary on an annual basis in an amount that is satisfactory to both parties hereto. In addition to his base salary, in July, 1987, AMBROSE shall receive a lump sum one-time payment of $5,000.00 in recognition of outstanding performance. 3 . Expenses The CITY shall pay AMBROSE the sum of $300.00 per month for his use of his personal automobile for CITY purposes and to pay for membership dues in professional, civic or service organizations, including AMBROSE's International City Management Association dues. In addition thereto, the CITY shall reimburse AMBROSE for all actual and necessary expenses for travel or for attendance at meetings of professional organizations related to CITY business, including mileage at a rate per mile to be fixed by the City Council. 4. Leave A. Vacation - Illness AMBROSE shall be entitled to an annual leave of 24 days for vacation or illness. AMBROSE will be allowed to carry over to the next year unused annual leave days from the prior year, which will be placed in a sick leave bank. Carryover of unused leave shall be limited for sick leave use only. The maximum carryover shall not cause the sick leave bank balance to exceed a total of 45 days. B. Management Leave AMBROSE shall be entitled to 5 days per year of "Management Leave" . This leave is treated differently than other leave, in that if AMBROSE is unable to use this leave by May 1st of each year, AMBROSE will be compensated for any unused Management Leave at that time. Such compensation shall be based upon AMBROSE' s base salary identified in paragraph 2. 5. Benefits The CITY shall provide AMBROSE with the following benefits: (a) A PERS retirement program, with the CITY paying both the employer and the employee contributions to PERS. (b) The option to select medical insurance coverage from among the plans offered by the Public Employees' Retirement System Medical and Hospital Care Act. The CITY shall contribute a maximum- of $230.51 per month, exclusive of administrative charges, toward said insurance premium. (c) CITY shall provide fully paid family dental insurance coverage for AMBROSE. In addition, AMBROSE shall be a participant in the City Dental/Optical Reimbursement Trust Fund pursuant to the same regulations as the City Council adopts for full-time employees. (d) CITY shall pay the insurance premium cost for Long Term Disability Insurance for AMBROSE. (e) CITY shall contribute up to $250.00 per year as a premium for a term life insurance policy for AMBROSE. -2- (f) CITY shall agree to AMBROSE's participation in a Deferred Compensation Plan (contributions to said Plan shall be at the sole expense of AMBROSE) . 6. Termination In the event that the City Council terminates AMBROSE' s employment for reasons other than acts involving moral turpitude, the CITY shall pay to AMBROSE, upon termination, a sum equal to 90 days salary. In the event that AMBROSE resigns, he shall provide the CITY notice of said resignation not less than 90 days prior to his last day of employment. 7. Notices Any written notices to the parties hereto shall be sufficient if they are deposited in the United States Post Office, in envelopes, postage prepaid by registered or certified mail addressed as follows: CITY: , City of Dublin 6500 Dublin Boulevard Suite 101 Dublin, CA 94568 CITY MANAGER: Mr. Richard C.
