FINANCIAL STATEMENT: 1 ) If the City of Dublin is selected to
administer the contract or provide accounting
services, these costs would be reimbursed.
However, the ability to accomplish other City
priorities may be impacted.
2) The City will incur costs in the preparation
of the Transportation Plan. Those costs have yet
to be determined.
DESCRIPTION: The City has received a letter from Wayne Bennett,
Chairman Tri Valley Transportation Council requesting that the City of
Dublin City Council discuss and adopt the attached draft Joint Powers
Agreement.
The Agreement establishes the Tri Valley Transportation Council. The
Council is comprised of one member of the Board of Supervisors from each
County and one member from each City or Town Council. Each City or Town
Council and Board of Supervisor may also appoint an alternative who may
vote in the absence of the designated voting member.
The Agreement would authorize the Tri Valley Transportation Council to 1 )
review and provide comments to any agency's proposed General Plan Amendment
or Specific Plan when regional or subregional transportation issues are
involved; 2) review and provide comments regarding any new proposed
freeway, expressway, arterial transit project, or major intersection
improvement of regional or subregional significance in the Tri Valley area;
3) retain a consultant to prepare a transportation plan for the Tri Valley
and assess the cost of the consultant among the participating agencies; 4)
seek on the behalf of the Tri Valley Transportation Council. or member
agencies funding from Federal, State, or local sources for Transportation
Planning, facilities, improvements, etc. which are consistent with the Tri

Valley Transportation Plan; and 5) serve as a forum for resolution of
transportation related disputes between member agencies.
The Agreement proposes that member agencies include the County of Alameda,
the County of Contra Costa, Town of Danville, and the Cities of Dublin,
Livermore, Pleasanton, and San Ramon.
The Agreement also clearly indicates that the parties to the Agreement do
not intend to create an agency or entity separate from the member agencies.
The Agreement requires a unanimous vote of all member agencies for the
adoption of the annual work program and budget. Subsequent to the approval
of the work program and the budget, the unanimous vote of all delegates to
the Transportation Council is required to select and retain the consultant
to prepare the Transportation Plan.
Staff and the 'City Attorney have reviewed the Agreement and would recommend
that the Agreement forwarded by Chairman Bennett be modified as follows:
Paragraph 9 - Accounting Services "The Finance Director of the if
be changed to "the Finance Director of one of the Cities".
Paragraph 11b(IV) "For Personnel Matters" be deleted.
Since the Agreement does not establish an agency, the Council will not need
to consider personnel issues because there is not authority to hire
employees.
With those modifications, it is Staffs recommendation that the City
Council adopt the attached resolution approving the Joint Powers Agreement
for the purpose of preparing a Tri Valley Transportation Plan.
Staff has included attachments which outline previous City council actions
on the Tri Valley Transportation Council.

Dear Mayor Snyder:
At its meeting of November 28, 1990, the Tri-Valley Transportation Council (TVTC)
endorsed the formation of a Joint Powers Agency for the purpose of developing a
Transportation Plan for the Tri-Valley Subregion. The JPA represents a milestone in
transportation planning for the Tri-Valley. The five cities and two counties which are
members of the TVTC have declared their common commitment to a program of
cooperative planning for the future transportation needs of the region in a comprehensive
program which crosses city and county boundaries.
The attached Joint Powers Agreement outlines the authorities and responsibilities of Tri-
Valley Transportation Council, and was developed with the cooperation of all the member
jurisdictions of the TVTC. We would ask that you schedule discussion and adoption of the
Joint Powers Agreement on your City Council agenda as soon as possible. If you need
additional information, or if we may answer any questions regarding the JPA, please contact
Wayne Bennett, Chair Tri-Valley Transportation Council or John Dillon, Transportation
Services Manager for the City of San Ramon at 275-2228. If you would desire, Mr. Bennett
or other TVTC members would be available to attend your council meeting when this item
is discussed.

OF THE CITY OF DUBLIN

APPROVING A JOINT POWERS AGREEMENT
BY AND AMONG THE COUNTY OF ALAMEDA, THE COUNTY OF CONTRA COSTA,
TOWN OF DANVILLE, AND THE CITIES OF DUBLIN, LIVERMORE,
PLEASANTON, SAN RAMON FOR THE PURPOSE OF
DEVELOPING A TRI VALLEY TRANSPORTATION PLAN
WHEREAS, the representatives of all member jurisdictions of the
Tri Valley Transportation Council (TVTC) have developed a Joint Powers
Agreement for the preparation of a Tri Valley Transportation Plan; and
WHEREAS, the TVTC has adopted a preliminary work program and a
draft proposal for the preparation of a Tri Valley Transportation Plan;
and
WHEREAS, the purpose of coordinated and cooperative regional
transportation planning will be served by the adoption of a Joint Powers
Agreement for that purpose.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Dublin hereby adopts a Joint Powers Agreement by and among the County of
Alameda, the County of Contra Costa, Town of Danville, and the Cities of
Dublin, Livermore, Pleasanton, and San Ramon for the purpose of
preparing a Tri Valley Transportation Plan.

JOINT POWERS AGREEMENT
BY AND AMONG THE COUNTY OF ALAMEDA, COUNTY OF CONTRA COSTA,
TOWN OF DANVILLE AND CITIES OF DUBLIN, LIVERMORE,
PLEASANTON AND SAN RAMON
1. Parties. This Joint Powers Agreement, dated December
1990, for the purpose of reference only, is entered into
pursuant to Government Code section 6502 by and among the
following public agencies: the County of Alameda, the County of
Contra Costa, the Town of Danville, the City of Dublin, the City
of Livermore, the City of Pleasanton and the City of San Ramon
(hereafter referred to as "Parties" or "Party") .
2 . Recitals. Each Party to this Agreement is a public
agency duly authorized and existing under the law of the State of
California. The County of Contra Costa, the Town of Danville and
the City of San Ramon are situated within the boundaries of the
County of Contra Costa. The County of Alameda, the City of
Dublin, the City of Livermore and the City of Pleasanton are
situated within the boundaries of the County of Alameda.
The area commonly known as the "Tri-Valley Area" encompasses
the Town of Danville, the Cities of Dublin, Livermore, Pleasanton
and San Ramon and portions of the Counties of Alameda and Contra
Costa immediately adjacent to the cities and town.

The parties hereto recognize that adequate transportation
planning is essential to the orderly development of the Tri-
Valley Area and that review and coordination of planning and
implementation of transportation facilities in the Tri-Valley
Area is to the benefit of all parties hereto and their
constituents.
3 . Purpose. The purpose of this Agreement is to provide
for the joint preparation, including sharing of costs, of a
transportation plan and to provide a forum for the review and
coordination of planning and implementation of transportation
facilities in the Tri-Valley Area. By entering into this
Agreement, the parties do not intend to create an agency or
entity separate from the Parties to the Agreement and no
provision of this Agreement should be so construed.
4 . Tri-Valley Transportation Council. The administration
of the activities called for in this Joint Powers Agreement is
delegated to and vested in the "Tri-Valley Transportation
Council" ("Council") . The Council shall be comprised of one
member of the board of supervisors and city or town council of
the respective Parties to this Agreement, to be appointed and
serve at the pleasure of the respective board or council. Each
member of the Council shall have one vote. One member shall be
elected by the members of the Council annually to serve as
chairperson and one member shall be elected annually to serve as

vice-chairperson. Each city or town council and board of
supervisors may appoint an alternate who may vote in the absence
of the designated voting member. The meetings of the Council
shall be held in accordance with the provisions of the Ralph M.
Brown Act, Government Code sections 54950 et seq. A quorum of
four members shall be required to transact any business
hereunder.
The Tri-Valley Transportation Council is authorized and
directed, on behalf of all Parties, to perform all acts necessary
or desirable to execute and administer this Joint Powers
Agreement including, but not limited to: selecting and retaining
a consultant to prepare a transportation plan and related
environmental documents; authorizing, evaluating and monitoring
the expense of preparation of the transportation plan; and other
actions consistent with those specified in this Agreement.
In particular, the Tri-Valley Transportation Council:
a. may review and provide comments to any Party' s
proposed general plan amendment or specific plan, when regional
or subregional transportation issues are involved;
b. shall review and provide comments regarding any
proposed new freeway, expressway, arterial, transit project or

major intersection improvement of regional or subregional
significance to be located in the Tri-Valley Area;
C. shall, upon a unanimous vote of all members,
select and retain a consultant to prepare a transportation plan
(referred to herein as the "Tri-Valley Transportation Plan") as
specified in paragraph 5 below, and assess the costs of the
consultant among the Parties;
d. may seek, on behalf of the Council, a Party or
Parties, funding from Federal, State or local sources for
transportation planning, facilities, improvements, projects
and/or operations which are consistent with the Tri-Valley
Transportation Plan; and
e. may serve as a forum for the resolution of
transportation-related disputes between the Parties.
5. Tri-Valley Transportation Plan. The Tri-Valley
Transportation Plan and related environmental documents shall be
prepared by a consultant selected by the Council. At a minimum,
the Tri-Valley Transportation Plan shall identify current and
future needs for transportation facilities and programs in the
Tri-Valley Area and current and anticipated future deficiencies
in such transportation facilities and programs. "Transportation
facilities and programs" include freeways and freeway

interchanges, expressways, arterials, major intersections of
regional or subregional significance and public transit such as
light rail. Adoption or amendment of the Tri-Valley
Transportation Plan shall require the unanimous vote of all
members of the Council. Following its adoption, the Parties
agree to consider the Tri-Valley Transportation Plan when
adopting or amending circulation elements of their general plans
and specific plans, zoning ordinances or capital improvement
programs.
6. Rescission of MOU. The Parties hereto are parties to a
Memorandum of Understanding, effective May 23 , 1989, entitled
"Tri-Valley Transportation Planning Program, " which established a
Tri-Valley Transportation Council. By entering into this Joint
Powers Agreement, the Parties hereto agree to rescind and
terminate the Memorandum of Understanding and the Tri-Valley
Transportation Council created by that Memorandum of
Understanding.
7 . Administrative Services. There shall be a technical
advisory committee ("TAC") , made up of one staff member from each
Party, with one staff member serving as chairperson. It shall be
the responsibility of the chairperson of the TAC to provide
administrative services as necessary to the Council, such as
preparation of agendas for Council and TAC meetings. The chair-
person shall rotate annually among the Parties.

8. Contract Administration. The Council shall select one
Party as Contract Administrator. The Contract Administrator, who
shall be a TAC representative, shall be responsible for payment
of consultant services required by the Council. The Contract
Administrator shall prepare regular written reports to the
Council and the TAC on the status of consultant services.
Reasonable and ordinary expenses incurred by the Contract
Administrator shall be reimbursed equally by all other Parties.
9. Accounting Services. The Finance Director of the City
of ("Finance Director") shall provide accounting
services for all payments and receipts required by the terms of
this Agreement, and shall be responsible for the safekeeping of
all funds paid by or to the Parties to this Agreement. The
Finance Director and the Contract Administrator shall be staff
members from the same Party. Reasonable and ordinary expenses
incurred by the Finance Director in providing accounting services
shall be reimbursed equally by all other Parties.
10. Payment for Expenses. Each Party to this Agreement
shall:
a. Pay, upon demand of the Finance Director, its
"appropriate share" of all expenses incurred in the performance
of activities called for by this Agreement. The "appropriate
share" of each Party shall be an equal amount of all expenses.

b. All bills and invoices for expenses incurred
pursuant to this Agreement shall be directed to the Finance
Director, who shall calculate the amount owed by each Party under
the formula set forth in subparagraph a. above, and shall bill
each Party accordingly. All bills shall be paid by each Party
upon demand.
C. The Finance Director shall demand advance payment
by the Parties of the estimated costs of preparation of the Tri-
Valley Transportation Plan. All such advance payments will be
retained in a separate account by the Finance Director and
interest earned on such funds shall be used to reduce
proportionately the Parties' contributions.
11. Vote Required.
a. A unanimous vote of all Parties shall be required
for adoption of the annual work program and budget.
b. Except as otherwise provided in this Agreement,
five votes shall be required for:
i) Grant applications;
ii) Expenditure of funds;

Execution of contracts;
iv) Personnel matters; and
V) Adoption of policies, rules of procedure and
other operational matters of the Council and
staff.
C. Any abstention from voting by any member shall be
construed as a "yes" vote on a particular matter.
d. A majority vote of those present and voting shall
be required for any other action not specified above.
12 . Amendment. This Agreement may be amended at any time
upon the written approval of all Parties to the Agreement.
13 . Notices. Except where this Agreement may specifically
provide otherwise, any notices to be sent to any Party shall be
directed to the office of the city manager or county
administrator of the Party, with copies to all other city
managers and county administrators.
14 . Termination of Agreement. This Agreement shall
terminate as to any or all Parties upon the occurrence of any of
the following conditions:

a. Ninety (90) days' prior writtenlnotice of
termination by any Party given to the chairperson of the Council;
provided, however, that the terminating Party shall be liable for
its appropriate share of any expenses incurredup to the date of
termination.
b. Automatically, upon the failure of any Party to
pay its appropriate share of expenses within 60 days of date of
invoice.
C. Mutual written agreement by all Parties hereto.
15. Disposition of Funds Upon Termination. Any funds
remaining with the Finance Director, including any interest
earned on such funds, upon termination of this Agreement by all
Parties shall be returned to each Party in proportion to the
contribution of each Agency.

16. Effective Date. This Agreement shall become effective
upon the date of execution of the last signatory hereto.

MEMORANDUM OF UNDERSTANDING
TRI-VALLEY TRANSPORTATION PLANNING PROGRAM
This Memorandum of Understanding is effective on the date last entered hereon by,
and between, and among the County of Alameda, the County of Contra Costa, the Town
of Danville, and the Cities of Dublin, Livermore, Pleasanton and San Ramon.
R E -C I T A L
WHEREAS, the jurisdiction's names above have formed the Tri-Valley Transportation
Council for the purpose of addressing transportation and related issues in the subregion
comprised of their jurisdictional territories (the "Fri-Valley Area"); and
WHEREAS, adequate transportation facilities are essential to the orderly
development of the Tri-Valley Area; and
WHEREAS, the Tri-Valley Transportation Council recognizes that the, regional and
subregional transportation concerns and issues of its member jurisdictions are best resolved
on a regional or subregional basis; and
WHEREAS, it is the intent of the parties to this Agreement that they establish a
mechanism by which to jointly plan the nature, location, and operation of major
transportation facilities in the Tri-Valley Area; and
WHEREAS, it is the further intent of the parties to this Agreement that they jointly
seek funding from any and all,available sources for the construction and implementation
of such jointly planned facilities.

NOW, THEREFORE, in consideration of the mutual promises and covenants
contained in this Agreement, and of the mutual advantages to be obtained from the
implementation of such promises, the parties hereto agree as follows:
1. The Tri-Valley Transportation Council will jointly review and provide comments
and suggestions on any member jurisdiction's proposed General or Specific Plans
or Amendments, when such proposed Amendments involve regional or
subregional transportation issues. This paragraph shall not be construed to
prevent any individual member jurisdiction from submitting its own comments
on such General or Specific Plans or Amendments.
2. The Tri-Valley Transportation Council will jointly review and provide comments
and suggestions on any proposed new freeway, expressway, arterial, transit
project or major intersection improvement of regional or subregional significance
located in whole or in part in any member's territorial jurisdiction. This
paragraph shall not be construed to prevent any member jurisdiction from
submitting its own comments on such proposed facilities.
3. The Tri-Valley Transportation Council will prepare a Tri-Valley Transportation
Plan, the primary purpose of which is to coordinate the planning, approval,
funding, construction and operation of transportation facilities in the Tri-Valley
Area. The parties hereto will consider the Plan when adopting or amending
transportation portions of their General Plans, Specific Plans, Zoning Ordinance,
or Capital Improvement Programs.
4. The Tri-Valley Transportation Council will seek, on behalf of its member
jurisdictions, funding from Federal, State and local sources for transportation,

planning, facilities, improvements, projects and operations, when such activities
and improvements are consistent with the Tri-Valley Transportation Plan.
5. The Tri-Valley Transportation Council shall serve as a forum for the resolution
of transportation related disputes between member jurisdictions.
6. .. The Tri-Valley Transportation Council will formulate rules and procedures to
implement the foregoing agreements, and to provide for a budget and
administrative support with equitable cost sharing.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed and attested by their proper officers duly authorized and their official seals to
be affixed hereto as of the date first set forth above.

Cm. Snyder questioned if we use the money available in the next 5 years
identified in the Capital Improvement Program, what this would mean to
the life of the pool .
Ms . Lowart advised that we would need to determine which items would be
the most cost effective to do and give these the highest priority. The
deck has been a liability and the other big item is the relining. All of
the repercussions mean increased costs in one area or another.
Mayor Moffatt asked if Staff felt the solar units work. Ms. Lowart
stated yes, but they take a lot of electricity to run.
Cm. Jeffery asked if the pool was a part of the Task Force Report. Ms .
Lowart advised that it was not.
Cm. Snyder questioned what a Chlorine Factory was .
Cm. Jeffery advised that they work quite nicely by allowing the water to
flow through a cylinder to pick up chlorine on a gradual basis .
Cogeneration was discussed, and Ms . Lowart stated she did not feel it
would be warranted with our limited amount of use.
On motion of Cm. Snyder, seconded by Cm. Vonheeder, and by unanimous
vote, the Council authorized Staff to continue with preparation of the
final scope of work and cost estimates .

TRI-VALLEY TRANSPORTATION PLANNING PROGRAM - MEMORANDUM OF 'UNDERSTANDING
Planning Director Tong advised that the Tri-Valley Transportation Council
has requested that each jurisdiction adopt a Memorandum of Understanding
(MOU) . The purpose of the MOU is to cooperatively address transportation
planning issues . In order to implement the MOU, the Tri-Valley Transpor-
tation Council will formulate rules and procedures and develop a proposed
budget and administrative support to accomplish the goals of the MOU.
Mr. Tong advised that Cm. Vonheeder is the Council representative on this
committee.
Cm. Vonheeder indicated that this has been discussed for a long time.
The intention is for this group to be an advisory body.
Cm. Jeffery questioned their budget.
As an example, Cm. Vonheeder explained that if the group were to
commission TJKM to develop a transportation plan, they would use each
city' s set of criteria. It would be all 7 entities contracting and at
some future point, there would be discussion on sharing the costs . She
wasn' t sure what type of a formula' would be established, whether it would
be based on population or other criteria.

Cm. Jeffery questioned the possibility of putting in some sort of a
sunset clause, perhaps a 2 or 4 year period.
Cm. Vonheeder felt this was a reasonable request, but was not something
they had discussed.
Cm. Jeffery expressed concern with #5 that states that the Tri-Valley
Transportation Council will serve as a forum for resolving transportation
related disputes between member jurisdictions . She thought the word
"will" should be changed to "may" . Cm. Jeffery asked about the
possibility of giving each city the opportunity to use this as a forum
only if they want to.
Cm. Vonheeder advised that they have no authority to do anything other
than serve as a forum.
Cm. Vonheeder stated she could take the MOU back with changes . It only
says we will try to agree.
Cm. Snyder stated he wasn' t too concerned with the forum situation as he
felt it is an opportunity for people to speak.
City Attorney Nave advised that he had no legal problems with the
document, i .e . , there is really no teeth to it.
Cm. Hegarty stated that it has no authority and can' t really do anything.
All it can do is recommend to the 5 cities .
Cm. Vonheeder stated she sees it as an opportunity for 5 cities and 2
counties to get together to discuss something where everyone has an
opportunity to speak at the same level.
On motion of Cm. Snyder, seconded by Cm. Vonheeder, and by unanimous
vote, the Council authorized Dublin' s participation on the Tri-Valley
Transportation Council.

DUBLIN SCHOOL FACILITIES IMPROVEMENTS
Recreation Director Lowart advised that after receiving the final report
from the Dublin Schools Facilities Task Force on May 9, 1988, the Council
authorized Staff to seek the services of a professional landscape
architect to prepare cost estimates . for the improvements identified in
the report.
On February 14, 1989 , the Park & Recreation Commission reviewed the Task
Force Report, as well as the Consultant' s Report. The purpose of their
review was to develop priorities for the projects identified by the Task
Force utilizing the cost estimates prepared by the Consultant. The
priorities identified by the Commission were spelled out in the Staff
Report and totalled $3, 028, 530 . The Commission identified Dublin High
School projects as high priorities since- there is greater potential for

RULES OF PROCEDURE
1. Composition. The Tri Valley Transportation Council (TVTC)
is composed of representatives from the Cities of Livermore,
Pleasanton, . Dublin, San Ramon, Town of Danville and the
Counties of Alameda and Contra Costa.
2. Membership of the TVTC.
(A) Composition
(1) There shall be 7 voting members on 'the TVTC.
Voting members must be elected officials or
designated alternates, one each from the five city
councils and one each from the Alameda and Contra
Costa County Board of Supervisors.
(2) Each City or Town and Board of Supervisors may
appoint one alternate who may vote in the absence
of the designated voting menber.
(B) Terms of Office
Appointments to the Council are for two-year terms,
beginning on January 1st. The appointee must remain a
Councilmember, Mayor or Supervisor to serve.
(C) Removal
Alternates or representatives may be removed from office
by the appointing jurisdiction. If a member is removed,
the appointing jurisdiction shall appoint a replacement
to fill the remainder of the member's term within thirty
days after the removal.
(D) Chair
The TVTC Chair shall be elected from among the voting
members by a majority vote. The term of office shall be
from the date of his or her election to the end of the
year as established in Section 2 (B) .
(E) Vice Chair
A Vice Chair may be elected from among the voting members
by a majority vote of those members present and voting.
The term of office shall be from the date of his or her
election to the end of the year as established in Section
2 (B) .

3 . Meetings
(A) Regular Meetings
Regular meetings of the Council shall be held on the
fourth Thursday of certain months. Regular meetings will
be determined by a vote of the Council. There shall be
held at least one regular meeting during each consecutive
three month period �of the year beginning in January of
each year.
(B) Cancellation of Recrular Meetings
Any regular meeting of the Council may be cancelled by
the Chairperson no less than three.. (3) calendar days
prior to the scheduled date of such meeting if there is
insufficient business -'to warrant the meeting.
Notification of cancellation shall be mailed to all
parties who are notified of regular meetings of the
Council, no less than three (3) calendar days prior to
the scheduled date of the meeting to be cancelled.
(C) Special Meetings
Special meetings of the Council may be called by order
of the Chairperson or by a majority of the members. The
order calling the special meeting shall specify ,the time
o.f the meeting and the business to be transacted at that
meeting.
(D) Adjourned Meetings
Any regular meeting of the Council may be adjourned to
any date prior to the date established for a regular
meeting. Any adjourned regular meeting is part of the
regular meeting, and any special meeting may be
adjourned, and any adjourned special. meeting is part of
the special meeting.
(E) Quorum
A majority of the members of the Council shall constitute
a quorum for the transaction of business, except that
less than a quorum may adjourn from time to time pursuant
to Subsection (G) of these Rules.
(F) Absence of Quorum
In the absence of a quorum, the members present shall
adjourn the meeting to a stated time and place, and the
absent members shall be notified. If all members are
absent, the secretary or a representative, shall adjourn
the meeting to a stated time and place and notify all
members pursuant to Subsection (G) of these Rules.
(G) Notice of Meetings
All meetings of the Council shall be held subject to the
provisions of the Ralph M. Brown Act, being Sections
54950 et. seq. of the California Government Code, and
other applicable laws of the State of California
requiring notice of meetings of the Council.
(H) Vote Required
A majority vote of those present and voting shall be
required for any action.
An abstention to vote by any member-shall be construed
as that member not voting on a particular matter.

DRAFT TRI-VALLEY TRANSPORTATION COUNCIL (TVTC) BYLAWS
Planning Director Tong advised that on May 24, 1989, the Technical
Advisory Committee of the Tri-Valley Transportation Council prepared a
draft set of bylaws which were to be presented to the various
councils/boards for review and approval.
The draft bylaws are Rules of Procedure that address the TVTC composi-
tion, membership and meetings .
Cm. Vonheeder sits on this Council as Dublin' s representative.
Mr. Tong advised that the City had received notice that the June 29th
meeting has been changed to Thursday, July 13th.
Cm. Jeffery felt that 3 days notice for cancellation of a meeting is not
a sufficient amount of time. It should be extended to a week.
Also, Cm. Jeffery wanted to make sure that the section related to special
meetings would comply with the Brown Act, and also that enough notice is
given.
Ms . Jeffery felt that even though these are just working rules, she would
like to see some kind of a comment that in matters of expenditures and
policy, decisions of this body are advisory only.
Cm. Vonheeder stated she had a problem with the voting member having to
be an elected person or their designated alternate. It states further
that the appointee must remain elected in order to serve.
City Manager Ambrose stated this could be reworded to make it clearer
that the appointing person must be an elected official and the official
who appointed the alternate must stay in office.
Cm: Vonheeder stated that these changes would necessitate the bylaws
being sent back to each jurisdiction.
On motion of Cm. Jeffery, seconded by Cm. Hegarty, and by unanimous vote
(Cm. Snyder absent) , the Council directed Staff to forward their comments
related to the drafted Rules of Procedure .

APPROVING THE 1990-92 TRI-VALLEY
TRANSPORTATION COUNCIL WORK PROGRAM
WHEREAS, the Tri-Valley Transportation Council was formed to prepare a
comprehensive transportation plan for the Tri-Valley area, including portions of
Alameda and Contra Costa County, the Cities of Dublin, Livermore, Pleasanton, San Ramon
and the Town of Danville; and
WHEREAS, the purpose of this organization is to study specific
transportation routes in the sub-region and recommend action plans for their
improvement in the future; and
WHEREAS, the Town of Danville, the City of San Ramon and a portion of
Contra Costa County are in a region of the Contra Costa County in which a regional
route action plan is required under Contra Costa County' s Measure "C" program; and
WHEREAS, the action plan work product includes many of the same
elements as the proposed Tri-Valley Transportation Work Program; and
WHEREAS, the City of Dublin is an active participant in the Tri-Valley
Transportation Council;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Dublin does hereby approve the 1990-92 Tri-Valley Transportation Council Work Program
as submitted.
BE IT FURTHER RESOLVED that the City Council recommends to the Contra
Costa Transportation Authority that the Tri-Valley Transportation Council be designate(
as the Regional Transportation Planning Committee for the purpose of regional route
action planning under Contra Costa County' s Measure "C" program.

1990--92 WORK PROGRAM
purpose: To provide a Tri-Valley Transportation Plan that will
create a network of highway, arterial and transit facilities for
the seven jurisdiction Tri--Valley Area which can be adopted and
implemented by all member agencies.
Critical Milestones: Over a two year period, the Tri-Valley
Transportation Council will complete the following programs for
adoption of all agencies:
A long range Transportation Plan Outline.
Short Term Implementation Program.
• Staff support for the Council.
• Pilot Implementation Program.
• Final Tri-Valley Transportation Plan.
In conjunction with these actions, the Work Program will coordinate
with and integrate the following related programs into the Tri-
Valley Transportation plan:
• Contra Costa and Alameda County Transportation Plan
and Congestion Management Plans (CMP' s) .
• Contra Costa County Transportation Authority
Regional Route Action Plans for the South Contra
Costa County Area.
• Member agency General Plans and Transportation
Plans.
• MTC, ABAG, BART and other Regional Agency Plans.
Specific Funding Plan: The Council will utilize funding from
member agencies on an equal basis (one-seventh share for each
agency) , grants received from the Contra Costa Transportation
Authority Measure C Regional Route Planning funds ; Alameda County
Transportation Plan Grants; staff assistance from member agencies
and any other regional or local public agency sources. It is
anticipated that the two year funding program will require up to
$200, 000 to complete the work program.

8 . Contract Administration. The Council shall select one
Party as Contract Administrator. The Contract Administrator, who
shall be a TAC representative, shall be responsible for payment
of consultant services required by the Council. The Contract
Administrator shall prepare regular written reports to the
Council and the TAC on the status of consultant services.
Reasonable and ordinary expenses incurred by the Contract
Administrator shall be reimbursed equally by all other Parties.
9 . Accounting Services. The Finance Director of one of
the Cities ("Finance Director") shall provide accounting services
for all payments and receipts required by the terms of this
Agreement, and shall be responsible for the safekeeping of all
funds paid by or to the Parties to this Agreement. The Finance
Director and the Contract Administrator shall be staff members
from the same Party. Reasonable and ordinary expenses incurred
by the Finance Director in providing accounting services shall be
reimbursed equally by all other Parties.
10. Payment for Expenses. Each Party to this Agreement
shall:
a. Pay, upon demand of the Finance Director, its
"appropriate share" of all expenses incurred in the performance
of activities called for by this Agreement. The "appropriate
share" of each Party shall be an equal amount of all expenses.

iv) Adoption of policies, rules of procedure and
other operational matters of the Council and
staff.
C* Any abstention from voting by any member shall be
construed as a "yes" vote on a particular matter.
d. A majority vote of those present and voting shall
be required for any other action not specified above.
12. Amendment. This Agreement may be amended at any time
upon the written approval of all Parties to the Agreement.
13 . Notices:. Except where this Agreement may specifically
provide otherwise, any notices to be sent to any Party shall be
directed to the office of the city manager or county
administrator of the Party, with copies to all other city
managers and county administrators.
14. Termination of Agreement. This Agreement shall
terminate as to any or all Parties upon the occurrence of any of
the following conditions:
