Christopher L. Foss Economic Development Director 1. Agreement RECOMMENDATION: 1. Approve and authorize Mayor to execute the agreement FINANCIAL STATEMENT: Cost to City - $ 654,000. Funds are available from Fire Impact Fees (Capital Improvement Project 93510). DESCRIPTION: For the past several months, the City of Dublin has been working towards the acquisition of a 1+ acre site for a new fire station in eastern Dublin. The proposed fire station will replace the existing station currently housed at the Santa Rita Jail. The site was identified in the and will allow the Alameda County Fire Department to maintain its response times and coverage in the area. The proposed 1+ acre (43,600 S.F.) site is bounded to the north by Broder Boulevard, the east by Madigan Street, the south by Gleason Drive, and the west by Alameda County property (proposed East Government Center). The City Council, at its meeting of March 6, 2001, approved the parcel map (Parcel Map 7708) that established the new Fire Station site. The City Attorney has prepared a Purchase Agreement between the City of Dublin and the Alameda County Surplus Property Authority (Attachment 1). The County has agreed to sell the property "as is" to the City for the sum of $ 654,000, which reflects payment of $15 per square foot. The City, through its consultant Treadwell & Rollo, conducted a Phase I Environmental Site Assessment to determine the presence of hazardous materials. The Phase I Assessment found "no evidence of recognized adverse environmental conditions in connection with the property." Funding for this property acquisition was approved in the FY 2000/2001 Capital Improvement Program - project 93510 and will come from Fire Impact Fees. RECOMMENDATION: It is staffs recommendation that the City Council approve the agreement between the City of Dublin and the Surplus Property Authority of Alameda County for the purchase of property for the Emerald Glen fire station and authorize the Mayor to execute the agreement. AGREEMENT BETWEEN SURPLUS PROPERTY AUTHORITY OF ALAMEDA COUNTY AND CITY OF DUBLIN REGARDING PURCHASE OF REAL PROPERTY FOR FIRE STATION 11 This agreement is made this -- day of June 2001, by and between the Surplus Property Authority of the County of Alameda, California, a public corporation (hereafter "Authority") and the City of Dublin, a municipal corporation (hereafter "City"). RECITALS A. Authority is the owner of the real property referred to hereinafter as the "Property." The Property, which consists of 1.001 acres, is located in the City of Dublin, County of Alameda, consists of Parcel 2 of Parcel Map No. 7708, recorded on March, 14, 2001 in the Alameda County Recorder's Office, Sedes #087877, Book 256 of Parcel Maps, at pages 17 through 20. B. The City requires the Property for construction of Fire Station 17. C. Authority is obligated to dedicate land to City for a fire station site pursuant to Exhibit B, Section 7, subsection (c) of the Development Agreement Between the City of Dublin and Homart Development Co. and the Surplus Property Authority of the County of Alameda for the Tri-Valley Crossings Project/Santa Rita Commercial Center. The conveyance pursuant to this Agreement satisfies such obligation. D. Authority is also obligated to dedicate land to City for a fire station site pursuant to Condition 17 of City of Dublin Community Development Director Resolution No, 04-99 (dated July 29, 1999), approving Tentative Parcel Map 7395 and its associated planning application (PA 99-001). The conveyance pursuant to this Agreement satisfies such obligation. E. Authority has agreed to sell the Property to City for the sum of Six Hundred Fifty-Four Thousand Dollars ($654,000), which reflects payment for 1.001 acres (43,600 square feet) at $15 per square foot. to City. The purpose of this agreement is to provide for conveyance of the Property AGREEMENT 1. The foregoing recitals are true and correct and are a part of this agreement. Authority agrees to sell and City agrees to purchase the Property for the sum of $654,000. 3. City shall pay for the Property by issuing a check to Authority for the sum of $654,000, which check shall become negotiable when title to said Property vests in City, free and clear of all liens, encumbrances, assessments, easements and leases (recorded and/or unrecorded), and taxes, except for a) Exceptions 1 through 5 shown in Chicago Title Company's Preliminary Report (Order # 911737-MEW, dated March 14, 2001) (hereafter "Preliminary Title Report") and b) the license noted in Section 6 of this Agreement. 4. Authority agrees, upon receipt of a check for the purchase price, to make, execute and deliver to City a good and sufficient grant deed to the Property in a form attached as Exhibit A. No restrictions will be included in the grant deed. 5. City will record the grant deed. City will pay for the premium for any title insurance policy City chooses to purchase. ' 6. With the following exception, Authority warrants that there are no oral or written leases on all or any portion of the Property exceeding a period of one month. Alameda County General Services Administration (hereafter "GSA") has granted a license to the Alameda County Transit Authority (hereafter "ACTA~) that allows ACTA to use the Property. Authority warrants that GSA provided ACTA with a six-month notice of the termination of the license on March 21, 2001, thereby causing the license to expire on September 17, 2001. The City may grant a new license to ACTA, the term of which shall not conflict with the City's schedule for construction of a fire station on the Property. 7. City agrees to accept the Subject Property "as is," in reliance on the following report: "Phase I Environmental Site Assessment Madigan Avenue, Dublin, Califomia," dated December 21, 2000, prepared by Treadwell & Rollo, which concludes that the Property is free of the presence of hazardous and/or toxic materials, substances or chemicals in, on or below the Property or the ground water which would make the Property unfit for use as a fire station. 8. City will not use the value of $15 a square foot, which is the price at which City is purchasing the Property, to assert that the value of any other property which City purchases from Authority has a value of $15 asquare foot, provided that City may assert such value for other reasons. City will similarly not base its determination of the value of land in calculating any of its impact fees on the purchase price of the Property.
