RELATING TO THE DUBLIN CROSSING PROJECT
THIS MEMORANDUM OF AGREEMENT ("Agreement"), dated, August SA_, 2019
("Effective Date") is made by and between the City of Dublin, a municipal corporation ("City")
and Dublin Crossing, LLC, a Delaware limited liability company (the "Developer") collectively
referred to herein as "the Parties."
Parties hereby agree to be bound by all of the terms and conditions contained in that
certain "Amended and restated Development Agreement Between the City of Dublin and Dublin
Crossing, LLC Relating to the Dublin Crossing Project" effective as of November 20, 2018, and
in that certain "Amendment No. 1 to the Amended and Restated Development Agreement
Between the City of Dublin and Dublin Crossing, LLC Relating to the Dublin Crossing Project"
effective as of May 21, 2019, the terms and conditions of which are made a part hereof as though
fully set forth herein, and which Agreements control the use and development of that certain real
property, including any improvements and personal property located thereon, situated in the City
of Dublin, County of Alameda, State of California, more particularly described in Exhibit A
attached hereto.

and Contra Costa Counties, California, Ada Clement, et al, filed in the District Court of the
United States for the Northern District of California, Southern. Division, Civil No. 22352-B,
Judgment effective 27 August 1945, Civil No. 22352-R the Final Judgment of Record filed
