Amendment No. 1 to the Consulting Services Agreement with
Vali Cooper & Associates, Inc., for Construction Administration
and Inspection Services for the Dublin Boulevard / Dougherty Road
Intersection Improvements Project

RECOMMENDATION:. \ Adopt the Resolution approving Amendment No. 1 to the
Consulting Services Agreement with Vali Cooper & Associates,
Inc., to provide additional Project Management for the Dublin
Boulevard/Dougherty Road Intersection Improvements Project.

FINANCIAL STATEMENT:
The existing agreement with Vali Cooper, Inc., is paid for on a
time-and-materials basis in an amount not to exceed $329,010.
Amendment No. 1 would increase the maximum amount to
$391,716, an increase of $62,706. Funding for these services is
derived from Eastern Dublin Traffic Impact Fees, the Downtown
Traffic Impact Fee, and voluntary traffic mitigation contributions.
The timing of the additional expenses is anticipated to occur after
Julyl, 2008, in Fiscal Year 2008-2009; a budget change is not
required at this time. The additional costs will be incorporated in
the updated Capital Improvement Plan and appropriations for Fiscal
Year 2008-2009.
DESCRIPTION: The City of Dublin entered into a Consulting Services Agreement
with Vali Cooper & Associates, Inc. (Vali Cooper), on December 19, 2006, to provide Construction
Administration and Inspection Services for construction of the Dublin Boulevard/Dougherty Intersection
Improvements Project.

It is anticipated that the original not to exceed contract amount of $329,010 will be expended prior to the
end of the project. Additional consulting services are required from Vali Cooper in order to complete the
proj ect. It is therefore proposed to increase the not to exceed amount of the agreement by $62,706 to a
total of $391,716 to provide for these services. Funding for these services is derived from Eastern Dublin
Traffic Impact Fees, the Downtown Traffic Impact Fee, and voluntary traffic mitigation contributions.
Through the construction process, some items have surfaced that have required and/or are projected to
require additional time and services from Vali Cooper, the project's Field Administrator and Inspector.
These items include the continuation of the project for two months longer than first anticipated, as well as
the analysis of a potential contractor claim that required outside engineering Soils Analysis. GeoCon
Geotechnical Engineering Company was hired as a subcontractor to Vali Cooper to make the analysis.
The need for these additional services has been evaluated, and it has been determined that the services
would best be performed by and through Vali Cooper.
Staff therefore recommends that the City Council adopt the Resolution approving Amendment No. 1 to
the Consulting Services Agreement with Vali Cooper & Associates, Inc., to provide additional Project
Management for the Dublin Boulevard/Dougherty Road Intersection Improvements Project.

APPROVING AMENDMENT NO.1 TO THE AGREEMENT WITH
VALl COOPER & ASSOCIATES, INC., FOR CONSULTING SERVICES FOR THE
DUBLIN BOULEVARD / DOUGHERTY ROAD INTERSECTION IMPROVEMENTS
(CIP NO. 96852, DOUGHERTY ROAD IMPROVEMENTS - HOUSTON PLACE TO 1-580)
WHEREAS, the need for future roadway improvements along the Dougherty Road and
Dublin Boulevard corridors were identified in the City of Dublin's Five-Year Capital Improvement
Program to accommodate development in eastern and downtown Dublin, as well as the Dougherty Valley
to the north; and
WHEREAS, the connection between Dougherty Road and Dublin Boulevard must be improved to
accommodate the anticipated traffic increase from said developments; and
WHEREAS, the City has contracted for the services of Vali Coooper & Associates, Inc., to
perform construction administration and consulting inspection work for said project; and
WHEREAS, the cost of these engineering services is being paid through Eastern Dublin Traffic
Impact Fees, the Downtown Traffic Impact Fee, and voluntary traffic mitigation contributions; and
WHEREAS, the need for these services has expanded through the progress of the Improvement
Construction Contract;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does
hereby approve Amendment No.1 to the agreement with Vali Cooper & Associates, Inc.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute Amendment No.1,
attached hereto as Exhibit "A."

WHEREAS, the City of Dublin (hereinafter referred to as "CITY") and Vali Cooper &
Associates, Inc. (hereinafter referred to as "CONSULTANT"), entered into an agreement on December 19,
2006, to provide construction administration services to CITY for the Dougherty Road Improvements -
Houston Place to 1-580 Project (Project); and
WHEREAS, due to changes to the Project timing and additional work required to
complete the Project; and
WHEREAS, these revisions and additional work necessitate an amendment to the original
Scope of Services in order to complete the City of Dublin's Project; and
WHEREAS, the not-to-exceed contract amount is proposed to be increased to cover the
cost of additional work for the amended Scope of Services;
NOW, THEREFORE, the parties hereto agree as follows:
Amended Scope of Services
The Scope of Services shall be modified as described in Consultant's Proposal, attached
hereto as Exhibit "A" to the Amendment.
Not- To-Exceed
The total cost for work under this amendment shall not exceed an additional $62,706,
bringing the total contract amount to $391,716.

Lee,
As requested, please find attached our contract budget amendment, which includes the
contract amount for Geocon Consultants at the request of the City. As you know, the
contractor's latest schedule (that we've rec'd as of Dec07) has projected them out to end
of September 08. We've based our amendment using that time frame, but they plan on
making up time in Stage 2 & 3. This letter will serve as our fee proposal for the
additional work as the estimated not to exceed costs to extend the original project time
line by two months, as well as our time for analysis (including the services of GeoCon
Geotechnical Consultants) of the Contractor's Notice of Potential Claim No. I for the
additional work to off-haul and dispose of the surplus soils that where found to contain
non-hazardous contaminants.
