SUBJECT: Agreement With National Elevator for Civic Center
Elevator Maintenance

RECOMMENDATION: (SV Approve agreement and authorize Mayor to execute.
FINANCIAL STATEMENT: Monthly cost for maintenance and extended warranty
coverage is $375.00. This is a three-year agreement,
with an annual cost of $4,500. If approved, this
amount would be budgeted under the Building Management
Operating Budget for FY 1990-91. There are sufficient
funds in this budget for FY 1989-90 to cover the
remaining month of June. The $375.00 price is
guaranteed for the duration of the three year
contract.
D$SCRIPTION:
The Civic Center's three elevators were installed by National Elevator as part
of the original construction. The warranty on the elevators included
maintenance at no charge for three months. Beginning in January, the City has
paid National Elevator for preventive maintenance type service at a rate of
$210.00 per month. This service includes inspection, cleaning, lubrication,
and some minor adjustments, but does not include any major service or the cost
of any replacement parts.
In checking with other agencies that operate elevators, Staff was advised that
(1) the newer elevators tend to experience more problems than the older ones,
and (2) that certain non-generic parts such as controller boards can only be
obtained from the elevator manufacturer. This information is supported by the
fact that National Elevator stated they would not be able to perform certain
types of service on the elevator at the Shannon Center, which is a Dover,
because the parts are only available from Dover. The elevator at Shannon is
therefore not included in this agreement.
National Elevator has offered the City a three-year extended warranty service
agreement at a cost of $375.00 per month. This agreement would include the
regular preventive maintenance service, plus the services detailed in the
contract. Essentially, all parts and service are covered except the
underground hydraulic cylinder, pipelines, electrical lines, damage to the car
enclosure, doors, hoistway door and jambs, or car enclosure refinishing.
Since many of the replacement parts can be quite expensive, Staff recommends
that the City Council approve this agreement for the three-year period.
During this time, the number of service calls, types of repairs, and parts
replaced will be monitored and evaluated so that a determination can be made
whether to continue the extended warranty or opt for preventive maintenance
only in ensuing years.
This contract was not let out to bid because of the "sole source" nature of
the extended warranty. If, in the future, the City elects to contract for
preventive maintenance service only, other firms may be able to bid the work
at that time.
Staff recommends that the City Council approve the agreement and authorize the
Mayor to execute same.

NATIONAL ELEVATOR COMPANY, INC. , for the sun -of $ 375.00 payable monthly in
advance, agrees to furnish complete maintenance service, as specified below:
THREE (3) PASSENGER ELEVATORS, LOCATED @: 100 Civic Plaza, Dublin, CA
This contract includes regular monthly examination, adjustment and lubrication as
required, and, if necessary, repairing or replacement of the following:
Conmutators, Brushes, Windings, Contacts, Magnet Frames, Coils, Elevator PLunp,
Motor, Plunger, Plunger Packing, Controller parts(including mechanical parts) ,
Rotating Elements, and Resistance for Motor Operating Circuits.
Under terms and conditions of this contract, we will maintain the elevator equipment
covered by this contract, using skilled elevator mechanics. This maintenance includes
the following: - Test all equipment at uniform periods
- Renew guide shoe gibs, as needed
- Guide rails maintained by essential lubrication
- Traveling Cables repaired or replaced, when necessary
- Supply and use of special lubricants
Specified services which we are to provide, covers the period from June 1, 1990 to
June 1, 1993 , and continuing thereafter u�^til this contract is teiinated by a thirty
day written notice, given by either of the parties hereto. Acceptance of this contract
guarantees the above price for the entire period of the contract.
Items of elevator equipment NOT included in this contract are as follows: Under-
ground Hydraulic Cylinder; Pipe Lines; Electrical Lines; damage done to car enclosure,
car doors, hoistway door and jambs; or car enclosure refinishing.
The following accessory equipment we will examine, lubricate, repair or replace, or
adj ust:
Listed as follows are parts which at present are obviously worn, but may be used for
a limited period. We are accepting them in their present state in order to -provide
you with the maximum service from these items, with the understanding that, in addition
to the base amount of this contract, you agree to pay us an additional amount at the
time the listed items are first replaced. The additional charge for this replacement
will be determined by pro-rating the total cost of replacing the individual items. You
agree to pay for that portion of the items used prior to the date of this contract, and
we agree to pay for that portion used since the date of this contract.

P11 work is to be performed during regular working hours of a regular work day of
the elevator trade. If you should require, at any time, examinations, adjustments,
or repairs to be made on overjine, you are to pay us at our regular billing rates
for the difference between regular and overtime labor.
We shall not be required to make repairs or renewals necessitated because of negli-
gence or misuse of the machinery, equipment or car, or rendered necessary due to
any other cause beyond our control.
We shall not be required to install new attachments on the equipment as directed or
reccmmended by insurance ccmpanies, or goverrn- ent, state, municipal or other
authorities.
It is specifically agreed that the liability of the purchaser, for injuries to
persons and damage to property while riding on, being transported by, being in or
near the elevators to be serviced identified herein shall not be changed or affected
by this contract and that NATIONAL ELEVATOR CCMDEPNY, L\1C. , shall only be responsible
for injuries to persons and damage to property directly due to its negligence or
that of its employees. It is agreed further that N TICNPL ELEVATOR CCNTANY, I,IC. , its
directors, officers or employees, shall in no way be responsible for delays, damages,
losses, injuries, or consequential damages connected with or caused by Acts of God,
strikes, riots, lockouts, accidents or any other natural or human elements which are
unavoidable or outside of its reasonable control".
We will be responsible for any accidents to persons due to the negligent acts- of our
employees. The NATIONAL ELEVATOR CCL,1PPNY, INC. nor its subsidiaries or divisions
shall not be responsible or liable for any damages, claims, suits, expenses and pay-
ments on account of or resulting fron any injury, death or damage to property
arising or resulting from overloading above the rated capacity of passenger, freight
or service elevator or any other device covered by this contract.
Purchaser shall pay as an addition to the price stated, a sutra equal to the amount of
any takes which .may now or hereafter be exacted from purchaser or.seller on account
thereof:
We reserve the right to discontinue this maintenance service at any time, without
notice; until payment under this agreement shall have been made as agreed.
You agree to pay the base and/or adjusted contract price prcTmtly, including author-
ized overtime and repairs as billed. Should the amount become due beyond thirty
days without specific written agreement regarding such payment or payments, all the
account sutras due and payable shall bear interest at the rate of 12% per month.
Attorneys fees and/or.collection costs shall be borne by you.
Locations requiring notice prior to filing a lien, this notice requirement is hereby
ccnplied with.

It is understood and agreed that when signed by the purchaser below and an
authorized representative of NATIGNAL ELc`V=R CGMPASTY, INC. , this agreement
and terms and conditions shall constitute the entire and exclusive contract
between the par-ties, and .any prior agreements or representations, either verbal
or written, not specifically incorporated herei_*i, shall be null and void.
This proposal and contract is hereby accepted.
