DESCRIPTION: On June 28, 1995, the City Council adopted the FY 1995-96 .Budget. Included: in
the adopted budget is the reorganization of the existing Building and Planning Departments'i'" a CoMmunity
Development Depa~t. Also resulting from this reorganization is the creation of a ,new, position:
Community, Development Director. This new position will overaee planning, building, inspection and zoning
activities. '
The FY 1995-96 budget includes funding to retain the services of a professional search firm to ....ttw City
in recruiting 8 Community Development Director. Staff has soUcited'ptOpOSats from tht1te "of _ 'mc:tat
reputable executive search firms in California. Staff has revieWed the proposals, aU of VtIhfdt~a
~ption of recruitment tasks, projected cost, tifne frame and service options.
In reviewing the proposals, it appears that the recruitment process can be ~ as ~i
Phase 1 - Work with City staff to develop candidate profile
Phase 2 - Conduct the outreach
Phase 3 - Perform the candidate screening, interviews and reference reviews
Further, the following tasks are common to all three proposals:
Task 1 - Review executive search process and schedule
Task 2 - Develop candidate profile
Task 3 - Conduct outreach and recruiting
Task 4 - Conduct initial screening of all resumes
Task 5 - Interview the most qualified candidates
Task 6 - Conduct preUminary reference checks
Task 7 - Facilitate the selection process
Task 8 - Assist in employment negotiations
Task 9 - Search Close Out
As requested by staff, all proposals present options with regard to service~1n accordance Will. .........' a

and which tasks are critical in terms of utiliZing a professional search firm. Due, to the current ,work bed'end
anticipated staffing changes within the Central Services Division, it would be feasible for Ciir' aid toptlform

Design and print the recruitment brochure. It is recommended that the remainint tasks be condttcted;by the
professional search firm.
Staff has reviewed the proposals and contacted client references. It appe_that Ralph Arldersen&
Associates has submitted the most competitive proposal. Staff I'$COmrnencl$that the City Could. ~.

PROFESSIONAL SERVICES AGREEMENT
EXECUTIVE SEARCH SERVICES
This Agreement is made by and between the City of Dublin (lithe City"), and Ralph
Andersen & Associates (lithe Consultantll).
1. Search Enpvement. The City agrees to engage the Consultant to perform
those services described below, fOf completion of the project described as
follows: Community Development Director Executive Search Services (lithe
Search").
2. Services. The Consultant agrees to perform certain services necessary for
completion of the Search, which services shall include, without limitation, the
following:
a. Advertising Campaign
b. Candidate Identification
c. Resume Review and Screening
d. Prelimina:ry Interviews
e. Detailed Reference Checks
f. Recruitment Report - Provide list of candidates
g. Follow-up Correspondence
The Oty will prepare the candidate profile and provide general background
information. Additionally, the City will be responsible for the design and
printing of the recruitment brochure. The City, if desired will select an
interview panel and coordinate the interview and selection process.
A complete description of the services to be provided are contained in a
proposal from the Consultant to the City, dated June 27, 1995, which is
incol'poxated herein by reference.

3. Relationship. The Consultant is an independent contractor and is not to be
considered an agent or employee of the City.
4. Q!mpensation. As full compensation for the Consultant's professional
services performed hereunder, the City shall pay the Consultant the fixed
amount of $9,500 (Nine Thousand Five Hundred Dollars) ("professional
services fee").
5. EQense Reimbursement. The Consultant shall be entitled to reimbursement
for expenses from the City for such expenses as travel, advertising, printing
and binding, postage and delivery, and clerical and long-distance telephone
charges. Total expenses will not exceed $2,500 (Two Thousand Five Hundred
Dollars). The Consultant shall provide the City with a listing of expenses by
category of expense as a part of monthly billings.
The City will be responsible for any cost associated with the design and
printing of the recruitment brochure.
6. Comp~nsation for Additional Services. In the event tbe City requires services
in addition to those described in Paragraph 2, the Consultant shall be
compensated at the Consultant's standard hourly rates for professional
services, plus reimbursement of expenses.
7. M~thod ot Payment. Progress payment of the Consultant's professional
services fee and expenses sball be made on a monthly basis by the City upon
receipt of billings from the Consultant.
. . 8. 1'.em. The term of this agreement shall commence on July 12, 1995, at which
time the Consultant shall begin work on the Search and shall continue, subject
to the termination provisions of Paragraph 9, until the date that the
Consultant completes the Search. The time of completion of the Search is
estimated to be 60 to 90 days (sixty to ninety days) from project initiation as
described in Paragraph 2a.

9. Tennination. This agreement may be terminated: (a) by either party at any
time for failure of the other party to comply with the terms and conditions
of this Agreement; (b) by either party upon 10 days prior written notice to
the other party; or (c) upon mutual written agreement of both parties. In
the event of termination, the Consultant shall stop work immediately and shall
be entitled to compensation for professional service fees and for expense
reimbursement to the date of termination.
10. Insurance. The Consultant shall maintain in force during the term of the
agreement, Comprehensive General Liability Insurance with the Extended
Liability Endorsement, including Personal Injury; Commercial Umbrella
Liability; Automobile Liability Insurance, including Non-Owned and Hired
Liability; and Workers' Compensation and Employers' Liability Insurance.
Such wurance shall be in amounts reH~onahly satisfactory to tbe City.
11. lIPid HannIess. The Consultant shall be responsible for its acts of negligence,
and the City shall be responsible for its acts of negligence. The Consultant
agrees to indemnify and hold the City harmless from any and all claims,
demands, actions and causes of action to the extent caused by the negligent
acts of the Consultant, its officers, agents and employees, by reason of tbe

12. Miscellaneous.
a. The entire agreement between the parties with respect to the subject
matter hereunder is contained in this agreement.
b. Neither this agreement nor any rights Of obligations hereunder shall
be assigned or delegated by the Consultant without the prior written
consent of the City.
c. This agreement shall be modified only by a written agreement duly
executed by the City and the Consultant.

d. Should any of the provisions hereunder be found to be invalid, void
or voidable by a court, the remaining provisions shall remain in full
force and effect.
e. This agreement shall be governed by and construed in accordance with
the laws of the State of California.
f. All notices required or permitted under this agreement shall be deemed
to have been gi.ven if and when deposited in the United States mail,
properly stamped and addressed to the party fOf whom intended at such
partfs address listed below, or when delivered personally to such party.
A party may change its address for notice hereunder by giving written
notice to the other party.
