Approve amendment to City Manager's Employment Agreement
FINANCIAL STATEMENT:
Sufficient funding is available in the 1996-97 Budget
DESCRIPTION: Pursuant to Council direction, the City's Negotiating Team (Vice
Mayor Burton and Councilmember Barnes) has met with the City Manager regarding terms and conditions
of employment. The City's Negotiating Team is recommending that the City Council approve a new
;-. agreement with the City Manager.
The new agreement includes the following substantive changes to the current agreement:
1. Provide the City Manager with the equivalent of a 2.75% increase to base pay for Fiscal Year
1996-97, by increasing the City Manager's base pay effective February 1, 1997 and contributing a
one-time lump sum to the City Manager's deferred compensation plan.
2. Increase the City Manager's auto allowance by $40 per month.
3. Increase the City's contribution to the City Manager's Life Insurance Plan by $100 per year.
4. Increase the City Manager's General Leave by one day.
5. Increase the City Manager's Management Leave by one day.

RICHARD C. AMBROSE
This AGREEM.ENT is m~de and entered into this 1st day of February, 1997,
by and between the CITY OF DUBLIN, a Municipal Corporation, and hereinafter
referred to as the "CITY", and RlCHARD C. AMBROSE, hereinafter referred to a~
"AMRROSE".

servIces.
C. The CITY desires to continue to employ, retain and make sure for igelf
the unique abilities and services: of AMBROSE as City Manager of the City of
Dublin.
D. Both parties desire to embody thc terms and conditions of AlvrBROSE'S
employment into a VI.'Iitten agrc::~ment.
NOW, THEREFORE, in consideration of the mutual promises, conditions and
covenants herein containe.d, the p::mies a.gree as follows::
1. Employment. Capacit~, and Term
The crTY hereby employs AMBROSE as City Manager for a term
commencing on February 1, 1997. During the term of employment,
.A1v1:BROSE shall not undenake any employment other than as a City Manager for
the CITY.
2. Compensation
Commencing on February I, 1997, the CITY shall pay to AMBROSE, and
A\1BROSE shall accept from the CITY, for services rendered during the employment

3. Expen~
The City shall pay AMBROSE the sum of $440 per month for his use of his
personal automobile for CITY purposes. The CITY shall also pay for AMBROSE'S
membership dues in professional organizar.ions, such as, but not limited to, the
International City ^1anagc::mcl1t .ksodat10n.
4. Leave
a. Vacation - Illness
AMBROSE has been credited with 27 days of annual leave for vacation
or illness, as of May 11 1996. AMBROSE shall be entitled to an additional one (1)
day of annual leave for the period Febmary I, 1997 to April 30, 1997, so that his
annual leave for the period May 1, 1996 through April 30, 1997 shall be 28 days for
vacation or illness. AMBROSE :>hall be entitled thereafter to an annual leave of 28
days for vacation or illness, commencing May I of each year.

AMBROSE will be allowed to carry over t.o the next year unused annual
l~ve days for the prior year, which will be placed in a sick. leave bank.. Carry over of
unused leave shall be limited for sick leave use only. The mrodmum cany Over shall
not cause the sick leave bank balance to exceed a total of 45 days.

b. Management Leave
Ambrose shall be entitled to six (6) days per year of "Managem~nt
Leave". This leave is treated differently than other leave, in t.hat if Ambrose is unable
to use this leave by May 1 st of each year, AMBROSE will be compensated for any
unused Management Leave at that time. Such compensation shall he based upon
A....\1BROSE'S base salaxy identified in paragraph 2.
c. Payments upon Resignation Or Termination
In the event tha.t AMBROSE'S services are terminated for any reason,
AMBROSE shall be compensated for any unu~ed annual le:we and m.:mrtgement
leave. Such compensation shall be based upon A.\1BROSE'S base salary identified in
paragraph 2.

Benf'>nts
The CITY will provide AMBROSE with the following benefits:
~u A PBRS Retirement Program, w1th the CITY paying both the
employer and the employee contributions to PERS for the regular program. In
addition, .A1v1BROSE shall be eligible for the PERS Third Level 1959 Survivor
Benefits. The CITY shall pay tlle ponion required by PfRS. and AMBROSE shall
pay $2 per month.
b. The option to select medical inSurance coverage from among the
plans offered by the Public Employees' Retirement System Medical and Hospital
Care Act. The CrTY shall pay that ponion of AMBROSE'S medical insurance
premium which i:5 equal to me highest premium paid by the CITY on behalf of any
other CITY employee.
c. The CITY shall provide fully paid family dental insurance
coverage for AMBROSE, In addition, .AMBROSE shall be a partidpant in the CITY
DentaVOptical Reimbursement Trust Fund pursuant to the same regulations as the
City Council adOpts for full-time ernploy~es, with the exception that the amount
identified in Section ID of the Administrative Requirements of the CTIY of Dublin
D~nt.aVOpticaJ/Health E>",!,ense Reimbursement Plan shall be $1,300 for AMBROSE.
d. The eITI shall pay the insurance premium cost for Long Term
Disability Insurance for AMBROSE.
t. The CITY shall contribute up to $350 per year as a premiwn for
a tenn life insurance policy for AMBROSE. The CITY shall also pay AMBROSE'S
preminm for the CITY'S Group Life Insurance Program.
f. The OT'! shall agree to AMBROSE'S partidpation in a Deferred
Compensation Plan contribution to said Plan shall be at the sole expense of
AMBROSE except for a one.time contribution to be made by CITY no later
than March 1,1997, in the amount of $1,727.
6. Tf'rmiTIMlnTI
In the event that the City Council terminates A.\1BROSE'S
employment for rea.sons other than acts involving moral turpitude. the CITY shall

effective date of termination, plus an amount equal to ] 4.0% of such 180 days of
base sala.ry, which is the agreed.upon percentage of salary equivalent to certain
benefits received by AMBROSE, which total amount will be paid to AMBROSE in
six (6) equal monthly installments commencing on the 10th work day following the
date of tenniM-tion.

7. A..mendrnents
This AGREEMENT may be modified in writing from time to time as
the parties may agree, to provide for compensation and/or employee benefits not
specifically identified in tlllS AGREEMENT.
8. Notices
Any written notices to the panies hereto shall be 5uffident if they are
deposited in the United States POSt Office, in envelopes 'With postage prepaid, by
registered or certified mall, and addressed as follows:
