DESCRIPTION: On June 3, 1997, City Council directed Staff to expedite the design
and construction of a traffic signal at the intersection of Dublin Boulevard and Hansen Drive. This
necessitates the widening of Dublin Boulevard just west of Hansen Drive and the realignment of the
HL:r:cel and DeSilva-Gates driveways on the south side of Dublin Boulevard.
URS Greiner had previously designed the widening of Dublin Boulevard from Hansen Drive to Silvergate
Drive. Staff, therefore, requested that Greiner submit a cost estimate to the City to split the project and

modify the design to accommodate only a portion of the widening which would include the signalization .
of Dublin Boulevard at Hansen Drive.
The City has received approximately $346,000 in Traffic Impact Fees from private developers which can
be applied toward the improvements and construction. The total street widening project is estimated at
$1,700,000. It is proposed to eventually widen Dublin Boulevard from Hansen Drive to Silvergate Drive
to four lanes. The cost of this widening will be paid for by developers in Western Dublin, including
Schaefer Ranch, Hansen Hill-Phase II and the Gleason development.
Based on the schedule submitted by URS Greiner, the project could begin construction in mid-September.
Staff feels that it would be possible to expedite construction process and improve safety by closing Dublin
Boulevard west of Hansen Drive during grading and paving operations. The road closure would save
time and money on the project. It is estimated that the closure would last approximately four (4) weeks.
Staff does have concerns, however, about closing Dublin Boulevard when the Valley Christian School is

At this time, Staff is recommending that the agreement with URS Greiner be approved and the design for
the project prepared. When the plans are ready, Staff will return to the City Council with a schedule for
construction and will provide additional information regarding the possible road closure. If the road
closure is recommended, Staff would also recommend delaying construction on the project until the
summer of 1998 when the Valley Christian Schools are not in session. Traffic counts taken in October
of 1996 indicate 6,800 daily trips on Dublin Boulevard at Hansen Drive, approximately 1,600 of which
occur during the peak commute and school traffic period. The average daily trips in 1993, before Valley
Christian School and the K&B project opened, were 4,150 on Dublin Boulevard west of Hansen Drive.
If Dublin Boulevard is to be closed, the traffic would need to be detoured from Dublin Boulevard to
Hansen Drive or Betlen Drive to Silvergate Drive back to Dublin Boulevard. Staff would require that the
contractor provide adequate detour signing and would notify the neighboring residents of the closure and
detour. Closure during the off-school season would substantially reduce impacts from detouring traffic.

The cost submitted by URS Greiner for the civil engineering design for this project is $27,480. This
amount is within the CIP budget and has been deemed a fair and reasonable price commensurate with the
work to be performed. Staffhas also requested that Greiner perform the construction staking for the
Silvergate Median Landscaping Project, the cost of which will be $1,051.
A cost of$8,500 has been submitted by TJKM for design of the traffic signal. Since TJKM already has a
contract with the City which includes this type of work, no separate agreement is necessary.
Staff is recommending that Council adopt the resolution approving the Agreement with URS Greiner, Inc.
Pacific and authorize the Mayor to execute the Agreement.

TO PERFORM CIVIL ENGINEERING DESIGN AND CONSTRUCTION STAKING
RELATED TO IMPROVEMENTS OF DUBLIN BOULEVARD WEST OF HANSEN DRIVE
AND SIGNALIZATION OF DUBLIN BOULEVARD AT HANSEN DRIVE
WHEREAS, the City of Dublin has determined that a traffic signal is warranted at the intersection
of Dublin Boulevard and Hansen Drive; and
WHEREAS, said traffic signal will necessitate the widening of Dublin Boulevard west of and
Hansen Drive, and two driveways entering from the south are required to be realigned to accommodate
said traffic control; and
WHEREAS, Staffhas determined the necessity of hiring a civil engineering consultant to provide
design and construction staking of the project; and
WHEREAS, Staff has determined that it is time effective to enter into an Agreement with URS
Greiner to perform these services; and
WHEREAS, URS Greiner has demonstrated adequate ability to perform the duties required and is
familiar with the project.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby
approve the agreement with URS Greiner.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute the agreement with URS
Greiner.

STANDARD
CONSULTING ENGINEERING SERVICES AGREEMENT
.
THIS AGREEMENT is made at Dublin, California, as of
between the CITY OF DUBLIN, a municipal corporation ("City"), and URS
("Consultant"), who agree as follows:

1. SERVICES. Subject to the terms and conditions set forth in this Agreemc"nt,
Consultant shall provide to City the services described in Exhibit A. Consultant shall provide said
services at the time, place, and in the manner specified in Exhibit A.
2. PAYMENT. City shall pay Consultant for services rendered pursuant to this
Agreement at the time and in the manner set forth in Exhibit B. The payments specified in Exhibit B
shall be the only payments to be made to Consultant for services rendered pursuant to this Agreement.
Consultant shall submit all billings for said services to City in the manner specified in Exhibit B; or, if
no maimer be specified in Exhibit B, then according to the usual and customary procedures and practices
which Consultant uses for billing clients similar to City.
3. FACILITIES AND EQUIPMENT. Except as set forth in Exhibit C, Consultant shall,
at its sole cost and expense, furnish all facilities and equipment which may be required for furnishing
services pursuant to this Agreement. City shall furnish to Consultant only the facilities and equipment
listed in Exhibit C according to the terms and conditions set forth in Exhibit C. .
4. GENERAL PROVISIONS. The general provisions set forth in Exhibit D are part of
this Agreement. In the event of any inconsistency between said general provisions and any other terms or
conditions of this Agreement, the other term or condition shall control insofar as it is inconsistent with fhe
general provisions.
5. EXHIBITS. All exhibits referred to herein are attached hereto and are by this reference
incorporated herein.
6. SUBCONTRACTING. The Consultant shall perform the work contemplated 'with
resources available within its own organization and no portion of the work pertinent to this contract shall
be subcontracted without written authorization by the City, except that which is expressly identified in
the Consultant's proposal.
7. CHANGES. City may from time to time require changes in the scope of the
services by Consultant to be performed under this Agreement. Such changes, including any change in
the amount of Consultant's compensation which are mutually agreed upon by City and Consultant, shall
be effective as amendments to this Agreement only when in writing.
8. RESPONSIBLE CHARGE. Consultant shall assign a project manager(s) to the
project for the duration of the project. There shall be no change in the Project Manager or members of .
the project team without prior written approval by the City. The Project Manager for Consultant shall be

URS Greiner, Inc. Pacific (Consultant) shall provide the following services to the City of Dublin (Oty):
General Description of Work
This Scope-of-Work shall provide for obtaining City approval on the Preferred Driveway Alternative and
preparing Construction Bid Documents including plans, technical specifications, general and special
provisions, and estimates for the UMITED WIDENING ON DUBUN BOULEVARD AND
MODIFICATIONS AT HANSEN DRIVE PROJECT.
The Project is generally defined as the widening of a portion of Dublin Boulevard in the vicinity of Hansen
Drive, reconfiguration and reconstruction of private driveways, and the signalization of the intersection of
Dublin Boulevard and Hansen Drive. All work will be conducted to the design standards of the Oty of
Dublin. (Note that the Traffic Signal Design (PS&E) will be prepared by others, but will be incorporated
into this set of Bid Documents.)
Included in this final design shall be:
C Identification of the extent of construction that will correspond to the construction funding available
as determined by the Oty.

C Development and approval by the City of the Preferred Driveway Alternative in order to reconfigure
the Hansen Drive intersection into a normal 4-legged design.
C Driveway Alternative Studies shall include revised driveway geometries, revised parking at the Hexcel
site, and revised landscape planting and irrigation within the Hexcel site (landscape planting and
irrigation shall be replacement in kind with grass and ivy).
C The Final PS&E shall be developed by incorporating, as appropriate, the PS&E developed previously
(May 1992) by URS Greiner for the Dublin Boulevard Widening and incorporating new design for
the Hansen Drive intersection and for the reconfigured driveways for the Hexcel and DeSilva-Gates
properties. Use and incorporation of the previous designed plans shall minimize rework required.
C The Consultant shall develop early in the design process, the estimated quantity of embankment
required for this project, so that the City can make arrangements with others for a potential supply
of imported material.
C The Consultant shall prepare plans and prepare special provisions and technical specifications using
the WordPerfect program.

Specific Description of Work
Task 1 Project Management and Coordination
1.1 Project Management. Project management responsibilities and activities shall include
the following:
D The Consultant shall clarify tasks and deliverables.
D The Consultant shall provide administration of the project
D The Consultant shall prepare progress schedules and status reports on progress.
D The Consultant shall provide guidance and review of staff.
D The Consultant shall ensure conformance with City standards and requirements.

agencies and utility companies.
D The Consultant shall discuss and provide recommendations regarding constraints of

1.2 Utility and Other Coordination
Utility Companies
D The Consultant shall identify and contact all affected utility companies.
D The Consultant shall collect as-built information for all existing utilities affected by the
project.
D The Consultant shall coordinate with the various utility companies regarding relocation
or accommodation of their facilities. The Consultant shall also delineate on the
Construction Plans the utility layouts developed by the individual utility companies.
D The Consultant shall attend meetings as necessary.
D The Consultant shall coordinate and provide recommendations regarding design
activities with the relocation or protection of existing utility lines.

1.3 Meetings and Project Representation. This task provides for the preparation and
attendance by project personnel for the scheduled meetings as outlined below.
a The Consultant shall attend project status meetings.
a The Consultant shall attend utility coordination meetings.
a The Consultant shall attend design coordination meetings with impacted adjacent
property owners
Meetings by project personnel required during normal design development activities are
provided for under the various design sub-tasks and therefore are not included in this sub-
task.
1.4 Data Collection and Review.
The field review will serve to confirm adequacy of the established geometric design
concept and to further acquaint the design team with detailed site conditions upon which
to base their design. During the design process, numerous site visits by Consultant staff
are anticipated.

driveways.
f. Survey Monumentation for horizontal and vertical control.
g. As-built information for all of the various utilities impacted by the project.
h. Existing right-of-way and property ownership and restrictions.
Task 2 Surveys and Right-of-Way Engineering.
2.1 Right-of-Way Engineering Services. The Consultant shall provide right-of-way
engineering services which will include the following:

easement for the proposed revised access to the driveways across from Hansen Drive.
This is anticipated to involve only one parcel.
a The Consultant shall acquire a total of two Preliminary Title Reports for the properties
involved in the joint use easement.
Appraisal of property, deeds, or negotiations are not included in this scope of work.
2.2 Design Surveys. Design surveys will be provided by the Consultant.
C The Consultant shall establish project controls using appropriate horizontal & vertical
datum.
C The Consultant shall supplement the existing topo mapping with ground surveys for
1"=40' scale base mapping.
C The Consultant shall field verify all affected drainage facilities, utilities, structures, etc.
a The Consultant shall survey for pot-holing of utilities, as necessary.
a The Consultant shall verify the final design at conforms to existing facilities by field
surveys.
2.3 Surveys at SiIvergate Median.
C The Consultant shall provide construction staking surveys for the proposed median
island modifications on Silvergate Drive at the intersection with Dublin Boulevard.
C The locations of the proposed curb and off-sets shall be staked and/or painted on the
existing adjacent pavement or within the existing median, as appropriate.
Task 3 Miscellaneous Studies
3.1 Driveway Alternatives. Develop preliminary layouts of alternatives for the realignment
of the existing driveways for the Hexcel and DeSilva Gi:ltes facilities.
3.1.1 The alternatives shall show and provide for:
1. Revised geometries and layouts for driveways, curbs, and revised/new
parlting for the Hexcel site. The proposed new driveway access shall line up
with existing Hansen Drive to create a 4-way intersection with Dublin
Boulevard.

2. Identify proposed landscaped areas and medians.
3. Identify the impacted existing parking and existing landscaping.
No more than two alternatives will be developed under this Scope-of-Work.
3.12 Alternative Exhibits will be prepared using aerial photography as a base. (It is
assumed that adequate photography is available for the base. If additional
mapping or photography is required, it shall be considered Extra Work.)
3.1.3 Conceptual Estimates will be prepared for the initial construction, including traffic
signals, driveway modifications, and limited widening of Dublin Boulevard to
conform to the funding available for this interim project.
3.1.4 Consultant shall attend a total of two meetings associated with the development
of the driveway alternatives.
3.2 HydrologylHydraulic Study. It is assumed that the existing drainage system has been
adequately sized to accommodate these and future adjacent development, therefore,
systemwide hydraulic studies are not included in this scope of work.
Capacities of individual drainage inlets will be checked to ensure acceptability.

Task 4 Preparation of Plans, Specifications and Estimates (PS&E)
The final construction plans developed shall be based on and extend the design elements that
were developed and approved in the previous and preliminary phases of this project, in
particular the plans developed previously for widening of Dublin Boulevard (May 1992) and the
approved Driveway Alternative developed in Task 3 of this Scope-of-Work.
4.1 Plans. During the development of the final construction plans, submittals for review shall
be made at design completion levels of 90% and Final. Submittals shall be made to the
Oty affected adjacent property owners and utility companies, and other identified
reviewing agencies as required.

90% Submittal:
The 90% submittal drawings generally represent the complete final design, with
all elements present including complete technical specifications and special
provisions, and updated coniract quantities and estimate.
This submittal shall respond to the comments from all the reviewing agencies
made on the previous Preferred Driveway Alternative.
4.1.2 Final Submittal (Verification Check):

A final PS&E verification check submittal shall be made to the City to allow
verification that comments on the final submittal were resolved.
However any new comments, exclusive of minor editing and plan corrections,
requiring redesign subsequent to the final submittal review shall be considered as
"extra work" and shall result in a change in the scope of work.
Roadway and General Design Plans:
The plans prepared for this lJmited Widening of Dublin Boulevard and
Modifications at Hansen Drive Project shall be developed using the appropriate
design standards of the City. Plan sheet size, and format and shall be as agreed
upon and as directed by the City.
Standard details that are contained in the City "STANDARD DRAWINGS" shall
not be reproduced in the construction drawing plan set, but shall be included by
appropriate reference on the plans. Other agency standard details shall be
included as an Appendix in the project specifications.
Any details that are not contained in the Agency Standard Drawings or details that
modify Standard Drawings shall be included within the construction plan set.
4.1.4 Layouts and Profiles:
The Consultantshall prepare plans typically at a 1"=40', using appropriate project
horizontal and vertical control.
4.1.5 Drainage:
The roadway drainage system will be designed per the City's, County's, and
Calirans standards and requirements.
No modifications nor calculations will be required for existing systems other than
that provided in this scope of work.

4.1.6 Utility Relocation Plans:
For Oty-owned utilities, the Consultant shall perform all engineering and design
required and include in ,the set of construction drawings and documents the
relocation or protection of these facilities as a result of the Project.
However, the Consultant shall not perform any engineering nor design associated
with the non-Oty-owned utility relocations, but shall prepare contract utility
coordination drawings only by transferring utility provided horizontal design
information and as-built information.
If necessary, the Consultant prepared specifications and special provisions shall
include requirements to allow the individual utility companies access to the job
site in order to relocate their facilities and to ensure cooperation of the Project's
general contractor.
4.1.7 Roadway Lighting:
The Consultant shall incorporate the design by others into the Project PS&E.
4.1.8 Traffic Signal Systems:

The Consultant shall provide the appropriate base (CADD files) to the other
design consultants to be used as the b~ for the T rafflc Signal and Street Ughting

4.1.9 Landscaping and Irrigation:
Landscaping and irrigation provided for in this scope of work shall be limited to
replacement in kind (grass, ivy, and irrigation) for the Preferred Driveway
Alternative.
4.2 Quantities and Estimates. The Consultant shall prepare contract quantities and
corresponding construction cost estimates and update them for each submittal. The
proposed construction shall be limited to that which is within the available construction
funds identified by the Oty.
Final quantity calculations shall be checked and included in the final PS&E package. The
final engineer's estimate will identify and include costs for extra work, supplemental work,
and other identified non-contract items.

4.3 Specifications and Special Provisions. The Consultant shall prepare technical
specifications and include "Section D - Special Conditions" and "Section E - Technical
Specifications. "

Final contract technical specifications and calculated quantities shall be incorporated with
the "boller plate" as provided by the or Oty, and contract requirements into the Contract
Bid Documents by the Consultant.
4.4 Quality Assurance/Quality Control. URS Greiner performs an independent check
on the design and plans on any project as a matter of course throughout the design
process. For the submittals, URS Greiner shall submit the plans, specifications and
quantities to various reviewing agencies after completion of its own in-house review.
Task 5 Other Design Activities
5.1 Advertise and Award. The Consultant shall be available for project assistance during
the advertising and award process. The Consultant shall respond to the Oty on
clarification of the plans, attend the pre-bid meeting, and assist in contractor selection, as
requested by the City.
Task 6 Printing, Reproductions, and Reimbursables
Included in the scope and fee is reproduction for up to the amounts stated below and
reimbu:rsable fees for direct expenses. Submittal sets include all pertinent documents as detailed
in this scope of work.

PAYMENT SCHEDULE
City shall pay Consultant an amount not to exceed the total sum of TWENTY-
EIGHT THOUSAND FIVE HUNDRED THIRTY-ONE DOLLARS ($28,531) for services to be
performed pursuant to this Agreement. Consultant shall submit invoices at the end of each
month based on the cost for services performed in accordance with the Exhibit "A" cost estimate
of$28,531.
The total sum stated above shall be the total which City shall pay for the services
to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum
for any expense or cost whatsoever incurred by Consultant in rendering services pursuant to this
Agreement
City shall make no payment for any extra, further or additional service pursuant to'
this Agreement unless such extra service and the price therefor is agreed to in writing executec.
by the City Manager or other designated official of City authorized to obligate City thereto prior
to the time such extra service is rendered and in no event shall such change order exceed twenty-
five percent (25%) of the initial contract price. .
The services to be provided under this Agreement may be terminated without
cause at any point in time in the sole and exclusive discretion of City. If the Agreement is
terminated by City, Consultant shall be entitled to receive just and equitable compensation for
any satisfactory work completed on such documents and other matericls to the effective date of
such termination. In that event, all finished and unfrnished documents and other materials shall,
at the option of the City, become City's sole and exclusive property. Consultant hereby expressly
waives any and all claims for damages or compensation arising under this Agreement.
Consultant shall maintain adequate logs and timesheets in order to verify costs incurred to date.

City shall furnish physical facilities such as desks, filing cabinets, and conference
space, as may be reasonably necessary for Contractor's use while consulting with City employees
and reviewing records and the information in possession of City. The location, quantity, and
time of furnishing said physical facilities shall be in the sole discretion of City. In no event
shall City be obligated to furnish any facility which may involve incurring any direct expense,
including, but not limiting the generality of this exclusion, long-distance telephone or other
communication charges, vehicles, and reproduction facilities.

GENERAL PROVISIONS
1. INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, Consultant
shall be an independent contractor and shall not be an employee of City. City shall have the right
to control Consultant only insofar as the results of Consultant's engineering services rendered
pursuant to this Agreement; however, City shall not have the right to control the means by which
Consultant accomplishes services rendered pursuant to this Agreement.
2. LICENSES: PERMITS: ETC. Consultant represents and warrants to City that he has all
licenses, permits, qualifications and approvals of whatsoever nature which are legally required
for Consultant to practice his profession. Consultant represents and warrants to City that
Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this
Agreement any licenses, permits, and approvals which are legally required for Consultant to
practice his profession.
3. TIME. Consultant shall devote such time to the performance of services pursuant to this
Agreement as may be reasonably necessary for satisfactory performance of Consultant's
obligations pursuant to this Agreement.
4.
INSURANCE REQUIREMENTS. Consultant shall procure and maintain for the duration of the
contract insurance against claims for injuries to persons or damages to property which may arise
from or in connection with the performance of the work hereunder by the Consultant, his agems,
representatives, employees or subcontractors. The cost of such insurance shall be included in the
Consultant's bid.

A. Minimum Scope ofInsurance. Coverage shall be at least as broad as:
(1) Insurance Services Office form number GL 0002 (Ed. 1/73) covering
comprehensive General Liability and Insurance Services Office form number
GL 0404 covering Broad Form Comprehensive General Liability; or Insurance
Services Office Commercial General Liability coverage ("occurrence" form CG
0001).
(2) Insurance Services Office form number CA 00,01 (Ed. 1/78) covering Automobile
Liability, code 1 "any auto" and endorsement CA 0025.
(3) Worker's Compensation insurance as required by the Labor Code of the Stak of
California and Employers Liability Insurance.
B.
Minimum Limits of Insurance. Consultant shall maintain limits no less than:

(1)
General Liability: $1,000,000 combined single limit per occurrence for bodily
injury, personal injury and property damage. If commercial General Liability
Insurance or other form with a general aggregate limit is used, either the general
aggregate limit shall apply separately to this projectllocation or the general
aggregate limit shall be twice the required occurrence limit.
(2) Automobile Liability: $1,000,000 combined single limit per accident for bodily
injury and property damage.
(3) Workers Compensation and Employers Liability: Workers Compensation limits
as required by the Labor Code of the State of California and Employers Liability
limits of $1,000,000 per accident.
C. Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must
be declared to and approved by the City. At the option of the City, either the insurer shall
reduce or eliminate such deductibles or self-insured retentions as respects the City, its
officers, officials and employees; or the Consultant shall procure a bond guaranteeing
payment of losses and related investigations, claim administration and defense expenses.
D. Other Insurance Provisions. The policies are to contain, or be endorsed to contain, the
following provisions:
(1)
General Liability and Automobile Liability Coverages.
(a) The City, its officers, officials, employees and volunteers are to be covered
as insureds as respects: liability arising out of activities performed by or
on behalf of the Consultant; products and completed operations of the
Consultant, premises owned, occupied or used by the Consultant, or
automobiles owned, leased, hired or borrowed by the Consultant. The
coverage shall contain no special limitations on the scope of the protectioil
afforded to the City, its officers, officials, employees or volunteers.
(b) The Consultant's insurance coverage shall be primary insurance as respects
the City, its officers, officials, employees and volunteers. Any insurance
or self-insurance maintained by the City, its officers, officials, employees
or volunteers shall be excess of the Consultant's insurance and shall not
contribute with it.
(c) Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the City, its officers, officials, employees or
volunteers.
(d)
The Consultant's insurance shall apply separately to each insured against
whom claim is made or suit is brought, except with respect to the limits of .
the insurer's liability.
(2) Worker's Compensation and Employers Liability Coverage.
The insurer shall agree to waive all rights of subrogation against the City, its
officers, officials, employees and volunteers for losses arising from work
performed by the Consultant for the City.
(3) Professional Liability.
Consultant shall carry professional liability insurance in an amount deemed by
the City to adequately protect the City against liability caused by negligent acts,
errors or omissions on the part of the Consultant in the course of performance of
the services specified in this Agreement.
(4) All Coverages.
Each insurance policy required by this clause shall be endorsed to state that
coverage shall not be suspended, voided, canceled by either party, reducec in
coverage or in limits except after thirty (30) days pnor written notice by certitied
mail, return receipt requested, has been given to the City.

E. Acceptabilitv of Insurers. Insurance is to be placed with insurers with a Bests' rating of
no less than A:VIII.
F. Verification of Coverage. Consultant shall furnish City with certificates of insurance and
with original endorsements effecting coverage required by this clause. The certificates
and endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf. The certificates and endorsements are to be
received and approved by the City before work commences. The City reserves the right
to require complete, certified copies of all required insurance policies, at any time.
H. The Risk Manager of City may approve a variation of those insurance requirements upon
a determination that the coverages. scope, limits and forms of such insurance are either
not commercially available or that the City's interests are otherwise fully protected.
5.
CONSUL T ANT NO AGENT. Except as City may specify in writing, Consultant shall have no
authority, express or implied, to act on behalf of City in any capacity whatsoever as an ag~:lt.
Consultant shall have no authority, express or implied, pursuant to this Agreement to bind eny
to any obligation whatsoever.

6.
ASSIGNMENT PROHIBITED. No party to this Agreement may assign any right or obligation
pursuant to this Agreement. Any attempted or purported assignment of any right or obligation
pursuant to this Agreement shall be void and of no effect.
7. PERSONNEL. Consultant shall assign only competent personnel to perform services pursuant
to this Agreement. In the event that City, in its sole discretion, at any time during the term of
this Agreement, desires the removal of any such persons, Consultant shall, immediately upon
receiving notice from City of such desire of City, cause the removal of such person or persons.
8. STANDARD OF PERFORMANCE. Consultant shall perform all services required pursuant
to this Agreement in the manner and according to the standards observed by a competent
practitioner of the profession in which Consultant is engaged in the geographical area in which
Consultant practices his profession. All instruments of service of whatsoever nature which
Consultant delivers to City pursuant to this Agreement shall be prepared in a substantial, fIrst
class and workmanlike manner and conform to the standards of quality normally observed by a
person practicing in Consultant's profession.
9.
HOLD HARMLESS AND RESPONSIBILITY OF CONSULTANTS. Consultant shall take all
responsibility for the work, shall bear all losses and damages directly or indirectly resulting to
him, to any sub consultant, to the City, to City officers and employees, or to parties designated
by the City, on account of the negligent performance or character of the work, unforeseen
difficulties, accidents, occurrences or other causes predicated on active or passive negligence
of the Consultant or of his sub consultant. Consultant shall indemnify, defend and hold harmless
the City, its officers, officials, directors, employees and agents from and against any or all loss,
liability, expense, claim, costs (including costs of defense), suits, and damages of every kind,
nature and description directly or indirectly arising from the negligent performance of the work.
This paragraph shall not be construed to exempt the City, its employees and officers from its own
fraud, willful injury or violation of law whether willful or negligent. For purposes of Section
2782 of the Civil Code the parties hereto recognize and agree that this Agreement is not a
construction contract. By execution of this Agreement Consultant acknowledges and agrees that
he has read and understands the provisions hereof and that this paragraph is a material elemellt of
consideration.
Approval of the insurance contracts does not relieve the Consultant or subconsultants from
liability under this paragraph.
1 o. GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by
fiscal assistance from another governmental entity, Consultant shall comply with all applicable
rules and regulations to which City is bound by the terms of such fiscal assistance program.
11.

DOCUMENTS. All reports, data, maps, models, charts, designs, plans, studies, surveys,
photographs, memoranda or other written documents or materials prepared by Consultant
pursuant to this Agreement shall become the property of City upon completion of the work to
be performed hereunder or upon termination of the Agreement. No such materials or propenits

produced in whole or in part under this Agreement shall be subject to private use, copyrights,
or patent rights by Consultant in the United States or in any other country without the express
'written consent of City. City shall have unrestricted authority to publish, disclose (as may be
limited by the provisions of the California Public Records Act), distribute, and otherwise use,
copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other
materials or properties produced under this Agreement.
