Professional Services Agreement with DMG, Maximus to conduct an executive search for the position of Assistant City Manager! Professional Services Agreement Budget Change Form Authorize the City Manager to execute the Professional Services Agreement with DMG-MAXIMUS (DMG) and commence the executive search Approve Budget Change The estimated cost including professional services and reimbursable costs shall not exceed $21,500. Estimated costs for Fiscal Year 1998/99 is $3,500. Since this was an unforeseen recruitment, no funds were included in the 1998-99 budget. The Council's authorization of this executive search will necessitate an additional appropriation in the amount of $3,500 for Fiscal Year 1998-99. The balance of professional service fees ($18,000) will be budgeted in Fiscal Year 1999-2000. DESCRIPTION: Staff has received information that the eXlstmg Assistant City M;mager/Administrative Services Director will be separating from employment in late May 1999. ne Ci;)' Manager has accepted the resignation from City employment and requested that Staff solicit proposals for an executive search firm to coordinate the timely replacement of this essential City positiof\. In proposing an executive search firm for this recruitment, the City Manager considered the critical nature of the position, the greater exposure a search firm would bring to the recruitment, the timeliness of the recruitment schedule, the number of recruitments that currently are being handled by the City's Personnel Officer, and the difficult job market which employers currently face. Executive Search Proposals were solicited from three of the most reputable executive search firms in California. Administrative Services Director responsibilities and qualifications, Staff is recommending that DMG-MAXIMUS (DMG) be awarded the Professional Services Agreement. As detailed in the attached proposal, the Senior Manager for the Executive Recruitment Division of D:MG, Ms. Bobbi C. Peckham \ViII be assigned to Dublin for this recruitment. Ms. Peckham has 11 years of executive search experience and has successfully completed several high-level municipal finance and treasury recruitments. Su<ff recommends that the City Council authorize the City Manager to execute a Professional Services Agreement with DMG MAXIMUS to conduct an executive search for Assistant City Manager/Administrative Services Director. The total cost of the services shall not exceed $21,500. -;2- . . . AXIMUS Helping Government Serve The People PROFESSIONAL SERVICES AGREEl\IENT EXECUTIVE SEARCH SERVICES This Agreement is made by and between the City of Dublin ("the City"), and DMG- MAXlMUS, Inc. ("Consultant"). 1. Search Engagement. The City agrees to engage the Consultant to perform those services described below, for completion of the project described as follows: Assistant City Manager! Administrative Services Director ("the Search"). 2. Services. The Consultant agrees to perform certain services necessary for completion of the Search, which services shall include, without limitation, the following: a) Position analysis b) Place advertisements in appropriate j oumals and publications. c) Candidate identification d) Resume review and screening e) Preliminary interviews with leading candidates f) Detailed reference checks on leading candidates g) Recruitment report h) Assist with interviews and negotiations. A complete description of the services to be provided are contained in a proposal from the Consultant to the City dated April 10, 1999, which is incorporated herein by reference. 3. Relationshio. The Consultant ~s an independent contractor and is not to be considered an agent or employee of the City. 4. Comoensation. As full compensation for the Consultant's professional services performed hereunder, the City shall pay the Consultant the fixed amount of $15,000 (Fifteen thousand dollars). 5. Expense Reimbursement. The Consultant shall be entitled to reimbursement for expenses from the City for such expenses as consultant travel, advertising, printing and binding, postage and delivery, and clerical and long-distance telephone charges. Expenses not to exceed $6,500 (Six thousand five hundred dollars). The Consultant shall provide the City with a listing of expenses by category of expense as a part of monthly billings. Progress payment of the Consultarlt's professional services fee and expenses shall be made on a monthly basis by the City upon receipt ofbiilings from the Consultant. 7. Term. The term of this agreement shall commence on May 10, 1999, at which time the Consultant shall begin work on the Search and shall continue, subject to the termination provisions of Paragraph 9, until the date that the Consultant completes the Search. The time of completion of the Search is estimated to be 60-90 days from project initiation. 8. Termination. This agreement may be terminated: (a) by either party at any time for failure of the other party to comply with the terms and conditions of this Agreement; (b) by either party upon 10 days prior written notice to the other party; or (c) upon mutual written agreement of both parties. In the event of termination, the Consultant shall stop work immediately and shall be entitled to compensation for professional service fees and for expense reimbursement to the date of termination. . 9. Insurance. The Consultant shall maintain in force during the terrn of the agreement, General Liability Insurance including Personal Injury; Excess Umbrella Liability; Automobile Liability Insurance, (Non-Owned and Hired Liability); and Workers' Compensation and Employers' Liability Insurance. 10. Miscellaneous. a) The entire agreement between the parties with respect to the subject matter hereunder is contained in this agreement. b) Neither this agreement nor any rights or obligations hereunder shall be assigned or delegated by the Consultant without the prior written consent of the City. c) This agreement shall be modified only by a written agreement duly executed by the City and the Consultant. d) Should any of the provisions hereunder be found to be invalid, void or voidable by a court, the remaining provisions shall remain in full force and effect. e) This agreement shall be governed by and construed in accordance with the laws of the State of California. . :3 -'6 L/ . f) All notices required or permitted under this agreement shall be deemed to have been given if and when deposited in the United States mail, properly stamped and addressed to the party for whom intended at such party's address listed below, or when delivered personally to such party. A party may change its address for notice hereunder by giving written notice to the other party.
