FINANCIAL STATE/VI'ENT: Under' geotechnical services to the City based on the adopted rate schedule. Types of services performed would typically be soils or material testing for Capital Improvement Projects. The cost of the service would be budgeted for the specific Capital project. BSK has indicated that their fees will not increase for the upcoming year: The maximum expenditure with BSK is set at $50,000 per year. DESCRIPTION: The' 'agreement With BSK'~-%~'i~-~0riginally approved in 1997 and was subsequently extended through the 1998-99 fiscal year. This year, BSK has provided testing services for the Dublin Swim Center and Heritage Center Renovation projects and Emerald Glen Park. BSK is not proposing a rate increase for Fiscal Year 1999-2000; therefore, the amendment is solely to extend the term of the agreement. Staffis proposing that the agreement be extended for a two-year period and to allow the consultant to request an adjustment of rates for the second year of the term. Under this agreement, Staff would typically obtain a not-to-exceed proposal from BSK for each specific Capital Project. The cost of the work is budgeted within individual CIP's. Subject to the terms and conditions set forth in this Agreement, Consultant shall provide to City the services described in Exhibit A. Consultant shall provide said services at the time, place, and in the manner specified in Exhibit A. 2. PAYMENT. City shall pay Consultant for services rendered pursuant to this Agreement at the time and in the manner set forth in Exhibit B. The payments specified in Exhibit B shal be the only payments to be made to Consultant for services rendered pursuant to this Agreement. Consultant shall submit all billings for said services to City in the manner specified in Exhibit B; or, if no manner be specified, in Exhibit B, then a6cording to the usual and customary procedures and practices which Consultant uses for billing clients similar to City. ' 3. FACILITIES AND EOUIPMENT. Except as set forth in Exhibit C, Consultant shall, at its sole cost and expense, furnish all facilities and equipment which may be required for furnishing services pursuant to this Agreement. City shall furnish to Consultant only the facilities and equipment listed in Exhibit C according to the terms and conditions set forth in Exhibit C. 4. GENERAL PROVISIONS. The general provisions set forth in Exhibit D are part of it-tis Agreement. 'In the event ofany inconsistency between said general provisions and any other terms or conditions of this Agreement, the other term or condition shall control insofar as it is inconsistent wiP general provisions. 5. EXHIBITS. All exhibits referred to herein are attached hereto and are by this reference incorporated herein 6. SUBCONTRACTING. The Consultant shall perform the work contemplated with resources available within its own organization and no portion of the work pertinent to this contract shall be subcontracted without written authorization by the City, except that which is expressly identified in the Consultant's proposal. 7. ~. City may from time to time require changes in the scope of the services by Consultant to be performed under this Agreement. Such changes, including any change in the amount of Consultant's compensation which are mutually agreed upon by City and Consultant, shall be effective as amendments to this Agreement only when in writing. 8. RESPONSIBLE CHARGE. Consultant shall assign a project manager(s) to the project for the dura'don of the project. There shall be no change in the Project Manager or members of the project team without prior written approval by the City. The Project Manager for Consultant shall be ALEX Y. A~reement Page 2 of 2 05/06/96 EXHIBIT A sCOPE OF SERVICES AND SCHEDULE (GEOTECHNICAL) To provide geotechnical peer review, of soils and geOlOgiC reports for priv. ate development projects, provide testing and field observations and attend meetings as requested. Consultant shall provide the City with a not-to-exceed fee on a project by project basis for peer review and geologic reports for private development projects, provide testing and field observations and attend meetings as requested.. Exhibit A Page I of 1 EXHIBIT B PAYMENT SCHEDULE - City shall pay Consultant on a time and expense basis not to exceed the total sum of FIFTY THOUSAND DOLLARS ($50,000) per year for services to be performed pursuant to this'Agreemerrt. Consultant shall submit invoices at the end of project based on the cost for services performed. The total sum stated above shall be the total which City shall pay for the services to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum for any expense or cost whatsoever incurred by Consultant in rendering services pursuant to this Agreement City shall make no payment for any extra, further or additional service pursuant to th.is Agreement unless such extra service and the price therefor is agreed to in v,,rifing executed by the City Manager or other designated official of City authorized to obligate City thereto prior to the time such extra service is rendered and in no event shall such change order exceed twenty- five percent (25%) of the initial contract price. The services to be provided under this Agreement may be terminated without cause at any point in time in the sole and exclusive discretion of City. If the Agreement is terminated by City, Consultant shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials to the effective date of such termination. In that event, all ~nished and unfinished documents and other materials shall, at the option of the City, become City's sole and exclusive property. Consultant hereby expressly waives any and all claims for damages or compensation arising under this A~eement. Consultant shall maintain adequate logs and timesheets in order to verify costs incurred to date. 'The Consultant is not authorized to Perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of a fully executed Purchase Order from the Finance Department of the City of Dublin. " Exhibit B Page 1 of 1 05/06/96 EXHIBIT C City shall furnish physical facilities such as desks, filing cabinets, and conference space, as may be reasonably necessary for Contractor's use while consulting with City employees and reviewing records and the information in possession of City. The location, quantity, and time of furnishing said physical facilities shall be in the sole discretion of City. In no event shall City be obligated to furnish any facility which may involve incurring any direct expense, including, but not limiting the generality of this exclusion, long-distance telephone or other communication charges, vehicles, and reproduction facilities. City shall have the right ' to control' Consultant only insofar as the resultS of COnsultant,s engineering services rendered pursuant to this Agreement; hoWever, City shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to this Agreement. 2. LICENSES: PERMITS: ETC. Consultant represents and v~'arrants to City that he has all licenses, permits, qualifications and approvals of whatsoever nature which are legally required for Consultant to practice his profession. ConSultant represents and warrants to City that Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this ' Agreement any licenses, permits, and approvals which are legally required for Consultant to practice his profession. · II/k~. INSURANCE REQUIREMENTS. Consultant shall procure and maintain for the duration of the ontract insurance against claims for injuries to persons or damages to property wkich may arise om or in connection with the performance of the work hereunder by the Consultant, his agents, repreSentatiVes, empl°yeesOr subcontractors. The cost of such insurance shall be included in the : "· Consultant's bid~ . A. Minimum Scope of Insurance. Coverage shall be at least as broad as: (1)' Insurance Services Office form nUmber GL 0002 (Ed. 1/73) coveting comprehensive General Liability and Insurance Services Office form number GL 0404 covering Broad Form Comprehensive General Liability.; or Insurance Services Office Commercial General Liability coverage ("occurrence" form CG - 0001). Bo (2) (3) Minimum Limits of Insurance. Insurance Services Office form number CA 0001 (Ed. 1/78) coVering Automobile Liability, code 1 "any auto" and endorsement CA 0025. Worker's compensation insuranceas required bY the Labor Code of the State of California and Employers Liability Insurance. Consultant shall maintain limits no less than: (1) General Liability: $1,000,000 combined single limit per occurrence for bodily injury, personal.injury and property damage. If commercial General Liability Insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. (2) Automobile Liability: $1,000,000 combined single limit per accident for bodily injury and property, damage. · _ Ex.h.ibit D Page I of 4 05/06/96 Co Do (3) Workers Compensation and Employers Liability: Workers Compensation limits as required by the Labor Code of the State of California and Employers Liab; limits of $1,000,000 per accident. Deductibles and Self-Insured Retentiorl~. Any deductibles or self-insured retentions must be declared to and appro'~ed by the City. At the option of the City, either the insurer shall reduce or eliminate such deductibles or Self-insured reteritions as respects the City, its officers, officials and employees; or the consultant shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. Otl~er In,qurance Provisions. The policies are to contain~ or be endorsed to contain, the following provisions: General Liability and Automobile Liability Coverages· (a) The City, its officers, officials, employees and volunteers are to be covered 'as insUreds as respects: liability arising out of activities performed by or on behalf of the Consultant; products and completed operations of the Consultant, premises owned, occupied or used by the Consultant, or automobiles owned, leased, hired or borrowed by the Consultant. The coverage shall contain no special limitations on the scope of the protection afforded to the City, its officers, officials or employees· The Consultant's insurance Coverage shall be primary insurance as respects the City, its officers, officials and employees: Any insurance or self- insurance maintained by the City, its officers, officials, employees or volunteers shall be excess of the Consultant's insurance and shall not ~ contributg with it. (c) Any failure to comply with reporting provisions' of the policies shall not affect coverage provided to the City, its officers, officials, employees or volunteers. . (2) (3) (d) The~'Consultant's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. Worker's C°mpe~sation and ' --' ' ' Employers Liability CoVerage. The insurer shall agree to waive all rights of subrogation against the City, its officers, officials, employees and volunteers for losses arising from work performed by the Consultant for the City. Professional Liability. "~ Consultant shall carry professional liability insurance in an amount deemed by the City to adequately protect the City against liability caused by negligent acts, errors or omissions on the part of the Consultant in the course of performance of the services specified in this Agreement. (4) All Coverages. · Exhibit D Page 2 of 4 05/28/96 -i o Each insurance policy required by this clause shall be endorsed to state that :: -- ~ cOVerage shall r~ot be suspended, voided, canielled by either party, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. Acceptabili .ty of Insurer~. Insurance is to be placed with insurers with a Bests' rating of no less than A:VIII. Verification of Coverage. Consultant shall furnish City with certificates of insurance and with original endorsements effecting coverage required by this clause. The certificates and endOrsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements are to be received and approved by the City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, at any time. The Risk Manager of City may approve a variation of those insurance requirements upon a determination that the coverages, scope, limits and forms of such insurance are either not commercially available or that the City's interests are otherwise fully protected. CONSULTANT NO AGENT. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an agent. Consultant shall have no authority, express or implied, pursuant to this Agreement to bind City to any obligation whatsoever. ASSIGNMENT PROHIBITED. No party to this Agreement may assign any right or obligation pursuant to this Agreement. Any attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. PERSONNEL. Consultant shall assign only ~ompetent personnel to perform services pursuant to this Agreement. In the event that City, in its sole discretion, at any time during the term of this Agreement, desires the removal of any such persons, Consultant shall, immediately upon receiving notice from City of such desire of City, cause the removal of such person or persons. STANDARD OF PERFORMANCE. Consultant shall perform all services required pursuant to tlSis Agreement in the manner and according to the standards observed by a competent practitioner of the profession in which Consultant is engaged in the geographical area in which Consultant practices his profession. All instruments of service of whatsoever nature which Consultant delivers to City pursuant to this Agreement shall be prepared in a substantial, first class and workmanlike manner and conform to the standards of quality normally observed by a person practicing in Consultant's. profession. HOLD HARMLESS AND RESPONSIBILITY OF CONSULTANTS. Consultant shall take all reSPonsibility for the work, ' shall bear all losses and damages directly or indirectly resulting to him, to any subconsultant, to the City, to City officers and employees, or to parties designated by the City, or~ account of, and to the extent caused by, the negligent performance or character of the work, unforeseen difficulties, accidents, occurrences or other causes predicated on active or passive negligence of the Consultant or of his subconsultant. Consultant shall indemnify, defend and hold harmless the City, its officers, officials, directors, employees and agents from and against any or all loss, liability, expense, claim, costs (including costs of defense), suits, and damages of every 'kind, nature and description directly or indirectly arising from, and to the extent caused by, the negligent performance of the work. This paragraph shall not be construed to exempt the City, its employees and officers from its own fraud, willful injury or violation of law whether willful or negligent. For purposes of Section 2782 of the Civil Code the parties 'Exhibit D Page 3 of 4 05/28/96 10. 11. hereto recognize and agree that this Agreement is not a construction contract. By execution . this'Agreement Consultant ac'knowledges and agrees that he has read and understands the ~ provisions hereof and that this paragraph is a material element of consideration. Approval of the insurance contracts doe~ not relieve the Consultant or subconsultants from liability under this paragraph. - - '.. GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by fiscal assistance from another governmental entity, Consultant shall comply with all applicable rules and regulations to which City is bound by the terms of such fiscal assistance progran~. DOCUMENTS. All reports, data, maps, models, charts, designs, plans, studies, surx, eys, photographs, memoranda or other written documents or materials prepared by Consultant pursuant to this Agreement shall become the property of City upon completion of the work to be performed hereunder or upon termination of the Agreement. No such materials or properties produced in whole or in part under this Agreement shall be subject to private use, copyrights, or patent rights by Consultant in the United States or in any other country without the express written consent of City. City shall have unrestricted authority to publish, disclose (as may be limited by the provisions of the California Public Records Act), distribute, and otheraSse use, copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other materials or properties produced under this Agreement. Limitation of Liability and Waiver on Condition In performing professional sen,ices, BSK & Associates (CONSULT.~N-r)will use that degree of care and s 'kill °r ~d~aril exercised, under similar circumstances, by reputable members of the profession practicing in the same or similar locality. No othe warranty, expressed or implied is made or intended by the Proposal for professional sen'ices or by furnishing oral or written report of the findings made. UnleSs special arrangements are made in writing prior to commencement of work, it is agreed that CLIEN' will limit any and all liability, claim for damages, cost of defense, or expenses to be levied against CONSULTANT On account c any design defect, error, omission, or professional negligence to a sum not to exceed $50,000, or the amount of his fee, whicheve is greater. Further, CLIENT agrees to notify any contractor or subcontractor who may perform work in connection with any desigr report, or study prepared by CONSULTA]xrI' of such limibation of liability for design defects, errors, oral.ions, or profe, ssion~ negligence, and require as a condition precedent to their performing the work a like limitation of liability on their pan as agmnst th, CONSULTANT. In the event CLIEN~I' fails to obtain a like limitation of liabilit3, provision as to design defects, errors, omissions or professional negligence, any liability of CLIENT and CONSULTANT to such contractor or subcontractor arising out of an allege~ design defect, error, omission, or professional negligence shall be allocated between CLIEN'I' and CONSULTANT in such a manne that the aggregate liability for CONSULTAN~r for such design defect to all parties, including CLIENT, shall no! exceed $50.000 the amount of CONSULTA]X-Fs fee, whiChever is grealer. Hazardous Waste Liability: It is further agreed that unless liability arises by virtue of the sole negligence or intentiona wrongful acts of CONSULTAuNT, CLIENT shall indemnify and hold harmless CONSULTANT and ils subcontractors, agents anc employees from and against ail claims, damages, losses and expenses, direct or indirect, or consequential damages, losses and expenses, direct or indirect, including but not limited to fees and charges of attorney's and court arising out of or resulting from the performance of the work by CONSULTANT or claims against CONSULT.~uN~ arising from the work of others, related to hazardous waste or contamination activities. The CONSULTA.NT'S financial responsibility to CLIENT with respect to loss or damage to a sample while the sample is in the custody of CONSULTANT, shall be limited to the value of the test performed (if an),) on a replacement sample. 2. Disputes In the event that a dispute should arise relating to the performance of the sen'ices to be provided under these Terms and should that dispute result in litigation, it is agreed that the prevaL1ing parry shall be entitled to recover all reasonable costs incurred in the defense of the claim, including staff time, court costs, attorneys' fees, and other claim-related expenses. 3. Warranty of Authority to Sign · The person signing a contract subject to these Terms warrants he has authority as, or on behalf of, CL~E.N"I' for for whos~ benefit the CONSULTANT's sen,ices are rendered. If such a person does not have such authori~3', he agrees that he is personally liable for all breaches of the terms and bases for CONSULTA_N'Us services, and that in any action against him for breach of such warrant3', a reasonable attorney's fee shall be included in any judgment rendered. 4. Right of Entry In the event that a PROJECT site is not owned by CLIENT, CLIE..~-i' warrants that he has obtained permission for CONSULTANT to enter site with ail necessary equipment, in order to complete the work. While CONSULTA.~-I' will take all reasonable precautions to minimize any damage to the property, it is understood by CLJEt~-I' that in the normal course of work some damage may occur, the correction of which is not part of these Terms. 5. Utilities In the prosecution of his work, CONSULTAN'~T will take reasonable precautions to avoid damage or injuo' to subterranean structures or utilities. CLIENT agrees to hold CONSULTA.~'I' harmless for damages to subterranean structures which are not called to CONguLTAN~I'"s attention and correctly shown on furnished plans or encountered at locations approved by CLIEiN'T. 6. Samples Soil, rock, water and/or other samples are the property of CLI-ENT. CONSULTANT shall retain such samples for no longer than 45 days after issuing data obtained from testing, unless other arrangements are made in writing. Should any samples be contaminated by hazardous substances or suspected b~zordous substances, it is CL~EiNT's responsibility to select and arrange for lawful disposal procedures; that is, procedures which encompass removing the contaminated samples from CONSULTANT's custody and transporting them to a disposal site. CLIENT is advised that, in all ca.~es, prudence and good judgement should be appIied in selecting and arranging for lawful disposal procedures. 7. Payment /~i~. Total Annual Interest and Sen'ice Charge is 18%. If suit is filed, a reasonable attorney's fee, to be set by the court, shall be included in any judgment in CONSULTANrI's favor. 8. Ownership of Documents Reports, boring logs, field data, field notes, laboratory test data, calculations, estimates, and other documenkq prepared by CONSULTAN'T, as instruments of sen, ice, shall remain the property of CONSULTANT. CLIENT agrees that report and other work furnished to CLIENrY or his agents, which is not paid for, ;;'ill be returned upon demand and ;;'ill not be used by CLIENrr for any purpose whatever. CONSULTANT ;;'ill retain pertinent records relating to the sen'ices performed for a period of five .;,ears following submission of the report, during which period the records will be made available lo CLIENT at reasonable times. 9. Standard of Care Services performed by CONSULTANT under these Terms will be conducted in a manner consistent with that level of care and skill ordinarily exemised by members of the profession currently practicing und~ similar conditions. CLIENT recognizes that subsurface conditions may vary from those encountered at the location ;;,here borings, surveys, or explorations are made by CONSULTANT and that the data, interpretations and recommendations of CONSULT.~",'T are ha, ed solely on the information available to him. CONSULTA.NWl' will be responsible for those data, interpretations, and recommendations. but shall not be responsible for the interpretation by others of the information developed. i0. Insurance CONSULTANT represents and warrants that it and irs agents, staff and CONSULTANq's employed by it is and are protected by workers compensation insurance and that CONSULTANT has such coverage under public liability and property damage insurance policies which CONSULTANT deems to be adequate. Certificates for all such policies of insurance shall be provided to CLIENT upon written request. 11. Termination Aereements subject to these Terms may be terminated by either party upon seven (7) days written notice in the event of substantial ~ailure by the other party to perform in accordance with the terms. Such termination shall not be effective if that substantial failure has been remedied before expiration of the period specified in the ;;,:itten notice. In the event of termination, CONSULTANWr shall be paid for services performed to the termination notice date plus reasonable termination expenses. In the event of termination, or suspension for more than three (3) months, prior to completion of all reports contemplated by said A~ment, CONSULTANWf may complete such analyses and records as are necessary to complete his fries and ma5' also complete a report on the services performed to the date of notice of termination or suspension. The expenses of termination or suspension shall include all direct costs of CONSULTANT in completing such analyses, records and reports. 12. Assigns NMther CLIENT nor CONSULTANT may delegate, assign, sublet or n'ansfer his duties or interest established under these Terms without the written consent of the oth~ party, except that CONSULTANq' may use the services of persons and entities not in his employ when it is appropriate and customary to do so. 13. Notice to Property Owner If bills are not paid in full for the labor, services, equipment, or materials furnished or to be furnished, a Mechanic's Lien l~ding to ~e loss, through court foreclosure proceedings., of all or part of Owner's property being so improved may be placed against the propert5 even though Owner has paid his contractor m full. earner may wish to protect himself against this consequence t,y (1) requiring contractor to furnish a signed release by the person or firm giving this notice before m 'aking payment to contractor, or (2) any other method or device which is appropriate underthe circumstances. CLIENT agrees to compensate CONSULTANT for the additional cost of working to protect employees' and the public health and safety. In addition, CLIENT waives any claim against CONSULTANT, and agrees to defend, indemnify and sax CONSULTA.NT harmless from any claim or liability for injury or loss arising from CONSULTAI~q'"s discovery of unanticipate hazardous materials, or suspected hazardous materials. CLIENT also agrees to compensate CONSULTANT for an)' time spent an expenses incurred by CONSULTAINT in defense of any such claim, ~ith such compensation to be based upon CONSULTANT prevailing fee schedule and expense reimbursement policy relative to recovery of direct project costs. In the event the project site is not owned by CLIENT, CLIENT warrants that he has obtained all necessary permission for CONSULTANT to enter onto the site and conduct subsurface exploration activities. CLIENT recoenizes that it is hi responsibility to inform the property owner of the discovery of unanticipated hazardous materials or suspected~hazardous malerial.~ CLIENT also recognizes that any such discovery may result in a significant reduction of the property's value. A RESOLUTION OF'Ttt~ CITY C CII,' "~':"- OF TFrE CITY OF DUBLIN APPROVING AMENDMENT TO AGREEMENT FOR GEOTECltNICAL SERVICES WlTIt BSK AND ASSOCIATES WHEREAS, the City Council of the City of Dublin approved an agreement for geotechnical services with BSK and Associates, on June 11, 1997; and WHEREAS, the term of said agreement was extended to June 30, 1999; and WHEREAS, the term of the agreement is proposed to be extended until June 30, 2001, allowing BSK to request an adjustment of rates for the second year of the term; NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby approve the amendment to the agreement (extension of term) with BSK and Associates, which is attached hereto as "Exhibit A." Consultant shall be entitled to submit a request for an adjustment of rates for the second year of the contract term; i.e., 2000-2001 fiscal year.
