r DESCRIPTION: The City Council identified the selection of a Redevelopment
\ Consultant to perform a Redevelopment Feasibility Analysis as one its high priority goals for FY 1999-
2000.
BACKGROUND:
F or the past two years, the City Council has identified the selection of a consultant to perform a
redevelopment feasibility analysis. Redevelopment is a tool available to local govemmentalentities to
revitalize deteriorating and blighted neighborhoods and/or business districts. In order for redevelopment
and its benefits to be utilized, a local legislative body' (the City Council) must pass an ordinance declaring
the need for. such an agency. Such an ordinance cannot be considered until a redevelopment feasibility
analysis is undertaken /
On January 9, 1999, the. City Council directed staff, to issue a Request for- QualificationslProposal
(RFQ/P) for. consultants to perform a redevelopment feasibility analysis ,on six (6) study areas within the
City limits. These areas include:
Western Dublin BART Station (Golden Gate Drive below Dublin Boulevard)
Village Parkway (between Dublin Boulevard and Amador Valley Parkway)
Montgomery WardslTarget
Scarlett Court area (between 1-580 and Dublin Boulevard)

The Feasibility Analysis would include, among other things, a blight analysis. The blight analysis is
intended to identify study. areas that suffer from economic or physical blight as defined by California....".,
Redevelopment Law and is a determining factor in the viability of a redevelopment project as it is the
product on which an agency must spend its funding.
The original RFQIP was mailed to eleven (n) redevelopment consultants from throughout the State of
California. Following a review of the RFQ/P submittals, the City Council subcommittee (Lockhart and
Zika) and staff conducted interviews with the three finalists on May 14, 1999. For a number of reasons,
the City Council subcommittee could not recommend any of the consultants to complete the study.
On August 23, 1999, staffre-submittedthe RFQIP to two (2) additional firms. Staff received only one (1)
RFQ/P submittal from the Rosenow Spevacek Group on September 3, 1999..
On September 22, 1999, the subcommittee interviewed the Rosenow Spevacek Group and unanimously
recommended that the Rosenow Spevacek Group be forwarded for ratification by the entire City Council.
The proposal from the Rosenow Spevacek Group calls for the completion of the feasibility study in
approximately 20 weeks at a cost not to exceed $33,895. The work product will include an initial findings
report, a visioning session (if necessary), economic feasibility analysis, collateral public outreach
materials, and a fmal report. Staff conducted a reference check on the Rosenow Spevacek Group and their
references were exemplary.
RECOMMENDATION:

There are sufficient funds in the FY 1999-2000 budget to proceed with the work outlined in the proposal
submitted by the Rosenow Spevacek Group. It is therefore staff's recommendation that the City Council
approve the Consultant Services Agreement with the Rosenow Spevacek Group and authorize the City
Manager to sign on the City's behalf.

APPROVING AGREEMENT WITH ROSENOW SPEV ACEK GROUP
TO CONDUCT REDEVELOPMENT FEASIBILITY STUDY
WHEREAS, the City Council has identified the completion of a redevelopment feasibility study
as a high priority for FY 1999-2000; and
WHEREAS, the City issued a Request for Qualifications/Proposals to qualified redevelopment
consulting fIrms and subsequently interviewed four (4) redevelopment consultants; and
WHEREAS, the Rosenow Spevacek Group, Inc. was determined to be the most qualified
consultant;

NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does
approve the agreement with the Rosenow Spevacek Group, Inc.
BE IT FURTHER RESOLVED that the City Manager is authorized to execute the agreement.

STANDARD CONTRACTUAL SERVICES AGREEMENT
THIS AGREEMENT is made at Dublin, California, as of October 5, 1999, by and between the CITY ('1:'
DUBLIN, a municipal corporation ("CITY"), and Rosenow Spevacek Group, Inc. ("CONTRACTOR"), who ag~
as follows:
1. SERVICES. Subject to the terms and conditions set forth in this Agreement, CONTRACTOR shall
provide to CITY the services described in Exhibit A. CONTRACTOR shall provide said services at the time,
place and in the manner specified in Exhibit A.
2. PAYMENT. CITY shall pay CONTRACTOR for services rendered pursuant to this Agreement at
the time and in the manner set forth in Exhibit B. The payments specified in Exhibit B shall be the only payments
to be made to CONTRACTOR for services rendered pursuant to this Agreement. CONTRACTOR shall submit all
billings for said services to CITY in the manner specified in Exhibit B; or, if no manner be specified in Exhibit B,
then according to the usual and customary procedures and practices which CONTRACTOR uses for billing clients
similar to CITY.

3. FACILITIES AND EQUIPMENT. Except as set forth in Exhibit C, CONTRACTOR shall, at its
sole cost and expense, furnish all facilities and equipment which may be required for furnishing services pursuant
to this Agreement. CITY shall furnish to CONTRACTOR only the facilities and equipment listed in Exhibit C
according to the terms and conditions set forth in Exhibit C.
4. GENERAL PROVISIONS. The general prOVISIons set forth in Exhibit D are part of this
Agreement. In the event of any inconsistency between said general provisions and any other terms or conditions of
this Agreement, the other term or condition shall control insofar as it is inconsistent with the general provisions.
5. EXHIBITS. All exhibits referred to herein are attached hereto and are by this reference
incorporated herein.

PAYMENT SCHEDULE
~
CITY shall pay CONTRACTOR an amount not to exceed Thirty Three Thousand Eight Hundred Ninety
Five ($33,895) for consulting services to be performed pursuant to this Agreement. The rate is inclusive of all
staff support and no additional amounts shall be payable for faxing, postage, messengers and other material costs.
CONTRACTOR shall submit bi-monthly/monthly invoices during the term of this Agreement.
The total sum stated above shall be the total which CITY shall pay for the services to be rendered by
CONTRACTOR pursuant to this Agreement. CITY shall not pay any additional sum for any expense or cost
whatsoever incurred by CONTRACTOR in rendering services pursuant to this Agreement.
CITY shall make no payment for any extra, further or additional service pursuant to this Agreement unless
~ch extra service and the price therefor is agreed to in writing executed by the City Manager or other designated
...l.icial of CITY authorized to obligate CITY thereto prior to the time such eA"tra service is rendered.
The services to be provided under this Agreement may be terminated without cause at any point in time in
the sole and exclusive discretion of CITY. In this event, CITY shall compensate the CONTRACTOR for all
outstanding costs incurred as of the date of written notice thereof and shall terminate this Agreement.
CONTRACTOR shall maintain adequate logs and timesheets in order to verify costs incurred to date.
The CONTRACTOR is not authorized to perform any services or incur any costs whatsoever under the
terms of this Agreement until receipt of a fully executed Purchase Order from the Finance Department of the City
of Dublin.

CITY shall furnish physical facilities such as desks, filing cabinets, and conference space, as may~
reasonably necessary for CONTRACTOR'S use while consulting with CITY employees and reviewing records and
the information in possession of CITY. The location, quantity, and time of furnishing said physical facilities shall
be in the sole discretion of CITY. In no event shall CITY be obligated to furnish any facility which may involve
incurring any direct expense, including, but not limiting the generality of this exclusion, long-distance telephone or
other communication charges, vehicles, and reproduction facilities.

GENERAL PROVISIONS

INDEPENDENT CONTRACTOR.
At all times during the term of this Agreement,
1.
CONTRACTOR shall be an independent contractor and shall not be an employee of CITY. CITY shall have the
right to control CONTRACTOR only insofar as the results of CONTRACTOR'S services rendered pursuant to this
Agreement; however, CITY shall not have the right to control the means by which CONTRACTOR accomplishes
services rendered pursuant to this Agreement.
2. LICENSES: PERMITS: ETC. CONTRACTOR represents and warrants to CITY that he has all
licenses, permits, qualifications and approvals of whatsoever nature which are legally required for
CONTRACTOR to practice his profession.
CONTRACTOR represents and warrants to CITY that
CONTRACTOR shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement
any licenses, permits, and approvals which are legally required for CONTRACTOR to practice his profession.
3. TIME. CONTRACTOR shall devote such time to the performance of services pursuant to this
Agreement as may be reasonably necessary for satisfactory performance of CONTRACTOR'S obligations

4. INSURANCE REQUIREMENTS. CONTRACTOR shall procure and maintain for the duration of
the contract insurance against claims for injuries to persons or damages to property which may arise from or in
connection with the performance of the work hereunder by the CONTRACTOR, his agents, representatives,
employees or subcontractors.
(a) Minimum Scope ofInsurance. Coverage shall be at least as broad as:
1. Insurance Services Office form number GL 0002 (Ed. ~/73) covering comprehensive General
Liability and Insurance Services Office form number GL 0404 covering Broad Form
Comprehensive General Liability; or Insurance Services Office Commercial General
Liability coverage ("occurrence" form CG 0001.)
2. Insurance Services Office form number CA 0001 (Ed. 1/78) covering Automobile Liability,
code 1 "any auto" and endorsement CA 0025.

(b) Minimum Limits of Insurance. CONTRACTOR shall maintain limits no less than:
1. General Liability: $1,000,000 combined single limit per occurrence for bodily injury,
personal injury and property damage. If commercial General Liability Insurance or other form "''''''''
a general aggregate limit is used, either the general aggregate limit shall apply separately to this
project/location or the general aggregate limit shall be twice the required occurrence limit.
2. Automobile Liability: $1,000,000 combined single limit per accident for bodily injury and
property damage.
3. Workers' Compensation and Employers Liability: Workers' Compensation limits as
required by the Labor Code of the State of California and Employers Liability limits of $1,000,000
per accident.
(c) Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must be
declared to and approved by the CITY. At the option of the CITY, either the insurer shall reduce or
eliminate such deductibles or self-insured retentions as respects the CITY, its officers, officials and
employees; or the CONTRACTOR shall procure a bond guaranteeing payment of losses and related
investigations, claim administration and defense expenses.
(d) Other Insurance Provisions. The policies are to contain, or be endorsed to contain, the followin"t'
prOVISIOns:
1. General Liability and Automobile Liability Coverages.
a. The CITY, its officers, officials, employees and volunteers are to be covered as
insureds as respects: liability arising out of activities performed by or on behalf of
the CONTRACTOR; products and completed operations of the CONTRACTOR,
premises owned, occupied or used by the CONTRACTOR, or automobiles owned,
leased, hired or borrowed by the CONTRACTOR. The coverage shall contain no
special limitations on the scope of the protection afforded to the CITY, its officers,
officials, employees or volunteers.

b. The CONTRACTOR'S insurance coverage shall be primary insurance as respects the

CITY, its officers, officials, employees and volunteers. Any insurance or self-
insurance maintained by the CITY, its officers, officials, employees or volunteers
shall be excess of the CONTRACTOR'S insurance and shall not contribute with it.
c. Any failure to comply with reporting provisions of the policies shall not affect
coverage provided to the CITY, its officers, officials, employees or volunteers.
d. The CONTRACTOR'S insurance shall apply separately to each insured against
whom claim is made or suit is brought, except with respect to the limits of the
insurer's liability.
2. Workers' Compensation and Employers Liability Coverage.
The insurer shall agree to waive all rights of. subrogation against the CITY, its officers,
officials, employees and volunteers for losses arising from work performed by the
CONTRACTOR for the CITY.
(e)
Acceptability of Insurers. Insurance is to be placed with insurers with a Bests' rating of no less than

Verification of Coveral2:e. CONTRACTOR shall furnish CITY with certificates of insurance and
with original endorsements effecting coverage required by this clause. The certificates and
endorsements for each insurance policy are to be signed by a person authorized by that insurer to
bind coverage on its behalf. The certificates and endorsements are to be received and approved by
the CITY before work commences. The CITY reserves the right to require complete, certified
copies of all required insurance policies, at any time.
(g) Subcontractors. CONTRACTOR shall include all subcontractors as insureds under its policies or
shall furnish separate certificates and endorsements for each subcontractor. All coverages for
subcontractors shall be subject to all of the requirements stated herein.
(h) The Risk Manager of CITY may approve a variation in those insurance requirements upon a
determination that the coverages, scope, limits and forms of such insurance are either not
commercially available or that the CITY's interests are otherwise fully protected.

3. CONTRACTOR NO AGENT. Except as CITY may specify in writing, CONTRACTOR shall have no
authority, express or implied, to act on behalf of CITY in any capacity whatsoever as an agent.
CONTRACTOR shall have no authority, express or implied, pursuant to this Agreement to bind CITY,~
any obligation whatsoever.
4. ASSIGNMENT PROHIBITED. No party to this Agreement may assign any right or obligation pursuant to
this Agreement. Any attempted or purported assignment of any right or obligation pursuant to this
Agreement shall be void and of no effect.
5. PERSONNEL. CONTRACTOR shall assign only competent personnel to perform services pursuant to this
Agreement. In the event that CITY, in its sole discretion, at any time during the term of this Agreement,
desires the removal of any such persons, CONTRACTOR shall, immediately upon receiving notice from
CITY of such desire of CITY, cause the removal of such person or persons.
6. STANDARD OF PERFORMANCE. CONTRACTOR shall perform all services required pursuant to this
Agreement in the manner and according to the standards observed by a competent practitioner of the
profession in which CONTRACTOR is engaged in the geographical area in which CONTRACTOR
practices his profession. All instruments of service of whatsoever nature which CONTRACTOR deliver~
to CITY pursuant to this Agreement shall be prepared in a substantial, first class and workmanlike mann~
and conform to the standards of quality normally observed by a person practicing in CONTRACTOR's
profession.
7. HOLD HARMLESS AND RESPONSIBILITY OF CONTRACTORS. CONTRACTOR shall take all
responsibility for the work, shall bear all losses and damages directly or indirectly resulting to him, to any
subcontractor, to the CITY, to CITY officers and employees, or to parties designated by the CITY, on
account of the performance or character of the work, unforeseen difficulties, accidents, occurrences or other
causes predicated on active or passive negligence of the CONTRACTOR or any subcontractor.
CONTRACTOR shall indemnify, defend and hold harmless the CITY, its officers, officials, directors,
employees and agents from and against any or all loss, liability, expense, claim, costs (including costs of
defense), suits, and damages of every kind, nature and description directly or indirectly arising from the
performance of the work. This paragraph shall not be construed to exempt the CITY, its employees and
officers from its own fraud, willful injury or violation oflaw whether willful or negligent.

For purposes of Section 2782 of the Civil Code the parties hereto recognize and agree that this agreement is
not a construction contract. By execution of this agreement CONTRACTOR acknowledges and agrees that
he has read and understands the provisions hereof and that this paragraph is a material element of
consideration.
Approval of the insurance contracts does not relieve the CONTRACTOR or subcontractors from liability
under this paragraph.
8. GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by fiscal
assistance from another governmental entity, CONTRACTOR shall comply with all applicable rules and
regulations to which CITY is bound by the terms of such fiscal assistance program.
9. DOCUMENTS. All reports, data, maps, models, charts, studies, surveys, photographs, memoranda or
other written documents or materials prepared by CONTRACTOR pursuant to this Agreement shall
become the property of CITY upon completion of the work to be performed hereunder or upon termination
of the Agreement.

Introduction
The City of Dublin (the "City") is seeking a highly qualified redevelopment consultant to conduct a
feasibility study (the "Study") to determine if six (6) potential areas (the "Study Areas") will legally
qualify for redevelopment Primary elements of the Study will address the following:
Does each of the areas meet blight and urbanization requirements to justify the use of
redevelopment?
Is redevelopment of these areas financially and politically feasible?
What would a redevelopment plan adoption effort cost?
What will the adoption process entail and will there be a need to form a Project Area Committee?
What will be the timeline of activities and the cost to form a project area?

What is the public sentiment within the community regarding the potential of establishing a
redevelopment district or districts within the City?
The purpose of the Feasibility Study is to evaluate the Study Areas and present recommendations
on whether to proceed with redevelopment plan adoption, and if so, the parameters within which to
proceed.

Scope Of Services
The following Scope of Services outlines RSG's approach to evaluating the feasibility of including
the Study Areas within a redevelopment project area pursuant to the August 23, 1999 Request for
Proposals ("RFP").
RSG's engagement efforts would primarily involve a comprehensive review of the physical and
economic conditions that exist within the Study Areas. RSG would also evaluate the economic
viability of implementing a redevelopment project in the Study Area. In this manner, the City will be
appraised of both the legal and economic feasibility of establishing a redevelopment project
Task 1 - Blight Analysis
The purpose of this task is to ascertain whether there is sufficient evidence of blight within the Study
Areas to warrant the creation of a redevelopment project

. Convene Scoping Meeting with Staff: RSG will meet with assigned staff and legal counsel
to refine the work effort, discuss critical issues, and identify City officials who may be of
assistance in assembling information for the Study.
. Collect and Analyze Baseline Data: Either during the initial project team meeting or
immediately thereafter, RSG will obtain data on code enforcement violations, crime statistics,
business tumovers, real estate vacancies, infrastructure deficiencies, and land use
impediments to substantiate the extent of the social, physical, or economic problems in the
Study Areas. This information would be compared to similar statistics for other areas of the
City.
. Perform Land Use/Blight Study: RSG will conduct a parcel level land use and blight survey
of the Study Areas. This survey will document urbanization, land use, and physical and
economic conditions as defined in Redevelopment Law, as well as surface potential
redevelopment opportunities. Findings of the survey will be tabulated and included in the
feasibility report document
. Parcel Level Assessments: Using our parcel management database and assessment
information from the Alameda County Assessor's Roll, RSG will identify the ownership,
assessment, and sales data for each parcel in the Study Areas.
Task 2-lnitial Findings Report

Using the information collected and analyzed to date, RSG will prepare a report of our initial
findings that will be forwarded to the City Council. The report will provide the Council with our
assessment as to which, if any, of the six (6) Study Areas would qualify as blighted under Califomia
Redevelopment Law (the "CRL").

RSG will facilitate a half-day study session with the City Council, Planning Commission and City
Staff to define a vision for those areas that have been primarily determined as meeting the CRL
standards of blight The study session will discuss potential and desired development for the
qualffied areas.
Task 4 - Economic Analysis
As part of the feasibility study effort, RSG also proposes to evaluate the economic feasibility of
implementing a redevelopment project involving the qualified Study Areas, both separately and
collectively. This task would generate tax increment revenue projections and a bond capacity
analysis; this information would then be employed to identify the anticipated financial resources to
fund implementation activities.
Develop Tax Increment Revenue Model: Using the County's 1999-2000 tax roll, RSG will
develop tax increment revenue projections involving taxable secured and unsecured properties
within the qualified Study Areas. This revenue model will consider the impacts of potential new
land uses as developed in the Visioning Session, and will indicate the annual amount of tax
increment to be deposited into the low and moderate income housing fund, the amount to be paid
to affected taxing entities, and the remaining non housing funds available to the Agency. The model
will also indicate the cumulative and net present value of these amounts, and estimate the
redevelopment projecfs bonding capacity to finance improvement activities. Charts and graphs will
compliment this presentation.

Task 5 Public Outreach to Assess Political Feasibility
RSG will provide necessary expertise and information to explain redevelopment to the community.
RSG will prepare a newsletter to be mailed by the City to the tenants and property owners within
the qualified Study Areas. If desired the City may provide this information to all City residents and
business. Additionally, RSG will conduct two (2) town hall meetings to discuss redevelopment and
solicit community input

RSG will prepare newsletter and mailing list of property owners. With Cfty assistance, a business
tenant listing will be compiled through business license information. Labels will be provided to the
Cfty for the mailing. If desired by the Cfty, RSG can provide the needed services to mail the
newsletter. This service is not included in the not-to-exceed fee and would be billed on a cost plus
10% basis
Task 6 - Review Issues/Present Recommendations
Information compiled through Tasks 1 and 5 will be aggregated in the Study report that will identify
the opportunities and constraints associated with a redevelopment project involving the Study

RSG is prepared to commence work on this engagement within the next 30 days. The Initial
Findings Report will be completed by December 31, 1999 for review by staff. Visioning meeting
and community meetings would be held in January of 2000, with the draft and final Feasibility Study

Scope of Work Modification: In the event the scope of work should change to a degree that
would alter the fee, RSG will contact the Agency in writing and submit a revised fee schedule prior
to the commencement of work. Requests for extra work will be documented, and a completion
time and compensation amount will be submitted for approval prior to initiating work.
Reimbursable Expenses: Cost plus 10%

It is RSG's policy to not charge clients for auto mileage, parking, telephone-fax expense, postage,
and incidental copies. We do, however, charge clients for additional insured certificates,
messenger services, Express Mail/Federal Express costs, and extra copies of reports, documents,
notices and support material. These costs are charged at actual expense, plus a 10% surcharge.
Insurance Coverage
RSG carries general liabifity insurance in the amount of $1,000,000 combined single limit per
occurrence with a $2,000,000 general aggregate; fire damage liability in the amount of $50,000;
and medical expense liabifity of $5,000; automobile Iiabifity for non-company owned automobiles in
the amount of $1,000,000 combined single limits; $1,000,000 professional liability; and worker's
compensation and employer's liability insurance in the amount of $1,000,000. A Certificate of
Insurance will be supplied upon request
RSG provides all employees with full-paid medical insurance coverage.
