SUBJECT City Manager' s Employment Agreement

FINANCIAL STATEMENT: Sufficient funding will be provided in the 1985-86
proposed budget .
DESCRIPTION The City of Dublin Personnel Ordinance exempts
individuals appointed by the City Council , elected officers , volunteers and
contract employees from competitive service . The terms and conditions of
the City . Manager' s employment are identified in an agreement adopted
June 27 , 1983 and a subsequent amendment adopted on June 26 , 1985 .
Members of the City Council have reviewed the City Manager' s performance .
Following this review, the City Attorney developed the proposed agreement
which is presented for action by the City Council . The proposed agreement
will consolidate previous actions into a single document .
It is recommended that the City Council authorize the Mayor to execute the
agreement .

AGREEMENT
THIS AGREEMENT is made and entered into this day of
May , 1985 , by and between the CITY OF DUBLIN , a Municipal
Corporation, hereinafter referred to as the "CITY" and RICHARD C .
AMBROSE, hereinafter referred to as "AMBROSE" .
RECITALS
A. AMBROSE is currently the City Manager of the CITY.
B. The CITY acknowledges and recognizes the value of
AMBROSE ' s services .
C . The CITY desires to continue to employ, retain and make
sure for itself the unique abilities and services of
AMBROSE as City Manager of Dublin.
D . Both parties desire to embody the terms and conditions
of AMBROSE ' s employment into a written agreement .
NOW THEREFORE , in consideration of the mutual promises ,
conditions and covenants herein contained , the parties agree as
follows :
1 . Employment Capacity and Term
CITY hereby employs AMBROSE as City Manager. It
is further understood that AMBROSE shall at all
times be employed solely in this capacity as City
Manager of Dublin. The term of employment shall
commence on May 1 , 1985 •
2 . Compensation
Effective May 1 , 1985 , the CITY shall pay to
AMBROSE , and AMBROSE shall accept from the CITY,
for services during the employment term,
compensation at the rate of $53 ,375 . 00 per year,
payable in accordance with the CITY' s adopted
payroll periods . Said $53 , 375 .00 shall be
referred to in this paragraph as "base salary" .
Nothing herein shall prevent the CITY from raising
AMBROSE ' s base salary on an annual basis in an
amount that is satisfactory to both parties
hereto .
3 . Expenses
The CITY will continue to pay AMBROSE the sum of
$300 .00 per month for his use of his personal
automobile for CITY purposes and to pay for
membership dues in professional , civic or service
organizations . In addition, the CITY agrees to
pay AMBROSE ' s International City Management
Association dues . In addition thereto , the CITY
shall reimburse AMBROSE for all actual and
necessary expenses for travel or for attendance at
meetings of professional organizations related to
CITY business , including mileage at a rate per
mile to be fixed by the Council .
4. Vacation - Illness
AMBROSE shall be entitled to an annual leave of 24
days for vacation or illness . AMBROSE will be
allowed to carry over to the next year unused
annual leave days from the prior year, which will
be placed in a sick leave bank. Carry-over of
unused leave shall be limited for sick leave use
only. The maximum carry-over shall not cause the
sick leave bank balance to exceed a total of 30
days .
5 . Benefits
The CITY will continue to provide AMBROSE with the
following benefits :
(a) A PERS retirement program, with the CITY
paying both the employer and the employee
contributions to PERS .
(b ) Customary dental and health insurance
benefits for AMBROSE and his family . It is
understood between CITY and AMBROSE that CITY'
intends to supplement the customary dental
benefits provided to all City employees ,
including AMBROSE, by establishment of a
trust fund or some other mechanism.
( c ) Up to $200. 00 per year as a premium for a
term life insurance policy for AMBROSE.
6. Termination
In the event that the City Council terminates
AMBROSE ' s employment for reasons other than acts
involving moral turpitude , the CITY shall pay to
AMBROSE , upon termination, a sum equal to 90 days
salary . Similarly, the City Council will require
90 days notice if AMBROSE resigns .
7. Notices
Any written notices to the parties hereto shall be'
sufficient if they are deposited in the United
States Post Office , in envelopes , postage prepaid
by registered or certified mail addressed as
follows :

This Agreement supersedes the prior agreement dated June 27,
1983 , as amended June 26, 1984.
IN WITNESS WHEREOF , the parties hereto have executed this
Agreement in duplicate at Dublin, California, the day and year
first above written.
