FINANCIAL STATEMENT: Adequate funding is available in the 1985-86 Budget.
Modifications will be required to the proposed 1986-87
Budget prior to adoption .
DESCRIPTION The City of Dublin Personnel Ordinance exempts
individuals appointed by the City Council, elected officers, volunteers and
contract employees from the competitive service. The terms and conditions
of the City Manager ' s employment are identified in an agreement adopted
May 28, 1985 .
Members of the City Council have.- reviewed the City Manager ' s performance .
Following the review, a new agreement was drafted based on the model
developed by the City Attorney in 1985 . In terms of substantive changes,
the agreement only changes the City Manager ' s base salary. Other changes to
benefit section of the agreement reflect only those fringe benefits which
have previously been approved by the City Council .
It is recommended that the City Council approve the agreement and authorize
the Mayor to execute the agreement .

AGREEMENT
THIS AGREEMENT is made and entered into this day of
June, 1986, by and between the CITY OF DUBLIN, a Municipal
Corporation, hereinafter referred to as the "CITY" and RICHARD C.
AMBROSE, hereinafter referred to as "AMBROSE" .
RECITALS
A. AMBROSE is currently the City Manager of the City.
B. The CITY acknowledges and recognizes the value of AMBROSE ' S
services .
C. The CITY desires to continue to employ, retain and make sure
for itself the unique abilities and services of AMBROSE as
City Manager of Dublin. °
D . Both parties desire to embody the terms and conditions of
AMBROSE ' S employment into a written agreement .
NOW, THEREFORE, in consideration of the mutual promises ,
conditions and covenants herein contained, the parties agree as
follows :
1 . Employment Capacity and Term
CITY hereby employs AMBROSE as City Manager. It is
further understood that AMBROSE shall at all times be
employed solely in this capacity as City Manager of
Dublin. The term of employment shall commence on May 1,
1986 .
2 . Compensation
Effective May 1, 1986, the CITY shall pay to AMBROSE, and
AMBROSE shall accept from the CITY, for services during
the employment term, compensation at the rate of $63 , 000
per year, payable in accordance with the CITY' S adopted
payroll periods . Said $63 , 000 shall be referred to in
this paragraph as "base salary" . Nothing herein shall
prevent the CITY from raising AMBROSE ' S base salary on an
annual basis in an amount that is satisfactory to both
parties hereto.
3 . Expenses
The CITY will continue to pay AMBROSE the sum of $300 . 00
per month for his use of his personal automobile for CITY
purposes and to pay for membership dues in professional,
civic or service organizations . In addition, the CITY
agrees to pay AMBROSE ' S International City Management
Association dues . In addition thereto, the CITY shall
reimburse AMBROSE for all actual and necessary expenses
for travel or for attendance at meetings of professional
organizations related to CITY business , including mileage
at a rate per mile to be fixed by the Council .
4 . . Vacation - Illness
AMBROSE shall be entitled to an annual leave of 24 days
for vacation or illness . AMBROSE will be allowed to
carry over to the next year unused annual leave days from
the prior year, which will be placed in a sick leave
bank. Carryover of unused leave shall be limited for
sick leave use only. The maximum carryover shall not
cause the sick leave bank balance to exceed a total of 30
days .

5. Benefits
The CITY will provide AMBROSE with the following
benefits :
a. A PERS retirement program, with the CITY paying both
the employer and the employee contributions to PERS .
b. The option to select medical insurance coverage from
among the plans offered by the Public Employees '
Retirement System Medical and Hospital Care Act . The
CITY will contribute a maximum of $224 . 00 per month
exclusive of administrative charges toward said
insurance premium.
C . The CITY .shall provide fully paid family dental
insurance coverage for AMBROSE. In addition, AMBROSE
shall be a participant in the City Dental
Reimbursement Trust Fund pursuant to the same
regulations as the City Council adopts for full-time
employees .
d. CITY shall pay the insurance premium cost for Long
Term Disability Insurance for AMBROSE.
e . CITY shall contribute up to $200 . 00 per year as a
premium for a term life insurance policy for AMBROSE.
6 . Termination
In the event that the City Council terminates AMBROSE ' S
employment for reasons other than acts involving moral
turpitude, the CITY shall pay to AMBROSE, upon _
termination, a sum equal to 90 days salary. Simil-arly,
the City Council will require 90 days notice if AMBROSE
resigns .
7 . Notices
Any written notices to the parties hereto shall be
sufficient if they are deposited in the United States
Post Office, in envelopes , postage prepaid by registered
or certified mail addressed as follows :

This Agreement supersedes the prior agreement dated May 28,
1985 .
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement in duplicate at Dublin, California, the day and year
first above written.
