RECOMMENDATION: dopt resolution approving the Agreement and
authorizing the Public Works Director to execute the Agreement.
FINANCIAL STATEMENT:
State Fund AB 434 distributes a portion of State Funds raised from
vehicle registration. The City has been awarded a $22,011 Grant to
coordinate the City u-affic signals. This project has been budgeted in
the City's Capital Improvement Program and there is no City
matching fund required in order to receive funds. The Agreement
requires the City to check the effectiveness of the project in three
years. This will be done as part of the City's traffic safety report.
DESCRIPTION: The Alameda County Congestion Management Agency is a joint
powers agency responsible for, among other things, distributing funds to projects aimed at controlling
pollution. The CMA receives funding from state vehicle registration and is responsible for distributing
funds to various local agencies to fund eligible Izansportation programs. The City of Dublin has been
approved for a grant of $22,011 to coordinate the City's traffic signals.
In order for the City to use the funds, the CMA requires an agreement between them and the recipient
agency to ensure that their administration requirements are met. The Agreement for this program
delineates the various responsibilities which the City must undertake in order to receive funding. These
responsibilities include contract administration, audits, right-of-way purchases (where applicable), and
completion of required paperwork. The Agreement is Project-specific, this one pertairdng to the
coordination of traffic signals throughom the City of Dublin.
Staff recommends that the City Council adopt the resolution approving the agreement with CMA and
authorizing the Public Works Director to execute the agreement.

TRANSPROTATION FUND FOR CLEAN AIR TRANSFER
~q-IEREAS, Slate Fund AB 434 is a program funded by vehicle registration and allocates funds to
the Alameda County Congestion Management Agency (CMA) which in mm grants money to construct
locally supported transportation projects; and
WHEREAS, the City of Dublin's 1996-97 Traffic Signal Coordination Project has been accepted
by the CMA Program as eligible for reimbursement funds,
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin hereby
approves the Agreement to transfer funds to the City from the CMA and authorizes the Public Works
D/rector to execute the Alameda County Congestion Management Agency Transportation Fund for Clean
Air Transfer Agreement.

TRANSPORTATION FUND FOR CLEAN AIR TRANSFER AGREEMENT
FY 95/96
This Agreement is made on , between the Alameda County Congestion
Management Agency (hereinafter CMA), and the City of Dublin (hereinafter SPONSOR).
Section 1. PURPOSE OF AGREEMENT
The purpose of this Agreement is to specify the terms and conditions for the advancement of
funds made available from the Transportation Fund for Clean Air (TFCA) Program for fiscal
year 1995/96. As program manager in Alameda County, the CMA will annually program 40%
of the TFCA funds collected in Alameda County. The CMA will receive these funds from the
Bay Area Air Quality Management District (BAAQMD), which will then be reimbursed to
project sponsors, pursuant to this Agreement.
Section 2. DESCRIPTION OF PROJECT
The CMA has programmed a total of$22.011.00 of the funds available in the 1995/96 Alameda
County allocation of TFCA funds to the SPONSOR to be used for Upgrade/coordinate signals
citywide.
Section 3. REIMBURSEMENT OF FUNDS
Funds for the 1995/96 program will be advanced to the CMA from the BAAQMD after
execution of a fund transfer agreement. A funding agreement between the CMA and BAAQMD
for the FY 95/96 program was finalized in March, 1996. Available funds will be reimbursed
to project sponsors based on the percentage each sponsor's project bears to the overall program
total. SPONSOR must complete the attached "Request for Reimbursement of Funds" and
provide documentation of funds spent. Requests for reimbursement of funds must be made a
minimum of thirty (30) days in advance.
Section 4. DOCUMENTATION OF EXPENDITURES
SPONSOR will submit a report to the CMA within two (2) months of the end of each fiscal year
which itemizes 1) the expenditure of funds, 2) progress to date in the implementation of any
funded project, and 3) the results of the monitoring of the performance of the project as
specified in Section 5. SPONSOR will, for the duration of this project and for three (3) years
following completion of the project, make available to BAAQMD or to an independent auditor,
all records relating to project performance and expenses incurred in implementing this project.
SPONSOR agrees to use the BAAQMD's approved logo for TFCA on 1)signs posted at the site
of any construction, 2) any vehicles used or obtained as part of any project, and 3) any printed
material, such as project related schedules, brochures, handbooks or promotional material
associated with any project being funded under.this Agreement. SPONSOR agrees to credit the
BAAQMD as a funding source for the projects funded under this Agreement in any related
articles, news releases or other publicity materials.

Section 5. MONITORING REQUIREMENTS
Upgrade of citywide traffic signal coordination
1. A map indicating location of traffic signals that are included in the project.
2. The following data gathered not more than three months prior to start of upgrade, one month
after completion of upgrade and three years after completion of upgrade:
a. Average speed on roads directly affected by project for the morning and evening peak
hours on a Tuesday, Wednesday or Thursday. "Average speed" includes delays at
intersections
b. Average daily traffic volume on the same weekday
c. Volume of traffic for the morning and evening peak hours and the midday period on the
same weekday
d. Arterial level of service (LOS) peak hour.
3. Copies of press articles, press releases, newsletter articles, and any other publicity materials
regarding the project, if any.
Section 6. INDEMNIFICATION
SPONSOR and CMA mutually agree to indemnify and hold each other harmless, their officers
and employees, for any and all liability caused by the negligence or wrongful act of SPONSOR
or CMA arising out of the performance of this Agreement, and to pay all claims,
damages,
judgements, legal costs and attorney's fees r4a�ONSOR ands CMA shall fully indemnify and
pursuant to Government Code Section 895.4,
hold each other harmless from any liability imposed for injury as defined by Government Code
Section 810.8 occurring by reason of anything done or omitted to be done by SPONSOR or
CMA under this Agreement or in connection with any work, authority or jurisdiction delegated
to SPONSOR or CMA under this Agreement.
Section 7. NONDISCRIMINATION
During the performance of services under this Agreement, SPONSOR and its Consultants shall
not discriminate against any persons or group of persons on the grounds of race, religious creed,
color, national origin, age, ancestry, physical disability, medical condition, marital status, sex,
sexual orientation, VietNam Era Veteran's status, po litical affiliation or any other non-merit
factor. SPONSOR will comply with all applicable provisions of Executive Order 11246 as
amended by Executive Order 11375 and as supplemented by Department of Labor regulations.
SPONSOR shall take affirmative actions to ensure that applicants are employed, and that
employees are treated during their employment without regard to their race, religion, sex, color
or national origin.
It is the policy of the CMA that disadvantaged business enterprises (DBEs), as defined in 49
CFR Part 23, shall have the maximum opportunity to participate in the performance of contract
work in the manner provided for in 49 CFR Part 23 for agencies receiving funds from state or
federal sources. SPONSOR shall not discriminate on the b race, color,overall DBE goal
sex or physical disability in the performance of this Agreement.

SPONSOR agrees to comply with all the requirements imposed by Title VI of the Civil Rights
Act of 1964 (42 U.S.C.§ 2000 (d)) and the regulations of the Department of Transportation

Section 8. AMENDMENTS
Amendments to this Agreement, including modifications to the project described herein, shall -
be made in writing, and signed by both parties.
This Agreement is subject to any new requirements imposed by the Bay Area Air Quality
Management District upon finalization of the FY 95/96 agreement between the BAAQMD and
the CMA.
