FINANCIAL STATEMENT:
The total cost is $347,000 for the Project Study Report (PSR) for the
1-580/Fallon RoadlEl Charro Road Interchange Improvements. The
Developer's 100% contribution is based on estimated traffic volume
that will be generated by their development. The contribution is
equal to the total cost for the Project Study Report.

This agreement provides that the Developer will pay the cost of the project study report for
the interchange improvements. The project study report is proposed to be prepared by
CCS Planning and Engineering, whose agreement for the work is a separate item on this
agenda.

The Developer will receive a credit against payment of future Eastern Dublin Traffic
Impact Fees in an amount equal to funds advanced for this work. TIF Credit will only be
given after the cash deposits have been received by the City. The Developer will post an
initial deposit of $1 00,000 upon approval of this agreement and advance the additional
contribution as the study progresses. Sufficient monies have been budgeted in the 1998-99
Capital Improvement Program.

DESCRIPTION: Improvement of the I-580/Fallon RoadlEl Charro Road Interchange
is a required mitigation for the Dublin Ranch development. This agreement with Jennifer Lin provides .
for the payment of costs related to preparation of a Project Study Report for the needed interchange
improvements and the concurrent application of Eastem Dublin Traffic Impact Fee credits.
A separate item on this agenda provides for the City's agreement with CCS Planning and Engineering for
preparation of the PSR. The City already has an agreement with George Homolka for consultant services
on 1-580 Interchange improvements.
Staff recommend~ that the City Council approve the budget change and adopt the resolution approving the
agreement.

APPROVING AGREEMENT WITH JENNIFER LIN
REGARDING PROJECT STUDY REPORT
FOR I-580/FALLON ROAD/EL CHARRO ROAD INTERCHANGE
WHEREAS, a part of the mitigation for the Dublin Ranch development requires improvement of
the I-580/Fallon RoadlEl Charro Road Interchange; and
WHEREAS, the City and Jennifer Un have agreed to the preparation of certain preliminary
reports related to this interchange; and
WHEREAS, a credit against payment of future Eastern Dublin Traffic Impact Fees will be
provided to offset Jennifer Un's payment of costs related to the project study report;

NOW, THEREFORE, BE IT RESOLVED that the City Council approves the agreement with
Jennifer Lin regarding preparation of project study report for the I-580/Fallon RoadlEl Charro Road
interchange;
BE IT FURTHER RESOLVED that the Mayor is authorized to execute the agreement.

AND CITY OF DUBLIN
REGARDING PROJECT STUDY REPORT
FOR I-SaD/FALLON ROADIEL CHARRO ROAD INTERCHANGE

THIS AGREEMENT is entered into this 16th day of February 1999, between the City of Dublin, a
municipal corporation ("City") and Jennifer Un ("Un").
RECITALS
A.
Un owns approximately 1,333 acres of land located within the area generally
known as Eastern Dublin. Some of Un's property is within the Cfty of Dublin and
the remainder of Un's property is within the City's sphere of influence.
B.
City has adopted a traffic impact fee (Eastern Dublin Traffic Impact Fee) to pay for
road improvements necessary in Eastern Dublin.
C.
City's Eastern Dublin Specific Plan ("Specific Plan") designates land uses for Un's
property. Un will be required to pay an Eastern Dublin Traffic Impact Fee when
Un develops her property.
D.
A project study report or "PSR" is required by Caltrans in connection with
improvements to the Fallon Road/EI Charro Road interchange. It is also desirable
to prepare a "preliminary" or "concept" PSR prior to the preparation of the final
PSR. A project study report or "PSR" is required by Caltrans in connection with
improvements to the Fallon RoadlEI Charro Road interchange. Un has previously
agreed to bear the cost of the concept PSR in the agreement dated April 21, 1998. .
Un has agreed to advance funds to City for retention of a consultant to prepare a
project study report as provided in this agreement and City has agreed to provide
Un a credit against payment of future Eastern Dublin Traffic Impact Fees in an
amount equal to the funds advanced.

Based on a preliminary traffic analysis, it has been determined that the Un's initial
fair share portion of the 1-5801 Fallon RoadlEI Charro Road Interchange PSR is
100%.
AGREEMENT
Now, therefore, City and Un agree as follows:
1. Consultant
City will retain a consultant to prepare a project study report for the Fallon RoadlEI Charro
Road Interchange. City shall enter into an agreement with a consultant within 30 days of
this agreement.
2. Payment
Un will pay an initial deposit of $100,000 to City contemporaneous with execution of this .
agreement to be used by City to cover City's costs of the PSR as set forth in paragraph 1
above. Any funds remaining account shall be returned to Un following completion of the

PSR. Un shall deposit additional funds when requested by the City's Public Works
Director but not to exceed an additional $247,000 for a total contribution of $347,000.
3. Credit Against TIF
City shall provide a credit to Un in the amount of Lin's payment for the PSR. The amount
of the credit shall not be increased for inflation nor shall interest accrue on the amount of
the credit. The credit Shall be applied by Un against the "Section 1" portion of the Eastern
Dublin Traffic Impact Fee for the Dublin Ranch project in the manner and subject to the
provisions of City's administrative guidelines for use of such credits.
4. No Obl!oation to Aporove Proiect
This agreement Shall not be construed as providing Un with any assurance that any
application for a rand use entitlement will be granted by City for Un's property.
