FINANCIAL STATEMENT: Cost of study not to exceed $6,800.
DESCRIPTION: As part of the 1990-91 Capital Improvement Program,
the City is proposing to begin the work on the Dublin Boulevard Extension by
purchasing the necessary right-of-way for five (5) parcels between Dougherty
Road and the Southern Pacific Railroad Right-Of-Way.
Staff is concerned that there may be "hazardous" waste on the two parcels
where engine work has taken place (the Valley Boat House and Curtis Dodge).
As part of the purchasing price evaluation of these two parcels, the City
requested proposals from four (4) engineering consultants for Environmental
Site Assessments. The Consultant's duties include investigation of past and
present activities for the two lots, and the adjoining and neighboring
properties up to one-half mile distant, for underground fuel storage tanks or
other environmentally hazardous materials. This first-phase study would serve
to identify potential liabilities which may be further addressed in subsequent
investigative phases. If hazardous wastes are found on these parcels, it
could effect the value and purchase price of the two parcels.
On May 6, 1991, the Public Works Department received three (3) proposals from
qualified engineering consulting firms. After reviewing all three proposals
for past performance, experience and knowledge of the area and site, ability
to complete the project in a short time, and equipment and staffing, Staff
considered Terrasearch, Inc., as best able to fulfill the City's requirements.
Therefore, Staff recommends that the City Council adopt the Resolution
approving the Agreement with Terrasearch, Inc.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING AGREEMENT WITH TERRASEARCH, INC.
TO CONDUCT AN ENVIRONMENTAL SITE ASSESSMENT
DUBLIN BOULEVARD EXTENSION PROJECT
WHEREAS, a hazardous materials assessment is necessary to
identify potential liabilities existing on property to be acquired for the
extension of Dublin Boulevard; and
WHEREAS, contract personnel are needed to perform these technical
services; and
WHEREAS, Terrasearch, Inc., has provided a reasonable cost and
has demonstrated adequate ability to perform the work;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City
of Dublin does approve the agreement with Terrasearch, Inc., to conduct an
Environmental Site Assessment for the Dublin Boulevard Extension.
BE IT FURTHER RESOLVED that the City Manager is authorized to
execute the agreement.

STANDARD
CONSULTING ENGINEERING SERVICES AGREEMENT
THIS AGREEMENT is made at Dublin, California, as of
, 1991, by and between the CITY OF DUBLIN, a municipal
corporation ("city"), and TERRASEARCH, INC. (,'Consultant"), who
agree as follows:
1. SERVICES. Subject to the terms and conditions set
forth in this Agreement, Consultant shall provide to City the
services described in Exhibit A. Consultant shall provide said
services at the time, place and in the manner specified in
Exhibit A.
2. PAYMENT. city shall pay Consultant for services
rendered pursuant to this Agreement at the time and in the manner
set forth in Exhibit B. The payments specified in Exhibit B
shall be the only payments to be made to Consultant for services
rendered pursuant to this Agreement. Consultant shall submit all
billings for said services to City in the manner specified in
Exhibit B; or, if no manner be specified in Exhibit B, then
according to the usual and customary procedures and practices
which Consultant uses for billing clients similar to city.

3. FACILITIES AND EQUIPMENT. Except as set forth
in Exhibit C, Consultant shall, at its sole cost and expense,
furnish all facilities and equipment which may be required for
furnishing services pursuant to this Agreement. City shall
furnish to Consultant only the facilities and equipment listed
in Exhibit C according to the terms and conditions set forth in
Exhibit C.
4. GENERAL PROVISIONS. The general provisions set
forth in Exhibit D are part of this Agreement. In the event
of any inconsistency between said general provisions and any
other terms or conditions of this Agreement, the other term or
condition shall control insofar as it is inconsistent with the
general provisions.
5. EXHIBITS. All exhibits referred to herein are
attached hereto and are by this reference incorporated herein.
6. SUBCONTRACTING. The-Consultant shall perform the
work contemplated with resources available within its own
organization and no portion of the work pertinent to this
contract shall be subcontracted without written authorization
by the city, except that which is expressly identified in the
Consultant's proposal.
7. CHANGES. City may from time to time require
changes in the scope of the services by Consultant to. be
performed under this agreement. Such changes, including any

change in the amount of Consultant's compensation which are
mutually agreed upon by City and Consultant, shall be effective
as amendments to this agreement only when in writing.
8. RESPONSIBLE CHARGE. Consultant shall assign
a project manager(s) to the project for the duration of the
project. There shall be no change in the Project Manager
or members of the project team without prior written approval
by the city. The Project Manager for Consultant shall be
Mr. Richard C. Kent.
9. CONTRACT ADMINISTRATION. This Agreement shall
be administered by LEE S. THOMPSON ("Administrator"). All
correspondence shall be directed to or through the Administrator
or his or designee.
10. NOTICES. Any written notice to Consultant shall
be sent to: TERRASEARCH, INC.

PAYMENT SCHEDULE
City shall pay Consultant an amount not to exceed the
total sum of TWO THOUSAND SEVEN HUNDRED DOLLARS ($2,700) for
services to be performed pursuant to this Agreement. Consultant
shall submit invoices at the end of project based on the cost for
services performed in accordance with the Task I cost estimate on
page 9 of Consutant's proposal, dated April 30, 1991 (Proposal
No. P910503).
The total sum stated above shall be the total which
City shall pay for the services to be rendered by Consultant
pursuant to this Agreement, except if the Director of Public
Works/City Engineer deems Task II necessary City shall pay an
additional FOUR THOUSAND ONE HUNDRED DOLLARS ($4,100) for Task
II. City shall not pay any additional sum for any expense or
cost whatsoever incurred by Consultant in rendering services
pursuant to this Agreement.
city shall make no payment for any extra, further
or additional service pursuant to this Agreement unless such
extra service and the price therefor is agreed to in writing
executed by the City Manager or other designated official of
City authorized to obligate City thereto prior to the time such
extra service is rendered and in no event shall such change order
exceed twenty-five percent (25%) of the initial contract price.

The services to be provided under this Agreement may
be terminated without cause at any point in time in the sole
and exclusive discretion of City. If the Agreement is terminated
by city, Consultant shall be entitled to receive just and
equitable compensation for any satisfactory work completed on
such documents and other materials to the effective date of
such termination. In that event, all finished and unfinished
documents and other materials shall, at the option of the City,
become City's sole and exclusive property. Consultant hereby
expressly waives any and all claims for damages or compensation
arising under this Agreement. Consultant shall maintain adequate
logs and timesheets in order to verify costs incurred to date.
The Consultant is not authorized to perform any
services or incur any costs whatsoever under the terms of this
Agreement until receipt of a fully executed Purchase Order from
the Finance Department of the City_of Dublin.

EXHIBIT C
City shall furnish physical facilities such as desks,
filing cabinets, and conference space, as may be reasonably nece-
ssary for Contractor's use while consulting with City employees
and reviewing records and the information in possession of City.
The location, quantity, and time of furnishing said physical
facilities shall be in the sole discretion of City. In no event
shall city be obligated to furnish any facility which may involve
incurring any direct expense, including, but not limiting the
generality of this exclusion, long-distance telephone or other
communication charges, vehicles, and reproduction facilities.

GENERAL PROVISIONS
1. INDEPENDENT CONTRACTOR. At all times during the term of
this Agreement, Consultant shall be an independent contractor and
shall not be an employee of City. City shall have the right to
control Consultant only insofar as the results of Consultant's
engineering services rendered pursuant to this Agreement;
however, City shall not have the right to control the means by
which Consultant accomplishes services rendered pursuant to this
Agreement.
2. LICENSES; PERMITS; ETC. Consultant represents and warrants
to City that he has all licenses, permits, qualifications and
approvals of whatsoever nature which are legally required for
Consultant to practice his profession. Consultant represents
and warrants to City that Consultant shall, at his sole cost
and expense, keep in effect at all times during the term of this
Agreement any licenses, permits, and approvals which are legally
required for Consultant to practice his profession.
3. TIME. Consultant shall devote such time to the performance
of services pursuant to this Agreement as may be reasonably nece-
ssary for satisfactory performance of Consultant's obligations
pursuant to this Agreement.
4. INSURANCE REQUIREMENTS. Consultant shall procure and
maintain for the duration of the contract insurance against
claims for injuries to persons or damages to property which
may arise from or in connection with the performance of the
work hereunder by the Consultant, his agents, representatives,
employees or subcontractors. The cost of such insurance shall
be included in the Consultant's bid.

Consultant shall maintain
General Liability: $1,000,000 combined single
limit per occurrence for bodily injury, personal
injury and property damage. If commercial General
Liability Insurance or other form with a general
aggregate limit is used, either the general
aggregate limit shall apply separately to this
project/location or the general aggregate limit
shall be twice the required occurrence limit.
Automobile Liability: $1,000,000 combined single
limit per accident for bodily injury and property
damage.
Workers' Compensation and Employers Liability:
Workers' Compensation limits as required by the
Labor Code of the State of California and Employers
Liability limits of $1,000,000 per accident.
Deductibles and Self-Insured Retentions. Any deduct-
ibles or self-insured retentions must be declared to
and approved by the City. At the option of the City,
either the insurer shall reduce or eliminate such
deductibles or self-insured retentions as respects the
City, its officers, officials and employees; or the
Consultant shall procure a bond guaranteeing payment of
losses and related investigations, claim administration
and defense expenses.
Other Insurance Provisions. The policies are to
contain, or be endorsed to-contain, the following
provisions:
General Liability and Automobile Liability
Coverages.
The City, its officers, officials, employees
and volunteers are to be covered as insureds as
respects: liability arising out of.activities
performed by or on behalf of the Consultant;
products and completed operations of the
Consultant, premises owned, occupied or used by
the Consultant, or automobiles owned, leased,
hired or borrowed by the Consultant. The
coverage shall contain no special limitations

on the scope of the protection afforded to the
City, its officers, officials, employees or
volunteers.
The Consultant's insurance coverage shall be
primary insurance as respects the City, its
officers, officials, employees and volunteers.
Any insurance or self-insurance maintained by
the City, its officers, officials, employees or
volunteers shall be excess of the Consultant's
insurance and shall not contribute with it.
Any failure to comply with reporting provisions
of the policies shall not affect coverage
provided to the City, its officers, officials,
employees or volunteers.
The Consultant's insurance shall apply
separately to each insured against whom claim
is made or suit is brought, except with respect
to the limits of the insurer's liability.
Worker's Compensation and Employers Liability
Coverage.
The insurer shall agree to waive all rights
of subrogation against the City, its officers,
officials, employees and volunteers for losses
arising from work performed by the Consultant for
the city.
3. Professional Liability.
Consultant shall carry professional liability
insurance in an amount deemed by the City to ade-
quately protect the Contractor against liability
caused by negligent acts, errors or ommissions
on the part of the Consultant in the course of
performance of the services specified in this
Agreement
4. All Coverages.
Each insurance policy required by this clause shall
be endorsed to state that coverage shall not be
suspended, voided, cancelled by either party,
reduced in coverage or in limits except after
thirty (30) days' prior written notice by certified
mail, return receipt requested, has been given to
the City.

(e) Acceptability of Insurers. Insurance is to be placed
with insurers with a Bests' rating of no less than
A:VIII.
(f) Verification of Coveraqe. Consultant shall furnish
City with certificates of insurance and with original
endorsements effecting coverage required by this
clause. The certificates and endorsements for each
insurance policy are to be signed by a person author-
ized by that insurer to bind coverage on its behalf.
The certificates and endorsements are to be received
and approved by the City before work commences. The
City reserves the right to require complete, certified
copies of all required insurance policies, at any time.
(g) Subconsultants. Consultant shall include all
subconsultants as insureds under its policies or shall
furnish separate certificates and endorsements for each
subcontractor. All coverages for subconsultants shall
be subject to all of the requirements stated herein.
(h) The Risk Manager of city may approve a variation in
those insurance requirements upon a determination
that the coverages, scope, limits and forms of such
insurance are either not commercially available or that
the City's interests are otherwise fully protected.
5. CONSULTANT NO AGENT. Except as City may specify in writing,
Consultant shall have no authority, express or implied, to act on
behalf of City in any capacity whatsoever as an agent. Consultant
shall have no authority, express or implied, pursuant to this
Agreement to bind city to any obligation whatsoever.
6. ASSIGNMENT PROHIBITED. No party to this Agreement may
assign any right or obligation pursuant to this Agreement. Any
attempted or purported assignment of any right or obligation
pursuant to this Agreement shall be void and of no effect.
7. PERSONNEL. Consultant shall assign only competent personnel
to perform services pursuant to this Agreement. In the event that
city, in its sole discretion, at any time during the term of this
Agreement, desires %he removal of any such persons, Consultant
shall, immediately upon receiving notice from City of such desire
of City, cause the removal of such person or persons.
8. STANDARD OF PERFORMANCE. Consultant shall perform all
services required pursuant to this Agreement in the manner and
according to the standards observed by a competent practitioner
of the profession in which Consultant is engaged in the geograph-
ical area in which Consultant practices his profession. All
instruments of service of whatsoever nature which Consultant
delivers to City pursuant to this Agreement shall be prepared in

a substantial, first class and workmanlike manner and conform to
the standards of quality normally observed by a person practicing
in Consultant's profession.
9. HOLD HARMLESS AND RESPONSIBILITY OF CONSULTANTS. Consultant
shall take all responsibility for the work, shall bear all losses
and damages directly or indirectly resulting to him, to any
subconsultant, to the city, to city officers and employees, or
to parties designated by the City, on account of the negligent
performance or character of the work, unforeseen difficulties,
accidents, occurrences or other causes predicated on active or
passive negligence of the Consultant or of his subconsultant.
Consultant shall indemnify, defend and hold harmless the City,
its officers, officials, directors, employees and agents from
and against any or all loss, liability, expense, claim, costs
(including costs of defense), suits, and damages of every kind,
nature and description directly or indirectly arising from the
negligent performance of the work. This paragraph shall not be
construed to exempt the City, its employees and officers from
its own fraud, willful injury or violation of law whether willful
or negligent. For purposes of Section 2782 of the civil Code the
parties hereto recognize and agree that this Agreement is not a
construction contract. By execution of this Agreement Consultant
acknowledges and agrees that he has read and understands the
provisions hereof and that this paragraph is a material element
of consideration.
Approval of the insurance contracts does not relieve the
Consultant or subconsultants from liability under this paragraph.
10. GOVERNMENTAL REGULATIONS. To the extent that this Agreement
may be funded by fiscal assistance from another governmental
entity, Contsultant shall comply with all applicable rules and
regulations to which City is bound by the terms of such fiscal
assistance program.
11. DOCUMENTS. Ail reports, data, maps, models, charts,
designs, plans, studies, surveys, photographs, memoranda or other
written documents or materials prepared by Consultant pursuant to
this Agreement shall become the property of City upon completion
of the work to be performed hereunder or upon termination of the
Agreement. No such materials or properties produced in whole
or in part under this Agreement shall be subject to Drivate use,
copyrights, or patent rights by Consultant in the United States
or in any other country without the express written consent of
City. city shall have unrestricted authority to publish, dis-
close (as may be limited by the provisions of the California
Public Records Act), distribute, and otherwise use, copyright
or patent, in whole or in part, any such reports, studies, data,
statistics, forms or other materials or properties produced under
this Agreement.

1.1. Project Description
1. INTRODUCTION
The City of Dublin is in the process of extending Dublin Boulevard east of
Dougherty Road and plans to purchase a portion of the Valley Boat House and vacant
Curtis Dodge Dealership lots for this extension ("Site").
TERRASEARCH, Inc. hereby responds to an invitation to submit a proposal to
perform an environmental site assessment to determine if the soil is contaminated at the
Valley Boat House and vacant Curtis Dodge Dealership lots in the City of Dublin.
The invited scope of work includes:
Task I - Preliminary Site Assessment Phase-1
Task II - City's Option to Request Borings and Analyses
1.2. Objectives
The following is a'summary of project objectives:
Perform a non-intrusive determination of present environmental and health risk
at the Site from past and present Site usage, and surrounding area to one-
half mile distant;
If optioned by City request, complete a minimum of six (6) soil borings to depths
above the water table. Collect soil samples at least every five (5)-foot interval
or at significant stratigraphic changes. Analyze the soil samples, or
composites of discrete samples, for constituents known or suspected as
determined from Task I or other determinations as requested by the City.
If optioned by City request, collect water samples for analysis..Water samples
would be collected by an initial screening technique, and such a technique
would not serve as permanent groundwater monitoring wells.

Prepare a report to discuss a preliminary assessment of environmental
conditions at the Site and within one-half mile. Optionally include data and
evaluations related to soil borings and samples.
13. Previous Work
We are not aware of previous environmental assessment reports for the subject Site.
Terrasearch, Inc. has completed environmental and geotechnial investigations for
certain adjoining and neighboring properties that are within one-half mile to the Site.
The following is a summary of previous work by Terrasearch, Inc. for properties in
proximity to the Site:

Dublin.
Investigation included soil borings and chemical analysis for pesticides and PCB's.

2. TASK I - PRELIMINARY SITE ASSESSMENT - PHASE I
2.1. Property. Records Search
We would review reasonably available recorded chain of title documents regarding
the Site to include such information as deeds, easements, land contracts, leases, assignment
of leases, covenants, condition, restrictions, and recorded environmental leins for the past
approximate 50 years. We would also request to review existing and past records related to
businesses operating on the Site.

2.2. Aerial Photograph Interpretation
Aerial photographs which can be readily, obtained would be interpreted with
emphasis on actual or potential use of chemical and disposal of hazardous materials, or
changes in land uses and anomalous photographic density and contrast changes over time.
Comparative interpretation would depend upon the availability, scale, quality and type of
photographs. We would attempt to review stereo photographs whenever possible. Our
interpretation would include a detail evaluation within 1/2-mile radius from the Site and a
more general interpretation for an area approximately one (1)-mile radius from the Site,
depending upon the scale of available photographs. We would seek copies of photographs
for the past approximate 50-years.
2.3. Agency Records Search
We would review applicable Federal, California, and local agency records and,
depending upon availability, would assemble a compliance history of the Site. We would
seek documents from such sources as the Environmental Protection Agency, Water Quality
Control Board, Department of Health Services, Office of Emergency Services, Air
Resources Board, Department of Transportation Fire Department, Planning Department,
Engineer's office, and water or sewer authority.
2.4. Interviews
Personal or telephone interviews would be conducted to gather information on the
present and past use of the Site. Our interviews with present and past landowners would
seek information regarding such subjects as, previous buildings, underground tank
locations, past uses of surrounding lands, violation citations, locations of chemical materials
storage, general history of the Site, and previous owner names and present location.
We would interview local officials, such as, fire, health and water staffs to seek
information on possible hazardous mater/als spills or emergencies, and to identify unusual
occurrences or situations that may effect the Site.
2.5. Environmental and Health Risk
A general risk appraisal according to LUFT guidelines can be used to determine
how much soil needs to be removed or to what level the soil should be cleaned up.

Remedial action must be approved by the regulatory agencies. Should it be determined
that contamination, if any, would pose a health risk due to direct exposure, remedial action
would be proposed to limit or eliminate such exposure. At this time, such appraisals
cannot be outlined until soil analyses are completed.
2.6. Report
A Final Report on the preliminary environmental site assessment would be
submitted and include a summary of findings, conclusions, and recommendations regarding
the environmental site assessment.
3. OPTIONAL TASK II - BORINGS AND ANALYSES
3.1. Soil Borings and Samoling
3.1.1. Number and Locations
A minimum of six (6) soil borings would be proposed in locations to be further
defined by the City or as based on information to be collected during the preliminary
environmental assessment. For planning purposes, we have assumed three (3) borings each
would be located within the Valley Boat House-and Curtis Dodge properties. We have
also assumed that only petroleum hydrocarbons, such as, gasoline and diesel, would be
analyzed in soil or water samples. Should it be necessary or advisable to analyze for other
constituents based on new information as a result of the preliminary environmental
assessment, we would discuss our proposed analyses with you.
The purpose of the borings would be to collect soil samples for analyses of
petroleum fuel hydrocarbons. Borings would be drilled to depths immediately above the
water table. Two (2) soil samples would be collected at five (5)-f0ot intervals in each
boring. Each sample would be composited by the laboratory and one (1) analysis would be
performed on each composite for total petroleum hydrocarbons.
Should the composite analysis indicate detectable fuel hydrocarbons, a discreet
analysis would then be performed on each sample. The total number of proposed soil
samples for analysis would be twelve (12) and the total proposed composite analysis would
be six (6).

It is understood that water samples may be requested. Preliminary information
suggests that water may be encountered near 8 to 10-feet depth. We would collect samples
using a Hydropunch device, which is driven into the soil below the groundwater. Following
collection of the water sample, the pipe and Hydr°punch are removed. This technique is
designed to provide an initial screening of water quality. It is not acceptable for collecting
groundwater samples related to suspected or known contamination.
Our schedule and cost estimate include the field and laboratory work related to
collecting water samples using this technique.
3.1.2. Methods and Procedures
Borings would be completed with nominal 6-inch outside diameter, steam-cleaned,
hollow-stem augers. Drill cuttings would be placed in 55-gallon drums which would be
labeled showing boring number, date filled, and City contact person. Should the results of
soil sampling indicate that soil in the barrels is contaminated, the City would be responsible
for proper disposal or remediation of the soil in the barrels and such disposal tasks are not
part of this Proposal.
During drilling, soil would be classified according to the Unified Soil Classification
System and ASTM 2488. Relatively undisturbed soil samples would be collected during
drilling per ASTM D-1568 by a clean drive sampler with three (3) inside 2.5-inch by 6-inch
brass sample retainers. The drilling sampler would be driven 18-inches with a 140-pound
hammer falling about 30-inches. The hammer blows for each 6-inches of driven material
would be recorded and used to describe the general consistency or density of the soil
sample.
Soil would be extruded from one retainer, examined and classified. The retainer
with soil to be analyzed would contain no headspace and both ends would be immediately
covered with aluminum foil, capped with a polyethylene lid, taped with aluminum coated
fiber tape, labeled with sample number, date and time collected, and requested analysis,
and placed in a closed ice chest containing 'blu-ice' for delivery to Sequoia Analytical-
Concord, California Department of Health Services certified laboratory number 1271. All
samples would be accompanied by a chain-of-custody and request for analysis which would
be signed and dated at the time of transferring possession of the samples by each person
authorized to turn over and receive the samples.

Non-disposable drilling and sampling equipment, including augers, would be
cleaned with steam or triple rinsed with Alconox detergent solution and air dried on-site.
Waste cleaning water would be placed in 55-gallon barrels, labeled and retained on Site for
disposal or remediation by the City and such disposal tasks are not part of this Proposal.
A Geologic Log would be completed for each boring to include soil classification,
moisture content, and field observations about apparent soil contamination.
All borings would be abandoned and backfilled from total depth to the surface with
a bentonite-grout mixture.
3.1.3. Laboratory, Analyses
All soil samples would be analyzed for total petroleum hydrocarbons ("TPH") as
diesel ("TPHd"), gasoline ("TPHg"), benzene, toluene, total xylenes, and ethylbenzene
("BTXE"). These proposed analysis may have to be revised based on information to be
collected during Task I.
3.1.4. Data Analysis
Generally, if BTXE levels in soil are below detection limits, and TPH is below 10
parts per million ("ppm"), a General Risk Apprais_al is not necessary because the regulatory
agency considers the leaching potential of pollutants from the soil to be below cleanup
levels. However, each site is uniquely reviewed for specific characteristics that would allow
the agencies to determine if further cleanup is necessary.
3.1.5. Recommendation for Further Action
If soil contamination is found, remedial action would be proposed to the City, which
could include such methods as, aeration, bioremediation, or disposal to a proper landfill.
4. SCHEDULE
We anticipate that our Task reports for your review would be completed within the
schedules shown below which we would begin upon your written authorization to proceed.
Please note that inclement weather may cause delays in the completion of the field work

beyond our control. The following schedules may be concurrent and reflect calendar, not

beginning of the project.
4.2. OPTIONAL TASK II- BORINGS AND ANALYSIS

laboratory. Rapid turnaround is available at graduated surcharge rates.

This project involved the installation and development of ground water monitoring wells and
the collection of water samples for analysis of EPA Priority Pollutants.

TERRASEARCH completed an environmental site assessment comprising field
reconnaissance and review and research of site history. The work included consulting with
regulatory agencies and aerial photograph interpretation of historical site uses.
Project: Land development - Petroleum Hydrocarbon Sampling, San Jose
An envkonmental assessment of soil and ground water was completed for possible
contamination from underground storage tanks for petroleum hydrocarbons.
Project: Land Development - Agricultural Chemicals, San Jose
As part of an environmental assessment, soil was sampled and tested to evaluate persistent
and bioaccumulative agricultural chemicals such as pesticides, herbicides and metals.
Project: Land Development - Underground Storage Tank Removal, Hayward
An environmental assessment was completed including the sampling and analysis of soil
surrounding an underground storage tank. Subsequent supervision and further sampling
during removal of the UST was performed to ensure that all contaminated soil had been
removed.
Project: Land Development - Preliminary Site Assessment, San Mateo
TERRASEARCH completed a preliminary site assessment, site characterization and
feasibility and remediation investigation involving soil and ground water. Work included the
installation of ground water monitor well and sampling of ground water for petroleum
hydrocarbon contamination.
Project: Geotechnical and Geologic Construction Supervision, Carriage Hill Subdivision (1500
homes), Richmond
TERRASEARCH completed a pump station investigation, geologic mapping, foundation
design, observation and supervision during construction; coordinated with City of Richmond
agencies; environmental soil sampling, fault and landslide mapping.
8. AGREEMENT
TI's services will be performed, our findings obtained, and our recommendations
prepared in a manner generally exercised by members of the profession under similar
conditions at the time services were rendered. Findings will apply only to present

conditions, and opinions expressed will be subject to revision when additional or new
information is submitted in writing to us after our Final Report is completed. This
warranty is in lieu of all other warranties, either expressed or implied.
It is possible that exploration will fail to reveal the presence of hazardous materials
at areas where hazardous materials were assumed, suspected or expected to exist. Client
understands that TI's failure to discover hazardous materials through appropriate and
mutually agreed-upon sampling techniques does not guarantee that hazardous materials do
not exist at the Site. Similarly, a Site which in fact is unaffected by hazardous materials at
the time of TI's exploration, may later, due to natural causes or human intervention,
become contaminated. Client agrees that it will not hold TI liable for failing to discover
hazardous materials whose exact location is not possible to foretell from the surface, or for
failing to discover hazardous materials which in fact did not exist at specific sampling
locations at the time such samples were obtained.
This Proposal is valid for approval within seventy-five (75)-days. If not accepted
within this time period, it will be subject to a re-evaluation and modification may be made
to our scope of services, schedule, cost estimate and our Fees for Professional Services.

RATES:
Time is invoiced at fixed hourly category rates. All 'time, including travel time, spent on the project or
proposal preparation by professional, technical, and clerical personnel will be invoiced. Unless otherwise
stated, any cost estimate presented in a proposal is for time and expenses budgetary purposes only and is not
a fixed lump-sum bid. Rates for services not listed will be provided upon request.
Unless prior written notification is received to stop work, those costs incurred to complete a project,
regardless if they are lesser or greater than the cost estimate, will be invoiced. Payment is due upon receipt of
invoice. A 1.5% finance charge will be added monthly to past due accounts. If Client desires to limit the level
of expenditures, Client shall advise us to stop work. If it is apparent that the budgetary estimate is not sufficient
to complete the project in a satisfactory manner, the Client will be advised as soon as practical, and unless we
are directed in writing to stop work, all costs will be invoiced to the Client.
Rates are revised periodically and Client shall be notified of rate changes at least thirty (30) days in
advance of such rate changes. Requested or required services, including travel time, performed outside of
8:00 AM through 5:00 PM, Monday through Friday, excluding holidays, are considered beyond normal working
hours and invoiced at 1.25 times the hourly rate. MINIMUM CHARGE: Two (2) hours minimum.

REIMBURSABLE EXPENSES:
Travel expenses necessary for the execution of the project including air fares, rental vehicles, and highway
mileage in company or personal vehicles at 35 cents per-mile.
Site-to-residence travel expenses a minimum of once every two weeks for extended field projects. Travel hours
will not be invoiced for these trips.
The following items will be invoiced at cost plus 15%:

IN THE CITY OF DUBLIN)
The City of Dublin invites Submittals of Proposals to perform environmental site
assessment to determine if the soil is contaminated at the Valley Boat House and
vacant Curtis Dodge dealership lots in the City of Dublin.
Background:
The City of Dublin is in the process of extending Dublin Blvd. east of Dougherty
Road. The City has plans to purchase a portion of the Valley Boat House and
vacant Curtis Dodge Dealership lots for this extension. (See attached map) .
The Consultant should investigate the past or present activities, along the route
and on adjoining and neighboring properties to one-half mile distant, for under-
ground fuel storage tanks or other environmental hazardous materials. This
first-phase study would serve to identify potential liabilities , which may be
further addressed in subsequent investigation phases.
Scope of Work:
The Consultant' s work scope for Environmental Site Assessment shall include the
tasks outlined below.
TASK I. Preliminary site Assessment Phase-1, non-intrusive determination of
present environmental and health risk at the site from past and present
site usage, and surrounding area to one-half mile distant.
TASK II. The City Engineer has the option to request that a number of borings
and chemical soil analyses be done on the future rights-of-way of the
Dublin Blvd. extension on the two subject sites to determine if the
soil is contaminated. (In the proposal, Consultant should recommend
minimum number of borings and chemical soil analyses that will be
needed for this project, and also provide separate cost estimate for
water analyses. )
The final report shall be signed by a Registered Civil Engineer. Ten (10) copies
of the final report shall be provided by the Consultant to the City of Dublin.

Consultant Selection
All Consultants' proposals submitted in response to this request will be screened
by the City of Dublin. The City will determine through the screening process
which consultant will be awarded the project.
The selection of the Consultant could be based on the following:

o How adequately equipped and financially able the Consultant is to
perform the project or have the ability to subcontract or rent
necessary equipment.
o Have the necessary experience, organization, technical qualification,
skills, and facilities, to perform this work.
o Ability to complete the project in a timely matter and on a fairly
short time frame.
o Have a satisfactory record of performance and compilation of projects
on time.

o Have a reasonable cost.
o Have knowledge of sites near this one.
Final selection of the Consultant will take place no later than five (5) working
days after the deadline for the submittal of proposal.
Requirements and Authority of City of Dublin
All reports and pertinent data or materials- prepared under this agreement shall
be the property of the City of Dublin and may not be used or reproduced in any
form without the explicit written permission of the City of Dublin.
This Request for Proposal does not commit the City to award a contract or to pay
any costs incurred in the preparation of the proposal to this request. The City
reserves the right to accept or reject any or- all proposals received as a result
of this request, to negotiate with any qualified source, or to cancel in part
or entirely this Request for Proposal, if it is in the best interest of the
City to do so. The City may require the proposers selected to participate in
negotiations and to submit such price, technical or other revisions of their
proposals as may result from negotiations.
The City has the authority to terminate its contract with the Consultant at
any time during the period of the study if it is found by the City that the
Contractor' s performance is not satisfactory.
Proposal Requirements
The Consultant' s proposal should provide a critique of the work program and
describe the program, scheduling and methodology of carrying out its tasks .
The Consultant shall include: (1) a time schedule for each task, (2) the cost
for performing each task, including the optional TASK II. This cost estimate

must include the required project related meetings (at least two meetings:
one at the beginning of the project and one at the end of the project) . No
additional compensation will be allowed for project related meetings.
The proposal shall identify the project manager for the study and preparation
of reports. The proposal should be signed by a Registered Civil Engineer. The
proposal shall be signed by an individual authorized to bind the Consultant, and
shall contain a statement to the effect that the proposal is a firm offer for a
75-day (or more) period.
The proposal shall also provide the following information: name, title,
address and telephone number of individual(s) with authority to negotiate, and
contractually bind the company and also who may be contacted during the period
of proposed evaluation.
Proposal Submittal
Three (3) copies of the completed proposal must be received by the City Engineer
by 5:00 p.m. on Monday, May 6, 1991.
