Subject: Dublin Boulevard Extension
Tract 5900 Portion and Chabot Road
Dear Lee:
Wilsey & Ham is pleased to present this proposal for civil
engineering and related services associated with the modification
of the plans previously prepared for Tract 5900 and the additional
work required for Chabot Road as part of the Dublin Boulevard
Extension project.
BACKGROUND
In 1989, Wilsey & Ham completed the preparation of improvement
plans for Tract 5900, located near the northeast corner of
Dougherty Road and Dublin Boulevard. The improvement plans
included the design of the northerly one-half of Dublin Boulevard
fronting Tract 5900, as well as Dougherty Road improvements . Even
though the plans were prepared to satisfy the City's Conditions of
Approval for the final map, it was originally contemplated that the
proposed improvements would be constructed as part of a large
assessment district encompassing nearly 7,400 acres to the east.
After further study, it became apparent that the assessment
district was not economically feasible and the completed final map
and improvement plans were shelved. The improvement plans were
approved and signed by the City of Dublin, whereas the City has yet
to sign the final map.
Subsequently, the City has retained Wilsey & Ham to prepare plans
and specifications for the portion of Dublin Boulevard extension
from Dougherty Road to the westerly end of Tract 5900 . This
portion of Dublin Boulevard, together with the portion affecting
Tract 5900, would provide a public access, with at least one lane
in each direction, from Dougherty Road to the former Southern
Pacific Railroad right-of-way. These documents are essentially 95
percent complete and the City is currently in the process of
acquiring right-of-way necessary for the construction of the
proposed and ultimate improvements .

Since these two portions (o;f Dublin Boulevard are necessary for its
full easterly extension, the City desires to merge the two (2 ) sets
of improvement plans into one ( 1) set of construction documents so
that the project may be publicly bid and construction can begin
during the Spring of 1992 . Additional design work will also be
required to include those improvements necessary for this portion
of Dublin Boulevard, but .originally contemplated as part of the
7,400 acre assessment district.
Since the City has funding for their portion of work, and an
assessment district will be created to pay for the improvements
affecting Tract 5900, separate construction bid schedules will be
prepared as part of the c®ntract documents . Furthermore, the City
will serve as the Assessment District Engineer.
Based on the foregoing, meetings with you and your staff, as well
as our knowledge of the 'project area, we propose the following
scope of work.
SCOPE OF WORK
PHASE I - DESIGN SERVICES
Task 1 - Meetings and Coordination
This task includes attending three (3) meetings with City staff to
coordinate project activities .
Task 2 - Modify Existing Plans
Wilsey & Ham will modify the existing Tract 5900 Improvement Plans
to match the City's plans . More specifically, this task includes:
- Extend limits of work on sheets 3 and 4 of 15 to properly line
where the two projects meet.
- Modify signing and striping plans, sheet 5 of 15, to reflect
two-way traffic on the north side of Dublin Boulevard.
- Relocation or elimination of driveways to Tract 5900 shown on
sheet 4 of 15 . Center median configuration and openings are
contemplated to remain unchanged.
- Modification to the irrigation plan, sheet 5 of 15, to
eliminate temporary connection from Dougherty Road, and
coordination with D.S .R.S.D. regarding service connection from
their new main line.
- Modification of sheet 2 of 15 to widen Dougherty Road
improvements beyond what was originally designed, as well as

incorporating a commercial type driveway in line with Sierra
Lane to the west. Also included are revisions to the base
information to reflect current conditions of Dougherty Road,
such as the elimination of the north left turn pocket.
General reformatting of plan sheets and resolution of
conflicts to match the City plans suitable for public bid.
Task 3 - Sanitary Sewer Extension
This task includes the design and plan preparation of the 8-inch
sanitary sewer extension in Dublin Boulevard, from Scarlett Court
to Tract 5900, possibly along the common property line between the
Boathouse and the Nohr parcels . This facility was originally
contemplated to be part of the 7,400 acre assessment district.
Task 4 - Chabot Road Improvements
Wilsey & ham will prepare improvement plans of the northerly
extension of the west couplet of Chabot Road to intersect the
proposed Dublin Boulevard extension. More specifically, the task
includes :
- Design of a 300-foot connector street between the west couplet
of Chabot Road and Dublin Boulevard.
- Restripe and resign Chabot Road to accommodate two-way traffic
from Dublin Boulevard to Scarlett Court.
- Field surveys needed for design.
- Redesign a larger curb return at the northwest corner of the
West Chabot Road/Scarlett Court intersection to accommodate
truck traffic .
- Show proposed street lights and conduit/conductor locations,
types and;, size as provided by the City.
Task 5 - Update Quantities and Estimates
This task includes revision of the previously prepared Engineer's
Estimate for Tract 5900 improvements and incorporate the design
changes described in Tasks 2 through 4 . Also included is
modification of bid items as necessary to conform to the City's
work descriptions suitable for public bid.
Task 6 - Specifications
Wilsey & Ham will prepare technical specifications for those
elements of work not included in the City's documents . Such

specifications include water, sewer, box culvert and landscaping
facilities . It is assumed that the City will incorporate these
technical specifications into their "boiler plate" specifications
to complete the contract documents .
Task 7 - Tract 5900 Right-of-Way Documents
This task includes the preparation of legal descriptions and plats
necessary for the Dublin Boulevard and Dougherty Road right-of-way
documents along the street frontages of Tract 5900 . More
specifically, this task includes the following:
Provide preliminary title report for Tract 5900 and A.P. No.
941-550-039 .
Prepare one ( 1) legal description and plat for the right-of-
way along the Dougherty Road frontage of Tract 5900 .
Prepare one ( 1) legal description and plat for the right-of-
way along the Dublin Boulevard frontage of Tract 5900, and one
( 1) legal description for the 5-foot "limited access" strip
along the most southerly portion of Dublin Boulevard to be
acquired.
Prepare one ( 1) legal description and plat for the Chabot Road
right-of-way affecting A.P. No. 941-550-039 .
Prepare one ( 1) legal description and plat for the right-of-
way vacation of the Chabot Road bulb affecting A.P. No. 941-
550-039 .
In summary, this task includes furnishing two (2) preliminary title
reports, five (5) legal descriptions and four (4) plats .
Task 8 - Chabot Road Right-of-Way Documents
This task includes the preparation of two (2) plats and legal
descriptions for the City to acquire right-of-way at the northwest
corner of the West Chabot Road/Scarlett Court intersection, as well
as the vacation of the portion of the Chabot Road bulb affecting
A.P. No. 941-550-038 . Also included in this task are the
preliminary title reports for AP Nos . 941-550-038 and 941-550-037 .
Task 9 - Incorporation of Agency Review Comments and Assistance
During Bidding
Wilsey & Ham will incorporate reasonable City review comments into
the final plans, specifications and estimates . This task also
includes incorporating review comments from other agencies such as
Dublin-San Ramon Services District as coordinated by the City.

Also included in this task is assisting the City during the bidding
process . Services during the bid process may include bid document
clarification, review of contractor's bids and attendance at a pre-
bid meeting.
Task 10 - Assessment District Assistance
Wilsey & Ham will prepare the Assessment District Diagram, one ( 1)
preliminary cost spread and one ( 1) final cost spread after
construction bids are received. Properties to be included in the
Assessment District are listed below:
- Tract 5900 (A.P. No.s 941-550-040, 941-550-041, 941-550-042,
941-550-043, 941-550-044 and 941-550-038) .
- Parcel at the southwest corner of Dublin Boulevard and Chabot
Road (A.P. No. 941-550-039) .
- Nohr Parcel (A.P. No. 941-550-012-07 ) .
- Chevron Parcel (A.P. No.s 941-550-009-15 and 941-550-010-013) .
The City will serve as the Assessment District Engineer and will
establish rules of spread and prepare the Engineer's Report.
PHASE II - CONSTRUCTION SERVICES
Task 11 - Intermittent Construction Observation
This task includes providing intermittent construction observation
to assist the City in monitoring the contractor's progress and to
help assure that the work is in substantial conformance with the
plans and specifications .
Task 12 - Construction Staking
Wilsey & Ham ,will provide construction staking sufficient for
construction of the proposed improvements . More specifically, the
anticipated stakes to be provided are summarized below:
- Curb and Gutter (3,500 LF+) - one ( 1) set of offset stakes at
TC's, BC's, EC's and at 1/4 points along curves .
- Rough Grading - one ( 1) set of center line or right-of-way
stakes with cut and fill designation.
- Storm Drain ( 1,300 LF+) - one ( 1) set of storm drain stakes,
including two (2) at each catch basin and along the pipe
alignment at fifty-foot (50) intervals .

- Water Line ( 1,800 LF±) - one ( 1) set of water line stakes will
be set at fifty-foot (50) intervals .
- Joint Trench ( 1,500 LF+) - one ( 1) set of joint trench stakes
at fifty-foot (50) intervals .
- Electroliers ( 11+) - one ( 1) set of electrolier stakes with
reference to face of curb.
- Sanitary Sewer ( 1,200 LF±) - one ( 1) set of sanitary sewer
stakes, including two (2) at each structure and off-set stakes
at fifty-foot (50) intervals .
- Set straddlers and punch two (2 ) street monuments set by
contractor.
Task 13 - Record Drawings
Upon completion of construction, we will prepare record drawings of
the constructed improvements based on field notes and information
provided by the contractor and City. This task includes providing
the City with one ( 1) set of mylars and one ( 1) set of blackline
prints .
SCHEDULE
Assuming a notice-to-proceed of November 13, 1991, a tentative
schedule to accomplish the work presented herein is outlined below:

Wilsey & Ham is prepared to perform the described services on a
time and materials, not-to-exceed basis in accordance with the
attached 1991 Charge Rate Schedule with exception of Task 11. Work
on Task 11 will be performed as specifically directed and
authorized by the City due to the variability in the required level
of effort.

charged for use of vehicles carrying field survey equipment or used for field inspection and supervision.
C. OUTSIDE SERVICES
1. Invoice cost of services and expenses charged to Wilsey&Ham by outside consultants,professional,or
technical firms engaged in connection with the order,plus 15%handling charge.
D. MISCELLANEOUS EXPENSES
1. The invoice cost of materials,supplies,reproduction work,and other services,including communication
expenses,procured by Wilsey&Ham from outside sources,plus a handling charge of 15%. All out-of-
pocket expenses not included in Items A,B and C will be included in this category.

II. STANDARD CONTRACT )VISIONS
A. TERMS OF PAYMENT
Fees and all other charges will be billed monthly as work progresses and the amount of each billing shall be
due and payable in ten(10)days after the date of such billing. Any portion of a billing not paid within thirty
(30)days of the billing date shall be considered delinquent and shall bear a delinquency charge of one and one
half(11/2)percent per month on the unpaid balande,but in no event shall said delinquency charge or the
payment thereof extend the due date.
If any billing is not paid in full within 30 days after the billing date,then in addition to any other remedies
available to Wilsey&Ham,it may cease performing work hereunder upon delivery of written notice of its
intention thereof to the client. Further,in the event of such default,Wilsey&Ham shall have the right,but not
the obligation,to cease performing work under any other contract then outstanding between the client and
Wilsey&Ham.
Should legal action be necessary to enforce the provisions of any contract entered into of which this schedule
is a part,the client agrees to pay all attorneys' fees and court costs incurred in the prosecution thereof.
B. SCOPE& EXECUTION OF SERVICES
Wilsey&Ham makes no warranty,either express or implied,as to its findings,recommendations,specifica-
tions,or professional advice,except that the same will be promulgated after being prepared in accordance with
generally accepted professional practice. No agent,employee or officer of Wilsey&Ham has any authority to
make such warranty as disclaimed above.
In the event the client requests termination of the work prior to completion,Wilsey&Ham reserves the right
to complete such analyses and records as may be necessary to place its files in order and,where considered
necessary to protect its professional reputation,to complete a report on work performed to date. A termination
charge to cover the costs thereof in an amount not to exceed ten(10)percent of all charges incurred up to the
date of the stoppage of the work may be made at the discretion of Wilsey&Ham.
Wilsey&Ham will diligently proceed with the work contracted for,but it is expressly agreed and understood
that Wilsey&Ham shall not be held responsible for delays occasioned by factors beyond its control,nor by
factors which could not reasonably have been foreseen at the time of the execution of the agreement between
the parties.
In the event the client makes a claim against Wilsey&Ham,at law or otherwise,for any alleged error,omis-
sion,or other act arising out of the performance of its professional services,and the client fails to prove such
claim,then the client shall pay all costs,including actual attorneys' fees incurred by Wilsey&Ham in defend-
ing itself against such claim.
C. LIMITATION OF LIABILITY
Any and all liability,claim for damages,cost of defense,or expenses to be levied against Wilsey&Ham will
be limited to a stun not to exceed Fifty Thousand Dollars($50,000.00)or the amount of its fee,whichever is
greater,on account of any injury or damage to persons or property or arising out of any design defect,error,
omission,or professional negligence. Further,the client agrees to notify any contractor or subcontractor who
may perform work in connection with or making use of any design,report,or study prepared by Wilsey&
Ham of such limitation of liability and require as a condition precedent to its performing the work a like limita-
tion of liability on their part as against Wilsey&Ham. In the event a client fails to obtain a like limitation of
liability provision as to injury or damage to persons or property,design defects,errors,omissions,or profes-
sional negligence,any liability of Wilsey&Ham and/or the client to such contractor or subcontractor arising
out of alleged injury or damage to persons or property,design defects,errors,omissions,or professional negli-
gence shall be allocated between the client and Wilsey&Ham in such a manner that the aggregate liability of
Wilsey&Ham shall not exceed Fifty Thousand Dollars($50,000.00)or the amount of its fee,whichever is
greater.

This letter serves as a follow-up to our telephone conversation
this afternoon regarding our October 22, 1991 proposal for
engineering services.
in order to accommodate the City's project schedule, we hereby
modify our proposal as indicated below:
1 . ) Task 9 - Incorporation of Agency Review Comments and
Assistance during Bidding will be completed within three (3)
weeks of receiving comments from the City.
2 . ) Task 11 - Intermittent Construction Observation and Task 12 -
Construction Staking will be performed concurrent with project
construction and estimated to be from March 1992 to October
1992 .
