FINANCIAL STATEMENT:
Funds for this service have already been encumbered
as part of San Ramon Road, Phase IV.
DESCRIPTION: In order to ensure quality control for the San Ramon
Road, Phase IV construction project, the City is required to perform various
inspections and tests. Many of these inspections and tests are mandated as a
condition of using FAU funds for the project and are inspections and tests
that Caltrans performs on their own projects. Caltrans maintains its own
testing facilities and has personnel to perform specialty inspections. The
City of Dublin does not have these facilities or personnel and must therefore
contract out for these services.
General inspection is handled by the City's Public Works Inspector, Ed Zale.
Santina & Thompson, Inc., provides the Resident Engineer and an additional
construction inspector as part of the engineering services contract for FY
1990-91. Materials testing and inspection of certain aspects of the earthwork
are specialty items and must be done by a geotechnical engineering consultant.
When this project was originally started, it was anticipated that the cost of
material testing would be under $5,000. Staff had selected BSK to perform
this work over other testing firms based on their knowledge of the job, of
State requirements and their response on past projects. Due to the State's
additional testing requirements for this project on the concrete structures,
the $5,000 estimated testing has expanded to $15,000. Pursuant to the City's
purchasing ordinance, this contract must now be approved by the City Council.
The proposed agreement with BSK & Associates is on a time and materials basis
with a not-to-exceed cap of $15,000. The final cost will be based on the
actual level of services provided.
Conclusion
The City is obligated by the terms of its funding agreements and the need for
proper quality control to use geotechnical testing and inspection services.
There is sufficient money in the existing budget to pay for the services. BSK
has provided quality services on a timely basis to the City in the past and
has experience working for the City on similar projects. Staff recommends
that the City Council adopt the resolution approving the agreement and
authorize the City Manager to execute the agreement.

APPROVING AGREEMENT WITH BSK & ASSOCIATES
FOR GEOTECHNICAL AND MATERIALS TESTING SERVICES

WHEREAS, geotechnical and materials testing is required for the
San Ramon Road Phase IV project in order to comply with State and Federal
regulations; and
WHEREAS, contract personnel are needed to perform these
technical services; and
WHEREAS, BSK and Associates have provided a reasonable cost and
have demonstrated adequate ability to perform the work;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City
of Dublin does approve the agreement with BSK and Associates for geotechnical
and materials testing services for San Ramon Road Phase IV, not to exceed a
total cost of $15,000;
BE IT FURTHER RESOLVED that the City Manager is authorized to
execute the agreement.

STANDARD
CONTRACTUAL SERVICES AGREEMENT
THIS AGREEMENT is made at Dublin, California, as of
March 25, 1991, by and between the CITY OF DUBLIN, a municipal
corporation ("City"), and BSK & ASSOCIATES, ("Contractor"), who
agree as follows:
1. SERVICES. Subject to the terms and conditions set
forth in this Agreement, Contractor shall provide to City the
services described in Exhibit A. Contractor shall provide said
services at the time, place and in the manner specified in
Exhibit A.
2. PAYMENT. city shall pay Contractor for services
rendered pursuant to this Agreement at the time and in the manner
set forth in Exhibit B. The payments specified in Exhibit B
shall be the only payments to be made to Contractor for services
rendered pursuant to this Agreement. Contractor shall submit all
billings for said services to City in the manner specified in
Exhibit B; or, if no manner be specified in Exhibit B, then
according to the usual and customary procedures and practices
which Contractor uses for billing clients similar to City.

3. FACILITIES AND EQUIPMENT. Except as set forth
in Exhibit C, Contractor shall, at its sole cost and expense,
furnish all facilities and equipment which may be required for
furnishing services pursuant to this Agreement. city shall
furnish to Contractor only the facilities and equipment listed
in Exhibit C according to the terms and conditions set forth in
Exhibit C.
4. GENERAL PROVISIONS. The general provisions set
forth in Exhibit D are part of this Agreement. In the event
of any inconsistency between said general provisions and any
other terms or conditions of this Agreement, the other term or
condition shall control insofar as it is inconsistent with the
general provisions.
5. EXHIBITS. All exhibits referred to herein are
attached hereto and are by this reference incorporated herein.
6. CONTRACT ADMINISTRATION. This Agreement shall be
administered by LEE S. THOMPSON (,,Administrator"). All
correspondence shall be directed to or through the Administrator
or his or designee.
7. NOTICES. Any written notice to Contractor shall

PAYMENT SCHEDULE
city shall pay Contractor an amount not to exceed the
total sum of FIFTEEN THOUSAND DOLLARS ($15,000) for services to
be performed pursuant to this Agreement. Contractor shall submit
invoices during the term of this Agreement based on the cost for
services performed in accordance with the following schedule:
SERVICES TO BE PROVIDED ON A TIME AND MATERIAL BASIS. RATES WILL
BE CHARGED ACCORDING TO THE FEE SCHEDULE DATED JANUARY, 1990
(ATTACHED). A DISCOUNT OF 10% WILL BE CREDITED FOR INVOICES PAID
IN LESS THAN 30 DAYS.
The total sum stated above shall be the total which
city shall pay for the services to be rendered by Contractor
pursuant to this Agreement. City shall not pay any additional
sum for any expense or cost whatsoever incurred by Contractor
in rendering services pursuant to this Agreement.
City shall make no payment for any extra, further
or additional service pursuant to this Agreement unless such
extra service and the price therefor is agreed to in writing
executed by the City Manager or other designated official of
City authorized to obligate City thereto prior to the time such
extra service is rendered and in no event shall such change order
exceed twenty-five (25%) of the initial contract price.

The services to be provided under this Agreement may
be terminated without cause at any point in time in the sole
and exclusive discretion of City. In this event, City shall
compensate the Contractor for all outstanding costs incurred
as of the date of written notice thereof and shall terminate
this Agreement. Contractor shall maintain adequate logs and
timesheets in order to verify costs incurred to date.
The Contractor is not authorized to perform any
services or incur any costs whatsoever under the terms of this
Agreement until receipt of a fully executed Purchase Order from
the Finance Department of the City of Dublin.

City shall furnish physical facilities such as desks,
filing cabinets, and conference space, as may be reasonably nece-
ssary for Contractor's use while consulting with city employees
and reviewing records and the information in possession of City.
The location, quantity, and time of furnishing said physical
facilities shall be in the sole discretion of City. In no event
shall City be obligated to furnish any facility which may involve
incurring any direct expense, including, but not limiting the
generality of this exclusion, long-distance telephone or other
communication charges, vehicles, and reproduction facilities.

GENERAL PROVISIONS
1. INDEPENDENT CONTRACTOR. At all times during the term of
this Agreement, Contractor shall be an independent contractor and
shall not be an employee of City. City shall have the right to
control Contractor only insofar as the results of Contractor's
services rendered pursuant to this Agreement; however, City shall
not have the right to control the means by which Contractor
accomplishes services rendered pursuant to this Agreement.
2. LICENSES; PERMITS; ETC. Contractor represents and warrants
to City that he has all licenses, permits, qualifications and
approvals of whatsoever nature which are legally required for
Contractor to practice his profession. Contractor represents
and warrants to City that Contractor shall, at his sole cost and
expense, keep in effect at all times during the term of this
Agreement any licenses, permits, and approvals which are legally
required for Contractor to practice his profession.
3. TIME. Contractor shall devote such time to the performance
of services pursuant to this Agreement as may be reasonably nece-
ssary for satisfactory performance of Contractor's obligations
pursuant to this Agreement.
4. INSURANCE REQUIREMENTS. Contractor shall procure and
maintain for the duration of the contract insurance against
claims for injuries to persons or damages to property which
may arise from or in connection with the performance of the
work hereunder by the Contractor, his agents, representatives,
employees or subcontractors. The cost of such insurance shall
be included in the Contractor's bid.

Contractor shall maintain
General Liability: $1,000,000 combined single
limit per occurrence for bodily injury, personal
injury and property damage. If commercial General
Liability Insurance or other form with a general
aggregate limit is used, either the general
aggregate limit shall apply separately to this
project/location or the general aggregate limit
shall be twice the required occurrence limit.
Automobile Liability: $1,000,000 combined single
limit per accident for bodily injury and property
damage.
Workers' Compensation and Employers Liability:
Workers' Compensation limits as required by the
Labor Code of the State of California and Employers
Liability limits of $1,000,000 per accident.
Deductibles and Self-Insured Retentions. Any deduct-
ibles or self-insured retentions must be declared to
and approved by the City. At the option of the City,
either the insurer shall reduce or eliminate such
deductibles or self-insured retentions as respects the
City, its officers, officials and employees; or the
Contractor shall procure a bond guaranteeing payment of
losses and related investigations, claim administration
and defense expenses.
Other Insurance Provisions. The policies are to
contain, or be endorsed to contain, the following
provisions:
General Liability and Automobile Liability
Coverages.

The City, its officers, officials, employees
and volunteers are to be covered as insureds as
respects: liability arising out of activities
performed by or on behalf of the Contractor;
products and completed operations of the
Contractor, premises owned, occupied or used by
the Contractor, or automobiles owned, leased,
hired or borrowed by the Contractor. The
coverage shall contain no special limitations

be
on the scope of the protection afforded to the
city, its officers, officials, employees or
volunteers.
The Contractor's insurance coverage shall be
primary insurance as respects the City, its
officers, officials, employees and volunteers.
Any insurance or self-insurance maintained by
the City, its officers, officials, employees or
volunteers shall be excess of the Contractor's
insurance and shall not contribute with it.
Any failure to comply with reporting provisions
of the policies shall not affect coverage
provided to the City, its officers, officials,
employees or volunteers.

The Contractor's insurance shall apply
separately to each insured against whom claim
is made or suit is brought, except with respect
to the limits of the insurer's liability.
Worker's Compensation and Employers Liability
Coverage.
The insurer shall agree to waive all rights
of subrogation against the City, its officers,
officials, employees and volunteers for losses
arising from work performed by the Contractor for
the city.
3. Professional Liability.
Contractor shall carry professional liability
insurance in an amount deemed by the City to ade-
quately protect the Contractor against liability
caused by negligent acts, errors or ommissions
on the part of the Contractor in the course of
performance of the services specified in this
Agreement
4. Ail Coverages.
Each insurance policy required by this clause shall
be endorsed to state' that coverage shall not be
suspended, voided, cancelled by either party,
reduced in coverage or in limits except after
thirty (30) days' prior written notice by certified
mail, return receipt requested, has been given to
the City.

Acceptability of Insurers. Insurance is to be placed
with insurers with a Bests' rating of no less than
A:VIII.
(f)
Verification of Coverage. Contractor shall furnish
City with certificates of insurance and with original
endorsements effecting coverage required by this
clause. The certificates and endorsements for each
insurance policy are to be signed by a person author-
ized by that insurer to bind coverage on its behalf.
The certificates and endorsements are to be received
and approved by the city before work commences. The
City reserves the right to require complete, certified
copies of all required insurance policies, at any time.
(g)
Subcontractors. Contractor shall include all
subcontractors as insureds under its policies or shall
furnish separate certificates and endorsements for each
subcontractor. All coverages for subcontractors shall
be subject to all of the requirements stated herein.
(n)
The Risk Manager of City may approve a variation in
those insurance requirements upon a determination
that the coverages, scope, limits and forms of such
insurance are either not commercially available or that
the City's interests are otherwise fully protected.
5. CONTRACTOR NO AGENT. Except as City may specify in writing,
Contractor shall have no authority, express or implied, to act on
behalf of City in any capacity whatsoever as an agent. Contractor
shall have no authority, express or implied, pursuant to this
Agreement to bind City to any obligation whatsoever.
6. ASSIGNMENT PROHIBITED. No party to this Agreement may
assign any right or obligation pursuant to this Agreement. Any
attempted or purported assignment of any right or obligation
pursuant to this Agreement shall be void and of no effect.
7. PERSONNEL. Contractor shall assign only competent personnel
to perform services pursuant to this Agreement. In the event that
City, in its sole discretion, at any time during the term of this
Agreement, desires the removal of any such persons, Contractor
shall, immediately upon receiving notice from City of such desire
of city, cause the removal of such person or persons.
8. STANDARD OF PERFORMANCE. Contractor shall perform all
services required pursuant to this Agreement in the manner and
according to the standards observed by a competent practitioner

of the profession in which Contractor is engaged in the geograph-
ical area in which Contractor practices his profession. All
instruments of service of whatsoever nature which Contractor
delivers to City pursuant to this Agreement shall be prepared in
a substantial, first class and workmanlike manner and conform to
the standards of quality normally observed by a person practicing
in Contractor's profession.
9. HOLD HARMLESS AND RESPONSIBILITY OF CONTRACTORS. Contractor
shall take all responsibility for the work, shall bear all losses
and damages directly or indirectly resulting to him, to any
subcontractor, to the City, to City officers and employees, or
to parties designated by the City, on account of the negligent
performance or character of the work, unforeseen difficulties,
accidents, occurrences or other causes predicated on active or
passive negligence of the Contractor or of his subcontractor.
Contractor shall indemnify, defend and hold harmless the City,
its officers, officials, directors, employees and agents from and
against any or all loss, liability, expense, claim, costs
(including costs of defense), suits, and damages of every kind,
nature and description directly or indirectly arising from the
negligent performance of the work. This paragraph shall not be
construed to exempt the City, its employees and officers from
its own fraud, willful injury or violation of law whether willful
or negligent. For purposes of Section 2782 of the Civil Code the
parties hereto recognize and agree that this Agreement is not a
construction contract. By execution of this Agreement Contractor
acknowledges and agrees that he has read and understands the
provisions hereof and that this paragraph is a material element
of consideration.
Approval of the insurance contracts does not relieve the
Contractor or subcontractors from liability under this paragraph.
10. GOVERNMENTAL REGULATIONS. To the extent that this Agreement
may be funded by fiscal assistance from another governmental
entity, Contractor shall comply with all applicable rules and
regulations to which City is bound by the terms of such fiscal
assistance program.
11. DOCUMENTS. Ail reports, data, maps, models, charts,
studies, surveys, photographs, memoranda or other written
documents or material~ prepared by Contractor pursuant to this
Agreement shall become the property of City upon completion of
the work to be performed hereunder'or upon termination of the
Agreement.

TERMS
1. Limitation of Liability ,,nd Waiver on Condition
In performing professional services, BSK & Associates (hereinafter referred to as "Consultant") will use that degree of care
· and skill ordinarily exercised, under similar circumstances, by reputable members o~' the profession practicing in the same or similar
locality. No other &arranty, expressed or implied is made or intended by the proposal for professional services or by furnishing
oral or written reports of the findings made. Unless special arrangements are made in writing, prior to commencement of work,
it is agreed that the Client will limit any and all liability, claim for damage~, cost of defense, or expenses to be levied against the
"Consultant" on account of any design defect, error, omission, or professional negligence to a sum not to exceed $50,000, or the
amount of his fee, whichever is greater. Further. the Client agrees to notify any contractor or subcontractor who may perform
work in connection with any design, report, or study prepared by the "Consultant" of such limitation of liability for design
defects, errors, omissions, or professional negligence, and require as a condition precedent to their performing the work a like
limitation of liability on their part as against the "Consultant." In the event the Client fails to obtain a like limitation of liability
provision as to design defecta, errors, omissions, or professional negligence, any liability of the Client and the "ConsuItant" to
such contractor or subcontractor arising out o~' an alleged design defect, error, omission, or professional negligence shall be allo-

· '" . Hazardous Waste Liability: In consideration of the unavailability or limitation or' Professional Liability Insurance for ~ervices in-
volving or relating to the hazardous waste elemenm of this agreement, it is further agreed that unless liability arises by virtue of the
sole negligence or intentional acts of the co~ultant, the client shall indemnify and hold harmless consultant and their suN:ann-actors,
agents and employees from and against all claims, damages, losses and expenses, direct or indirect, or consequential damages, losses
and expenses, direct or ~ndirect. or consequential damages, including but not limited to fees and charges of attorneys and court a.4sing
out of or resulting fi-om the performance of the work by engineer, or claims against engineer arising from the worlc of others, related
to hazardous waste activities.
2. Disputes
In the event that a dispute should arise relating to the performance of the services to be provided under thi~ Agreement, and
should that dispute re~ult in litigation, it is agre~ that the prevailing party shall be entitled to recover all reasonable costs incurred
in the defense of the claim, including staff time, court costs, attorneys' fees, and other claim-related expenses.
3. Warranty of Authority to Sign
The person signing this contract warrants he has authority as, or on behalf of, the Client for whom or for whose benefit the
"Consultant's" services are rendered. If such a person does not have such authority, be agrees that he is personally liable for all
breaches of the terms and bases for the Consultant's services, and that i.n any action against him for breach of such warraa~ty, a
reasonable attorney's fee shall be included in any judgment rendered.
4. Right of Entry
The Client will provide for right'o f entry of the Consultant and'all necessary equipment, in crder to complete the work.
While Consultant will take all reasonable precautions to minimize any damage to the property, it is understood by Client
that in the normal course of work some damage may occur, the correction of which is not part of this Agr~ment.
In the prosecution of his work, the Consultant will take all reasonable precautions to avoid damage or injury to subteri
ranean structures or utilities. . -
The Client agrees to hold the Consultant harmless for any damages to subterranean structures which are not called to Con-
sultant's attention and correctly shown on the plans furnished.
6. Samples
Ail samples of soil and rock will be destroyed 30 days after submission of our report unless the Client advises us otherwise.
Upon request, the Consultant will deliver samples to the Client, charges collect, or will store them for the Client for ~n agreed
storage charge.
Unless Client and Consultant enter into an agreement indicating otherwise, Consultant will retain contaminated samples For no
more than 30 days after Consultant issues to Client a document indicating information derived from the samples. It is Client's resp<~n-
sibility to select and arrange for disposal proc~ures: that is procedures which encompass removing the contaminated ~m'nples from
Consultant's custody and transporting them to a lawful disposal site.
7. Payment
Invoices for Consultant's services will be submitted at his option, not more often than once a month. Invoices will be mailed
to the Client and will be due immediately, but will not be delinquent if paid on or before the 30th day following the date of the
invoice· If payment is not so made. under provisions of this agr~ment, a late l~ayment FINANCE CHARGE will be computed at
the periodic rate of .833 ~7~ per month, which is an ANNUAL PERCENTAGE RATE OF I0~, and will be applied to any unpaid
balance commencing 30 days after the date of the original invoice. If suit if filed, a reasonable attorney's ~'ee. to be set by the
court, shall be included in any judgment in Consultant's favor.
$. Ownership of Documents
Re~orts, boring logs. field data. field notes, laboratory test data. calculations, estimates, and other documents prevared by
the Consultant. as instruments of service, shall remain the property of the Consultant.
Client agre=~ that reports and other work ['urnished to the Client or his agents, which is not paid for. will be returned
demand and will not be used by the Client for any l~urI~ose whatever.
The Consultant will retain pertinent records re!ating to the services performed for a period of five years following submission
of the re=orr, during which period the records will be made available to the client at reasonable times.

9. Stand'~rd of Care
Services performed by the Consultant under this Agreement will be conducted in a manner consistent with that level of care
and skill ordinarily exercised by members of the profession currently practicing under similar conditions. No other warranty,
expressed or implied, is made.
. ' CZient recognizes that subsurface conditions may vary from those encountered at the location where borings, surveys, or
explorations are made by the Consultant and that the data, interpretations and recommendations of the Consultant are based
solely on the information available to him. The Consultant will be responsible for those data, interpretations, and recommenda-
tions, but shall not be responsible for the interpretation by others of the information developed.
lft Insurance
The consultant r~pn:sents and warrants that it and its agents, staff and consultants employed by it is and are protected by worker's
compensaton insurance and that consultant has such coverage under public liability and property damage insurance policies which the
consult:mt deems to be adequate. Certificatt~s for all such policies of insurance shall be provided to client upon request in writing.
l~t. ,Termination
This Agreement may be terminated by either party upon seven (7) days written notice in the event or' substantial failure by
. ~h~ other party to perform in accordance with the terms hereof. Such termination shall not be effective if that substantial failure
has been remedied before expiration of the period specified in the written notice. In the event or' termination, Consultant shall be
paid for services performed to the termination notice date plus reasonable termination expenses.
In the event of termination, or suspension for more than three (3) months, prior to completion or' ail reports conter~plated
by this Agreement, Consultant may complete such analyses and'records as are necessary to complete his files and. may also com-
plete a re~r~ on the s~rvices performed to the date of notice of termination or suspension. The expenses of terminaxion or
suspension shall include ali direct costs of Consultant in completing such analyses, records and reports.
12. Assigns
Neither the Client nor the Consultant may delegate, assign, sublet or transfer his duties or interest in this Agreement without
the written consent of the other party.
13. Notice to Property Owner ' '
If bills are not paid in full for the labor, services, equipment, or materials furnished or to be furnished, a mechanic's lien
leading to the loss, through court for~tosure proc~dings, of all or part of Owner's property being so improved may be placed
against the property even though Owner has paid his contractor in full. Owner may wish to protect himself against this con-
sequence by (I) requiring contractor to furnish a signed release by the person or firm giving this notice before making payment to
contractor, or (2) any other method or device which .is appropriate under the circumstances.
I4. Discovery. of Unanticipated Hazardous Materials
Hazardous materials or certain types of hazardous materials may exist at a site where there is no reason to believe they 'c'o~ld or
should be present. CONSULTANT and CLIENT a~,ree that the discovery of unanticipated hazardous materials c~nstitutes a changed
condition mandating a renegotiation of the scope of'work or termination of services. CONSULTANT and CLIEN'F also agree that the
discovery of unanticipated hazardous materials may. make it necessary for CONSULTANT to take immediate measures to protect health
and safe.ry. CONSULTANT agrees to notify CLIENT as soon as practically possible should unanticipated hazardous materials or suspected
hazardous materials be encountered. CLIE~XCT encourages CONSULTANT to take any and all measures that in CONSULTAN-F's profes-
sional opinion are justified to preserve and protec~ the health and safety of CONSULTANT's personnel and the public. CLIENT agrees
to compensate CONSULTANT for the additional cost of working to protect employees' and the public's health and safety. In addition.
CLIENT waives any claim a~inst CONSULTANT. and agrees to defend, indemnify and save CONSULTANT harmless from iny ciaim
or liability for injury or loss arising from CONSULTANT's discovery of unanticipated hazardous materials or suspected hazardous
CLIENT also agrees to compensate CONSULTANT for any time spent and expe:'~ses incurred by CONSULTANT in defense of any
such claim, with such compensation to be based upon CONSULTANT's prevailing fee schedule and expense reimbursement policy retative
to recovery of direct: project costs.
In the event the project is not owned by CLIENT. CLIENT warrants that he has obtained all necessary permissions for CONSUL-
TANT to enter onto the site and conduct subsurface exploration activities. CLIENT recognizes that it ks his responsibility to inform
the property owner of the discovery of unanticipak-d hazardous materials or suspected hazardous materials. CLIENT also recognizes
that any such discovery may result in a significant reduction of the property's walue. CLIENT waives any claim against CONSULTANT.
and agrees to defend, indemnify and save CONSULTANT harmless from any claim or liability for injury or loss of any type arising
from CONSULTA~NT's discovery of unanticipated hazardous materials br suspected hazardous material on a site not owned by CLIENT.
