SUBJECT: Contribution to Dublin Information, Inc . toward
the acquisition of real property owned by Galcor
Development (California) , Inc .
EXHIBITS ATTACHED : Agreement of Purchase and Sale .
RECOMMENDATION: �(Xk Authorize the Contribution of $100, 000.00 toward
r the acquisition of the property presently owned by
Galcor Development (California) , Inc . , and an
amount not to exceed $15 , 000. 00 for costs
associated with closing the escrow.
FINANCIAL STATEMENT : Sufficient funds have been budgeted in the City ' s
Capital Budget to cover these costs .
DESCRIPTION:
Dublin Information, Inc . , is considering an agreement of purchase
and sale with Galcor Development (California) , Inc . , for real property on
Dublin Boulevard known as Assessor' s Parcel 94.1-14.01-014.-05 .
It is anticipated that all costs associated with the acquisition
of this property will be financed with certificates of participation, with
the exception of the $100 , 000. 00 required by the sales agreement to be
deposited upon opening of escrow and the closing costs , which must be borne
by Dublin Information, Inc . , which are presently estimated not to exceed
$15 , 000.00. Since Dublin Information, Inc . , will have no funds other than
those which are generated from the sale of certificates of participation,
and the proposed issuance of certificates of participation does not
presently include closing costs or the $100,000.00 necessary to open
escrow, and further, such sale of certificates of participation will occur
subsequent to the required date for the opening of escrow specified in the
agreement of purchase and sale , it is recommended that the City Council
authorize the contribution of $115 , 000. 00 to Dublin Information, Inc . to
offset a portion of the acquisition cost and all of the closing costs
related to the sale .

AGREEMENT OF PURCHASE AND SALE
THIS AGREEMENT OF PURCHASE AND SALE ("ggreement" )
is entered as of the 19th day of December, 1985, by and
between GALCOR DEVELOPMENT (CALIFORNIA) , INC. ("Seller" ) , a
California corporation, and DUBLIN INFORMATION, INC.
("Buyer" ) , a California non-profit corporation and wholly-
owned subsidiary of the City of Dublin, California ("City" ) .
THE PARTIES ENTER THIS AGREEMENT on the basis of
the following facts, understandings and intentions:
A. Seller is the owner of. certain real property
("Property" ) located in the City of Dublin, County of
Alameda, State of California. The Property is more parti-
cularly described in Exhibit A, attached hereto.
B. City has the legal power to condemn and take
the Property through eminent domain.
C. City has decided to acquire the Property and
has stated that it intends to acquire the Property through
condemnation if Seller does not agree to a purchase and sale
of the Property on terms acceptable to City.
D. Seller believes that City will begin condemna-
tion proceedings if the Property is not voluntarily sold to
the City.
E. Seller now desires to sell the Property to
Buyer, and Buyer desires to purchase the Property for City,
on all of the terms, covenants and conditions hereinafter
set forth.
NOW, THEREFORE, IN CONSIDERATION of the mutual
covenants and promises of the parties, the parties hereto
agree as follows:

1. Purchase and Sale. Seller shall sell the
Property to Buyer, and Buyer shall purchase the Property
from Seller , on all of the mutual terms, covenants and
conditions set forth in this Agreement.
2. Deposit. Within three (3) days following the
date of this Agreement, Seller shall establish an escrow
("Escrow" ) for the close of the purchase and sale of the
Property at the Dublin office of Chicago Title Insurance
Company ("Title Company" ) . Upon the opening of Escrow,
Buyer shall deliver to Seller a certified or cashier ' s check
in the amount of One Hundred Thousand Dollars ($100, 000. 00)
as a deposit ("Deposit" ) on account of the Purchase Price,
as defined in Section 3 below. If this transaction closes
as provided in this Agreement, the Deposit shall apply
against the Purchase Price at close of Escrow for transfer
of the Property. If Escrow does not close for any reason
other than a default by Seller, Seller shall be entitled to
retain the Deposit in addition to all other remedies,
including specific performance, Seller may have against
Buyer at law or at equity. If Escrow does not close as a
result of a default by Seller , then Seller shall return the
Deposit (without interest) to Buyer.
3. Purchase Price. Buyer shall pay Seller a
purchase price ("Purchase Price" ) for the Property in the
amount of Five Million Six Hundred Fifty Thousand Dollars
($5, 650, 000. 00) . The Purchase Price shall be payable at
close of Escrow as follows:
a. Deposit. Application of the Deposit; and
b. Cash Payment. Paying the balance in cash
("Cash Payment" ) upon close of Escrow.
4. Fee Reimbursement. In addition to the Pur-
chase Price, Buyer shall pay Seller the sum of Two Hundred

Thousand Dollars ($200, 000. 00) , which amount represents
reimbursement of Seller for Seller' s prepayment of certain
fees in connection with development of the Property. This
reimbursement for prepaid fees ("Fee Reimbursement" ) shall
be paid by Buyer in cash at close of Escrow.
5. Conditions of Title.
a. Review and Approval of Title Report.
Within five (5) days after receipt, Buyer shall review and
approve the preliminary title report ("Title Report" ) for
the Property, dated , 1985, which was issued by
Title Company, and copies of all exceptions to title refer-
enced in the Title Report. The matters set forth in any
survey Buyer obtains for the Property (at Buyer' s' expense)
and the conditions of title to the Property set forth in the
Title Report, other than exceptions for liens of deeds of
trust or other mortgage indebtedness, are hereinafter
referred to as the "Conditions of Title. "
b. Delivery of Title. Conclusive evidence
of delivery of title to the Property by Seller to Buyer
shall be the willingness of Title Company to issue, upon
payment of Title Company' s regularly scheduled premium, a
standard form owner ' s policy of ALTA title insurance (the
"Title Policy" ) , in the amount of the Purchase Price,
showing title to the Property vested of record in Buyer ,
subject only to the Conditions of Title and the standard
printed exceptions of the Title Policy.
6. Deposits Into Escrow. Prior to the Closing
Date, as defined in Subsection 7. a, the parties shall
deposit into Escrow the funds and documents described in
this Section 6.

a. Seller . Seller shall deposit a duly
executed and acknowledged Grant Deed conveying the Property
to Buyer.
b. Buyer . Buyer shall deposit the
following:
(1) The Cash Payment;
(2) The Fee Reimbursement; and
(3) Additional cash in the amount neces-
sary to pay Buyer' s share of closing costs and prorations,
as hereinafter set forth.
7. Close of Escrow.
a. Time. Escrow shall close on a date
("Closing Date" ) that is not later than one hundred twenty
(120) days after the date of this Agreement. When Title
Company is in a position to issue the Title Policy and all
documents and funds have been deposited with Title Company,
Title Company shall immediately close Escrow as provided
below. The failure of either party to be in a position to
close Escrow by the Closing Date shall constitute a default
hereunder.
b. Procedure. Title Company shall close
Escrow as follows:
(1) Record the Deed and deliver the Deed
to Buyer;
(2) Deliver a certified copy of the
recorded Deed to Seller;
(3) Pay to Seller the Cash Payment and
the Fee Reimbursement, reduced by Seller' s share of closing
costs and prorations, as hereinafter set forth; and
(4) Deliver the Title Policy to Buyer.
C. Special Instruction to Title Company.
Buyer and Seller may deposit separate escrow instructions

with Title Company provided that the additional escrow
instructions do not change or conflict with the terms of
this Agreement.
d. Incorporation of Escrow Instructions.
Buyer and Seller hereby incorporate the standard provisions
of the escrow agreement commonly used by Title Company in
the Dublin area. This Agreement shall serve as escrow
instructions, and an executed copy of this Agreement shall
be deposited by Seller with Title Company following execu-
tion hereof. The parties agree to execute for the benefit
of Title Company such additional escrow instructions as
Title Company shall require, provided that the additional
escrow instructions do not change the terms of this Agree-
ment but merely offer protection for Title Company.
e. Closing Costs and Prorations.
(1) Closing Costs . Buyer and Seller
shall each pay its own attorneys' fees. Buyer shall pay all
recording costs, escrow fees and title insurance premiums.
Seller shall pay all documentary transfer taxes.
(2) Prorations. Real estate taxes and
assessments shall be prorated as of the Closing Date, and
Seller shall be responsible for all property taxes and
assessments which accrue prior to the Closing Date.
8. Physical Conditions. Buyer has conducted
Buyer' s own investigation of the Property and the physical
conditions thereof, including accessibility and location of
utilities, which in Buyer' s judgment affect or influence
Buyer ' s use of the Property and Buyer ' s willingness to enter
this Agreement. Buyer recognizes that Seller would not sell
the Property except on an "as is" basis and acknowledges

that Seller has made no representations of any kind in con-
nection with soils or physical conditions on, or bearing on,
the use of the Property.
9. Further Inspection. Buyer warrants that Buyer
has examined and inspected all matters with respect to
taxes, bonds, permissible uses, zoning, covenants, condi-
tions and restrictions and all other matters which in Buy-
er ' s judgment bear upon the value and suitability of the
Property for Buyer' s purposes. Buyer shall rely solely on
Buyer ' s own inspection and examination and not on any
representations of Seller.
10. Successors and Assigns. The terms, covenants
and conditions herein contained shall be binding upon and
inure to the benefit of the successors and assigns of the
parties hereto; provided, however, that Buyer shall not,
prior to the Close of Escrow, assign Buyer ' s interest in
this Agreement and the Property without the prior written
consent of Seller , which consent may be withheld in Seller ' s
sole and absolute discretion.
11. Survival. The terms, covenants and conditions
herein contained which are required to be operative after
delivery of the Grant Deed in order to be fully effective,
shall be so operative and shall not be deemed to have merged
in the Grant Deed.
12. Brokerage Commission. Seller shall pay a
brokerage commission to J . L. Lemm & Associates ("Lemm" ) ,
which brokerage commission shall be paid outside of escrow
and in accordance with a separate agreement between Seller
and Lemm. Seller and Buyer each warrants that no other
broker or finder can claim a right to a commission or
finder' s fee with respect to the Property based upon con-
tacts between the claimant and the warranting party. Seller

and Buyer each shall indemnify, defend and hold the other
harmless from and against any loss, cost or expense, includ-
ing, but not limited to, attorneys' fees and court costs,
resulting from any claim for a fee or a commission by any
broker or finder , other than any claims by Lemm, relating to
the consummation of the transactions described herein to the
extent such claim is the result of action of the indemni-
fying party.
13. Entire Agreement. This Agreement contains all
of the covenants, conditions and agreements between the
parties and shall supersede all prior correspondence, agree-
ments and understandings, both verbal and written. No addi-
tion or modification of any term or provision shall be
effective unless set forth in writing and signed by both
Seller and Buyer .
14. Attorneys' Fees. In the event of any litiga-
tion regarding the rights and obligations of the parties
under this Agreement, the prevailing party shall be entitled
to reasonable attorneys' fees and court costs.
15. Notices. All notices or other communications
required or permitted hereunder shall be in writing and
either delivered by hand or deposited in the United States
mail first-class, postage prepaid and addressed as follows:

the other party as herein provided. _
16. Exhibit. Exhibit A is attached hereto and
incorporated herein by reference thereto.
17. Governing Law. This Agreement shall be gov-
erned by and construed in accordance with the laws of the
State of California.
18. Captions. All captions and headings in this
Agreement are for the purposes of reference and convenience
and shall not limit or expand the provisions of this Agree-
ment.
19. Time. Time is of the essence for every provi-
sion herein contained in this Agreement.

20. Counterparts. This Agreement may be executed
in counterparts, each of which shall be an original, but all
counterparts shall constitute one instrument.
