Approve an agreement between the Alameda County Fire
Department and the City of San Leandro for the joint oVYTIership and
use of the existing Dublin 1994 L TI ladder fire truck.
FINANCIAL STATEMENT:
Under the terms of the agreement, the City of San Leandro and
Alameda County Fire Department will pay the City of Dublin a total
of $407,786. The City of Dublin will need to buy a new truck \:vith
an estimated cost of $593,889 (without equipment). Sufficient
funds have been budgeted. The City will also be responsible for
13 % of the maintenance of the existing 1994 L TI truck.

DESCRIPTION: The City of Dublin's existing reserve ladder truck is beyond its 20
year life expectancy and has a likelihood of critical mechanical failures. It has been determined that this
apparatus is unsafe to operate and has been taken out of service. It is currently scheduled to be salvaged
as soon as possible. This action has created a need for a reserve truck within the City of Dublin.
The reserve ladder trucks oVYTIed by the Alameda County Fire Department and the City of San Leandro are
also scheduled for immediate replacement. In early 1998 the Fire Chief met with the City Managers of
the Cities of Dublin and San Leandro to review an ownership and maintenance proposal for a reserve
truck. The proposal provides for cost savings to all three jurisdictions served by the Alameda County Fire
Department by sharing in the joint purchase of a reserve truck. The 1994 ladder truck currently owned by
the- City of Dublin was identified as a possible reserve truck that could be used by all three jurisdictio'ls,
resulting in considerable savings to the City of Dublin.
The proposed agreement establishes ajoint ownership of the City of Dublin's 1994 LTI ladder truck. The
truck would become available for all three jurisdictions to use for short periods oftime while any first line
truck is taken out of service for maintenance or repair. The percentage of ownership is based upon the
established shared allocation percentages: Alameda County 55%, San Leandro 32%, and the City of
Dublin 13%. Alameda County Fire Department and the City of San Leandro will buy an ownership
interest in Dublin's existing front line truck by paying Dublin $257,796 and $149,990, respectively. The
funds received by the City of Dublin from Alameda County and the City of San Leandro would be

utilized to pUrchase a new first line ladder truck at an estimated cost of $593,889 (without equipment) to
serve the City of Dublin.
The reserve truck will be stored at a centrally located fire station in Castro Valley. When a jurisdiction
has a need for a reserve truck, the apparatus will be put into service at the station from which the first line
truck was removed. The reserve truck will be maintained and insured by the Alameda County Fire.
Department, with the costs shared in accordance with the established cost sharing percentages. The joint
purchase and use of this truck will provide the City of Dublin with a safe and functional reserve truck,
thus ensuring there is no drop in service levels when the first line truck is taken out of service.
An agreement was developed and reviewed by the City Managers, Fire Chief, City Attorneys, and County
Counsel that defines the terms of ownership, maintenance, and use. of the proposed joint reserve truck.
Staff has reviewed the agreement and has determined that the agreement addresses the need for the City of
Dublin to replace its reserve ladder truck.
The proposed agreement is not intended to be used as a model or standard strategy regarding first line
equipment.
RECOMMENDATION
Staff recommends that the City Council approve the agreement between the City of Dublin, the Alameda
County Fire Department and the City of San Leandro for the joint ownership of the existing 1994 ladder
truck.

REGARDING THE JOINT OWNERSHIP OF
A 1994 L TI TRUCK
THIS AGREEMENT is made and entered into this I st day of April 1999,
which date is designated for purposes of reference only, by and between the
ALAMEDA COUNTY FIRE DISTRICT ("ACFD") (also known as the "Alameda
County Fire Department"), a dependent special district of the County of Alameda
and political subdivision of the State of California, and the CITY OF DUBLIN
("Dublin"), a municipal corporation, and the CITY OF SAN LEANDRO ("San
Leandro"), a. chartered municipal corporation (together "Parties" and individually
"Party") .
RECITALS
A. Fire and emergency response services within Dublin are provided by
ACFD under a contract effective on July I, 1997 ("Dublin/ACFD Agreement").
B. Fire and emergency response services within San Leandro are provided
by ACFD under a contract effective on July I, 1995 ("San Leandro/ACFD
Agreement") .
C. Dublin owns a 1994 L TI fire truck, Vehicle Identification Number
4S7AT9D06SC015273 and that apparatus and equipment for said fire truck
identified in Exhibit I hereto (together the truck, apparatus and equipment are
"Truck") .
D. Dublin desires to sell a partial interest in Truck to ACFD and San
Leandro. Dublin desires to maintain a partial interest in Truck in order that Dublin
may continue to use Truck as a Reserve Truck.
E. ACFD and San Leandro each wish to acquire a partial interest in Truck
so that each may use it as a Reserve Truck.

AGREEMENT
In consideration of the mutual promises contained herein, the Parties agree as .
follows:
1. Recitals.
The foregoing recitals are true and correct.
2. Definitions.
As used in this Agreement:
A. "Board of Supervisors" means the Board of Supervisors of the
County of Alameda and governing body of the ACFD.
B. "First Line Engine" means a fire truck (i) not equipped with an
attached 100 foot aerial ladder and (ii) intended to be
continuously operational and in service.
C.
"Reserve Engine" means a fire truck (i) not equipped with an
attached 100 foot aerial ladder, and (ii) intended to be in service
only during those times when a First Line Engine is out of service.

D. "First Line Truck" means a fire truck (i) equipped with an
attached 100 foot aerial ladder, and (ii) intended to be
continuously operational and in service.
E. "Reserve Truck" means a fire truck (i) equipped with an attached
100 foot aerial ladder, and (ii) intended to be in service only
during those times when a First Line Truck is out of service.
F. "County" means the County of Alameda.
G. "Fire Chief' means the chief executive officer of the ACFD.
3. Ownership of Fire Truck.
A. Sale and Purchase of Ownership Interests.
(1) ACFD. Dublin sells to ACFD 55% ownership of Truck in

consideration for: (a) the payment of $257,796.00 in cash, check or money
orderwhich shall be delivered to Dublin and accepted by Dublin no later than August
10, 1999 or as otherwise agreed in writing by Dublin and ACFD, and (b) such other
consideration as provided in this Agreement.
(2) San Leandro. Dublin sells to San Leandro 32% ownership
of Truck in consideration for: (a) the paYment of $149,990.00 in cash, check or
money order, which shall be delivered to Dublin and accepted by Dublin no later
than August 10, 1999 or as agreed in writing by Dublin and San Leandro, and (b)
such other consideration as is provided in this Agreement.
(3) Dublin. Dublin retains 13% ownership of Truck.

B. Title and Registration. ACFD shall be identified as the owner of
Truck on the Pink Slip or such other document as may be required by the California
Department of Motor Vehicles to transfer title to Fire Truck. Truck shall be annually
registered with the California Department of Motor Vehicles by ACFD. ACFD shall
be identified as the owner of Truck on such registration. Notwithstanding any rights
ACFD may have as the owner indicated on the Pink Slip or registration, ACFD shall
be bound by this Agreement, including, but not limited to Section 3.e. "Buy-Out"
below.
e. Buy-Out.
( 1 ) Offer to Purchase Ownership Interest. Should any Party
desire to sell all or part of its ownership interest in Truck, that Party shall first notify
the other two Parties. The notification shall offer non-selling Parties the opportunity
to purchase the selling Party's interest. The procedures in this Section 3.e. shall be
followed unless the Parties all agree in writing to another method of buy-out and/or
termination.
(2) Cost of Ownership Interest. The cost of purchasing the
ownership interest in Truck shall be determined by multiplying the percentage
ownership by the depreciated value of Truck as of the date of the notification to non-
selling Parties as indicated in Exhibit 2 hereto. For example, if on March 1, 2005,
San Leandro notifies ACFD and Dublin of its desire to sell its entire interest in the
Fire Truck, the cost of purchasing San Leandro's interest shall be $292,950.63 times
32% or $93,744.20.
(3) Acceptance of Offer to Sale Terminates Agreement as to
. Selling Party. If, within ninety (90) days of the date the selling Party notifies the

non-selling Parties of its offer to sell all or a part of its interest in Truck, a non-selling
Party notifies the selling Party of its acceptance and pays to the selling Party the cost
of the selling Party's ownership interest, then the selling Party's ownership interest - .
shall thereby be acquired by said purchasing Party, and except as provided in Section
B.B of this Agreement, the rights and obligations of the selling Party under this
Agreement shall terminate.
(4) Sale of Truck if No Acceptance of Offer to Sell. If, within
ninety (90) days of the date the selling Party notifies the non-selling Parties of its
offer to sell all or a part of its interest in Truck, a non-selling Party does not notify
the selling Party of its acceptance of said offer, then ACFD shall sell Truck pursuant
to Section 3.C.5. of this Agreement.
(5) Termination of Agreement on Sale of Truck. ACFD shall,
within fifteen (IS) days, publish notice in a public agency or fire department trade
publication inviting sealed bids to purchase Truck. Such notice shall be posted once
at least fifteen (15) days before the opening of the bids and shall summarize any
terms and conditions of the proposed sale. At the time and place set in the notice for
the sale, ACFD shall publicly open and examine all the bids. ACFD shall then declare
which bids conform to all the terms and conditions of sale. From among those
conforming bids, ACFD shall sell Truck to the highest bidder. Notwithstanding the
procedures in this Section 3.C.5., any Party may, within five (5) business days of the .
conclusion of the public opening and examination of the bids, order that the Truck
shall not be sold to the highest conforming bidder and that the notice inviting sealed
bids shall be republished as provided above; however, each Party may only exercise
such right one time. Within fifteen (15) days of selling Truck, ACFD shall distribute
the proceeds of the sale to the Parties in proportion to their ownership interest in
Truck on the date of sale. Upon the sale of Truck and the distribution of the
proceeds of the sale, this Agreement shall automatically terminate.
4. Use of Truck.
A. Generally. Truck shall be available to any Party when that Party
desires the use of a Reserve Truck. Truck shall not be used by any Party as a First
Line Truck.
B. Priority of Use. When First Line Trucks in the jurisdiction of
more than one Party are non-operational at the same time, Truck shall be used to
replace the first such First Line Truck to become non-operational. Truck shall be
used by any Party for a maximum of twenty-nine (29) consecutive days.

C. Avoid Scheduled Conflicts. ACFD shall endeavor to schedule
maintenance so that no more than one First Line Truck, in all three jurisdictions, is _
being serviced at one time. In the event that two First Line Trucks are non-
operational at the same time, the second First Line Truck to become non-operational
shall be replaced by a Reserve Engine until one of the First Line Trucks becomes
operational.
5. Location.
Truck shall be stationed at ACFD Fire Station 4 in Castro Valley.
6. Maintenance.
A. Responsibility. Maintenance and repair of Truck shall be
performed by the ACFD mechanic. If any maintenance activities are outside the
scope of the capabilities of the ACFD mechanic, ACFD shall, at its sole discretion,
hire another mechanic.
B. Apportionment of Costs.
(1) Generally. The actual costs of maintenance and repairs of
Truck will be divided between the Parties based on their ownership interest in Truck.
(2) Ouarterly Cost Report. Unless otherwise agreed by the
Parties, included in the quarterly financial reconciliation reports required under the
Dublin/ACFD Agreement and the San Leandro/ACFD Agreement respectively, ACFD
will deliver to Dublin and San Leandro a report setting forth the actual maintenance
and repair expenditures during the preceding three (3) months ("Quarterly Report"),
and the amount of those expenditures chargeable to each Party. The Quarterly
Report shall also include the actual cost of providing the insurance required under
Section 9 of this Agreement.
(3) Method of Billing and Payment. Dublin and San Leandro
will pay ACFD within 30 days of the date ACFD sends each Quarterly Report. If
such paYment is not received by ACFD within forty five (45) days after the date
ACFD sends the Quarterly Report, ACFD shall recover interest thereon. Said interest
shall be at the rate of one percent (1 %) simple interest per calendar month or any
portion thereof calculated from the last day of the month in which the services were
performed.

7. Deletion or Addition of Apparatus and Equipment.
Upon written agreement between the Fire Chief, the City Manager of Dublin - .
and the City Manager of San Leandro, individual pieces of apparatus and equipment
specified in Exhibit I may be deleted from the inventory available to Truck for
performance of services under this Agreement and new apparatus and equipment may
be added to that inventory. Such modifications to this inventory shall not be
considered an ame~dment to this Agreement.
8. Indemnification.
A. Mutual Indemnification. Except as otherwise specifically
provided in this Agreement or any attachment hereto, County, on behalf of itself and
the ACFD, shall defend, indemnify, and hold harmless Dublin and San Leandro, their
elected and appointed officials, officers, and employees free and hanrJess from any
and all claims for damage or injury to persons or property whatsoever kind or nature,
including consequential damages, based or asserted upon any act or omission of or
purported act or omission of County and/or ACFD, their elected or appointed
officials, officers or employees in connection with or arising out of the performance
by County and/or ACFD and its elected or appointed officials, officers and employees
of this Agreement.
Except as otherwise specifically provided in this Agreement or any .
attachment hereto, Dublin shall defend, indemnify, and hold harmless the County,
ACFD and San Leandro, their elected and appointed officials, officers, and employees
free and harmless from any and all claims for damage or injury to persons or property
whatsoever kind of nature, including consequential damages, based or asserted upon
any act or omission of or purported act or omission of Dublin, its elected or
appointed officials, officers or employees in connection with or arising out of the
performance by Dublin and its elected or appointed officials, officers and employees
of this Agreement. -
Except as otherwise specifically provided in this Agreement or any
attachment hereto, San Leandro shall defend, indemnify, and hold harmless the
County, ACFD and Dublin, their elected and appointed officials, officers, and
employees free and harmless from any and all claims for damage or injury to persons
or property whatsoever kind of nature, including consequential damages, based or
asserted upon any act or omission of or purported act or omission of San Leandro, its
elected or appointed officials, officers or employees in connection with or arising out
of the performance by San Leandro and its elected or appointed officials, officers and
employees of this Agreement.

B. Mutual Indemnification Obligations Survive Termination. The
obligations created by Section B.A. shall survive the expiration or termination of this
Agreement as to activities occurring or being carried out during the term of this
Agreement in the performance of this Agreement.
9. Insurance.
A. Generally. ACFD shall procure and maintain for the duration of .
this Agreement "occurrence coverage" and "product defect" insurance against claims
for injuries to persons or damages to property, including damage to Truck, which may
arise from or in connection with Truck.
B. Minimum Limits of Insurance. ACFD shall maintain Truck
liability limits no less than $1,000,000 combined single limit per accident for bodily
injury and property damage, and $1,000,000 for prod,:!ct defects.
C. Deductibles and Self-Insured Retentions. Any deductibles or self-
insured retentions must be declared to and approved by the Parties.
D. Acceptability of Insurers. Insurance is to be placed with insurers
with a Bests' rating of no less than A:VII.
E. Verification of Coverage. ACFD shall furnish Dublin and San
Leandro with certificates of insurance and with original endorsements effecting
coverage required by this section.
F. Waiver. The Risk Manager of each Party may approve a
variation in the insurance requirements in this Section 9 upon a determination that
such insurance is either not commercially available or that the Party's interests are
otherwise fully protected.
10. Miscellaneous.
A. Term. This Agreement shall have a term of sixteen (16) years, a
period equal to the current estimated service life of Truck. This Agreement shall be
in effect from 12:00 a.m., April 1, 1999 until 11:59 p.m. March 31, 2015 unless
otherwise terminated in accordance with the provisions herein.
B. Replacement. No later than October 1,2014, six months prior to
the scheduled expiration of this Agreement, the Parties shall jointly evaluate the
possibility of:

(1) Replacing Truck with a new Reserve Truck;

(2) Extending the term of this Agreement;
(3) Modifying this Agreement to include as a Party other
jurisdictions that contract with the ACFD for fire protection services; and
(4) Such other issues relating to the Agreement as any Party
may desire to evaluate.
C. Termination.
(1 ) By Sale of Truck. This Agreement may be terminated by
the sale of Truck pursuant to Sections ~.C.4 and 3.C.5 of this Agreement.
(2) Due to Termination or Expiration of Fire Service and
Emergency Response Agreements. The Dublin/ACFD Agreement is currently
scheduled to expire on June 30, 2002. The San Leandro/ACFD Agreement is
currently scheduled to expire on January 1, 2000. While the Parties anticipate that
these agreements may be extended, in the event that either or both agreements expire
prior to the expiration of the term of this Agreement, then the Fire Truck shall be
sold pursuant to Section 3.C.5. of this Agreement and this Agreement shall .
automatically terminate after such sale.
(3) Due to Accident that "Totals" Truck. If an accident occurs
that completely destroys Truck or otherwise renders Truck permanently unusable,
following the distribution of insurance proceeds, Truck may be salvaged pursuant to
Section 10.D of this Agreement.
D. Salvage. Upon expiration of this Agreement, or any other event
which causes Truck to stop serving as a Reserve Truck, ACFD shall, within fifteen
( 15) days, publish notice in a public agency or fire department trade publication
inviting sealed bids to purchase Truck. Such notice shall be posted once at least
fifteen (15) days before the opening of the bids and shall summarize any terms and
conditions of the proposed sale. At the time and place set in the notice for the sale,
ACFD shall publicly open and examine all the bids. ACFD shall then declare which
bids conform to all the terms and conditions of sale. From among those conforming
bids, ACFD shall sell Truck to the highest bidder. Notwithstanding the procedures in
this Section 10.D., any Party may, within five (5) business days of the conclusion of
the public opening and examination of the bids, order that the Truck shall not be sold

E. Amendments. This Agreement may be amended in writing at any
time by the mutual consent of the Parties.
F. Notices. All notices required or permitted hereunder shall be in
WIltmg. Notices shall be deemed sufficiently given if delivered by hand (with a
written acknowledgment of receipt) or mailed, by United States mail, postage
prepaid, certified or registered mail, addressed to the parties at the addresses set forth
below or to such other address as may, from time to time to designated in writing.
