RECOMMENDATION: Adopt the Resolution approving the Amendments to the Agreements with Kimley-Horn & Associates, Omni-Means, LTD, TJKM .~ Transportation Consultants, Berlogar Geotechnical Consultants, BSK Associates, Cal Engineering & Geology, Inc., RBF Consulting, SNG & Associates, Inc., and Mark Resolve, Inc. FINANCIAL STATEMENT: Under the existing Agreements, the consultants provide services to the City based on individual adopted rate schedules. Types of services performed are of four types: 1) Traffic Engineering; 2) Geotechnical (Soils) Engineering; 3) General Engineering; and 4) Construction Conflict Resolution. Services provided for private development are paid for by developers, or budgeted within each CIP project for the City's Capital Improvement Program (CIP). COPY TO: Consultants Page 1 of 4 ITEM NO. G:\CONSLTL.TANTS\agstamend 9 consultants 09-10.doc Section 2.9 of each Consulting Services Agreement specifies that the Consumer Price Index (CPI) for Urban Wage Earners for the San Francisco-Oakland Bay Area shall be used to govern rate increases requested by the consultant. The December 2008 CPI registered a negative 0.2%. Section 2.9 also states that the consultants' adjusted rates cannot be less than the initial rates (contained in Exhibit "B" of each consultant's Agreement). None of the consultants are requesting rate increases for Fiscal Year 2009-2010. DESCRIPTION: The City of Dublin's Public Works Department currently contracts with 13 consulting firms. Each of the Agreements is for atwo-year term, with 9 of these Agreements expiring on June 30, 2009. Staff believes it is prudent to continue contracting for the services of these consulting firms; therefore, Amendments to the Agreements are necessary to extend the terms for another two years. The remaining four Agreements will not expire until June 30, 2010, and Staff will return to the City Council at that time for approval to extend those Agreements. Following are the major categories of the consulting services provided and a summary for each consultant in that category. TRAFFIC ENGINEERING Kimley-Horn & Associates has contracted with the City since 2001 to provide traffic engineering services, primarily in the area of preparing traffic studies and other traffic-related services associated with private development projects, as well as traffic studies for CIP projects. The most current Agreement was approved on July 5, 2005, for atwo-year term, which expired June 30, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. Omni-Means, LTD, has provided traffic engineering services to the City since 1996. These services have primarily been in the area of peer review, preparing private development traffic studies, and other traffic- related services associated with private development projects. These services are paid for by developers. The most current Agreement was approved on June 21, 2005, and was for atwo-year term, which expired June 30, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. TJKM Transportation Consultants has contracted with the City since 1983 to provide traffic engineering services to the City. Types of services performed are typically private development traffic studies, which are paid for by developers at TJKM's standard rates, and general traffic engineering work, which is paid from the City's operating budget and is billed at rates that are reduced from TJKM's standard rates. Work on Capital Projects is at standard rates. TJKM provides a specific per-task estimate for each project and obtains written authorization from the City before proceeding. The most current Agreement was approved on June 21, 2005, and was for atwo-year term, which expired June 30, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. GEOTECHNICAL ENGINEERING Berlogar Geotechnical Consultants has provided geotechnical engineering services to the City since 1996. Services provided have typically been in the areas of peer review for private development projects and Page 2 of 4 Staff support and testing services. Staff typically obtains anot-to-exceed proposal from the consultant for each project. Costs for development-related projects are paid for by developers, and costs for CIP-related projects are budgeted within each specific project. The current Agreement was approved on July 19, 2005, and was for atwo-year period, which expired June 30, 2007. The Agreement was then extended for an additional two years to June 30, 2009. The consultant did not request a rate increase for Fiscal Year 2008-2009, which was the second year of the extended term of the Agreement. BSK Associates has provided general materials and soils testing and geotechnical services since 1995, primarily in the area of testing for City CIP projects and geotechnical peer review for private development projects. The consultant provides specific per-task estimates for each project and obtains written authorization from the City before proceeding. The cost related to CIP projects is budgeted within each project, and the cost related to private developments is paid for by developers. The most current Agreement was approved on July 5, 2005, and was for atwo-year term, which expired June 30, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. Cal Engineering_& Geology, Inc. entered into a Consulting Services Agreement with the City on April 18, 2006, to provide geotechnical engineering services. The firm is currently performing peer review for the Fallon Village project, with costs for the work being paid for by private developers. On June 19, 2007, the most current Agreement was extended for atwo-year term, which expired June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. GENERAL ENGINEERING RBF Consulting has provided general civil engineering and land surveying services to the City since 2003. This work is primarily associated with active land development and Capital Improvement Program (CIP) projects in the City, which is either paid for by developers or budgeted within individual CIP projects. The most current Agreement was approved on July 5, 2005, and was for atwo-year term, which expired July 19, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. SNG & Associates, Inc., has contracted with the City since 2002 for engineering services to perform private development review, planchecking and project close-out. These services are paid for by developers. The most current Agreement was approved on June 21, 2005, and was for atwo-year term, which expired June 30, 2007. The term of the Agreement was then extended for an additional two years to June 30, 2009, and a rate increase was allowed per Section 2 for the second year of the Agreement in Fiscal Year 2008-2009. CONSTRUCTION CONFLICT RESOLUTION Mark Resolve, Inc., entered into an Agreement with the City on September 4, 2007, to provide schedule analysis and construction conflict resolution. These services are a preventative measure to insure the City is protected against potential construction claims on larger CIP projects, such as the Dublin/Dougherty Intersection Improvements Project and the I-580/Fallon Road Interchange Improvements Project. This consultant did not request a rate adjustment for Fiscal Year 2008-2009, the second year of the Agreement. Page 3 of 4 RATE ADJUSTMENT FOR FISCAL YEAR 2009-2010 The work performed to date by these consultants has been satisfactory, professional and competitive. Each of these consultants has indicated the desire to extend the Agreement for an additional two-year period. The CPI for December 2008, which is the marker specified in Section 2.9 to govern the amount a consultant can request for an adjustment of its rates, registered as a negative 0.2% (Attachment 1). Section 2.9 states, "In no case shall the adjusted rates be less than the initial rates as set forth in Exhibit B." Therefore, the rates contained in Exhibit "B" of each consultant's most recent Amendment will continue to prevail in this Agreement for Fiscal Year 2009-2010. The four consultants who are in the second year of their Agreements have also stated they are not requesting a rate adjustment for Fiscal Year 2009-2010. RECOMMENDATION: Staff recommends that the City Council adopt the Resolution approving the Amendments to the Agreements with Kimley-Horn & Associates, Omni-Means, LTD, TJKM Transportation Consultants, Berlogar Geotechnical Consultants, BSK Associates, Cal Engineering & Geology, Inc., RBF Consulting, SNG & Associates, Inc., and Mark Resolve, Inc. WHEREAS, the City of Dublin ("the City") and the firms of KIMLEY-HORN & ASSOCIATES, INC., OMNI-MEANS, LTD, TJKM TRANSPORTATION CONSULTANTS, BERLOGAR GEOTECHNICAL CONSULTANTS, BSK ASSOCIATES, CAL ENGINEERING & GEOLOGY, INC., RBF CONSULTING, SNG & ASSOCIATES, INC., AND MARK RESOLVE, INC. ("the Consultants"), have previously entered into two-year Agreements ("the Agreements") whereby the Consultants have agreed to provide certain engineering services on an as-needed basis; and WHEREAS, the City and the Consultants now desire to extend the terms of the Agreements an additional two years until June 30, 2011; and WHEREAS, the rate schedule contained in each Consultant's most current Amendment shall remain in effect for Fiscal Year 2009-2010 as allowed by Section 2.9 of the Agreement; and WHEREAS, the attached Amendments to the Agreements have been reviewed and approved as to form by the City Attorney's Office; NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby approve the Amendments, attached hereto as Exhibits "A" through "I". BE IT FURTHER RESOLVED that the Mayor is authorized to execute the Amendments on behalf of the City.
