FINANCIAL STATEMENT
There IS no cost assocIated wIth the executIOn of the agreement The
CIty wIll ultImately benefit from partICIpatIOn m the program by
receIvmg free traffic consultant servIces to develop updated sIgnal
tImmg plans for the traffic sIgnals on Dubhn Boulevard between San
Ramon Road and HaCIenda Dnve The consultant servIces are
worth an estrmated $35,000 Staff tIme WIll be reqUIred to gather
data for the consultant and oversee the consultant throughout the
project development and ImplementatIOn stages
DESCRIPTION The Metropohtan TransportatIOn CommIssIon (MTC) released a call
for projects m September 2007 for partIcIpatIon m the RegIOnal SIgnal TImmg Program (RSTP) (2008
Cycle) The RSTP provIdes an opportumty for mumcIpahtIes to receIve assIstance free of charge from
MTC's pre-selected consultants for development and ImplementatIon of traffic sIgnal coordmatIOn plans
CIty of Dublm staff submItted an apphcatIOn on November 16, 2007, for Dublm Boulevard (see
Attachment 2)
Currently, the CIty of Dublm operates two segments of Dubhn Boulevard under coordmated
(synchromzed) tlmmg plans The segment from RegIOnal Street to VIllage Parkway operates m
coordmatIon from 7 00 AM to 9 00 AM weekdays, the segment from Scarlett Dnve to HaCienda Dnve

operates m coordmatIOn from 7 00 AM to 7 00 PM weekdays Both segments have been tImed to provIde
progressIOn m both dITectIOns Because traffic volumes are mcreasmg as the CIty and surroundmg
commumtIes contmue to grow and because travel patterns change as new roadways are constructed, It IS
Important to perIodIcally evaluate signal tImmg plans and make adJustments as needed to match
prevaIlmg conditIOns
The applIcatIOn submItted by the CIty of Dublm mcludes a request for evaluatIOn of the slgnahzed
mtersectIOns on Dublm Boulevard between San Ramon Road and HaCienda Dnve, which IS a combmatIon
of ten coord mated sIgnals and five uncoordmated signals The study wIll (1) assess eXIstmg operatmg
conditIOns for the coord mated and uncoordmated signals, (2) evaluate the feasibIlIty of addmg more
mtersectIOns mto the eXlstmg coordmated systems, (3) develop new signal tImmg plans for the study
mtersectIOns, and (4) assist with ImplementatIOn of the new tImmg plans
The agreement proVided by MTC has been revIewed and sIgned by the City Attorney
RecommendatIOn
Staff recommends that the City CouncIl adopt the resolutIon approvmg the agreement between
MetropolItan 1 ransportatIon CommIssIOn and City of DublIn for partIcipatIOn m the RegIOnal SIgnal

REGIONAL SIGNAL TIMING PROGRAM (2008 CYCLE)
WHEREAS, the MetropolItan TransportatIOn CommisSIon (Ml C) has entered mto teehmcal
servIces agreements with several eonsultmg firms to provide assIstance to varIOUS Bay Area cItIes m the
retlmmg of traffic signal systems, referred to as the RegIOnal Signal Tlmmg Program (RSTP), and
WHEREAS, sIgnal tlmmgs should be re-evaluated penodlcally to respond to changmg traffic
volumes and travel patterns, and
WHEREAS, It IS proposed that the CIty of Dub 1m participate m the RSTP,
NOW, THEREFORE, BE IT RESOLVED that the City CouncIl of the City ofDubhn does
hereby approve the agreement wIth MTC for partIcipatIOn m the RSl P
BE IT FURTHER RESOLVED that the Mayor IS authorIzed to execute the Agreement, hereto
attached as ExhIbIt' A "

THIS AGREEMENT IS made and entered mto as of the 19th day of February, 2008, by and between the
MetropolItan TransportatIOn COtnmlSSIOn, a regIOnal transportatIon plannmg agency establIshed pursuant to CalIfornia
Government Code S 66500 et seq, (herem called "MTC"), and City of Dub 1m (herem called "CITY")
WITNESSETH
WHEREAS, MTC has entered mto technIcal servIces agreements WIth several consultIng firms (herem called
"the Consultants"), under whIch the firms WIll prOVIde assistance to vanous Bay Area cIties m the retunIng of traffic
Signals m those cIties (herem called "the ProJect"), and
WHEREAS, CITY IS partiCIpatIng m the Project by receIvmg assistance from one or more of the Consultants
(herem called "the Consultant"),
WHEREAS, the partIes wIsh to define CITY's oblIgations to MTC respectmg WaIver of claIms and mdemmty,
NOW, THEREFORE, the partIes hereto agree as follows
1 0 WANER OF CLAIMS AGAINST MTC
CITY WaIves all claIms by CITY, ItS directors, supervIsors, officers, employees, or agents agamst MTC, ItS
commiSSIoners, officers, and/or employees for damages, loss, mJury and/or lIabIlIty, direct or mdlrect, resultmg from
CITY's partICIpation m the Project and/or the servIces proVIded to CITY by the Consultant under contract to MTC
CITY's WaIver shall not apply to lIabIlIty ansmg from and caused by the gross neglIgence or WIllful mIsconduct ofMTC,
Its comrmssIOners, officers, and/or employees
20 INDEMNIFICATION AND DEFENSE
CITY agrees to mdemmfy, hold harmless and defend MTC, Its comrrllssIOners, officers, and employees from any
and all thIrd party claims, demands, laWSUits, lIabIlIty, loss, damages, mJury and/or lIabIlIty, direct or mdlrect (mcludmg
any and all costs and expenses m connectIOn therewIth), resultmg from or m connectIon With proVISIOn of servIces to
CITY by the Consultant under contract WIth MTC, to the extent such clarms, demands, etc are not covered by the
Consultant's mdemmficatIon ofMTC m the Consultant's contract WIth MTC CITY's mdemmficatlOn oblIgatIon shall
not apply to lIabIlIty arIsIng from and caused by the gross neglIgence or WIllful mIsconduct ofMTC, ItS comrmSSlOners,
officers, agents, and employees CITY IS responSIble for obtammg from MTC a copy of the applIcable Consultant
agreement(s)
3 0 TERM
The term of this Agreement shall contmue mdefimtely app1ymg to multiple RSTP Consultant contracts, unless

EXCERPTS FROM MTC'S AGREEMENT WITH RSTP CONSULTANTS
THESE PROVISIONS ARE PROVIDED FOR REFERENCE ONLY IT IS THE CLIENT
JURISDICTION'S RESPONSIBILITY TO OBTAIN FROM MTC A COPY OF THE
PROVISIONS APPLICABLE TO EACH CONSULTANT, AS THEY MAY DIFFER FROM
YEAR TO YEAR
RSTP Consultant's IndemnIficatIon ofMTC and All Chent JunsdIctIOns
CONSULTANT shall mdemmfy and hold harmless MTC and Chent JunsdlCtIons, theIr
commIssIOners, dIrectors, officers, agents, and employees, from any and all claIms, demands,
SUItS, loss, damages, mJury, and/or habIhty, dIrect or mdIrect (mcludmg any and all costs and
expenses m connectlon therewIth), mcurred by reason of any neghgent or otherwIse wrongful act
or omISSIOns of CONSULT ANT, ItS officers, agents, employees and subcontractors, or any of
them, under or m connectIon WIth thIS Agreement, and CONSULTANT agrees, at Its own cost,
expense, and nsk, to defend any and all such claIms, actIons, SUItS, or other legal proceedmgs
brought or InstItuted agamst MTC and Chent JunsdIctIons, theIr commIssIOners, duectors,
officers, agents, and employees, or any of them, ansmg out of such neghgent or otherwIse
wrongful act or omISSIOn, and to pay and satlsfy any resultmg Judgments
The mdemmficatIOn and hold harmless obhgatIon defined above shall not apply to claIms,
demands, etc to the extent they anse from or are caused by the gross neghgence or WIllful
mIsconduct ofMTC or any chentJUTlsdlCtIOns However, the above oblIgatIon to defend shall
apply to all claIms, demands, etc caused or alleged to have been caused by the neghgence or
wrongful acts or omISSIOns of CONSULTANT
Consultant's Insurance Requuements
A MmImum Coverages CONSULTANT shall, at ItS own expense, obtam and mamtam m
effect at all tlmes dunng the lIfe of thIS Agreement the followmg types ofmsurance agamst
claIms, damages and losses due to mJunes to persons or damage to property or other losses that
may anse In connectlon WIth the performance of work under thIS Agreement, placed WIth
msurers With a Best's ratmg of A-X or better
1 Workers' CompensatIon Insurance, as reqUIred by law, and Employer's LIabIhty
Insurance m an amount no less than $1,000,000 (for bodtly mJury by accIdent and by dIsease
(pohcy lImIt and each employee)) Such Workers' CompensatIon Insurance and Employer's
LIabIhty Insurance reqUIrement shall be waIved for CONSULTANT If and for only as long as
CONSULT ANT IS a sole propnetor WIth no employees
2 CommerCIal General LIabIlIty Insurance ("occurrence" form), WIth a combmed smgle
hmIt of not less than $1,000,000 for bodily mJury and property damage each occurrence, a
combmed smgle hmIt of not less than $1,000,000 for personal mJury and advertlsmg mJury, and
$2,000,000 general aggregate
3 Owned, Non-Owned and Hued AutomobIle LIabIhty Insurance m the amount of
$1,000,000 each accIdent
4 Errors and OmISSIOns ProfeSSIOnal LlabIhty Insurance m the amount of $1 ,000,000 If
coverage IS wntten on a claIms-made form, CONSULTANT agrees to mamtam contmuous
coverage m effect from the date of the begmmng of services to at least three years beyond the
termmatIOn of servIces

C Notice of Termmatlon All CONSULTANT policIes shall provIde that the msuranee
carrIer shall gIVe wntten notIce to MTC at least 30 days pnor to cancellatIOn, non-renewal or
matenal change of coverage In the pohcy or pohcIes, and shall provIde notIce of tenmnatIon to
MTC and any other addItIonal msured

above shall contam the followmg prOVISIOns
1 InclusIOn ofMTC and the Chent JunsdIctlOns, thelf commISSIoners, directors, officers,

2 Endorsement provIdmg that such msurance IS pnmary Insurance and no msurance of
MTC or ClIent JunsdIctIOns wIll be called on to eontnbute to a loss
E CertIficates ofInsurance Promptly on executIon of this Agreement and pnor to
eomrnencement of any work hereunder, CONSULTANT shall dehver to MTC CertIficates of
Insurance venfymg the aforementIOned coverages Such certIficates shall make reference to all
proVIsIOns and endorsements referred to above and shall be sIgned on behalf of the msurer by an
authonzed representatIve thereof CONSULTANT agrees, upon wntten request by MTC, to
furnIsh copIes of such polICIes or endorsements, certIfied by an authonzed representatIve of the
msurer CONSULT ANT agrees to furmsh to the MTC ProJect manager a copy of all AddItional
Insured endorsements reqUIred under the Agreement wIthm SIxty (60) days of the EffectIve Date
of the Agreement
F DISclaImer The foregomg reqUIrements as to the types and hmlts of msurance
coverage to be mamtamed by CONSULTANT are not mtended to and shall not m any manner
hmIt or quahfy the habIhtIes and obligatIons otherwIse assumed by CONSU L T ANT pursuant
hereto, mcludmg, but not lImIted to, habIlIty assumed pursuant to ArtIcle 9 of this Agreement
