Pursuant to the City's request and related requirements, attached please find Republic's best and final proposal for the Collection and Disposal components of the City's RFP, which supercedes our prior submittals. Our best and final proposal includes new pricing for the Disposal portion of the RFP. After evaluating the new requirements of the RFP related to the Collection contract, the timeframe by which proposers were to respond to the new requirements, and the July 1, 2005 start date of services in light of the new requirements, we regret to inform the City that we are unable to submit a Collection proposal at this time and, therefore must withdraw from further consideration at this time. As such, in view of the above and in order to fulfill the requirements of the RFP, what we have included herein and in the attached proposal forms, unfortunately constitutes our best and final offer for Collection and Disposal and the only offer that we can extend to the City at this time, unless it were possible to extend the submittal date and start date of the new contract. In light of the above, and for a number of other reasons that may prove to be beneficial to the City, we would urge the City to consider extending its current contract and reissuing the RFP in 2005. We believe that by doing so, the City will ensure the highest level of competition, the greatest number of respondents to the City's RFP, and quite possibly a better overall cost proposal than what the City may ultimately receive from the best and final submittals. This approach would not be unprecedented as numerous cities in the Bay area have done so and improved their services and costs through a re-issuance, in comparison to what was received initially. In Republic's case, a re-issuance of the RFP would enable us to have additional time to (a) identify, and secure by option agreement, an operating location in the tri-valley area that meets our requirements, and facilitates the use of Local 70 labor, (b) permit and develop the local facility and an LNG fueling station between date of contract award and contract start- up, (c) obtain all of our LNG trucks prior to contract start-up, in contrast to our original proposal, so that we are in compliance with the RFP requirements, (d) enter into a negotiation and collective bargaining agreement with Local 70 (contingent upon contract award) that meets the requirements of Addendum 4, without any contingencies associated with activities outside of Dublin, ( e) identify a more cost effective organics processing location, given our relocation to the tri-valley area, (f) resolve any open contract issues with City staff, and (g) re-evaluate new data received from the City and any impact it would have on our proposal. While we cannot provide an absolute guarantee at this time that we will be able to resolve all of the above issues, we are confident that a re-issuance of the RFP will place us in a position to submit the best possible proposal to the City, while being fully responsive to the City's requirements. City of Dublin Addendum 4 Collection and Disposal Services ADDENDUM NO.4 The following directions are provided to proposers. 1. Proposers are requested to provide a "best and final" proposal for Collection Services and/or Disposal Services. 2. The proposals are due to the City in the number and manner set forth in the original RFP no later than Tuesday, November 16,2004,5:00 P.M. Pacific Standard Time (PST). 3. Proposers shall complete the revised attached Forms 0-1 through 0-6 and 0-8 for Collection Services and forms E-1 through E-5 for Disposal Services. 4. Proposers shall complete the newly developed and attached Collection Service Information Forms. 5. All Collection Service proposals shall be based on the following conditions: (a) all collection vehicles shall be Alternate Fuel Vehicles; and (b) Contractor shall sign a collective bargaining agreement with Teamsters Local 70 which provides a wage and benefit package that is equivalent to that currently in place between WMI and local 70, and which provides for a full transfer of seniority for displaced workers. 6. All Disposal Service proposals shall include the $1.25 County Open Space fee as a governmental fee. 7. Proposers shall review their original proposals, including those alternatives included in their original proposal, and consider ways and means of reducing costs including the assumptions regarding the operating costs of an AFV fleet used in developing the original compensation proposal. Except for the forms and items required by this Addendum, the "best and final" proposal shall only include those sections or portions of the original proposal that have changed.
