Proposed Amendments to TV30 Bylaws and Supplemental Appropriation for
TV30 Operations

EXECUTIVE SUMMARY:
The Tri-Valley Community Television Corporation (TV30) bylaws allow for changes in its Board
of Directors, but only after the City Councils of the four cities that comprise TV30 agree to that
change. The City of San Ramon is leaving TV30, so the City Councils of the member cities must
account for this change by adopting a resolution restructuring the Board of Directors. The
reduction in the number of participating agencies has also resulted in a request for additional
financial contributions from the remaining cities.
FINANCIAL IMPACT:
The City of San Ramon’s withdrawal as a member of TV30 requires that the cities of Dublin,
Livermore, and Pleasanton compensate for San Ramon’s share of TV30’s annual expenses,
which will amount to an additional $22,000 for each city. The proposed funding will come from a
reduction in the City of Dublin’s Fiscal Year 2012/13 General Fund Budgeted Contingency.
RECOMMENDATION:

Staff recommends that the City Council adopt Supporting the Proposed
Amendments to the Tri-Valley Community Television bylaws to decreasing the Board of
Directors from four, including San Ramon, to three, with San Ramon losing its Board status; and
approve a Budget Change in the amount of $22,000 to cover Dublin’s pro-rata share of
operating expenses.

DESCRIPTION:
The City of San Ramon has decided to end its participation in TV30 and its programs, starting
this fiscal year. In the past, each of the four cities associated with TV30 (Dublin, Livermore,
Pleasanton, and San Ramon) held one Board seat. All four cities mutually funded TV30
activities and received coverage of subjects like local events and public meetings. The City of
San Ramon has elected to withdraw from its participation in TV30 at this time and instead
intends to contract with Contra Costa Public Television for coverage of items such as
broadcasting of its City Council meetings. With the departure from TV30, San Ramon will not be
funding its share of TV30’s annual expenses.
The City of San Ramon has agreed to withdraw from its participation in TV30, including Board
membership. According to the organization’s bylaws, the Board of Directors consists of a
representative from all four cities participating in TV30 – Dublin, Livermore, Pleasanton, and
San Ramon. The bylaws allow for changes in the Board of Directors by amendment, but the City
Councils of the four cities first must approve of that change. Staff has prepared the proposed
resolution (Attachment 1) to accomplish this result. As a result of the restructuring, TV30 will
have three Directors on its Board, one representative from each of the three remaining cities.
With the loss of the City of San Ramon as a member of TV30, the remaining communities will
have to compensate for the City of San Ramon’s pro-rata share of TV30’s annual expenses.
This will amount to an additional $22,000 for each city. This additional expenditure was not
included in the City’s adopted Fiscal Year 2012/2013 budget. Staff is proposing that the
proposed funding come from a reduction in the General Fund Budgeted Contingency line item.
The original Fiscal Year 2012/13 General Fund Budgeted Contingency included an
appropriation of $150,000 and this adjustment ($22,000) represents approximately 15 percent of
the total available. Staff has prepared a Budget Change (Attachment 2) for City Council
consideration.

WHEREAS
